保兑银行,(confirming bank)通常称为保兑行,是指出口国或第三地的某一银行应开证行的请求,在信用证上加注条款,表明该行与开证行一样,对收益人所提示的符合信用证规定的汇票、单据负有付款、承兑的责任。保兑银行通常是由通知银行担任。

保兑银行是银行业务的专用名词。在商业活动中,银行信用要高于商业(企业)信用。由于商业活动一方对对方的资信不放心,就要求对方提供银行担保。当商业活动一方对对方提供的银行信用仍不放心,就要求对方再提供信誉更加卓著的银行对提供担保的银行的担保,在担保银行不能兑现信用时,由再担保的银行代其兑现保证。为银行提供担保的银行叫保兑行。保兑行主要出现在银行信用证和银行保函业务中。

开证银行委请通知银行对已开出信用证加以保兑,通知银行必须同意承担保兑的责任和义务,两者必须相匹配,才能表示保兑的功能。

通知银行兼保兑银行的责任和义务,通常是在信用证的右下角有通知银行的通知栏,在此栏内通知银行必须作出文字说明,同意保兑的条款,此条款称“开证银行以外的保证条款”(Constitute a definite undertaking of the Confirming Bank in addition to the undertaking of the Issuing Bank)。文如下;

1.本银行(通知银行)受通汇银行(开证银行)的委托,对本信用证加以保兑,并在此保证,凡提交贵公司(受益人)依信用证条款签发的汇票,届时由本银行兑付。

2.根据通汇银行(开证银行)的要求,本银行确认此信用证并藉此向贵公司(受益人)保证,凡出具符合信用证所列条款的汇票,届时付款。

3.对本信用证予以加保并在此保证,凡向本银行提示符合本信用证诸条款的汇票时予以议付或承兑。

4.本银行对本信用证受托加保,凡依本条款签发的所有汇票,我银行保证兑付。

就是第三方银行保证此信用证的可靠性。有两种,一种是主动加保。比如对方银行很烂,象什么伊拉克xx农村信用社啊(一个手榴弹一炸,就找不到地址了),你就要小心,主动要求xx美国花骑银行”嘿,给我保上,那个什么xx信用社,不知道明天还在不在。钱不是问题“另一种,本身信用证通过第三方开出(我靠,他们连电传设备都没有),此第三方银行自己都对他们发怵。于是就威胁我说:”你一定,肯定要加保撒,你不保基本,肯定没钱收撒!“我靠,威逼加利诱。加了也就100美元撒。买个平安撒!我靠,我估计xx信用社真的被炸飞了,你睬我都馊!等同如今国内的保险业撒!

(一)保兑信用证保兑信用证系指开证银行开出的信用证经另一定银行加以保兑,保证

兑付受益人所开具的汇票,称保兑信用证(Confirmed Letter of Credit)。凡在信用证上载文,愿意承担保兑者称保兑银行(Confirming Bank),保兑银行通常是由通知银行担任。

信用证是否需要保兑,这是进出口商经谈判而决定之。若进口商同意对信用证以加保,一般讲银行收取的保兑费由进口商承担。若开证银行委托通知银行予以加保,称“委托保兑”,但亦有特殊情况,保兑银行是由出口商指定的银行对信用证加以保兑,此保兑银行不是经开证银行的指定的银行予以保兑,称“无委托保兑”。这种作法,只是在开证银行为有信誉的条件下,才能作到。

二)采用保兑信用证的贸易条件在贸易实务中若出现下列情况可酌情考虑采用保兑信用证:1.若因进口商不能依出口商所确认的或指定的银行开具信用证;或开证银行与出口商所在地的任何银行无业务往来;或开证银行所在地的政治、经济不稳定;或因契约金额大,超出开证银行一般业务的支付能力等;2.进出口商所处地理位置遥远,进出口商所在地的法律及有关规定有特殊之处,再加上商业习惯和作法不同等原因。若在进出口贸易遇有上述的贸易条件下,进出口商双方都有诚意,对进出口货物予以成交,可采用保兑信用证。对出口商来讲可保证安全收汇,对进口商来讲,可购到急需的进口货物,在这种情况下进出口商都会同意采用保兑信用证。

国际贸易中,跟单信用证为买方向卖方提供了银行信用作为付款保证,但不适用于需要为卖方向买方作担保的场合,也不适用于国际经济合作中货物买卖以外的其他各种交易方式。然而在国际经济交易中,合同当事人为了维护自己的经济利益,往往需要对可能发生的风险采取相应的保障措施,银行保函和备用信用证,就是以银行信用的形式所提供的保障措施。

银行保函是由银行开立的承担付款责任的一种担保凭证,银行根据保函的规定承担绝对付款责任。银行保函大多属于“见索即付”(无条件保函),是不可撤销的文件。银行保函的当事人有委托人(要求银行开立保证书的一方)、受益人(收到保证书并凭以向 银行索偿的一方)、担保人(保函的开立人)。

国际商会于1992年出版了《见索即付保函统一规则》,其中规定,索偿时,受益人只需提示书面请求和保函中所规定的单据,担保人付款的唯一依据是单据,而不能是某一事实。担保人与保函所可能依据的合约无关,也不受其约束。

以上规定表明,担保人所承担的责任是第一性的、直接的付款责任。

银行保函(Banker's Letter of Guarantee,简称L/G)是指银行应委托人的申请而开立的有担保性质的书面承诺文件,一旦委托人未按其与受益人签订的合同的约定偿还债务或履行约定义务时,由银行履行担保责任。它有以下两个特点:

1.保函依据商务合同开出,但又不依附于商务合同,具有独立法律效力。当受益人在保函项下合理索赔时,担保行就必须承担付款责任,而不论委托人是否同意付款,也不管合同履行的实际事实。即保函是独立的承诺并且基本上是单证化的交易业务。

2.银行信用作为保证,易于为合同双方接受。

运输代理人(Forwarding Agent or Ships Agent)运输代理人是根据委托人的要求,代办货物运输业务的机构。它既可以向货主承揽货物,也可以代理货主向承运人办理托运,且可以兼营两方面的代理业务。

根据代理人的性质和地位,代理人可以公开自己的代理身份,但不公开委托人;也可以公开自己的身份、同时公开委托人的身份;还可以不公开委托人而以自己的名义与第三方签订合同。因为代理地位的不同造成运输代理人负有不同的责任,但根据有关法律,承运人责任同时适用于契约承运人和实际承运人,他们都负有赔偿责

[1] 任,应当负有连带责任。

运输代理人有很多种类型,主要有以下两种:

1.货运代理人(Forwarding Agent,Freight Forwarder)

货运代理人是指根据委托人的要求;代办货物运输的业务机构。有的代表承运人向货主揽取货物,有的代表货主向承运人办理托运,有的兼营两方面的业务。它们属于运输中间人的性质,在承运人和托运人之间起着桥梁作用。

我国的货运代理人主要有以下企业:

(1)中国外运集团及其在各地的公司;

(2)中国外轮代理公司及其在各港的货代分公司;

(3)中远集团货运公司及在各地的分公司;

(4)中外合资、合作的代理公司;

(5)外国货运代理公司在中国各地的分支机构;

(6)经外经贸部正式审批的其他种类的货运代理公司:如仓储、公路运输、铁路运输、航空运输、各进出口公司,以及航运公司等成立的货代公司。

2.船舶代理人(Ship|s Agent;Owner|s Agent)

船舶代理是指接受船舶经营人或船舶所有人的委托,为他们在港船舶办理各项业务和手续的人。船舶代理人在港为委托人揽货,在装卸货港口办理装卸货物手续、保管货物和向收货人交付货物,为船舶补充燃料、淡水和食品,以及代办船舶修理、船舶检验,集装箱跟踪管理,等等。

海运经纪人(Broker)是以中间人的身份代办洽谈业务,促使交易成交的一种行业。在海上运输中,有关货物的订舱和揽载、托运和承运、船舶的租赁和买卖等项业务,虽然常由交易双方直接洽谈,但由海运经纪人作为媒介代办洽谈的作法已成为传统的习惯。我国海运经纪人的角色也属于船舶代理人的业务范围。

我国的船舶代理人主要有以下企业:

(1)中国外轮代理公司及在各港的下属公司;

(2)中国船务代理公司及在各港的下属公司”;

(3)经交通部批准的其他船舶(务)代理公司。

信用担保

个人或企业在向银行借款的时候,银行为了降低风险,不直接放款给个人,而是

要求借款人找到第三方(担保公司或资质好的个人)为其做信用担保。担保公司会根据银行的要求,让借款人出具相关的资质证明进行审核,之后将审核好的资料交到银行,银行复核后放款,担保公司收取相应的服务费用。

国际商事贸易活动中的代理

(一)直接代理的形式

1、独家代理商、2、普通代理商、3、雇用代理商、(二)间接代理的形式

1、经纪(Manager)、经纪是经济活动中的一种中介服务活动,具体是指自然人、法人和 其他经济组织以收取佣金为目的,通过居间、代理、行纪等服务方式,促成他人交易的经济活动。旧时指“牙商” 牙行”的商人。它是撮合货物销售的中间人。古代时“牙”是“互”字的俗字。“牙市”亦即“互市”,“牙人” 互人” 意思是互通有无的人。

2、行纪、行纪是指经纪机构受委托人的委托,以自己的名义与第三方进行交 并承担规定的法律责任的商业行为。在英美法系各国的法律中一 向仅有“信托”概念,在绝大多数大陆法系国家的法律中则仅有 “行纪”概念,只有在日本、韩国和我国台湾地区的法律中,才既存在 “信托”概念又存在“行纪”概念。

第三篇:商业承兑汇票银行保兑保函贴现业务流程

商业承兑汇票银行保兑保函贴现业务

总体流程:

预审(1天)实查企业与核行(1-2天,前提:需要企业与保函开立行协调好)开户和网银(2-3天)贴现(1天)具体流程:

1、确定票面基础信息,双方企业的资料影印件,交我方初步审核,初步确定能做与否。

附:资料影印件(需正本原件):企业法人营业执照,组织机构代码证,税务登记证,开户许可证,贷款卡,两年报表,公司章程,验资报告(最新),法人身份证

2、我方提供保函模版(可与第1步同步进行)交保函开立行审核,确认银行可以按照我方模版开立保函。需提供按照模版开立保函的书面证明文件(传真件)。

3、我方赴票据收款人贴现企业当地实查企业,核行实查保函,保函需在我方到达后,现场开保函。(前提:确定保函按我方模版开立,安排落实好保函开立行、准备好所有资料的情况下进行!)

附1:实查企业所需准备材料(均需正本原件):企业印章(公章法人章财务章),企业法人营业执照,组织机构代码证,税务登记证,开户许可证,贷款卡,两年报表,公司章程,验资报告(最新),法人身份证。

附2:核行实查保函所需:银行办公室人员和具体经办人员在场,保证银行印章。上级授予的银行保函开立资质的证明文件(原件),可以按照模版开立保函的书面证明文件。

4、票据收款人企业到我方贴现银行开户和网银: 附:开户所需资料(均需正本原件):企业法人营业执照、组织机构代码证,税务登记证,开户许可证、法人身份证、留印人身份证(注:如法人和预留印鉴不是同一人需提供留印人身份证)、经办人身份证、两名财务身份证、公章财务章私章、其他证明文件(注:企业基本户六个月的对账单、2名财务人员的会计上岗证)。

附:网银材料(均需正本原件):法人身份证,操作员身份证,经办人身份证,公章、法人章、财务章

5、签订贴现协议,完成贴现,我方费用支付协议。我方费用通过企业提前开好贷记凭证或支票支付

附:需要增值税发票、合同、发票章;以下材料(均需正本原件)企业印章(公章法人章财务章),企业法人营业执照,组织机构代码证,税务登记证,开户许可证,贷款卡,两年报表,公司章程,验资报告(最新),法人身份证。
