WHEN COMBINING A REFUNDABLE TICKET WITH A NON REFUNDABLE TICKE PROVISIONS WILL APPLY AS FOLLOWS

当允许退票运价与不允许退票运价组合时,适用以下规则:

-THE AMOUNT PAID ON THE REFUNDABLE FARE COMPONENT WILL BE REFUNDED UPON PAYMENT OF THE PENALTY AMOUNT IF APPLICABLE

允许退票的运价组收取适用的退票费。

-THE AMOUNT PAID ON THE NON REFUNDABLE FARE COMPONENT WILL NOT BE REFUNDED.不允许退票的运价组则不允许退款。

WAIVED FOR DEATH OF PASSENGER OR FAMILY MEMBER.DEATH CERTIFICATE REQUIRED.旅客或旅客近亲属死亡,免收退票费,需提供死亡证明。

REFUND MUST BE MADE WITHIN 12 MONTHS FROM TICKETING DATE.未开始旅行的客票,自出票之日起12个月内可以退票。

AFTER DEPARTURE OF JOURNEY-已开始旅行的客票

ONCE TRAVEL HAS COMMENCED REFUND CALCULATED AS THE DIFFERENCE BETWEEN THE FARE PAID AND THE APPLICABLE VALID FARE FOR THE SECTORS USDED USING HISTORICAL FARES IN EFFECT AT ORIGINAL TICKET DATE PLUS CANCELLATION FEE.旅行开始后,使用原始客票出票日期计算所付票款与已使用航段的适用运价之间的差额,扣除退票费后,余额退还旅客。

IF THERE IS NO APPLICABLE FARE FOR THE SECTORS USED, USE THE NEXT HIGHER BOOKING CODE ON SUCH SECTOR TO CALCULATE THE DIFFERENCE.如果对应舱位无适用的价格,则使用该航段高于该定座舱位的票价计算已使用航段的票价。

REFUND OF UNUSED FEES AND TAXES PERMITTED.可以退还未使用的税费。

定义

第二章 合同范围

2.1 让于人同意向引进方转让并且,引进方同意从让于人获得设计、制造、装配、安装、测试、检验、调试、运行、维修及管理合同产品的专有技术。合同产品的名称、型号、规格和技术标准详见合同附件二。

2.2 让于人同意给予引进方在中华人民共和国境内设计、制造、使用和销售合同产品以及出口合同产品的权利。这种权利是非独占性的和不可转让的。

2.3 让于人同意向引进方提供与合同产品有关的技术资料和软件,其具体内容、数量和交付时间详见合同附件五和附件六。

2.4 让于人同意派遣技术人员到合同工厂进行技术服务,其具体内容和要求详见合同附件九。

2.5 让于人同意在让于人的工厂和合同工厂对引进方的人员进行技术培训,并保证使引进方技术人员掌握转让的技术培训的内容和要求详见合同附件十。

2.6 让于人同意根据引进方的要求在本合同有效期之后的十年内以最优惠的价格向引进方提供制造合同产品所需的零部件、原材料及辅助设备。双方届时将另签合同。

2.7 让于人同意根据引进方的要求在本合同有效期之后的十年内以最优惠的价格向引进方提供让与人自己生产或改造的制造合同产品所需的设备和软件,并协助引进方得到第三方生产或改进的制造合同产品所需和设备和软件。

2.8 让与人同意,如果合同产品达到合同附件二所规定的技术和质量要求,引进方有权在合同工厂生产的合同产品上标明“由_______(让与人名称)许可在中国制造”的字样,至于是否在合同产品上标明上述字样,则由引进方自行决定。

第三章合同价格

3.1 基于本合同第二章规定的内容和范围,以及让于人按本合同的规定应完成的义务,本合同总价格为_______欧元。分项价格如下:

3.1.1 专有技术费为_______欧元。专有技术恩项价格为: A.

3.2 以上合同总价是对于让与人在本合同下应尽的包括按CIF条款将技术资料和软件运达北京机场之全部责任的固定价格。

第四章 支付条件

4.1 本合同的所有费用将使用世界银行第_______号贷款以德国马克通过不可撤消的、允许分批交付的、以让与人为收益人的信用证支付

4.2 让与人应在合同生效后三十个工作日内,通过其中国银行总行向让与人推荐并经引进方认可的让与人所在国的一个银行开出不可撤消的信用证,该信用证的金额应等同于合同总价。该信用证将允许按本合同第4.3条规定的支付条件进行支付。

4.3 专有技术费用的支付

4.3.1 按本合同第三章规定的合同总价中专有技术费用的10%,即_______马克将在让与人提交下述单据并符合合同规定后支付:

A. 让与人国家有关当局出具的有效出口许可证的影印件一份; B.

让与人银行开除的金额为合同总价10%的不可撤消的银行保函的正本一份,副本一份。该银行保函的格式详见合同附件12;

C.

全额形式发票四份;

D.

向开证行开出的即期汇票两份; E.

商业发票四份;

以上单据不得早于合同生效三十天之内提交。

4.3.2 按本合同第三章规定的合同总价中专有技术费用的25%,即_______马克,将在让与人按合同附件6的规定交付了第一批技术资料/软件,并提交下述符合合同规定的单据后支付:

A. 商业发票五份;

B.向开证行开除的即期汇票两份;

C. 交付第一批技术资料或软件的空运单副本五份; D. 第一批技术资料或软件的装箱单五份;

E. 引进方出具的证明让与人已交付第一批技术资料和软件的确认函副本两份。

4.3.4 按本合同第三章规定的合同总价中专有技术费用的15%,即_______马克,将在本合同产品样机验收完成、让与人提交下述单据且符合合同规定后支付:

A.商业发票四份;

B.向开证行开出的即期汇票两份;

C. 双方签字的合同产品验收合格证书副本两份。

4.4 引进方有权从履约保函或正在议付的付款中扣除让与人根据合同规定应支付的罚款/或补偿费。

4.5 在中国境内产生的银行费用又让与人承担。除了因引进方的延误支付而产生的利息之外,议付过程中产生的一切利息费用均由让与人承担。

第五章 技术资料和软件的交付

5.1 让与人应按本合同附件5.6 中规定的内容、数量和时间将技术资料和软件运至北京机场。技术资料和软件的风险将在该技术资料和软件运达北京机场之后由让与人转移给引进方。

5.2 北京机场盖章的日期将作为技术资料和软件的实际制服日期。5.3 在每批技术资料/软件交运后的两个工作日内,让与人应通过电传或传真将合同号、空运单号、提单日期、资料号、邮包号、重量、航班和预计到达时间通知引进方和合同工厂。与此同时,让与人应向引进方和合同工厂各邮寄两套空运单和技术资料/软件的详细清单。

5.4 如果技术资料/软件在运输过程中发生丢失、损坏或缺少,让与人将在收到引进方的书面通知后45天内免费补发或更改。

5.5 技术资料/软件应包装在坚固的箱子内以适于长途运输,且能防潮、防雨。

5.6 每箱技术资料/包装的外包装上应以不褪色的油漆用英文注明以下内容:

技术资料和软件可分批交

付,但不得转运。

5.9

技术资料和软件应由属于世界银行成员国的国家或瑞士的班机承运。

5.10 让与人负责在合格的保险公司办理保险,投保费用由让与人负担。引进方为保险收益人,投保金额为合同总价110%的“一切险”和“战争险”。

5.11 本合同下提供的所有技术文件、软件和技术服务应来源于现行世界银行采购指南中所列的合格的国家和地区。

第六章 技术服务和人员培训

6.1 根据本合同的规定,让与人将派遣其熟练的、健康的、合格的技术人员到引进方的合同工厂现场进行技术服务。让与人技术人员的专业任务、服务内容、来华人数和在华时间详见本合同附件_________。

6.2 引进方将为让与人技术人员的出入境签证、在华的工作和生 7 活提供帮助。让与人技术人员在华的待遇详见合同附件_______。

6.3 让与人的技术人员在华进行技术服务期间应遵守中华人民共和国的法律以及合同工厂的规章制度。

6.4 引进方将派遣其技术人员到让与人的有关工厂进行技术培训。培训人数、专业、内容、时间及培训要求详见合同附件_________。

6.5 让与人将为引进方培训人员的出入境签证提供帮助并提供技术培训必需的设施。培训人员在让与人国家的待遇详见本合同附件_________。

6.6 引进方的培训人员在培训期间应遵守让与人国家的法律以及让与人工厂的规章制度。

第七章 合同设备的验收

7.1 为了检验让与人根据合同所提供的技术文件和软件的完整性、准确性和可靠性,让与人应自费派遣其代表到合同工厂会同引进方技术人员对合同产品进行验收。验收的具体程序和标准详见合同附件_________。

7.2 在合同产品的验收试验中,如果合同产品达到合同附件_________所规定的所有技术要求,让与人和引进方授权代表应签署四份验收证明,双方各执两份。

7.3 如果合同产品在验收试验中达不到合同附件_________中规定的技术指标,双方将进行友好协商并共同分析原因,采取措施排除缺陷。第二次验收试验将在排除缺陷后进行。

7.4 如果由于让与人的原因造成第一次验收试验失败,让与人将采取措施排除故障,并再次派技术人员参加到二次验收试验,费用由让与人承担,同时让与人应承担第二次验收试验的有关直接费用,包括材料费。如果是由于引进方的责任造成第一次验收失败,引进方将采取措施排除故障,费用自理,并承担第二次验收试验的有关直接费用。

7.5 在第二次验收试验时,如果是由于让与人的责任导致本合同产品的技术指标仍未达到合同附件_________的要求,让与人将赔偿引进方的直接损失,并自付费用采取措施排除故障,再次派技术人员参加第三次验收试验,并 8 承担第三次验收试验的有关费用,包括材料费。如果由于引进方的责任造成第二次试验失败,引进方将采取措施排除故障,费用自理,并承担第三次验收试验的有关费用。

7.6 如果由于让与人的责任造成在上述三次验收试验中合同产品的技术指标仍未达到合同附件_________的要求,合同条款第8.7款将被引用。如果由于引进方的责任造成在上述三次验收试验中合同产品的技术指标仍未达到要求,双方将通过协商达成进一步执行合同的协议。

第八章 保证和索赔

8.1 让与人将保证按合同要求向引进方提供的技术资料和软件是让与人实际使用的和最新的并被证实了的技术资料和软件,并保证在合同执行过程中及时向引进方免费提供改进、修改和开发的新的技术资料和软件。

8.2 让与人保证所提供的技术资料和软件是完整的、正确的、清晰的,并保证按合同附件_________的规定及时交付。

8.3 如引进方发现让与人交付的技术资料和软件不符合本合同第_________款的规定,让与人应爱接到引进方的书面通知后三十天内免费将有关的技术资料和软件邮寄给引进方。

8.4 如让与人没有按本合同附件_________及第_________款中规定的时间交付技术资料和软件,让与人应按比例向引进方交付技术资料和软件的迟交罚款:

每迟交一星期,按专有技术部分合同总家应付金额的0.5%交付迟交罚款,但上述罚款总额应不超过专有技术部分合同总价的5%。

上述罚款的支付应作为预定违约金并且是对引进方因上述迟交所造成的全部损失的赔偿。

8.5 让与人按第8.4款向引进方交付迟交罚款后,并不能免除让与人继续交付迟交的技术资料和软件的义务。

8.6 如技术资料和软件的迟交超过 六个月,引进方将有权终止合同。在这种情况下,让与人必须见引进方已制服的全部金额加上年利率为12%的利息,9 一起退还给引进方。

8.7 在合同产品的验收中,如果由于让与人的责任造成合同产品的技术指标达不到验收标准,则按以下方式处理:

如果由于让与人的责任造成合同产品在验收时不能达到合同附件_________所规定的技术指标,以至于引进方不能把合同产品投入成批生产,引进方有权终止合同。在这种情况下,让与人应将引进方已制服的全部金额加上年利率为12%的利息,一并退还给引进方,同时根据双方的协定,赔偿引进方的直接损失。如果由于让与人的责任造成合同产品在验收时有些技术指标达不到附件_________的规定,但引进方还能把合同产品投入生产,让与人应根据上述技术偏差的严重程度按合同总价的5%-10%赔偿引进方的直接损失。

第九章 侵权和保密

9.1 让与人保证对根据本合同向引进方提供的一切专有技术和技术资料和软件拥有合法的所有权,并有权向引进方转让该专有技术和合同设备。如果发生第三方指控侵权,让与人应负责与第三方交涉,并承担由此引起的法律上和经济上的责任。

9.2 合同双方应在十年内对相互提供的具有技术和商务性质的技术诀窍、技术文件以及有关合同工厂的水文、地理和生产等方面的资料承担保密义务。如果上述技术诀窍、技术文件或资料的某一部分被公开,不管是由上述技术诀窍、技术文件或资料的所有方还是由第三方公开的,则另一方不再承担对上述技术诀窍、技术文件或资料的保密义务。

9.3 引进方有权在本合同的有效期之后使用让与人提供的专有技术、技术资料和软件设计、制造和销售合同产品。

第十章 税费

10.1 中国政府根据现行税法对引进方征收的与执行本合同有关的一切税费应由引进方承担。

10.2 中国政府根据现行税法和《中华人民中和国和联邦德国政府关于避免双重征税和防止漏税的协议》对让与人征收的与执行本合同有关的一切税费应由让与人承担。

第十一章 履约保函

11.1 合同双方签字后三十天以内,让与人应提交金额为合同总价10%的履约保函,该保函应由北京中国银行根据外国某一银行向北京中国银行提交的反担保开具。该履约保函的有效期将持续到合同产品验收和合同设备保证期结束以后。

11.2 让与人应按合同附件_________的格式提交履约保函,由此产生的费用由让与人承担。

11.3 如果让与人未能履行合同规定的某项义务,引进方将有全对该保函行使保函行行使追索权。

第十二章 不可抗力

12.1 如果让与人和引进方中任何一方由于战争、洪水、火灾、台风、地震或其他双方认可的不可抗力事故而影响合同的执行,则履行合同的期限将推延一段相当于该事故所影响的时间。

12.2 受不可抗力影响的一方应尽快通过电传或电报将发生不可抗力的情况通知对方,并于十四天之内以航空挂号信将有关当局楚剧的证明文件交另一方确认。

12.3 如果不可伉俪持续120天以上,双方应通过友好协商尽快解决继续履行合同的问题。

第十三章 争议的解决

13.1 合同双方应通过友好协商解决在执行合同过程中发生的一切争执。如协商后仍不能解决时,应提交仲裁解决。

13.2 仲裁将在斯德哥尔摩进行,由斯德哥尔摩商会仲裁委员会按其程序和规定进行仲裁。

13.3 仲裁裁决是终局的,对双方都有约束力。

13.4 仲裁费用将由败诉方承担,除非仲裁院另有裁决。

13.5 在仲裁期间,除了合同中提交仲裁的部分之外,双方应继续履行合同义务。

第十四章 合同生效及其他

14.1 本合同由双方授权代表于一九九____年_____月_____日在北京签字。双方将在必要时向各自政府申请批准合同,合同生效日期将以下列事项最后一个发生的日期为准:

14.2 如合同自签字之日起经过六个月仍不能生效,则双方有权取消本合同。

14.3 本合同自生效之日起_________年有效,有效期满后合同将自动失效。14.4 合同有效期满将不影响双方未了的债权关系,债务人将继续付给债券人未付的债款。

14.5 本合同以英文书写,正本一式两份,双方各执一份。

14.6 本合同由条款第一章至第十五章及附件_________至_________组成。合同正文及附件都是本合同不可分割的组成部分,或有同等法律效力。14.7 有关本合同的任何变更、修改、补充和分包将在双方授权代表签署书面文件以后生效,同时将成为本合同的组成部分并与合同具有同等法律效 12 力。

14.8 在本合同执行过程中,双方通讯应以英文星星。正式通知应以书面形式一式两份用挂号航寄。

14.9 尽管本合同本章第14.1款的规定,如果不是由于让与人的责任而使合同_________在签字后三个月内未能生效,双方均有权终止已经或可能生效的本合同,如果由于让与人的责任使合同_________在签字后三个月内仍未生效,引进方有权在两个月内决定是否终止本合同。在终止本合同的情况下,双方应通过友好协商解决赔偿支付和双方已产生的费用。

Whereas the Licensor has the technical know-how for design, manufacture, assembly, installation, test, inspection, adjustment, operation, maintenance, management and sale of Railway______ as required by Licensee;

Whereas the Licensor has the right and agrees to transfer the above – mentioned technical know – how to the Licensee for the manufacture of Railway ______product;

Whereas the Licensor agrees to supply to the Licensee and the Licensee agrees to obtain from the Licensor a certain amount of parts and components for the assembling and manufacturing of the Railway______ product under other contract.The authorized representatives of both parties, through friendly negotiations, have agreed to enter into the Contract under the terms and conditions as stipulated below;

ARTICLE 1 DEFINITIONS

1.1 “The Licensee” means International Tendering Company of China National Technical Import and Export Corporation, Beijing, P.R.C.1.2 “The Licensor” means _____Company, Germany.1.3 “The Contract” means the agreement entered between the Licensee and the Licensor, as recorded in the Contract signed by both parties including all annexes, attachments and appendices thereto and all documents incorporated by reference therein.1.4 “The contract Price” means the price payable to the Licensor by the Licensee under the Contract for the full and proper performance of its contractual obligations.1.5 “The Contract Products” means all the products with the models and specifications and performances which are manufactured by the technology transferred by the Licensor to the Licensee as stipulated in Annex 2 to the Contract.15

1.6 “The Contract Factory” means the place where the Licensee manufactures the Contract Products by using the Technology supplied by the Licensor, That is _____ factory.1.7 “The Technical Documentation and Software” means all the documents to be supplied to the Licensee by the Licensor as stipulated in Annex _____ of the Contract, It consists of the followings:

A.All the technical indices, drawings, design, technical documents and software relating to the design, manufacture, calculation, assembly, installation, test, managements, inspection, adjustment, operation, maintenance, acceptance test and sale of the Contract Products;

B.All the technical indices, drawings, design, technical documents and software relating to the inspection, installation.Commissioning, testing, acceptance, operation and maintenance of the Contract Equipment;

C.All the technical indices, drawings, technical documents and software relating to the inspection, testing, adjustment, assembly and maintenance of the SKD/CKD Parts.1.8 “The Technical Service” means the technical assistance, supervision, instruction, training and other services under the contract to be rendered by the Licensor to the Licensee as stipulated in Annex _____ and Annex_____ to the Contract.1.9 “SINOT RANS” means China National Foreign Trade Transportation Corporation, which is the pointed agent of the Licensee 16 for receipt of the Technical Documentation and Software, the Contract Equipment and the Parts at the ports of destination:

1.12 “The World Bank” means the International Bank for reconstruction and Development(I.B.R.D.)and International Development Association.ARTICLE 2 OBJECT OF THE CONTRACT

2.1 The licensor has agreed to transfer to the Licensee and the Licensee has agreed to obtain from the Licensor the technical know-how for the design, manufacture, assembly, installation, test, inspection, adjustment, operation and maintenance and management of the Contract Products.The name, model, specifications and technical indices of the Contract Products are detailed in Annex _____ to the Contract.2.2 The Licensor has agreed to grant the Licensee the license and 17 right to design, manufacture, use, sell in the PRC the Contract Products and export the Contract Products.The license and right are nonexclusive and non-transferable.2.3 The Licensor has agreed to provide the licensee with the Technical Documentation and Software related to the Contract Products.The contents, copies and time of delivery of the Technical Documentation and Software are detailed in Annex _____ and Annex _____ to the Contract.2.4 The Licensor has agreed to dispatch his technical personnel to the Contract Factory, for Technical Services.The specific contents and requirements for the Technical Services are detailed in Annex _____ to the Contract.2.5 The Licensor has agreed to give the Licensee’s personnel technical training in Licensor’s factories and at the Contract factory, to ensure that the Licensee’s technical personnel;shall master the above technical know – know transferred to the Licensee.The specific contents and requirements of technical training are detailed in Annex _____ to the Contract.2.6 The Licensor has agreed, upon the request of the Licensee for a period of 10(ten)years after the date of validity of the Contract, to supply the Licensee at the most favorable price with the parts, components, raw materials and accessories which are necessary for manufacturing the contract Products under a separate contract to be signed in due time.2.7 The Licensor has agreed, upon the request of the Licensee for 18 a period of 10(ten)years after the date of validity of the Contract, to supply the Licensee at the most favorable price with equipment and software which are made or developed by the Licensor and are necessary for manufacturing the Contract software which are made or developed by the third party and are necessary for manufacturing the Contract Products.2.8 The Licensor has agreed to grant the Licensee the license and right to use, on the contract Products manufactured by the contract Factory, the word “ Made in China under license of “followed by Name of the Licensor, at the option of the Licensee, provided the Contract Products can meet the technical and quality requirement as specified in Annex _____ of the Contract.ARTICLE 3 CONTRACT PRICE

5.1 The Licensor shall deliver to the Licensee the Technical Documentation and Software at Beijing Airport in accordance with the contents, copies and time stipulated in Annex _____ to the Contract.The risk of the Technical Documentation shall be transferred from the Licensor to the Licensee after its arrival at Beijing Airport, China.5.2 The data stamped by Beijing Airport, China shall be the actual date of delivery the Technical Documentation and Software.5.3 The Licensor shall, within two(2)working days, after dispatching each batch of the Technical Documentation and/or Software, inform the Licensee and Contract Factory by telex or fax of the Contract number, number of parcels, weight, flight and expected arrival date.At the same time, the Licensor shall airmail to the Licensee and the Contract Factory each two copies of the airway bill and the detailed list of the Technical Documentation/Software.5.4 In case of any loss, damages or shortage caused to the Technical Documentation and Software during the transportation, the Licensor shall make supplementary or replaceable delivery to the Licensee within 45(forty-five)days after receiving the Licensee’s written notice without any charges.5.5 The Technical Documentation and Software shall be packed in strong cases suitable for long distance transportation and numerous handling with protective measures against moisture and rain.5.6 The following contents shall be marked on the cover of each package of the Technical Documentation and Software with indelible paint in conspicuous English printed words: A.Contract No.: _____.B.Consignee: International Tendering Company of China National Technical Import and Export Corporation C.Consignee code: _____.D.Destination Airport: Beijing Airport.E.Shipping Mark: _____.F.Gross/Net Weight(kg): _____ G.Item No./Case No.: ______ H.Dimension(L x W x H in CM): ______

5.7 In side of each package of the Technical Documentation and software, there shall be two copies of the detailed list to identify each part.24

5.8 For the delivery of the Technical Documentation and Software, partial shipment is allowed.Transshipment is not allowed.5.9 The Technical Documentation and Software shall be carried flight belonging to the member countries of the World Bank and Switzerland.5.10 The Licensor shall effect the insurance, with insurer from eligible source country, for and amount of 110% of the total contract price on “all risks” and “war risk” basis at the Licensor’s expenses with the Licensee as the beneficiary.5.11 All of the Technical Documentation and Software, and services supplied under the Contract shall have their origin in the countries and areas eligible under the current World Bank Guideline for Procurement.ARTICLE 6 TECHNICAL SERVICE AND PERSONNEL TRAINING

6.1 The Licensor shall send his skilled, healthy and competent technical personnel to the Contract Factory of the Licensee to provide Technical Service on site in accordance with the stipulations of the Contract.The stipulation, the number of personnel, specialty, task, content and duration in PRC are detailed in Annex _____ to the Contract.6.2 The Licensee shall provide assistance for entry any exit visa, work and life in PRC for the Licensor’s Technical Service personnel.The treatment conditions of the Licensor’s technical personnel in PRC 25 are detailed in Annex _____ to the Contract.6.3 The Licensor’s technical personnel sent to PRC for the Technical Service shall observe the laws of the People’s Republic of China and rules and regulations of the contract Factory in the period of service in PRC.6.4 The Licensee shall send his technical personnel to the relevant factories of the Licensor for technical training.The number of personnel, specialty, content, duration and requirement of training are detailed in Annex _____ to the Contract.6.5 The Licensor shall provide assistance for entry and exit visa and shall provide the facilities necessary for the technical training for the Licensee’s trainees.The treatment conditions of the trainees in the Licensor’s country are detailed in Annex ____ to the Contract.6.6 The Licensee’s personnel under training shall observe the laws of the Licensor’s country and the rules and regulations of the Licensor’s factories in the period of training.ARTICLE 7 ACCEPTANCE OF THE

CONTRACT PRODUCTS

7.1 In order to verify the completeness, correctness and reliability of the Technical Documentation and Software supplied by the Licensor under the Contract, the Licensor shall, at his own expense send his representatives to carry out acceptance test on the Contract Products jointly with the technical personnel of the Licensee in the contract 26 Factory.The specific procedure of the acceptance test and the standard of the acceptance are detailed in Annex _____ to the Contract.7.2 If the technical performances of the Contract Products specified in Annex _____ to the Contract are achieved in the acceptance tests, both parties’ authorized representative shall sign four copies of the acceptance certificate for the Contract Products and, two copies for each party.7.3 If any technical performance of the Contract Products specified in Annex _____ to the Contract is not achieved in the acceptance tests, both parties shall have friendly consultation and discussion and jointly analyze the causes and take measures to eliminate the defect.The second acceptance test shall be carried out after the defects have been eliminated.7.4 If the responsibility for the failure of the first acceptance test lies with the Licensor, the Licensor shall, at his own expenses, take measures to eliminate the defects, again send his technical personnel to participate in the second acceptance test and shall bear all the expenses incurred in the second acceptance test including the expenses for the materials used in the second acceptance test.If the responsibility for the failure of the first acceptance test lies with the Licensee, the Licensee shall, at his own expenses, take measures to eliminated the defects and bear all the relevant expenses incurred in the second acceptance test.7.5 If it is due to the Licensor’s responsibility that any technical performance of the Contract Products specified in Annex _____ to the 27 Contract is still not achieved in the second acceptance test, the Licensor shall compensate the Licensee for the direct expenses sustained by the Licensee, for the acceptance test, and shall at his own expenses, take measures to eliminate the defects and send his technical personnel to participate in the third acceptance test.If the responsibility for the failure of the second acceptance test lies with the Licensee, the Licensee shall, at his own expenses, take measures to eliminate the defects and bear the relevant expenses incurred in the third acceptance test.7.6 If it is due to the Licensor’s responsibility that any technical performance of the Contract Products specified in Annex _____ to the Contract is still not achieved in the above-mentioned three acceptance tests lies with the Licensee, then both parties shall discuss and agree upon further execution of the Contract.ARTICLE 8 GUARANTEES AND CLAIMS

8.1 The Licensor shall guarantee that the Technical Documentation and Software supplied by the Licensor to the Licensee in accordance with the Contract shall be of the latest and well-proved Technical Documentation and Software which are actually used by the Licensor and that the improved, modified and developed Technical Documentation and Software shall be supplied in time by the Licensor to the Licensee in the course of implementation of the Contract, without charge.8.2 The Licensor shall guarantee that the Technical Documentation and Software supplied by the Licensor to the Licensee in accordance with the Contract shall be complete, correct and legible, and shall be delivered in time in accordance with the stipulations in Annex _____ to the Contract.8.3 IF IT IS FOUND BY THE licensee that the Technical Documentation and Software supplied by the Licensor is not in conformity with the stipulations in Annex _____ to the Contract and Clause 8.2 to the Contract, the Licensor shall mail the related Technical Documentation to Licensee free of charge within 30(thirty)days after receiving the Licensee’s written notice.8.4 If the Licensor fails to deliver the Technical documentation and Software in accordance with the time schedule stipulated in Annex _____ to the Contract and Clause 8.3, the Licensor shall pay to the Licensee penalties for late delivery of the Technical Documentation and Software at the following rates:

0.5%(point five percent)of the total Contract price of the Technical Documentation and Software for each full week of late delivery.The above-mentioned total penalties shall not exceed 5%(five percent)of the total Contract price of this contract.The penalty paid shall be in the form of Liquidated Damages and shall fully indemnify the Licensee for all costs incurred as a result of such delay.8.5 Payment of penalty made by the Licensor to the Licensee in accordance with the stipulation in Clause 8.4 to the Contract shall not release the Licensor from his obligations to continue to deliver the Technical Documentation and Software, which is subject to penalties for 29 late delivery.8.6 If the period for late delivery of the Technical Documentation and Software exceed 6.(Six)months, the Licensee shall be entitled to terminate the Contract.In such case, the Licensor shall return to the Licensee the total amounts which the Licensee has already paid plus interest at the rate of 12% per annual thereon.8.7 If it is due to the Licensor’s responsibility that any technical performance of the Contract Products is not achieved in the acceptance tests, the case shall be dealt with in the following manner:

If it is due to the Licensor’s responsibility that any technical performance of the Contract Products specified in Annex _____ to the Contract is not achieved, and the Licensee cannot put the contract Products into production, the Licensee shall be entitled to terminate the Contract.In the case of termination of the Contract, the Licensor shall return to the Licensee the total amounts which have already been paid by the Licensee to the Licensor plus interest at the rate 12% per annual thereon and compensate the licensee for direct losses upon mutual agreement.If it is due to the Licensor’s responsibility that only some of the technical performances of the Contract Products specified in Annex _____ to the Contract are not achieved, but the Licensee still can put the Contract Products into production, the Licensor shall compensate licensee for the direct expenses at an amount of 5%-10%(five to ten percent)of contract price according to the significants of the discrepancy.30

ARTICLE 9 INFRINGEMENTS

AND CONFIDENTIALITY

9.1 The Licensor shall guarantee that the Licensor has lawful ownership of all the technical know-how, the Technical Documentation and Software supplied by the Licensor to the Licensee in accordance with the Contract, and that the Licensor has the right to transfer the technology and supply the Contract Equipment and the Parts to the Licensee.In case any third party brings a charge of infringement, the Licensor shall take up the matter with the third party and bear all legal and financial responsibilities, which may arise.9.2 Both Parties shall keep secret all technical know-how, technical documentation and all the information of hydrology, geology and production of the Contract Factory regarding the business of the other party, being either technical or commercial of nature, during the validity period of the Contract as well as thereafter for a period of 10 years.If a part of the whole of such know-how, information or documentation becomes or is made publicly known, either the Party knowing such Know-how, in formation or documentation or through a third party, the other Party shall no longer be held to his secrecy obligation.9.3 The Licensee shall have the right to use the technical know-how and the Technical Documentations and software supplied by the Licensor to design, manufacture and sell the Contract Products after the terminal of the Contract.31 ARTICLE 10 TAXES AND DUTIES

10.1 All taxes and duties in connection with and in the execution of the Contract to be levied by the Government of the PRC on the Licensee in accordance with the Chinese tax laws and regulations in effect shall be paid by the Licensee.10.2 All the taxes and duties in connection with and in the execution of the Contract to be levied by the Government of the PRC on the Licensor in accordance with the tax laws in effect and the “Agreement between the Government of Federal Republic of Germany for the Reciprocal Avoidance of Double Taxation and the Prevention of Fiscal Evasion with respect to Taxes on Income and Property” shall be borne by the Licensor.10.3 All the taxes and duties in connection with and in the execution of the Contract to be levied outside the PRC shall be paid by the Licensor.ARTICLE 11 PERFORMANCE BOND

11.1 The Licensor shall, within thirty(30)calendar days after signing of the contract, furnish a Performance Bond to the Licensee, issued by the Bank of China, Beijing against the counter-guarantee issued by a foreign bank to the Bank of China, Beijing: in the amount of ten(10)percent of the total Contract Price.The Performance Bond shall remain valid until the acceptance of the Contract Products and expiration of the guarantee period of the Contract Equipment.32 11.2 The Performance Bond shall be furnished by the Licensor by a Bank Guarantee in the form as stipulated in Annex _____ to the Contract.The cost thereof shall be borne by the Licensor.11.3 In case the Licensor fails to perform any of his obligations under the Contract, the Licensee shall have the right to have a recourse from the Performance Bond.ARTICLE 12 FORCE MAJEURE

12.1 If either of the contracting parties is prevented from executing the Contract by such cases of force majeure as war, serious flood, fire, typhoon and earthquake or other cases which are agreed upon by both parties as cases of force majeure, the time for performance of the Contract shall be extended by a period equivalent to the effect of such cases.12.2 The affected party shall notify the other party of cases of force majeure occurred by telex, cable or fax as soon as possible and shall send by registered airmail, within 14(fourteen)days thereafter, a certificate issued by the authority or department concerned to the other party for confirmation.12.3 Should the effect of the force majeure cases last for more than 120(one hundred and twenty)days, both parties shall settle the problem of further execution of the Contract through friendly consultation as soon as possible.33 ARTICLE 13 SETTLEMENT OF DISPUTES

13.1 All the disputes in connection with or in the execution of the Contract shall be settled by both Parties through friendly consultations.In case no settlement to the disputes can be reached by both Parties through friendly consultations, the disputes shall be settled through arbitration.13.2 The arbitration shall take place in Stockholm, Sweden, and be conducted by the Arbitration Institute of Chamber of Commerce in Stockholm according to the provisional procedures and rules of the said Arbitration Commission.13.3 The arbitration fee shall be borne by the losing party, except as otherwise awarded by the said Arbitration Commission.13.5 In course of arbitration, both parties shall continue to execute the Contract except the part of the Contract, which is under arbitration.ARTICLE 14 EFFECTIVENESS OF THE CONTRACT AND MISCELLANEOUS

14.1 This contract is signed by the authorized representatives of both parties on ______in Beijing.Both parties shall file applications with their respective governments for ratification of the Contract, if required.The date of effectiveness of the Contract shall be the date of last happening of the followings: A.Ratification of the Contract from the last party.B.Approval of the contract by the World Bank.C.The Licensee’s receipt of the Performance Bond.34 Both parties shall do their utmost to obtain the ratification, and shall advise the other party by telex or fax and send a letter for confirmation.14.2 If the Contract cannot come into force within 6(six)months after the date of signing the Contract, both parties shall have the right to cancel the Contract.14.3 The Contract shall be in force for 5 years from the effective date of the Contract.After the expiration f its term of validity, the contract shall automatically become null and void.14.4 The outstanding creditor’s right and debts between both parties at the expiration of the Contract shall not be influenced by the expiration of the Contract.The debtor shall continue to pay the creditor the outstanding debts.14.5 This contract is made out in the English language in two originals, one for each party.14.6 The Contract is formed by Article I to Article 15 and Annex I to annex ______.The text and Annex of the contract shall be integral parts of the Contract and have the same legal force.14.7 Any changes, amendment, supplement and subtractions to the stipulations of the contract shall be valid after both parties’ authorized representatives have signed written documents, which shall form integral parts of the contract and shall have the same legal force as the Contract.35

世行贷款只用于支付瑞士和与中国有商贸关系世行成员国生产的产品和提供的服务。

世行贷款不足的部分将由业主用中国政府提供的资金支付。

三、资格要求

所有根据世行的“采购指导原则”具有资格的国家均可投标。

本合同项下的一切货物、服务均应来自上述具有资格的国家。本合同项下的一切开支仅限于支付这样的货物和服务。

货物、服务来源地与投标者国籍含义不同。

为说明自己有资格中标,投标者应向业主提供所规定的证明,保证有效地执行合同。为此,业主和中国A公司在公布中标者前,可要求投标者更新其先前提供的资格证明材料。投标者提供的材料应包括:

按合同规定可要求中标者讨论修改其计划。

十一、投标价格

除非合同中另有明确规定,合同包括条款一所述全部工程,以投标者提供的项目单价和总价为基础。

无论工程量是否标明,投标者应对工程量表中的每项工程标明单价和总价。对单价和总价未标明的项目,在建设中业主不予以支付,其价格视作已包括在工程量表中其他的单价、总价中。

在提交标书前28天承包人应付的关税、税收和其他税负应包括在单价和总价及投标总价中。业主在对标书进行评估、比较时,也应如此考虑。

根据合同条款,投标者提出的单价和总价可在执行合同过程中进行调整。投标者应完成表三——价格调整条款——并按合同条款的要求与投书一起提供这样的配套文件。

十二、投标和支付货币

投标者应以人民币对单价和总价报价。如果投标者以其他货币支付中国以外提供的工程投入,要在表一外币需求中写明投标价格的百分之几将用于这样的外币支出,无论全部用投标者所在国货币或其任选货币;全部用美元。如果投标者在一部分外币需求中使用除以外的货币,且希望业主以同种货币付款,则应写明其在投标价格中的百分比。这一比率在合同期内保持不变。在合同条款换算和计算投标价格时,占不同比率的各种货币按下条规定的汇率进行换算。

投标者用以兑换货币的汇率为提交标书最后日期前30天当天中国银行公布的官方卖出价。如果某种货币的汇率未公布,投标者应提供汇率并说明其来源。投标准备中使用的汇率适用于合同期的支付。

投标者应在表一外币与当地货币需求及附录中详细说明需要的外币和当地货币数量。投标者应说明如何使用这些货币,用于但不限于下列方面:

外币

工程直接雇用的外籍人员;

外籍人员的社会收费、保险金和医疗费用及其往来中国的旅行费;

工程需要进口的临时或永久性材料;

工程所需设备的折旧,包括备件;

进口设备、材料及备件的保险费和运费;

一般管理费用,国外发生费用。

当地货币

当地劳力;

当地采购材料;

其他服务;

一般管理费用,国内发生费用。

业主可以要求投标者说明其外币需求的情况,提供证明,证明其单位价格和表一中所需部分是合理的。

投标者应在表二写明预计合同支付款额,且在表中附上工程进行过程中预计的工作量。

十三、标书效力

从特定的投标结束期起6个月内投标书保持有效且可供接受。

在特殊条件下,在原标书有效期结束前,业主或其代理人可要求投标者延长其标书有效期。业主的要求和投标者的答复均应是书面的,或采用电传、电报形式。投标者可以拒绝这样的要求,且不会因此失去其投标保函。答应这样要求的投标者不得改动其标书,但被要求顺延其投标保函有效期。条款十四中有关投标保函的返还和失去的规定同样适用于延长期。

十四、投标者应随其标书提交一份人民币投标保函,金额不少于投标价格的2%。

投标保函根据投标者的意愿,可采用以下机构开立的担保支票、银行汇票、不可撤销信用证或保函的形式:

中国银行;

中国银行的任何境外代理行;

在中国经营的其他中国、外国银行;

投标者在提交标书前即肯定A公司可接受的其他外国银行。

保函还可以是保险公司或同地的债券公司的付款保证书。银行保函和付款保证书必须采用本文件包括的样本形式;其他形式须事先得到业主或其代理人A公司的同意。信用证、银行保函和投标保函的有效期应比标书有效期长一个月。

如果投标者同意按十三款的规定延长标书有效期,则应相应地把投标保函的有效期延长到标书有效期结束后一个月。

任何未附可接受的投标保函的标书都将被A公司拒绝。

不成功的标书的投标保函将尽快返还,不得迟于标书有效期结束后三十天。

成功的投标者的投标保函将在其开始进行工程和按要求提供履约保函后返还。

投标保函在下列情况将失去:

投标者在标书有效期内撤标;或

成功的投标者未签约或未提供必要的履约保函。

十五、供选择的方案

投标者可提供一份完全符合投标文件要求的基本标书。根据自己的意愿,投标者还可在以下几项上在基本标书之外提出供选择的方案:

起动贷款

在开始建设工程前,提供无息贷款,可相当于投标价格的10%。业主由此产生的费用或存款按条款二十八计算。

在基本标书之外还可提出供选择的方案。为了在评标中把供选择的方案考虑在内,每一方案应伴有价格细目表,说明与提交给业主的基本投标价格相比投标者估计会增加或减少的费用。将对基本报价给予比较、评估。评价最低的投标者的供选择方案将得到考虑。如果供选择方案是业主可接受的,将写入合同。未标价或未提供足够细节的供选择方案不予接受。

供选择的技术方案应伴有供全面评价的必要信息,包括设计计算、图纸、方法及原技术规范中未涉及的材料、工艺的规格,以及供选择方案的标价细目表和供选择方案的合同价格。

只有对那些在基本报价基础上提供另外的财务、经济和技术好处的供选择方案,业主才在评标中给予考虑。

十六、标前会议

建议投标者或其正式代表参加于__年__月__日__时在_____举行的标前会议。

会议旨在回答可能提出的问题,并使投标者有机会检查现场的情况。

投标者书面或通过电传、电报提出的问题要求在会议前一周到达A公司。

会议记录,包括提出的问题及答复的文本将迅速提供给与会者和全体索取了投标文件的具有资格的投标者。

如果根据标前会议,要对条款六所列投标文件进行修改,应由业主或其代理人A公司通过发行条款八规定的附录来进行,而不能通过标前会议记录来进行。

十七、标书格式和签字

投标者应准备条款十规定的标书的一个原本和两个副本,并分别注明“原本”和“副本”。如果两者之间有不同,以原本为准。

标书原本和两个副本应打字或用不能抹掉的墨水书就,并由一名或多名有权责成投标者遵守合同的人士签字。与标书一起应有一份书面委托书用以证明授权。写有条目和修订内容的每一页标书都要有在标书上签字人士的缩写签名。

全套标书不应有改动、行间书写或涂抹的地方,除非按议程的指示或为改正投标者的错误,但这种情况下改正的地方应有在标书上签字人士的缩写签名。

每位投标者只能提交一份标书,不包括按条款十五提交的供选择方案。投标者对一个合同只能投一次标。

十八、标书封缄和标记

投标者应把标书原本和两个副本分别各装入一个内信封和一个外信封,且在信封上注明“原本”、“副本”。

内外信封均应注明以下地址:

内信封上应写明投标者姓名和地址,以便在标书误期的情况下不用打开即可退回投标者。而外信封上不能有任何涉及投标者的信息。

如果外信封未按规定注明有关事项。一旦标书被错误处置或提前打开,A公司对此不负任何责任。提前打开的标书将被业主或其代理人A公司拒绝,予以退回。

十九、提交标书最后期限

标书应按上述地址在__年__月__日__时之前寄至A公司。

业主或其代理人可通过发布条款八规定的附录延长提交标书的最后期限,但至少应在原期限前七天通过电传或电报通知所有已索取投标文件的具有资格的投标者。在此情况下,所有原期限下业主和投标者的权利义务顺延至新期限结束。

二十、逾期标书

A公司在提交标书最后期限之后收到的标书都将不被打开,退回投标者。

十一、标书修改和撤销

投标者在提交标书后可对其进行修改或予以撤销,只要修改文件和撤标通知在提交标书最后期限前送达A公司。

投标者的修改文件或撤标通知应按有关提交标书条款的规定准备、封缄、标记和发出。撤标通知可以通过电传、电报送达,但随后应提交一份有签名的确认件,且其邮戳上日期不能晚于提交标书最后期限。

按条款二十四的规定,任何标书在最后期限后不能再进行修改。

在提交标书最后期限和标书有效期满之间的时间撤标将按条款十四的规定失去投标保证书。

开标和评标

十二、开标

业主或其代理A公司将于__年__月__日__时在办公地点_____当着出席会议的投标者代表开标,参加开标的投标者代表应签到。

按条款二十一提交了撤标通知的标书将不再打开。业主或其代理人将检查标书是否完整,是否提供了要求的投标保证书,文件是否签字以及是否有条理。

在开标时将宣布投标者姓名、投标价格及修订、投标保证书、撤标通知以及其他业主或其代理人认为适宜宣布的事项。

业主或其代理人将根据自已的记录准备开标会议记录,并将尽快与评标报告一起递交世界银行。

十三、过程保密

在公开开标后,在向成功投标者授标前,有关对标书的检查、解释、评估及比较以及对授标的建议等信息不应让投标者或其他与评标过程无关的人士知晓。

如果投标者试图在此过程中对业主施加影响,其投标将被拒绝。

十四、对标书的解释

为了帮助检查、评价和比较标书,业主和A公司可要求投标者就其标书作出解释,包括单位价格细目表。提出解释要求和相应的回答均应是书面的,或通过电传或电报进行。除非按条款二十六的规定,应要求对业主在评标过程中发现的数学计算错误进行更正,不得对价格或其他标书要素进行修改。

十五、判定是否符合要求

在详细的评标前,业主和A公司将判定每份标书是否符合投标文件的要求。

符合要求的标书是符合投标文件的所有条件和规格,而没有实质上的偏差或保留。实质偏差是指对工程的范围、质量、管理有实质影响,或与投标文件不符,对合同中业主的权利和投标者的义务有实质性限制。纠正这样的偏差或保留,将对其他提交符合要求的标书的投资者的竞争力有不公正的影响。

不符合投标文件要求的标书将被业主和A公司拒绝。

十六、改正错误

被判定实际符合要求的标书,将由业主检查是否有数学计算方面的错误。以下错误将由业主改正:

当数字与文字表示的数额不同时,以文字表示为准,除非文中明确以数字表示为准;

当单价和以单价乘以数量得到的总价不同时,以单价报价为准,除非业主认为单价存在严重错误,在这样的情况下,以总价报价为准,改正单价错误。

业主可按上述步骤对标书所列数额错误进行更正,如此更正得到投标者的首肯,则对投标者有约束力。如果投标者认为更正的数额会给其造成困难,可撤标。不过撤标使投标者面临失去投标保证书的危险。

十七、换算成一种货币

投标价格指应按一定比例以不同货币向投标者支付的款额。为了评价和比较标书,业主可把不同货币表示的数额以中国银行开标日人民币卖出价将其换算成人民币。

十八、评价和比较标书

业主和A公司只评价和比较那些被判定符合投标文件要求的标书。只对基本报价进行评比,对评价最低的标书授予合同。

在评标中,业主通过下列对报价的调整,确定每份标书的投标价格:

按条款二十六改正错误;

除去临时费用和相关条款。如果发生临时费用,计入工程量表中的偶发事件。应包括有竞争力的加班费用;

换算成一种货币;

按条款二十八,估加起动贷款费用;

对在标书价格和上述调整中未得到反映的,其他数量变更、偏差或替代报价进行适当的调整;

其他业主认为对执行合同、价格和支付有潜在巨大影响的因素,包括标书中不平衡、不现实的单价的作用。

在评标中,每个投标者按条款十五的规定要求的不同的起动贷款给业主造成的费用,按年贴息率9%计算,应加在投标者的投标价格上。

业主和A公司保留接受或拒绝任何变更、偏差和替代报价的权利。超出投标文件要求的变更、偏差、替代报价和其他因素,或将给业主带来非主动提出的利益的因素在评标中不予以考虑。

在合同执行期内适用的价格调整条款在评标中不予以考虑。

如果成功投标者的报价与工程师对合同工程所需实际费用的估计相差很远,业主将要求成功投标者自己承担费用,把按条款三十四提交的履约保函增加,使业主能避免成功投标者今后在执行合同中因错误引起的损失。

二十九、国内投标者优惠

国内投标者满足以下条件,即在评标过程中有资格享受7.5%的优惠:

在中国注册;

中国国民占有大部分所有权;

不将超过50%的合同工程分包给外国投标者。

国内及外国公司联合或合资,只要满足以下条件,有资格享受优惠:

国内合伙人满足上述资格标准;

根据安排,国内合伙人至少完成50%的合同工程;

没有外方参与,在技术或金融方面国内合伙人没有资格进行合同工程。

实行优惠须遵守下列程序:

在按条款二十八全面评标后,合乎要求的标书被分成下列几组:

甲组:国内投标者的标书,满足上述的标准;和合资投标者的标书,满足上述的标准;

乙组:其他投标者的标书。

在进一步评估、比较中,相当于投标价格7.5%的数额将被加在B组标书的投标价格上。

授 标

十、授标标准

按条款三十一,业主和A公司将把合同交给标书符合投标文件的要求,且按条款二十八和二十九评价后价格最低的投标者,且该投标者有能力和资源来有效执行合同。业主和A公司不保证报价最低或任何标书将被接受。

十一、业主的权利

尽管有条款三十,业主保留以下权利:接受或拒绝任何标书;在授标前任何时候取消招标,拒绝所有标书,且对因此受影响的投标者不负任何责任,也无义务告知投标者他的行为动机。

十二、授标通知

在业主规定的标书有效期结束前,业主将用电传或电报通知成功的投标者其标书已被接受挂号信中应明确业主在考虑工程建设、完成及维修等因素后将支付给承包人的款额。

授标通知构成合同的一部分。

在成功投标者按条款三十四提交一份履约保函后,业主立即通知其他投标者他们的投标不成功。

十三、签订合同

在通知成功投标者后28天内,业主将寄去两份投标文件提供的协议,双方同意的规定已写入。

收到协议后28天内,成功投标者签字、封缄使协议生效,把两份都还给业主。业主签字协议生效后,还给承包人一份。

十四、履约保函

在收到接受证书后28天内,成功投标者应按合同条款向业主提交一份保函,保证将执行合同。保函可以使用投标文件中提供的格式,也可使用其他业主接受的格式。

如果成功投标者提交的是一份银行保函,则保函应由一家当地银行,或外国银行通过一家当地代理行,或投标者认为业主可接受的一家外国银行开具。

如果保函采取债券方式,债券应由投标者认为业主可接受的债券公司或保险公司发行。

如果成功投标者未遵守条款三十三、三十四的要求,将构成充足理由使业主取消对其授标,投标者还将失去投标保证书。

在此情况下,业主可向其次的评价最低的投标者授标。如果没有其他投标者,可重新招标。

11.1 Unless explicitly stated otherwise in the tender documents,theContract shall be for the whole of the Works ______ as described in Clause1 hereof,based on the schedules of unit rates and amounts submitted bythe tenderer.11.2 The tenderer shall fill in rates and amounts for all items ofwork described in the Bill of Quantities,whether quantities are stated ornot.Items against which no rate or amount is entered by the tenderer willnot be paidfor by the Employer when executed and shall be deemed coveredby the other rates and amounts entered in the Bill of Quantities.11.3 All duties,taxes and other levies payable by the Contractorunder the Contract,or for any other cause,as at the date ________ daysprior to the date for submission of tenders shall be included in the ratesand amountsand total tender sum submitted by the tenderer,and theevaluation and comparison of tenders by the Employer shall be madeaccordingly.11.4 The rates and amounts entered by the tenderer shall be subject toadjustment during the performance of the Contract in accordance with theprovisions of the Conditions of Contract.The tenderer shall completeSchedule III-Price Adjustment Provisions and shall submit with his tendersuch other supporting information as is required under Clause 70 of theConditions of Contract.12.Currencies of Tender and Payment

12.1 The unit rates and prices shall be quoted by the tender entirelyin RMB.A tenderer expecting to incur expenditures in other currencies forinputs to the Works supplied from outside China

shall indicate in Schedule I of “ForeignCurrency Requirements” the percentage of the Tender Price

needed by him for the payment of such foreign currencyrequirements either entirely in the currency of the tenderer's homecountry or,at the tenderer's option,entirely in US dollars,alwaysprovided that a tenderer expecting to incur expenditures in a currency orcurrencies other than those stated in and above for a portion ofthe foreign currency requirements,and wishing to be paid accordingly,shall so indicate the percentage portion in his tender.The percentageportion indicated shall remain fixed for the duration of the Contract.Theamounts in various currencies calculated on the basisof the percentagesindicated in the Tender and by use of the exchange rates indicated insubclause 12.2 hereinafter,shall be used for the purposeofconversionand comparison of tenders pursuant to Clause 70.12.2 The rates of exchange to be used by the tenderer for currencyconversion shall be the governing selling rates published by the Bank ofChina on the date ______ day prior to the latest date for the submissionof tenders.If exchange rages are not so published for certain currencies,the tenderer sha

文」state the rates used and the source.For the purpose ofpayments,the exchange rates used in tender preparation shall apply forthe duration of the Contract.12.3 The total amount of foreign and local currencies expected to berequired by tenderers shall be substantiated in Schedules I and I-Foreign Currency and Local Currency Requirements,and the annexthereto,Tenderers shall describe the manner in which such foreign andlocal currencies are expected to be used,relating specifically,but notlimited to:

Foreign Currency

Expatriate staff directly employed on the Works:

social charges,insurance premiums and medical care related tosuch staff,and travel expenses between China and the country of origin;

a list of the imported materials,both temporary and permanent,required for the Works;

depreciation and usage of plant and equipment,including spareparts,required for the Works;

insurance and freight charges for imported materials,plant andequipment,including spare parts; and

overhead expenses,fees and financial charges incurred outsideChina.Local Currency

local labour;

local materials;

other services,and;

overhead expenses,fees and financial charges within China.12.4 Tenderers may be required by the Employer to clarify theirforeign currency requirements,and to provide satisfactory proof that theamountsincluded in the unit rates and in Schedule I are reasonable andresponsive to sub-clause 12.1 hereof.12.5 The tender shall complete Schedule II-Estimated ContractPayments and shall substantiate the tabulation of this Schedule byattaching a

table indicating anticipated major quantities of

workperformed over the duration of the Works.13.Tender Validity

13.1 The tender shall remain valid and open for acceptance for aperiod of six calendar months from the specified date of tender closing.13.2 In exceptional circumstances,prior to expiry of the originaltender validity period,the Employer or his agent ____________ may requestthe tenderers for a specified extension to the period of validity.Therequest andthe responses thereto shall be made in writing or by telex ortelegram.A tenderer may refuse the request without forfeiting his tendersecurity.A tendereragreeing to the extension will not be required norpermitted to alter his tender,but will be required to extend the validityof his tender security correspondingly.The provisions of Clause 14 hereofregarding discharge and forfeiture of tender security shall continue toapply during the extended period.14.Tender Security

14.1 The tenderer shall furnish,as part of his tender,a tendersecurity in RMB Yuan in an amount of not less than _____ % of the TenderSum.14.2 The tender security shall,at the tenderer's option,be in theform of a certified cheque,a bank draft,an irrevocable letter of creditor a guarantee from either:

Bank of China;

any of its correspondent bank abroad through Bank of China;

any other Chinese or foreign bank operating in China;

any other foreign bank determined by the Tenderer in advance ofsubmission of bids to be acceptable to ___________.or a bond issued by an insurance company or bonding company likewiselocated.The format of the bank guarantee or bond shall be in accordancewith one of the sample forms included in these documents; other formatsmay be permitted subject to the prior approval of the Employer or hisagent __________.Letters of credit,bank guarantees and tender bondsshall be valid for one calendar month beyond the validity of the tender.14.3 In the event of a Tenderer agreeing to a specified extension oftender validity in accordance with Clause 13 of the Instructions toTenderers,the Tenderer shall Provide an extension in the validity of thetender security of one calendar month beyond the validity of the extendedtender.14.4 Any tender not accompanied by an acceptable tender security willbe rejected by _________ as non-responsive.14.5 The tender securities of unsuccessful tenderers will

bedischarged or returned as promptly as possible,but not later than ______days after the expiration of the period of tender validity prescribed.14.6 The tender security of the successful tenderer will be dischargedor returned upon the tenderer executing the Contract and furnishing therequired performance security.14.7 The tender security may be forfeited:

if a tenderer withdraws his tender during the period of tendervalidity; or

in the case of the successful tenderer,if he fails to:

sign the Agreement; or

furnish the necessary performance security.15.Alternative Offers

15.1 The tenderer shall submit a basic tender which complies fullywith the requirements of the tender documents.The tenderer may,at hisoption,and in addition to the basic tender,offer tenders incorporatingalternativesto any of the following items now specified:

Advance Loan for Mobilisation

An interest free advance loan will be made available to assist theContractor before commencing construction of the Works.Offers may be madefor such a loan of up to ________% of the Tender Sum.Evaluation will bemade of theassociated costs or savings accruing to the Employer inaccordance withClause 28.。

15.2 Alternatives may be submitted in addition to basic tender.Inorder for alternatives to be considered in

the process of tenderevaluation,each alternative shall be accompanied by a detailed pricebreakdown indicating the tenderer's estimate of the additional or reducedcost in presentvalue to the Employer compared to the basic Tender Sum.Comparison and evaluation will be donefor the basic offer andalternatives of the lowest evaluated tenderer willbe given due consideration.Ifthe alternative offers were to be acceptedby the Employer,these will be incorporated into the Contract.Alternativeoffers which are not priced,or which are not substantiated in sufficientdetail,will be rejected.15.3 Offers of technical alternatives shall be accompanied by allinformation necessary for a

complete evaluation,including

designcalculations,drawings,method statements and specifications for materialsand workmanship where the alternative is not covered by the Specification,together with a breakdown of the alternative prices and the TotalAlternative Contract Sum.15.4 Only those alternative offers which appear to provide additionalfinancial,economic or technical benefits over the basic offer will beconsidered by the Employer in tender evaluation。16.Pre-Tender Meeting

16.1 The tenderer or his official representative is advised to attenda pre-tender meeting which will convene on ______________at ___________ atthe ___________.16.2 The purpose of the meeting will be to clarify issues and toanswer questions on any matter that may be raised at that stage and toallow tenderers to inspect the Site and to examine conditions.16.3 Tenderers are requested to submit any questions in writing or bytelex or telegram,to reach__________ not later than one week before themeeting.16.4 Minutes of the meeting,including copies of the questions raisedandresponses given,will be furnished expeditiously to

all thoseattendingthe meeting,and subsequently to all pre-qualified tenderers whohave pickedupthe tender documents.Any modification of the tenderdocuments listed in sub-clause 6.1 which may become necessary as a resultof the pre-tender meeting shall be made by the Employer or his agent___________ exclusivelythrough the issue of an Addendum pursuant toClause 8,and not through the minutes of the pre-tender meeting.17.Format and Signing of Tenders

17.1 The tenderer shall prepare one original and two duplicate copiesof the documents comprising the tender as described in Clause 10.1 hereof,bound within the Volume 3,and clearly marked “Original Tender” and“Duplicate Tender”as appropriate.In the event of any discrepancy betweenthem,the original shall prevail.17.2 The original and two duplicate copies of the tender shall betyped or written in indelible ink and shall be signed by a person orpersonsduly authorised to bind the tenderer to the Contract.Proof ofauthorisation shall be furnished in the form of a written Power ofAttorney which shall accompany the tender.All pages of the tender whereentries or amendments have been made shall be initialled by the person orpersons signing the tender.17.3 The complete tender shall be without alterations,interlineationsor erasures,except those to accord with the instructions of any Agendaissued,or as necessary to correct errors made by the tenderer,in whichcase such corrections shall be initialled by the person or persons signingthe tender.17.4 Only one tender may be submitted by each tenderer,not includingalternative offers submitted pursuant to Clause 15 hereof.No tenderer mayparticipate in the tender of another for the same contract in any relationwhatsoever.18.Sealing and Marking of Tenders

18.1 The tenderer shall seal the original and two duplicate tenderseach in an inner and an outer envelope,duly marking the envelopes as“Original” and “Duplicate”。

18.2 The inner and outer envelopes shall:

be addressed to _________.bear the following details:

Tender for Construction of Contract _________;

_________ Project;

“Do not open before __________.”

18.3 The inner envelopes shall bear the name and address of thetenderer to enable the tender to be returned unopened in case it isdeclared late.The outer envelope shall not bear any identification of thetenderer.18.4 If the outer envelope is not marked as instructed above,_________ Company will assume no responsibility for the misplacement orpremature opening of the tender.A tender opened prematurely for thiscause will be rejected by the Employer or his agent ___________ andreturned to thetenderer.19.Deadline for Submission of Tenders

19.1 Tenders must be received by ______________ at the addressspecified above no later than _________.19.2 The Employer or his agent __________ Company may,at theirdiscretion,on giving not less than ________ calendar days notice by telexor telegram to all pre-qualified tenderers who have picked up the tenderdocuments,extend the deadline for the submission of tenders by issuing anAddendum in accordance with Clause 8,in which case all rights andobligations of the Employer and the tenderers previously subject to thedeadline shall thereafter be subject to the new deadline as extended.20.Late Tenders

Any tender received by ___________ Company after the prescribeddeadline for submission of tenders will be returned unopened.21.Modification andWithdrawal of Tenders

21.1 The tenderer may modify or withdraw his tender after submission,provided that the modification or notice of withdrawal is received inwritingby __________ Company prior to the prescribed deadline forsubmission of tenders.21.2 The tenderer's modification or notice of withdrawal shall beprepared,sealed,marked and despatched in accordance with the provisionsfor thesubmission of tenders.A notice of withdrawal may also be sent bytelex or telegram,but shall be followed by a signed confirmation copy,postmarked not later than the deadline for submission of tenders.21.3 Subject to Clause 24 hereof,no tender may be modified subsequentto the deadline for submission of tenders.21.4 Withdrawal of a tender during the interval between the deadlineforsubmission of tenders and the expiration of the period of tendervaliditymay result in the forfeiture of tender security pursuant toClause 14.Tender Opening and Evaluation22.Tender Opening

22.1 The Employer or his agent __________ will open the tenders,inthepresence of tenderers' representatives who choose to attend,at___________ on _______________ at the offices of __________.Tenderers'representatives who are present shall sign a register evidencing theirattendance.22.2 Tenders for which an acceptable notice of withdrawal has beensubmitted pursuant to Clause 21 hereof shall not be opened.The Employeror his agent ___________ will examine the tenders to determine whetherthey are complete,whether the requisite tender securities have beenfurnished,whether the documents have been Properly signed,and whetherthe tenders are generally in order.22.3 The tenderers' names,total amounts of tenders,tender pricemodifications and tender

withdrawals,if any,the presence of therequisite tender security and such other details as the Employer or hisagent ____________,at their discretion,may consider appropriate will beannounced at the opening.22.4 The Employer or his agent _____________ shall prepare minutes ofthetender opening for his own records.Such minutes shall be sent to theWorld Bank together with the report on the evaluation of tenders as soonas the latter is available.23.Process to be Confidential

23.1 After the public opening of tenders,information relating to theexamination,clarification,evaluation and comparison of tenders andrecommendations concerning the award of contract shall not be disclosed totenderers or other persons not officially concerned with such processuntil the awardof a contract to the successful tenderer has beenannounced.23.2 Any effort by a tenderer to influence the Employer in the processof examination,clarification,evaluation and comparison of tenders anddecisions concerning award of contract may result in the rejection of histender.24.Clarification of Tenders

To assist in the examination,evaluation and comparison of tenders,theEmployer and _______________ Company may ask tenderers individuallyfor clarification of their tenders,including breakdowns of unit prices.The requestfor clarification and the response shall be in writing or bytelex or telegram,but no change in the price or substance of the tendershall be sought,offered or permitted except as required to confirm thecorrection of arithmetical errors discovered by the Employer during theevaluation of tenders in accordance with Clause 26 hereof.25.Determination of Responsiveness

25.1 Prior to the detailed evaluation of tenders,the Employer and_________ Company will determine whether each tender is substantiallyresponsive to the requirements of the tender documents.25.2 For the purpose of this Clause,a substantially responsive tenderis one which conforms to all the terms,conditions and specifications ofthe tender documents without material deviation or reservation.A materialdeviation is one which affects in any substantial way the scope,qualityor administration of the Works,or which limits in any substantial way,inconsistent with the tender documents,the Employer's rights or thetenderer's obligations under the Contract,and the rectification of whichdeviation or reservation would affect unfairly the competitive position ofother tenderers offering substantially responsive tenders.25.3 If a tender is not substantially responsive to the requirementsof the tender documents,it shall be rejected by the Employer and_________ Company.26.Correction of Errors

26.1 Tenders determined to be substantially responsive will be checkedby the Employer for any arithmetical errors in computation and summation.Errors will be corrected by the Employer as follows:

Where there is a discrepancy between amounts in figures and inwords,the amount in words will normally govern,unless it is clear fromthe context that the amount in figures is correct; and

where there is a discrepancy between the unit rate and the totalamount derived from the multiplication of the unit rate and the quantity,the unit rate as quoted will normally govern unless,in the opinion of theEmployer,there is obviously a gross error in the unit rate; in whichevent the totalamount as quoted will govern and the unit rate will becorrected.26.2 The amount stated in the Form of Tender will be adjusted by theEmployer in accordance with the above procedure for the correction oferrors and,with the concurrence of the tenderer,shall be considered asbinding upon the tenderer.The tenderer may,at his option,withdraw histender if acceptance of the corrected amount would cause hardship.Howeverin cases such as this,the tenderer is warned that such an action maycause his tender security to be forfeited.27.Conversion to Single Currency

The Tender Price is the sum of all payments stated or expressed as apercentage in various currencies required to be made to the tenderer.Tofacilitate evaluation and comparison of tenders,the Employer will convertthe amountsin various currencies in which the Tender Price is payable to RMB atthe selling rates established by Bank of China,on the date specified for theopening of tenders.28.Evaluation and Comparison of Tenders

28.1 The Employer and _____________ Company will evaluate and compareonly those tenders determined to be substantially responsive to therequirements of the tender documents in accordance with Clause 25 hereof.The Evaluation and comparison shall be based only on the “Basic” offer todetermine the lowest evaluated tenderer for award of the Contract.28.2 In evaluating tenders,the Employer will determine for eachtender the Evaluated Tender Price by adjusting the tender price asfollows:

making any correction for errors pursuant to Clause 26;

excluding Provisional Sums and the provision,if any,forContingencies in the Summary Bill of Quantities,but including Dayworkswhere priced competitively;

converting all amounts to a single currency;

adding any monetary cost of Mobilisation Advances,assessed inaccordance with sub-clause 28.3

making an appropriate adjustment for any other

acceptablequantifiable variations,deviations or alternative offers not reflected inthe tender price or in the above-mentioned other adjustments.such other factors as the Employer

considers may have apotentially significant impact on contract execution,price and payments,including the effect of items or unit rates in the tender that areunbalanced or unrealistically priced.28.3 The monetary costs to the Employer of variations in the amount ofmobilisation advances requested by tenderers pursuant to sub-clauses 15.1,using a discount rate of ______ percent per annum,shall be added tothe respective tenderer's tender price for comparison purposes only.28.4 The Employer and ___________ Company reserves the right to acceptor reject any variation,deviation or alternative offer.Variations,deviations,alternative offers and other factors which are in excess ofthe requirements of the tender documents or otherwise result in theaccrual of unsolicited benefits to the Employer may not be taken intoaccount in tender evaluation.28.5 Price adjustment provisions applying to the period of executionof the Contract shall not be taken into account in tender evaluation.28.6 If the tender of the successful tenderer is seriously unbalancedin relation to the Engineer's estimate of the real cost of work to beperformed under the Contract,the Employer may require that the amount ofthe performance security set forth in Clause 34 be increased at theexpense of the successful tenderer to a level sufficient to protect theEmployer against financial loss in the event of subsequent default of thesuccessful tenderer under the Contract.29.Preference for Domestic Tenderers

29.1 Domestic tenderers shall satisfy the following criteria to beeligible for a _______% margin of preference in the comparison of theirtenderswith those of non-eligible tenderers:

be registered within China;

have majority ownership by nationals of China; and

shall not subcontract more than ________% of the contract works to foreign contractors.29.2 Combinations and joint ventures between domestic and foreignfirms shall be eligible for the margin of preference provided:

the domestic partner or partners individually satisfy the criteriaforeligibility set out above;

the domestic partner or partners will,under the arrangementsproposed,carry out at least ________% of the contract works,measured interms of value.The domestic partner or partners would not be qualified for theContract Works in question on technical or financial grounds without theforeignparticipation.29.3 The following procedure will be used to give effect to the marginof preference:

After tenders have been evaluated fully in accordance with theprovisions of Clause 28 hereinabove,responsive tenders will be classifiedinto the following groups;

Group A: tenders offered by domestic tenderers meeting thecriteria set forth in sub-clause 29.1 hereinabove and by joint venturesmeetingthe criteria set forth in sub-clause 29.2 hereinabove; and

Group B: tenders offered by other tenderers.For the purpose of further evaluation and comparison of tendersonly,an amount equal to _________ percent of the tender price,and of sub-clause 28.2)willbe added tothe Evaluated Tender Price of tenders classified in Group B.Award of Contract30.Award Criteria

Subject to Clause 31,the Employer and ________ Company may award theContract to the tenderer whose tender has been determined to

besubstantially responsive to the tendering documents and who has offeredthe lowest Evaluated Tender Price pursuant to Clause 28 and paragraph of sub-clause 29.3,provided further that the tenderer hasthe capability and resources to carry out the Contract effectively,butthe employer and _________ Company gives noguarantee that the lowest orany tender will be accepted.31.Employer's Rights

Notwithstanding Clause 30,the Employer reserves the right to acceptor reject any tender,and to annul the tendering process and reject alltenders,at any time prior to award of contract,without thereby incurringany liability to the affected tenderer or tenderers or any obligation toinform the affected tenderer or tenderers of the

grounds for theEmployer's action.32.Notification of Award

32.1 Prior to the expiration of the period of tender validityprescribed by the Employer,the Employer will notify the successfultenderer by telex or telegram confirmed in writing by registered letterthat his tender has been accepted.This letter

shall name thesum which the Employer will pay to the Contractor in consideration of theexecution,completion and maintenance of the Works by the Contractor asprescribed by the Contract。

32.2 The notification of award will constitute the formation of theContract.32.3 Upon the furnishing by the successful tenderer of a performancesecurity in accordance with the provisions of Clause 34 hereof,theEmployer will promptly notify the other tenderers that their tenders havebeen unsuccessful.33.Signing of Agreement

33.1 Within ________ days of notifying the successful tenderer thathistender has been accepted,the Employer will send to the tenderer twocopies of the Form of Agreement provided in the tender documents,incorporating all agreements between the parties.33.2 Within__________ days of receipt of the Form of Agreement,thesuccessful tenderer shall execute the Agreement by signing or sealing,asappropriate,and return both copies to the Employer.The Employer willthen execute the Agreement and return one copy to the Contractor.34.Performance Security

34.1 Within _________ days of receipt of the Letter of Acceptance,thesuccessful tenderer shall furnish to the Employer a security for the dueperformance of the Contract,in accordance with the

Conditions ofContract.The form of performance security provided in the

tenderdocuments may be used,or some other form acceptable to the Employer.34.2 If the performance security is to be provided by the successfultenderer in the form of a bank guarantee,it shall be issued either by alocal bank; by a foreign bank through a correspondent local bank; or by aforeign bank which has been determined by the tenderer to be acceptable tothe Employer.34.3 If the performance security is to be provided by the successfultenderer in the form of a bond,it shall be issued by a bonding orinsurance company which has been determined by the tenderer to beacceptable to the Employer.34.4 Failure of the successful

tenderer to comply

with

therequirements of Clauses 33 or 34 hereof shall constitute sufficientgrounds for the annulment of the award and forfeiture of the tendersecurity,inwhich event the Employer may make the award to the nextlowest evaluatedtenderer or,if there are no other tenderers,call fornew tenders.
