甲乙双方经友好协商,就上海(或其他)口岸进出口货物运输代理及物流事宜,达成如下协议:
第一条:适用范围
甲方委托乙方办理上海及其他口岸进出口货物的订舱,报关,进栈,提单签发以及与此相关的其他货运代理业务。
第二条:甲方的责任和义务
1. 甲方按乙方要求,详细明确地填制出口货物明细单在截单日前交乙方,乙方受到委托书后,尽力办理订舱业务并及时通知甲方订舱情况。2. 甲方按有关规定,及时提供出口运输所必须的一切单证。
3. 甲方按乙方的要求,在规定的时间将货物备妥,送至乙方指定地点,由乙方安排运输,如货物未备妥或有变动,甲方应及时书面通知乙方。4. 报关单证的制作必须符合海关要求,并做到与委托书相符,以防报关困难。报关单证必须在截关前一天交给乙方。第三条:乙方的责任和义务
1.乙方接受甲方委托,为甲方提供优良服务。承办货物进出口的订舱、配载、内陆运输、报关、装箱,港口交接及双方协商同意的其他业务。2.凡由甲方交给乙方安排运输的货物,乙方负责向甲方提供有关船期,货物出运等信息。
3.乙方在作业过程中,发现货损、货差、溢余等情况应及时与甲方联系以便采取相应的措施。
4.由乙方签发的提单,乙方倒签提单或预借提单,甲方必须提供书面保函。5.如乙方遗失核销单,报关单等单据,而造成甲方损失,乙方负责。第四条:费用结算 1.提单运费以承运人公布的运价为基础,以乙方给予甲方优惠运价计收。2.甲方订舱发生的海运费及此相关的其他费用按月结算,付款以返回全套正确单据为准。
3.海运费及与此相关的以美元结算的费用,甲方以美元支付,若不能以美元支付,则以银行卖出价折合人民币支付。4.如市场费率发生变化,乙方应及时通知甲方。第六条:其他
1.本协议未尽事宜,双方应友好协商,在互惠互利达到原则下解决。2.本协议经双方授权的如下代表签署,自甲乙双方签字日起生效。3.有效期两年,双方无异议可自动延长效期,若任一方对此协议有异议,须提前一个月向对方提出。本协议一式两份,以招信守。

2.乙方不得擅自改动甲方的货物包装,可以协助甲方进行发货前的打包、装箱等必要工作。3.乙方应当按照甲方指定的运输方式承运,未经甲方书面同意,乙方不得擅自改变运输方式。4.乙方按甲方提供的出口货运委托书的内容及要求,办理代理订舱配载及相关出口货物的装箱、报关等货运代理事项,并及时将配舱回单交甲方,以便甲方安排有关事宜。
5.甲、乙双方除不可抗力因素外,对各自的疏忽、失职或故意行为而造成的各自损失和承担的责任,除本协议另有约定外,由甲、乙双方各自负责。
三、费用与结算
1.付款方式、时限由甲乙双方参照行业惯例协商确定,乙方应向甲方提供优惠的运价。2.甲方应按与乙方约定的期限付款,否则乙方有权留置单证或货物。
四、其他条款
1.本协议未尽事宜,双方应友好协商解决。如发生争议,由本协议签约地人民法院管辖。2.本协议一式二份,甲、乙双方各持一份。具有同等法律效力。

甲、乙双方本着平等互利的原则,依据《中华人民共和国合同法》的相关规定,经充分友好协商自愿达成以下协议条款,供甲、乙双方共同遵守、执行。
第一条:服务内容及合作关系
1.1 甲方因生产和经营之需,委托乙方作为其代理人,代为办理国际货物运输业务;乙方同意接受甲方委托,作为其国际货物运输代理人,为其提供相关服务,甲、乙双方将按照本合同约定执行国际货物运输代理业务操作。
1.2 除非双方另有特别约定,乙方在本协议项下的操作,均应认为是代理甲方进行,其行为后果由甲方承担。甲方委托的业务,无论相关业务单证中载明的托运人是否是甲方,甲方都将作为本合同的相对方承担委托人的责任。
第二条:双方的权利与义务 2.1 甲方权利和义务
2.1.1 甲方确保其所发货物的合法性,且外包装完好无损。
2.1.2 甲方应根据乙方要求,向乙方提供准确、真实、有效的运输资料。如需委托乙方报关,甲方应根据进出口合同的要求,按时提供委托报关所需的全套单据,做到单证内容准确,单、单相符;单、货一致,遇有特殊情况需有特殊合同要求说明。
2.1.3 甲方需要乙方提供代理运输服务时,应以书面形式明确告知乙方以下内容:
货物的名称、重量、体积、件数;货物的起运地、收货地址及甲方经办人员的名称、联系电话;货物的提货地址、提货时间、卸货地点;收货单位的名称、地址、电话、邮政编码、联系人的详细资料。
乙方原则上不接受电话报单,若甲方在特殊紧急情况下不能书面报单,可预先电话报单,并应在后补书面报单上注明。
2.1.4 甲方应在约定的装箱仓库按约定的时间提供符合要求的出口货物
以备乙方装运,同时提供准确的装箱地址和相关资料。
2.1.5 保证货物质量、包装符合相应运输要求。
2.1.6 如因甲方提供单据不全、单货不符、货物不齐等原因造成的清关延误、退载等所有损失均有甲方承担。
2.1.7 甲方按照本协议的约定,向乙方支付相关费用(包括但不限于乙方代垫的运费及本合同项下所产生的相应费用)。
2.2 乙方的权利和义务
2.2.1 乙方根据甲方的工作指令为甲方提供提货、送货、仓储、订舱、报关、商检及陆路运输等物流运输服务。
2.2.2 根据甲方委托及时完成报关、订舱、运输等工作,随时与甲方保持信息沟通,密切合作,使运输顺利完成。
2.2.3 如遇报关单证不全、单货不符、包装不符合海关规定等情况,应及时通报甲方协调解决,货物装运后书面通知甲方相关离站时间、到达时间、提单号、提单日期等资料。
2.2.4 工厂装货时,负责安排性能良好,适于装运甲方货物的车辆,在约定的时间内到达约定装货地点,如有变动,应提前通知甲方。
第三条:费用及支付
3.1 甲乙双方的业务按本协议附件列明的价格进行结算,甲方每次委托乙方代理运输后应立即将该票货物的运费及相关费用进行确认。
3.2 甲乙双方的运费实行每月结算一次(甲方必须在收到乙方账单后7日之内确认,有异议亦应在收到账单之日起7日内提出)。具体操作方式为:
3.2.1 乙方应于每月(即:结算当月)10日之前,将上月发生的所有费用以账单形式传真与甲方,甲方收到账单后,应立即对费用账单进行确认,并将盖章确认后的费用账单传真给乙方,传真件与正本具有同样的法律效用。
3.2.2 乙方应不晚于收到甲方支付的运费之日,向甲方开具运费发票,乙方所出具的发票仅供甲方财务做帐用,不作为甲方支付运费款项的凭证,甲方实际支付运费的证据以甲方资金进入乙方帐户或乙方实际收到甲方款项为准。
3.3 如甲方收到乙方出具的费用确认通知或费用账单后3日内没有进行确认或提出异议,或者在收到乙方开具的发票(甲方收到乙方的发票送存收据后盖公章并退还乙方,若甲方不予退还,则视为已确认收到。异地客户乙方可在快寄运单上标明发票号,若甲方不予盖章确认,乙方可将运单底联作为甲方收到发票依据)后也没有提出书面异议,则视为甲方已经对费用确认通知或费用账单或发票所载金额的运费进行了确认,并以此作为结算依据。
3.4 甲方应当在乙方发票开票日60天内将发生的所有运费、杂费支付给
乙方,如果甲方未能在规定的时间内向乙方付款,应承担违约责任,直到付清以前所有欠款。
3.5 甲方不得以对其应付运费中的一个或一部分费用有异议为由而延迟支付或者拒绝支付其他运费和费用,甲方有义务在约定的期限内将没有异议的费用按约定支付给乙方,有异议的费用只能作为正常支付运费以外的特殊情况另行协商解决。
3.6 当甲乙双方的任何一方提出修改运价的要求时,在双方达成价格修改协议之前发生的业务,仍然按照修改之前的价格标准进行结算。甲方收到乙方变更运价的通知后三日内应予以确认或提出异议。
3.7 甲方按协议时间支付乙方当月费用后,乙方则给甲方安排退单,甲方收到退单后应盖章确认给乙方回传,甲方收到退单3日内没有确认回传,乙方应再次提请甲方确认,异地客户乙方可在快寄运单上标明已退单号或某截止日期之前的退单,作为甲方收到退单的依据,并书面告知。
3.8 以上盖章均应加盖单位公章,若无法加盖公章,甲方可加盖单位业务章或本协议指定的负责人签字,并同样具有法律效益。
3.9 违约责任:如果甲方不按期向乙方支付运费及相关费用,逾期一日,按欠款额的万分之五向乙方支付滞纳金,但乙方无权在费用结清前暂时终止本协议的施行,如暂停施行乙方需承担赔偿责任。
第四条:保密
4.1 本协议任何一方对在合作过程中所获知的对方未向社会公开的技术情况和商业秘密负有保密义务,未经对方书面许可,任何一方不得将其泄漏给第三方。
4.2 在本协议终止后,双方在本协议项下的义务并不随之终止,双方仍需遵守本协议的保密条款,履行其所承诺的保密义务,直到双方同意解除此项义务,或事实上不会因违反本协议的秘密条款而给对方造成任何形式的损害为止。
第五条:风险划分及赔偿
5.1 在运输过程中,如由于乙方原因而导致货物损失,甲方有权要求乙方承担赔偿责任。如在运输途中,货物由于不可抗力造成的损失或污染,乙方应负责与货物出险处或货物中转处的有关部门办妥相关的货运记录,并需通知甲方。
5.2 如货物出现保险事故,由甲方负责向承运人或保险公司或相关责任方索赔,乙方应协助甲方提供相关的证明材料。
5.3 下列原因之一造成的货物损失或缺少,乙方不承担索赔责任: 5.3.1 甲方或收货人故意或过失造成的;
5.3.2 货物由于自身缺陷或自然损耗、包装不当造成的; 5.3.3 不可抗力造成的。
5.4 如果货物的损坏、丢失或延误系由承运人(航空公司、船公司、陆运公司等第三方造成的),由乙方出面以甲方的名义向承运人索赔,在赔偿未付之前,甲方有权延缓或拒绝支付乙方相应费用。
第六条:不可抗力
6.1 “不可抗力”是指本协议双方不能预见、不能避免并且不能克服的客观情况,该事件妨碍、影响或延误任何一方根据本协议履行其全部或部分义务。该事件包括但不限于政府行为、地震、台风、洪水、火灾或其他自然灾害、战争或任何其他类似事件。
6.2 如发生不可抗力事件,遭受该事件的一方应立即用最快的方式通知另一方,包括该事件发生的详细情况,以及该时间阻碍通知方履行其本协议项下义务的程度。
6.3 遭受不可抗力事件的一方可暂缓终止履行本协议项下义务直至不可抗力事件的影响消除为止,并且无需为此而承担违约责任,但应尽最大努力克服该事件,减少其负面影响。
第七条:合同的有效期、修改、延展及提前终止
7.1 本协议应由甲乙双方法定代表人或其授权代理人签名或加盖公章后生效,生效日期为本协议签订日期。
7.2 本协议有效期,自签订之日起至2015 年 12 月 30 日止。但合同期届满之前1个月,任何一方没有书面通知终止本合同,本合同则自动延顺下年。
7.3 本协议期满前30天,经双方协商可另行签订新合同文本。7.4 协议的任何一方出现下列任何情况,另一方有权以书面形式单方提出终止本协议,而无需承担违约责任,并且可以依据本协议的约定追究对方违约责任。
7.4.1 一方违约,并且在守约方依本协议有关条款发出书面通知后十日内,仍不纠正其违约行为,或不采取充分、有效、及时的措施消除违约后果并赔偿守约方因违约方之违约行为而遭致的损失。
7.4.2 一方破产或进入清算程序,并在十四天内该程序未被撤销。7.4.3 一方由于不可抗力事件而无法继续履行本协议。
7.4.4 前款所述的书面通知中列明提前终止本协议的理由。自该书面通知到达对方之日起,本协议即告终止。
7.4.5 本协议的解除不影响双方于解除日之前根据本协议已产生的权利义务。
第八条:争议解决与适用法律
8.1 甲乙双方应共同遵守本协议,在执行过程中发生纠纷,当事人应协商解决,协议不成时,由甲方所在地法院管辖。
8.2 本协议的订立、执行、解释和争议的解决均适用于中华人民共和国的法律。
第九条:其他
9.1 在本协议履行过程中,甲乙双方可根据业务进展情况随时增加补充条款,经双方盖章后该协议的补充条款是本协议不可分割的一部分,具有本协议同等的法律效力。
9.2
本协议所列的地址、传真均为甲乙双方相互寄递文件、账单、通知的指定地址、传真,如有变更,及时通知对方,否则,由此引起的文件、通知、账单不能送达,由责任方自负。凡乙方按上述地址、传真寄递给甲方的材料,均视为甲方已接收,并产生相应的法律后果。

2甲、乙双方经友好协商,根据《中华人民共和国合同法》及《中华人民共和国海商法》等法规的有关规定,就甲方委托乙方代为办理订舱、报关、报检、装箱、转运、仓储等相关运输业务事宜,达成如下协议:
一、双方责任和义务:
1、甲方应在船开前七个工作日书面委托乙方订舱。
2、甲方提供报关资料注意以下要求自报关除外:a 甲方提供的报关资料合法、正确、齐全、及时;b 甲方在向乙方发出委托后要求变更或撤销其委托事项的,应采用书面的形式并得到乙方的认可。
3、在订舱、报关、运输过程中,由于乙方的责任造成货物错误时,由乙方承担后果;由于甲方的原因,则甲方自行承担;由于第三方责任,则由乙方协助甲方向第三方追究。
4、出现爆仓或者超载,乙方应及时通知甲方,并尽一切可能准时出运,同时确认产生的费用。
5、送货须知:货物应当在截关前两天送仓,货物入库时应持有乙方提供的进仓通知单。
6、门对门装箱:甲方应在托卡前两天与乙方确认装货拖柜具体时间、地点,装货时间前后预留1小史。甲方货柜应在报关前24小时进港(自行报关除外)。
7、订舱内容要求更改,或取消时,必须书面通知乙方,并与乙方操作书面确认,并承担由此产生的额外费用;若货物已进港或已离港,乙方有权拒绝更改。
8、乙方在收到船公司或其代理《配舱回单》后,应及时将订舱配载的船名、航次、关单号、运价等信息告知甲方(双方同意以乙方附于《订舱确认书》的传真报告作为以告知的最终证据),甲方如有异议,应在收到乙方《订舱确认书》后一日内书面提出,否则视为同意。
9、乙方应及时向甲方提供有关承运人的船期及运价变动情况。
10、甲方不得在其托运的货物中夹带易燃、易爆等物品及国家禁止出口的物品。危险品货物托运必须提供相应的证书及资料,并根据相关规定出运。
11、乙方应协助甲方追查货物的中转及航程情况。
二、收费标准及付款方式:
1、甲方同意按以下方式确认运输费用:
海运费—— 美金,甲方须在委托书中确认运输费用的金额,如果未在委托书中注明,将按照双方确认协议运价为准
其他费用——如果发生其他额外费用,双方书面逐一确认。
2、甲方如与船公司签有运价协议,应在订舱时明确注明协议运价及合同编号,否则按照本条第1款规定执行,乙方不承担运费误差责任。
3、付款方式:
1)第一票合作,一律付款买单,即甲方将当票的所有费用付到乙方指定帐号内,款到后乙方放提单。
2)第二票合作开始,双方同意按以下第_____种付款方式:
a.有正规核销单在我司的,在帐期内正常放单,甲方每月_____日付清上月所有费用。b.循环提单形式,放最后一票提单时,甲方应付清所有运费。
4、若船公司要求付款买单,甲方必须先将费用付至乙方帐号后,乙方放单。
5、甲方运费及代收代付费用必须直接付至乙方公司帐号,不得以现金方式支付给任何个人,若因特殊原因需以现金支付,必须以收到乙方财务部收据为准,甲方未经乙方书面确认,不可将费用付至第三方,由此产生的后果由甲方承担。
6、除了正常的海运费和内陆费用外,由于甲方自拉自报产生的类似转船费、船公司过磅后发现重量不符产生的罚金等应由甲方承担。
7、凡甲方指定由第三方付款的,发生的拒付、少付、延期等事宜,甲方仍负有支付义务。
8、甲方累计费用信用额度。在协议期内,甲方累计费用不能超过人民币_______万元,一旦达到此限,甲方必须先将所有费用付清。
9、甲方在未超合同期限付款的前提下,享受以上信用额度,若发生超期未付情况,信用额度自动取消。
10、乙方有义务提供给甲方付款明细或其他有关单据,以便甲方对账。若甲方不能按时付款,则按未付金额每天额外支付千分之九的滞纳金给乙方,并且乙方有权滞留相应的运输单据(提单、核销单、退税单、手册等)或货物,由此产生的一切经济损失均有甲方承担。
11、对于“运费到付”和第三地付款的运输,如收货人届时不付运费的,甲方将承担该批货物的运杂费用、合理的处置费用及目的港费用。
12、若甲方自拉自报,则付款买单或者经双方协议后,甲方在乙方出货采用循环放单的形式,若在协议付款期限内只有最后一票提单在乙方,则甲方必须将所有费用付至乙方有效帐号内,并在款到后乙方方可放相关单据(提单、核销单、退税单、手册等)。
13、乙方以快件方式寄交甲方提单、发票、核销单,甲方收件时如有异议,应在3日内提出,否则视为甲方已收到。
三、其他条款
1、由于不可抗力事故,致使直接影响合同的履行或者不能按约定的条件履行时,甲、乙双方可按照事故对履行合同影响的程度,由双方协商是否解除合同,或者部分免除履行合同的责任,或者延期履行合同。
2、对货物延期交付的索赔,应以该部分货物所涉及的运输费用为限。延期交付而产生的间接损失,乙方不承担法律责任。
3、对货物损失的索赔,索赔方应提供相关的法定证据,如当地权威检验机构出具的损失证据,否则乙方有权拒绝接受索赔。
4、双方的任何索赔,应作为个案以书面形式解决,任何一方不得采取扣留或拒付或拖欠或暂扣运杂费等行动。
5、本协议的海运费及国内段有关费用,如遇国家颁布价格和船公司运价调整时,双方应及时通知对方并作相应调整。
四、其他运输方式
空运
1、双方责任与义务
1)甲方应在每票货物出运七个工作日前以书面形式向乙方提交委托书,注明出运货物的品
名、数量、重量、体积、目的港、要求出运日期等详细内容。
2)遵守本协议中一、二、三点中适用条款。
2、付款时间
a. 总运费达到RMB5万以上(含RMB5万),甲方必须付款买单。
b. 总运费在RMB5万以内的,甲方在协议30天内付款。
c. 买核销单的或不退税的,甲方一律付款买单。
铁路运输
付款方式:a.甲方一律付款买单
b特殊情况需要延后付款的,必须在货物出运后一周内付清。
五、因本协议项下委托所产生的任何争议,双方应友好协商解决;无法协商或协商不成的,双方同意提交乙方所在地的海事法院审理。
出口货运委托书是本协议的组成部分,是本协议分期执行协议标的的要约与承诺。
自双方授权的如下代表签字盖章之日起生效,有效期年。到期双方如无异议,协议自动顺延,如任何一方违反协议内容,另一方可随时以书面形式通知对终止此协议.本协议一式两份,双方各持一份正本,具有同等法律效力。
