不可抗力：因不可抗力致使卖方不能按合同规定交付货物的，卖方不承担责任。在这种情况下，卖方应立即通过电报通知买方，如果买方要求，卖方还须以挂号信的方式将不可抗力的证明送达买方。

仲裁：与此合同或执行相关的所有争议须通过谈判友好地解决。谈判无法解决的，案件应提交中国国际经济贸易仲裁委员会，按照委员会的仲裁规则仲裁。委员会的裁决是终审裁决，对双方均有约束力。仲裁的费用应由败诉方承担，除非另有裁定。
