2.TRANSFER PRICE AND DEPOSIT, OPTION OF PAYMENT

三、【买卖交易细则】

3.SALES RULES

4）Delivery.At the date on which all transfer prices，party A shall deliver this real estate to Party B and the Certificate of Transfer and Handover shall be concluded by the Parties therefore.Property Management Fees and Utilities Expenses arising out of or in connection with this real estate shall be borne by Party A prior to such delivery, or shall be borne by Party B upon such delivery.Charges or expenses related to the fixtures and ancillary equipments & facilities of this real estate, as well as the prices of home appliances and furniture agreed by the Parties, have been included in the transfer price and Party A guarantee that all such ancillary equipments & facilities may work properly, all interior decorations thereof satisfy the conditions provided herein.5）相关费用：Miscellaneous Charge.[交易税费]：双方同意，交易中所涉及的上述买卖双方的税费由 □各自承担并支付；□由甲方承担并支付；□由乙方承担并支付。

[公证费]：若交易涉及买卖合同公证，费用由□双方分担并支付；□由甲方承担并支付；□由乙方承担并支付。

[中介报酬]：对于中介方提供中介服务所产生的报酬事宜，详见附件“中介服务确认书”。

4.APPLICATION OF LEGAL LIABILITIES

甲方保证该房地产产权清晰、权属明确，无异议登记、单方预告登记，无司法、行政查封等限制性交易情形存在；若因本条所述情况导致本协议效力瑕疵，甲方应返还乙方所有已付房款并赔偿乙方实际损失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【争议解决】

6.DISPUTE SETTLEMENT

各方在本协议履行过程中发生争议的，应友好协商；协商不成的，应向该房地产所在地人民法院起诉。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本协议自甲、乙双方签署起对甲、乙生效，丙方签署后对丙方生效，一式三份，甲、乙、丙三方各执一份。

This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon.This Contract shall be executed in triplicate and each Party shall have one copy.

1.Terms of the contract 合同条款

XXXXX authorizes XXXXX to implement the consultancy to the preliminary design concept of XXXXX project, and to assist XXXXX in completing preliminary design drawings.甲方授权委托乙方执行其在XXXXX展示工程初步设计概念的顾问工作，并帮助甲方完成初步设计稿。

2.Project stages项目阶段

The project shall be carried out in cooperation and in close guidance by the XXXXXX.The general consulting plan shall be provided before the design starts, a detailed plan shall be sent to XXXXX after each biding conference or press release meeting as follows: An idea explanation presentation shall be showed within 7 days after the tender starting date.A draft design drawing shall be submitted within 7 days after the first presentation meeting between XXXXXXXX and XXXXXXXX.Following the meeting of draft design drawing, a number of amendments requested by X shall be carried out.The final presentation of the preliminary design shall be submitted within 3 days before the bidding deadline to assist XXXXX in completing the tendering documents.本项目应在相互合作以及吸取XXXXX指导方针的前提下开展。乙方应在设计前期提供整体咨询计划书，每次招标或信息发布大会后，乙方也应按如下提供详细计划：投标开始后的七日内向甲方展示初步设想；设想探讨会议结束后的七日内递交设计草图，递交后，乙方须执行甲方的修改要求；最终初始设计稿应在招标截止期前三天内交予甲方，从而帮助甲方整理其投标文件。

3.Term of validity合同效力期限

The consultancy contract shall apply from 1 Jan 2011 to 31 December 2012.此项目顾问合同适用于2011年1月1日至2012年12月31日。

4.Force Majeure不可抗力

“Force Majeure” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill the obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的“不可抗力”是指在执行合同的过程中不能被预见、避免、克服的外在因素，从而导致合同任意一方无法履行合同责任，如战争、**、政府行为、地震、火灾、风暴、洪水或其他恶劣天气。

The period required to complete the obligations shall be extended accordingly due to the affect of the force majeure, the extension shall be the same as the period of time affected by the force majeure or the period of time is agreed upon both parties.由于不可抗力造成的影响，履约责任期可被相应延长，延长期应与不可抗力的影响期相同或通过双方协商确定。

5.Intellectual Property Rights and confidentiality 知识产权与保密

XXXXX shall ensure that the results of his design are not with any flaw to any right and none of the rights of third parties is impinged, and shall ensure that XXXXX is not

claimed by any third party for using XXXXX's design results to be against the intellectual property rights.Should the case above occur, XXXXX shall be responsible for disposing and assuming all legal liabilities arised therefrom.乙方应确定其设计不存在任何所有权瑕疵，不会牵涉到任何第三方的权利，并保证甲方不会因使用乙方的设计而产生侵权赔偿。如果发生上述情况，乙方应负责处理所有因此造成的法律责任。

All texts, graphics, charts, datas and other documents described about this project are the properties belonging to XXXXX.XXXXX shall not disclose any information of this project to any third party without authorization, shall not use any of the documents and informations above in any other project, otherwise, all resulting legal liabilities shall be assumed by XXXXX.本项目涉及的所有材料均属于甲方。乙方在未授权的情况下，不应向任何第三方透露本项目的任何信息，也不能在其他项目中使用本项目的任何资料与信息，否则，由此产生的法律责任由乙方负责。

The copyright(except authorship)of the design results in this project is belonging to XXXXX.XXXXX shall not use the design results under this project on the irrelated

intentions and purposes to the project, shall not authorize any third party or disclose any content of the design results.XXXXX may inform XXXXX before using the design results submitted by XXXXX on other occasions besides this project, XXXXX shall not have any right to reject the foregoing acts.本项目涉及的所有版权（除著作权外）均属于甲方，乙方不得在与本项目无关的意图或目的下使用其设计成果，也不可以授权第三方或透露任何设计细节。甲方在与本项目无关的场合下使用乙方提交的设计成果，可提前告知乙方，乙方无权拒绝前述行为。

All technologies, laws and financial informations relating to this contract are trade secrets, shall not be disclosed to the third parties listed out of the contract without the consent of all parties under the contract, otherwise, the telltale party shall be liable to assume 10% of the total contract price for breach of the contract to the other party.Should the compensation not be sufficient for the actual losses, the amount of the compensation shall be increased in accordance with the actual losses.与本项目相关的所有技术、法律和金融信息都被视为商业秘密，任何一方不得透露给合同外的第三方，否则，泄密的一方因违约须赔偿合同总额的10%予另一方。如果赔偿不足以赔付实际损失的，赔偿额应根据实际损失相应的增加。

The terms of intellectual property and the duty of confidentiality shall not be invalidated by the completion of the execution, change, termination and inefficacy of the contract.知识产权和保密责任条款不应随工作的完成或合同的变更、终止和失效而无效。

6.Payment款项

Payments shall be made as follows:

The budget of RMB 430,000 is payable in three installments.The first installment shall be 30% of the budget(RMB 129,000), the second installment shall be 30% of the budget(RMB 129,000), the third installment shall be 40% of the budget(RMB 172,000).Payments shall be made to the account of XXXXX Design B.V..款项支付情况如下：

7.Scope of service服务范围

Design Concept

XXXXX assists XXXXX to complete the design concept for Shanghai Nature History Museum(subbranch of Shanghai Science and Technology Museum)project based on a high international standard.设计概念

乙方协助甲方确定上海自然博物馆（上海科技馆分馆）项目的设计概念，并保证概念的国际化高标准。

Consultancy

XXXXX offers individual consultanting services to XXXXX in different phases of the project and direct XXXXX to a way of which a proper design result could come out.Experienced and qualified experts shall be transferred to XXXXX during the design period as required.咨询顾问工作

乙方向甲方提供不同阶段的咨询顾问服务，引导甲方更好的完成设计成果。设计期内，乙方应根据需要将有经验和资质的专家调职到甲方。

Presentations

XXXXX is in charge of all the presentations designed for Shanghai Nature History Museum(subbranch of Shanghai Science and Technology Museum).XXXXX shall ensure the quality of the presentation with XXXXX’s advices.方案介绍

Design drawings

XXXXX shall assist XXXXX in design drawing details if necessary.设计图

8.Provision of third party services 第三方服务条款

Where services are provided by third parties(e.g.printing, etc.), XXXXX shall monitor production and guarantee that the service is performed competently.Payment for this service is covered by the overall budget.由第三方提供服务的地方，乙方应监督制作及保证服务质量。此服务涉及的费用包含在总预算中。

Unless otherwise provided for by this contract, Party A will return full amount of the deposit without interest on the day when this contract expires or on the day when this contract is cancelled.and party B clears the premises and has paid all due rental and other expenses.3)、因乙方违反本合同的规定而产生的违约金、损坏赔偿金和其它相关费用，甲方可在押金中抵扣，不足部分乙方必须在接到甲方付款通知后十日内补足。

In case party B breaches this contract, party A has right to deduct the default fine, compensation for damage or any other expenses from the deposit.In case the deposit is not sufficient to cover such items, Party B should pay the insufficiency within ten days after receiving the written notice of payment from Party A.4)、因甲方原因导致乙方无法在租赁期内正常租用该物业，甲方应立即全额无息退还押金给乙方，且乙方有权追究甲方的违约责任。并且甲方需要适当的支付乙方必要的损失。

If Party B can’t normally use the apartment because of Party A , Party A should return the deposit to Party B at once.And,Party A should pay the reasonable compensation required by Party B.6、甲方义务Obligations of Party A

.1)、甲方须按时将房屋及附属设施（详见附件）交付乙方使用。

Party A will provide the premises and attached facilities(see the appendix of furniture list for detail)on schedule to Party B for using.2)、房屋设施如因质量原因、自然损耗、不可抗力或意外事件而受到损坏，甲方有修缮并承担相关费用的责任。如甲方未在两周内修复该损坏物，以致乙方无法正常使用房屋设施，乙方有权终止该合约，并要求退还押金。

In case the premise and attached facilities are damaged by quality problems, natural damages or accidents, Party A will be responsible to repair and pay the relevant expenses.If Party A can’t repair the damaged facilities in two weeks so that Party B can’t use the facilities normally, Party B has the right to terminate the contract and Party A must return the deposit.3)、甲方应确保出租的房屋享有出租的权利，如租赁期内该房屋发生所有权全部或部分转移、设定他项物权或其他影响乙方权益的事件，甲方应保证所有权人、他项权利人或其他影响乙方权益的第三者能继续遵守本合同所有条款，反之如乙方权益因此遭受损害，甲方应负赔偿责任。

Party A will guarantee the lease right of the premises.In case of occurrence of ownership transfer in whole or in part and other accidents affecting the right of lease by party B, party A shall guarantee that the new owner and other associated, third parties shall be bound by the terms of this

contract.Otherwise, Party A will be responsible to compensate party B’s losses.7、乙方义务Obligations of Party B

1)、乙方应按合同的规定按时支付租金及押金。

Party B will pay the rental and the deposit on time.2)、乙方经甲方同意，可在房屋内添置设备。租赁期满后，乙方将添置的设备搬走，并保证不影响房屋的完好及正常使用。

Party B may add new facilities with Party A’s approval.When this contract expires, Party B may take away the added facilities without changing the good conditions of the premises for normal use.3)、未经甲方同意，乙方不得将承租的房屋转租或分租。

Party B will not transfer the lease of the premises or sub without Party A’s approval.4)、乙方应按本合同规定合法使用该房屋，不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则，如该房屋及附属设施因此受损，乙方应承担全部责任。

Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it.Otherwise, Party B will be responsible for the damages caused by it.5)、乙方应承担租赁期内的水、电、煤气、电话费、宽带费、物业管理费和电视费等一切因实际使用而产生的费用，并按单如期缴纳。

Party B will bear the cost of utilities such as telephone communications, water, electricity, Gas,management fees,internet and cable television on time during the lease term.6）、乙方应爱护租用的房屋及其设备，严格按专门的使用要求使用，如因乙方人为使用不当而导致损坏，乙方负责赔偿及修复费用，乙方必须做到：

Party B must take care of the property and its contents, and use them exactly according to the specific instructions;otherwise Party B should pay for the compensation and repairing fees to Party A for its improper use of the property.Party B must do as follows:

6.1 足够经常清洁房屋，复合地板、木地板、地毯、瓷砖地面要按不同要求清洁；

Do regularly clean the house.Clean the laminate floor, the parquet floor, the carpet, and the tile correctly according to the specific instructions.6.2足够经常通风、开足空调（特别是在雨季、冬天）以避免冷凝水损坏房屋，导致霉变； Do regularly open the window and ventilate with the air conditioner(especially in rainy season and winter)in the house, in order to prevent the condensation water from damaging the house and going mouldy.6.3 足够经常清洁厨房、炉灶等电器；

Keep the kitchen clean, such as electric apparatuses.6.4 浴缸、冲淋房、洗菜盆的排水口必须使用专门的滤网阻止头发、硬物等进入排污管，抽水马桶内不能倒其它杂物进入,疏通下水道的费用由乙方承担。

The outlet of bathtub, the shower, and the basin must be added special network to prevent the hair, hard things, etc.from getting into the pipeline.Mess and other things cannot be poured into the toilet bout.The fee for unchoking the sewer will be borne by Party B.6.5 日常损耗物品及维修由乙方承担更换费用（比如挂取窗帘、疏通下水道、换灯泡等）The normal wear ＆ tear fees of the property shall be borne by Party B(Such as hanging and fetching curtains, unchoking the sewer, changing the bulb etc).7）、乙方如长期或经常不在，乙方必须安排人员看管房屋，刮风下雨时关好门窗，经常通风、开足空调，还必须保证甲方及代理人能及时实施紧急和必要的维修修复工作，否则，造成的损失由乙方负责。

If Party B is out regularly or for a long time, Party B must arrange someone to look after the leased property.Make sure the doors and the windows are closed when blowing and raining, often ventilate the house, run the air conditioner, and guarantee for Party A and the Agent to make implement urgent and essential maintenance.Otherwise, the losses caused should be borne by Party B.8.中介方义务：Obligations of Intermediary

1）督促双方提供必要的证明文件，对出租方而言，需提供房产证（或者相关的证明性文件）及身份证复印件；对承租方而言，需提供身份证复印件或公司营业执照复印件。

1)、乙方在租赁期满后如需续租，应提前一个月通知甲方，由双方另行协商续租事宜。在同等条件下乙方享有优先续租权。在合同期内，甲乙双方均不得擅自解除合同，如一方因故需解除合约，需提前一个月向另一方以书面形式提出终止请求，并赔偿另一方相当于一个月租金的违约金。如甲方提出终止请求，应退回剩余的房屋租金给乙方。
