第一篇:项目管理咨询服务合同(中英文对照)

第三条为保证乙方有效进行技术服务工作,甲方应当向乙方提供下列工作条件:甲方若已有以下资料应免费提供乙方一份;

① 建设单位情况;

② 项目建议书及批准文件;

③ 建设项目选址意见书;

④ 规划局有关规划参数的批准文件;

⑤ 经有关方面征询的地块建设项目的规划、环境保护、园林绿化、卫生防疫、水、电、煤、通信、交通和消防等; ⑥ 土地权属证明(房地产权证)及其他相关文件;

⑦ 建设基地动迁量及市政配套情况(包括动迁安置补偿情况、大市政配套情况等);

⑧ 地形图、地质资料;

⑨ 规划设计总体位置平面图;周围环境及其规划情况;拟建项目的规划用途及分类情况;

⑩ 规划设计方案想法说明:(总建筑面积、容积率、绿化率、设计户型、结构类型、装修标准、供配电、煤气容量)⑪ 如享受减免优惠政策的文件或说明(公建配套费、人防费等)

⑫ 建设项目的资金筹措及资金流入情况;

2.其他

⑪ 甲方提供的资料应准确无误,若乙方对甲方提供的资料或数据有异议时,甲方应及时负责解答,并尽可能给乙方的工作提供方便;

⑫ 甲方应对乙方工作提供及时的、合理的相关协助。同时甲方应该提前半天通知乙方急需要解决的相关事情;

第四条甲方向乙方支付技术服务费及支付方式:

1.乙方项目管理服务费暂按万元的基数和优惠后的包干费率工程造价的1%

2.设计、勘察、监理、施工、材料招标代理费可以减免甲方部分相关费用,如甲方要收取乙方相关费用,可以在招标时招标文件中说明。

3.服务费有甲方分期支付乙方:

具体支付方式和时间如下:

a、本合同签定后3日内,甲方向乙方预付项目管理服务费的20%,作为项目启动资金;

b、施工招标代理工作完成后,甲方向乙方支付到项目管理服务费的40%;

c、根据总工期按每月平均支付项目管理服务费的95%;

d、竣工验收完毕,甲方向乙方一次性付清余款。

第五条双方确定在履行本合同期间应遵守的保密义务,乙方对甲方提供的资料按甲方的要求承担保密义务;甲方对乙方提供的成果报告等承担保密义务。

第六条本合同的变更必须由双方协商一致,并以书面形式确定。

第七条其他

1.质量奖励:

乙方将争创优质结构,甲方将按相应市优质结构单体建筑面积×5元/㎡计算给予乙方奖励。

2.文明施工奖励:

如本工程获市级文明工地,甲方将按相应建筑面积×3元/㎡计算给予乙方奖励。

3.如由于甲方的资金不能及时到位而导致的工程延误或索赔损失,由甲方承担。

4.工程筹建和施工期间有乙方原因造成工程质量问题(事故)视问题(事故)大小、责任程度,承担相关责任并予以处罚。

5.甲乙双方优势互补,乙方应充分发挥甲方的前期优势,具体合作由甲乙双方另行友好商量。

第八条双方确定在本合同有效期内,甲方指定为甲方联系人,乙方指定为乙方联系人。

第九条双方确定出现下列情况,致本合同的履行行为不必要或不可能,可能解除本合同:

1.发生不可抗力;

2.第十条双方因履行本合同而发生的争议,应当协商解决,协商或协调不成的确定按以下第2种方式处理

1.提交仲裁委员会仲裁

2.依法向工程所在地人民法院起诉。

第十一条本合同一式肆份,甲乙双方各二份,具有同等法律效力。

1.Terms of the contract 合同条款

2.Project stages项目阶段

4.Force Majeure不可抗力

“Force Majeure” under the contract means the external circumstances that can not be foreseen, avoided and surmounted in the process of fulfilment of the contract, the incidents of which makes either party fails to fulfill the obligations under the contract, such as wars, riots, government behaviors, earthquake, fire, storms, floods or other severe weathers.本合同下的“不可抗力”是指在执行合同的过程中不能被预见、避免、克服的外在因素,从而导致合同任意一方无法履行合同责任,如战争、**、政府行为、地震、火灾、风暴、洪水或其他恶劣天气。

All texts, graphics, charts, datas and other documents described about this project are the properties belonging to XXXXX.XXXXX shall not disclose any information of this project to any third party without authorization, shall not use any of the documents and informations above in any other project, otherwise, all resulting legal liabilities shall be assumed by XXXXX.本项目涉及的所有材料均属于甲方。乙方在未授权的情况下,不应向任何第三方透露本项目的任何信息,也不能在其他项目中使用本项目的任何资料与信息,否则,由此产生的法律责任由乙方负责。

All technologies, laws and financial informations relating to this contract are trade secrets, shall not be disclosed to the third parties listed out of the contract without the consent of all parties under the contract, otherwise, the telltale party shall be liable to assume 10% of the total contract price for breach of the contract to the other party.Should the compensation not be sufficient for the actual losses, the amount of the compensation shall be increased in accordance with the actual losses.与本项目相关的所有技术、法律和金融信息都被视为商业秘密,任何一方不得透露给合同外的第三方,否则,泄密的一方因违约须赔偿合同总额的10%予另一方。如果赔偿不足以赔付实际损失的,赔偿额应根据实际损失相应的增加。

4.APPLICATION OF LEGAL LIABILITIES

甲方保证该房地产产权清晰、权属明确,无异议登记、单方预告登记,无司法、行政查封等限制性交易情形存在;若因本条所述情况导致本协议效力瑕疵,甲方应返还乙方所有已付房款并赔偿乙方实际损失。

Party a guarantees that it has full and clear ownership to this real estate, which is free of any dispute registered, unilateral advanced registration, judicial or administrative attachment or other events restricting trades.If any defect affecting the validity of this Contract is occurred due to any misrepresentation hereunder, Party A shall refund all transfer prices paid by Party B, and indemnify any and all losses and damages suffered by Party B there-from.五、【争议解决】

6.DISPUTE SETTLEMENT

各方在本协议履行过程中发生争议的,应友好协商;协商不成的,应向该房地产所在地人民法院起诉。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本协议自甲、乙双方签署起对甲、乙生效,丙方签署后对丙方生效,一式三份,甲、乙、丙三方各执一份。

This Contract shall have binding force to Party A and Party B upon signatures of such two Parties are made hereon, and shall have binding force to Party C if signature of Party C is also made hereon.This Contract shall be executed in triplicate and each Party shall have one copy.

本合同就申报_____________________________________________________项目进行申报咨询服务,并支付咨询报酬。双方经过平等协商,在真实、充分地表达各自意愿的基础上,根据《中华人民共和国合同法》的规定,达成如下协议,并由双方共同恪守。

第一条 乙方进行项目咨询的内容、要求和方式:

1.咨询内容:在甲方提供准确、完善的可行性研究基础数据的前提下,乙方代写上述项目的申报材料。

2. 咨询方式: 乙方按照项目规定的时间和进度及时申报上述申报项目。

第二条 为保证乙方有效进行技术咨询工作,甲方委托专人与乙方密切保持

联系。

第三条 甲方向乙方支付咨询报酬及支付方式为。

咨询报酬总额为:

1、甲方支付乙方申报材料咨询服务费政府无偿资助资金总额(包含地方基金、地方配套资金)或者贷款贴息部分的15%支付乙方作为酬劳,甲方必须从自有资金中列支该笔费用。

2、咨询服务费研报告、执行全部网上申报流程、纸质文件递交的工作,不包括其它服务内容。具体支付方式和时间如下:

本合同签订之日起三日内,甲方支付乙方前期申报材料咨询服务费总额的100%。项目申报成功后,甲方收到第一笔资金后五个工作日内一次性全额支付

乙方无偿资助资金总额或贷款贴息部分总额的15%。如延期支付,需支付乙方0.3%/日的滞纳金。

第四条 双方确定,在本合同有效期内,甲方指定为甲方项目联系人,乙方指定为乙方项目联系人。

一方变更项目联系人的,应当及时以书面形式通知另一方。未及时通知并影响本合同履行或造成损失的,应承担相应的责任。

第五条 如果因为乙方对政策判断错误或者编制材料出现严重错误造成项目申报失败,乙方退还甲方元申报材料咨询服务费。

第六条 双方确定,出现发生不可抗力等情形,致使本合同的履行成为不必要或不可能的,可以解除本合同。

第七条 双方因履行本合同而发生的争议,应协商、调解解决。协商、调解不成的,可提交有管辖权的人民法院诉讼解决。

本合同有效期自合同签订之日起生效,双方完整完成合同内容即失效。

第九条 本合同一式

第十条 本合同经双方签字盖章后生效。
