六、甲方义务 obligations of party a 1.甲方须按时将房屋及附属设施(详见附件)交付乙方使用。party a will provide the premises and attached facilities(see the appendix of furniture list for detail)on schedule to party b for using.2.房屋设施如因质量原因、自然损耗或灾害而受到损坏,甲方有修缮并承担相关费用的责任。in case the premise and attached facilities are damaged by quality problems,natural damages or disasters,party a will be responsible to repair and pay the relevant expenses.3.甲方应确保出租的房屋享有出租的权利,反之如乙方权益因此遭受损害,甲方应负赔偿责任。
七、乙方义务 obligations of party b 1.乙方应按合同的规定按时支付定金、租金及保证金。
party b will pay the rental,the deposit and other expenses on time.2.乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。party b may decorate the premises and add new facilities with party as approval.when this contract expires,party b may take away the added facilities which are removable without changing the good conditions of the premises for normal use.3.未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。4.乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。
party b will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it.otherwise,party b will be responsible for the damages caused by it 5.乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用,并按单如期缴纳。
八、合同终止及解除的规定 termination and dissolution of the contract 1.乙方在租赁期满后如需退租或续租,应提前两个月通知甲方,由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。

1.rights and obligations of party a 2.甲方权利及义务
7.1 party a hereby guarantees that party a is the legal owner and has the right to lawfully lease the premises.otherwise, party a shall bear the legal liability arising therefrom in full.7.1 甲方保证是项目合法的拥有者,其有权合法出租该单元,否则产生的法律责任均由甲方承担。
7.3 甲方保证在租期内,乙方将有权平静地占有和享用该单元,不会受到甲方或甲方代理人的干扰,但前提是乙方支付了本合同规定的租金和其它费用,并遵守和履行了本合同规定的应由乙方遵守和履行的条款。
7.4 party a has the right to terminate this contract unilaterally upon occurrence of any of the following to party b: 7.4 乙方出现下列任何情况时, 甲方有权单方解除本合同。
7.4.1 violates the laws or the regulations of prc or uses the premises for illegal business operations;7.4.1 违反中华人民共和国的法律/法规, 利用该单元进行不法经营活动; 7.4.2 changes the uses of the premises without consent of party a;7.4.2 未经甲方同意擅自更改该单元的用途;
7.4.3 fails to pay the rent pursuant to relevant provisions hereunder;or 7.4.3 未按本合同的有关条款缴纳租金;或 7.4.4 sub-lets the premises or parts of the premises to others, transfers the premises to others or uses the premises jointly with a third party without the consent of party a.7.4.4未征得甲方同意, 擅自将该单元或该单元的部分转租、转让给第三方或与第三方共同使用。
7.5 party b agrees to waive its right of first refusal in respect of the premises voluntarily and unconditionally during the term.during the term, party a shall be free to transfer the premises to any third party, provided that such transfer shall not prejudice party b’s rights to occupy, control and use the premises in accordance with the terms and conditions of this contract.if party a transfers the premises to a third party, such third party shall continue to enjoy and bear all rights and obligations of party a under this contract.party b undertakes to cooperate in full with party a in handling the relevant formalities to sell and hand-over of the premises.party b’s failure to cooperate for the hand-over shall not affect the assumption of the rights and obligations of this contract by the new owner.party b shall pay rent to the new owner in accordance with this contract after receipt of party a’s notice, otherwise party b shall bear the liability for breach of contract and late payment under this contract.7.5在租期内,乙方自愿无条件放弃该单元的优先购买权。在租期内,甲方有权自由转让该单元予任何第三方,但是该转让不得影响乙方根据本合同的条款和条件占有、控制和享用该单元的权利。若甲方将该单元出售予第三方,第三方将继续享有和承担甲方在本合同项下的所有权利和义务。乙方承诺充分配合甲方办理该单元的出售及交接手续,不影响新业主开始继受出租方在本合同项下的权利义

第一部分 租赁标的
第一条:甲方将位 店面的商铺(以下简称该商铺)租赁给与乙方经营。第二条:该商铺建筑面积(含公摊)为平方米。
第三条:乙方承诺该商铺仅作为经营 的用途,未经甲方书面同意,乙方超范围经营属违约行为(详见本合同第十三条)。第二部分 租赁期限

第四部分 合同保证金

第十一条:甲方有权根据实际情况及商铺正常营业的需要,制订商铺的统一管理规定,并要求乙方遵守。
第十二条:甲方有权对乙方经营产品的质量进行监督;若发现乙方经营的产品质量不符合有关标准,有权依据有关规定对乙方提出处理意见或决定,乙方应接受该处理意见或决定。
第十三条:在出现下列情形之一时,甲方有权书面通知乙方解除合同:
1、乙方违反国家法律、法规,进行不法经营活动。
2、乙方擅自改变该商铺的经营性质、范围。
3、乙方擅自将该商铺转租、分租、转让。
4、乙方严重违反商铺的其它有关管理规定,致使甲方或第三人的权益受到严重侵害,经甲方提出后仍不予改正。
5、由于乙方自身原因,自签定本合同之日起,逾期达三十天以上未对外营业(装修期除外),将视乙方违约,甲方有权终止合同。并没收乙方所支付的保证金,并收回商铺。
6、乙方门面装修设计方案,须呈送甲方备案,并经甲方书面同意后,方可施工装修,否则视为违约。
7、乙方入住商业步行街,要合法经营,以及要遵守本社区经营管理公司及物业公司对商业步行街各项规章制度管理条例。
第十四条:甲方应确保为乙方提供经营所需要的水、电、照明及其它必要的条件和设施,水量为不少于 吨/日,电量不少于 千瓦。但如乙方的实际使用量(经实际运营情况衡量)与以上设定出入在±35%,承租人应承担相应的增容费用或与之相关的处罚金。出租人应为承租人提供排污、排水、排烟、空调设施安放的合理位置,并保证乙方安放上述设施不受他人干涉。
第十五条:乙方租赁该房屋需要自行承担水、电等相关费用。支付时间、方式为接到甲方出示的水、电等部门的缴费单之日起的五天内缴清上述费用。
第十六条:乙方在该商铺租赁期间应依照有关规定按时向甲方缴纳物业管理费,物业管理费按该房屋实际使用面积分摊,物业管理费每月每平方米 元,按乙方租赁该房屋平方米,应承担物业管理费 元/月。
第十七条:甲方负责商铺外部的治安、消防及清洁卫生。第十八条:房屋及附属设施维修责任
1、该房屋主体结构部分发生非乙方或乙方顾客原因而损坏由甲方负责进行维 修并承担费用。如因乙方或乙方顾客原因损坏的,由乙方进行维修并承担 费用。如造成损坏无法修复,则乙方应作相应的经济补偿;乙方装修改建 部分的损坏由乙方负责维修并承担费用。
2、水以水表为界,靠该房屋一侧的管路由乙方维修并承担费用,水表以外(含水表)由甲方维修并承担费用;
3、电以电表及控制箱为界,靠该房屋一侧由乙方维修并承担费用,电表及控制箱以外(含电表及控制箱)由甲方维修并承担费用;
4、污水管道到该房屋外第一个窖井前(含该窖井)由乙方维修并承担费用,第一个窖井后管路由甲方维修并承担费用;
5、乙方设置的隔油池由乙方维修并承担费用,隔油池靠该房屋侧的管路由乙方维修并承担费用,隔油池外侧管路由甲方维修并承担费用;
6、煤气由乙方与供气方约定相互责任;
7、弱电系统以该房屋控制箱为界,控制箱靠该房屋侧管路由乙方维修并承担费用,控制箱以外(含控制箱)管路由甲方维修并承担费用;
8、该房屋内部消防设施由乙方维修并承担费用;乙方自行改建设施由乙方维修并承担费用。第十九条:乙方须提供有效的资信证件,如营业执照、税务登记证、商标注册证、经营许可证、食品卫生许可证及经营有关的文件和资料等。
第二十条:合同履行过程中,甲方不履行合同规定应承担的义务,严重影响乙方正常经营活动,乙方有权提前以书面形式通知甲方解除合同,并无需承担任何责任。
第六部分 装饰装修 第二十一条:本合同生效后,在不影响商铺建筑结构的情况下,乙方有权依其经营需要,对该商铺及设施进行内部装修、布置和改造,乙方应提前将装修方案送甲方审批。经甲方批准方案后,乙方方可依相关法规(如《消防法》等)进行申报及装修。
第二十二条:本合同生效后,乙方自行装修该房屋(包括道具、照明设备及其他用品用具),经乙方装修后该房屋的装潢物,在合同终止后,除经甲方同意外,其处置权归甲方所有。
第二十三条:乙方同意支付装修施工押金 元(含水、电押金)并于施工开始前支付给甲方。装修完毕,经甲方检验合格,退还押金。
第七部分 物业管理
第二十四条:在本合同有效期内,乙方对该商铺拥有使用权,经甲方同意,乙方可以进行转租、分租、转让(包括无偿转借给第三方使用),但经营范围应符合甲方的要求。
第二十五条:乙方保证其一切经营活动必须遵守国家和地方有关的法律法规,并遵守甲方制订的有关商铺管理的规定。
第二十六条:乙方应保持该商铺及各项设施设备清洁完好,在租赁期满时,将其以完好状态(正常磨损除外)交还甲方。
第二十七条:乙方不得自行或允许他人在该商铺内存放有毒有害、易燃易爆的危险物品,亦不得自行或允许他人在该商铺内放置超过楼层设计载荷的物品,或装设可能引起震动、噪音、干扰的机具。
第二十八条:乙方自行负责所经营场货物、物品及其他设施的安全,包括对自然灾害的保险及治安防盗等,并应对在其经营场地范围内发生的人身伤害负责。
第二十九条:甲方应为乙方的店招牌提供合理、醒目的架设或悬挂处,并经协商有偿为乙方提供在该房屋外或公共部位,人行通道等处悬挂广告牌、指示牌的合理位置。
第三十条: 甲乙双方任一方由于自身原因需提前终止合同,应提前一个月以书面方式通知对方。
第三十一条:乙方在合同期满后无意继续租赁,应提前一个月以书面通知方式通知甲方。第三十二条:合同终止时,乙方保证依照甲方通知的时间,七日内撤离现场,办妥该商铺移交手续。逾期视同乙方放弃权益,甲方有权清理该场地及货物,乙方不得有异
议。
第八部分 不可抗力规定 第三十三条:不可抗力是指无法预见或虽可预见但无法控制或避免其发生的事件,包括但不限于地震、火灾、战争等。由于不可抗力的发生致使本合同项下各项义务无法正常履行时,其履行可以减免或延迟,直至影响其正常履行的因素消失;如不可抗力的发生致使本合同无法继续履行,本合同终止,双方不承担责任。
第九部分 违约责任
第三十四条:甲方如无故自行终止合同,构成违约。甲方应就其违约行为给乙方造成的经济损失向乙方进行赔偿。
第三十五条:本合同约定的租赁期限开始后,如甲方不能按期将该商铺交付乙方使用,甲方需提前三十日书面通知乙方,并告知乙方预定交付场地时间,推迟期间累计不超过九十日。如九十日后甲方仍未能将经营场地交付乙方使用,乙方有权以书面形式通知甲方解除本合同。
第三十六条:乙方如有违反本合同规定的行为,甲方有权扣除保证金以补偿甲方因乙方违约而受到的损害。此外甲方还可按合同规定终止本合同,并要求乙方赔偿保证金不足的部分 第三十七条:乙方应向甲方赔偿因乙方过错所造成的该商铺及设备设施的损坏,及因乙方违约给甲方造成的其它经济损失。如双方无争议,乙方应在收到甲方书面通知之日起五日内向甲方支付赔偿。
第三十八条:违约金、赔偿金应于明确责任之日起十日内支付给对方。第十部分 其它
第三十九条:本合同的订立、效力、解释、履行和争议的解决,均受中国法律管辖,凡与本合同有关的一切争议,双方通过友好协商解决。如果协商不成,提交甲方所在地法院裁决。
第四十条: 依本合同所发出的任何通告及其它文件,均须为书面方式,若通告及其他文件以派送、挂号邮件或图文传真,需按双方已签订的地址或图文传真号码发送;如有变更,其中一方以书面通知另一方按变更后之地址或传真号码发送,即被视为正式发送之文件。
第四十一条:本合同未尽事宜,双方可通过友好协商订立补充协议,附件和补充协议作为本合同的有效组成部分,与本合同具有同等法律效力。
第四十二条:本合同一式二份,甲、乙两方各执一份,每份具有同等的法律效力。第四十三条:本合同自甲、乙双方代表签字盖章之日起生效。
