董事长的英文是Chairman(准确的说是Chairman of the Board),是股东利益的最高代表,理论上讲是公司管理层所有权力的来源。

董事会设董事长1名,由董事会全体董事过半数选举产生。从各国的公司立法看,董事长的权利不是由股东大会授予的,而是由公司法直接规定的。一般来说,董事长拥有如下几种权利:

1.主持股东大会和召集、主持董事会会议;

2.检查董事会决议的实施情况,并向董事会报告; 3.签署公司股票、公司债券;

4.由董事会授权董事长在董事会闭幕期间行使董事会的部分职权;

5.提议召开临时董事会;

6.除章程规定须由股东大会和董事会决定的事项外,董事长对公司重大业务和行政事项有权做出决定。

有限责任公司、股份有限公司设立董事会的,股东会会议由董事会召集,董事长主持。董事会会议由董事长召集和主持。董事长由国有资产监督管理机构从董事会成员中指定。

董事长是公司董事会的领导,其职责具有组织、协调、代表的性质。董事长的权力在董事会职责范围之内,不管理公司的具体业务,一般也不进行个人决策,只在董事会开会或董事会专门委员会开会时才享有与其他董事同等的投票权。President和CEO的权力都来源于他,只有他拥有召开董事会、罢免President和CEO等最高权力,但他从来不掌握行政权力。

Chairman可以随时解除任何人的职务,除了董事(Member of the Board)和监事(Member of the Board of Supervisors),因为董事和监事不是公司雇员,而是公司的主人和仲裁人。

将自己的整个工作时间投入所在的公司,为公司的管理和执行业务服务的董事被称为执行董事。

执行董事是同时兼任公司高级管理人员的董事,他们既参与董事会决策,同时也在其管理岗位上执行董事会决策。

“执行董事” 的主要职责:(1)根据董事会要求与市场需求,结合任期责任指标,提出企业阶段性、年度性的生产经营指标与发展方向。(2)组织企业各方面的力量,保证完成预定指标,组织实施并完成董事会下达的各项任务,严格履行各项合同。(3)在董事会授权的经营范围内,进行选择和计划,并生产适应市场需要的产品。

一、管理体制方面

(一)科学、合理、精干、高效是公司机构和人员设置的最佳目标。从目前公司情况来看,由于公司是由原四个公司合并重组而成,人员多、素质参差不齐是实际情况,要实现科学、合理、精干、高效的目标,必须按照竞争上岗、择优录用的原则精简干部队伍。坚决杜绝按照资历和职务定编定人,尊重每个干部在机构改革中平等的权力。依靠能力来进行定编,同时,打破编制“终身制”,杜绝人为给机关干部分成三六九等的制度,建立符合公司发展的干部任免体制。

对机关职能重新定位,界定管理权责,精简机构,压缩人员,推行扁平化管理。邀请权威人士对机关机构设置进行专门会诊,提出管控模式优化方案,对公司机关采取撤、并、合等进行调整整合,重新界定职能;对下属矿厂机关大幅度压缩,精简人员,提高效率。

(二)公司实行的直线式集中管理体制能较好地保证集中统一指挥,发挥各职能部门管理的作用,分工精细,责任清楚,其组织稳定性较高,在外部环境变化不大的情况下,易于发挥组织的集团效率。虽然直线式集中管理体制存在一些不足,但综合其它几种管理方式的利弊,直线式集中管理体制仍然比较适合公司实际。

二、运营机制方面

(一)针对目前对下属企业一统就死、一放就乱的现 状,公司可以采取以下措施:

1、进行合理的权力分配,公司应成为三大职能的管控 中心,即重大问题决策中心、资产财务管理中心、人力资源配置中心,实现管战略、管财务、管人事,将重大经营决策、财务监督、控制等权力集中在公司,对下属单位加强控制。对其它方面可以放权,充分调到基层单位的积极性。

2、建立快速信息反馈渠道。公司通过经常听取下属单 位的汇报,要求下属单位定期书面报告等形式,增加下属单位的信息来源渠道,并建立快速的反应机制,及时处理和决定相应的问题。

(二)执行力不强是不少企业的通病,公司也不同程度存在执行力差的问题,究其原因,主要有以下几个方面:

一是有的干部缺乏责任心。作风不扎实,存在着“浮”、“懒”、“散”、“粗”、“松”等方面的问题。

二是有的单位和部门缺乏全局观念和大局意识。不能自觉地贯彻上级要求,而是随心所欲、各取所需,搞上有政策,下有对策,对自己有利的就执行,不利的就不执行。还有的 爱找借口推卸责任,不在自己身上找原因。

三是制度不完善,某些制度与实际脱节,又不能根据形势发展及时修订完善,在执行上缺乏可操作性;有些制度没有经过充分论证,缺乏针对性、可行性和科学性,相互矛盾,结果导致政策变换频繁,连续性不够,刚性不足;在制度执行过程中掺杂较多的人为因素,盲目性、随意性很强,有的制度形同虚设。

四是有的机制不健全,存在人浮于事的现象;有的责任主体不明确、工作效率低下;对既定目标缺乏有效的监督和持续跟踪考核,执行不能始终如一;在工作安排上有时只有形式上的要求,没有实质上的检查和奖惩,抓落实仅仅停留在以文件落实文件、就会议落实会议上,失之于软、失之于宽。

五、监督考核和处罚制度有时落实不好,责任追究力度不够。

三、工作流程方面

(一)大力实施流程再造工程。

1、明确具体的领导机构,明确成员分工,将责任层层分解到具体责任人,并与绩效考核挂钩,使每位责任人兼负压力和动力,自身成为第一监控人。

2、建立定期会议机制和确定与会人员,明确工作任务进度、每一阶段的具体目标的量化值和围绕目标所开展的具 体工作,根据每一阶段的目标值检查工作任务完成情况,再采取相应手段推进或改进工作。

3、制定定期汇报材料的模板,使每一位具体责任人都能按模板中所需要的内容规范地向上级领导汇报工作进度。

(二)改进干部作作风

针对当前部门间、领导间相互扯皮、推诿,有利抢着干、无利拖着干,尤其是怕承担责任等现象,解决的办法是做到“目标明确、领导重视、方法可行、监督到位、激励考核”。

1、实施目标明确。目标明确就是要落实指标和任务。指标定得准确、能落实,是做预算、定激励考核的基础。使实施目标明确的另一个辅助手段是实施工作任务书,任务书上明确描述每个人的工作内容、期望结果、完成时限、使用资源、负责人、主要协助人等,签字生效。任务书在跨部门协作和给各执行者下达指令两种情况下会发挥明显的作用。工作任务目标明确了,就会避免相互扯皮、推诿现象的发生。

2、领导重视。领导的执行风格往往影响着工作的执行风格。因此,领导的榜样是无穷的,是执行最重要的主体。以身作则、身先士卒是领导必备的素质。因此,作为领导很重要的一点就是在重视自身执行能力加强的同时,必须重视对下属执行力的培养和监督。

3、监督机制的建立。一是发挥监督的作用。有些事情不及时加以监督,就会给工作造成直接或间接的损失。监督 是执行的灵魂,监督能够确保一项工作按照规划的时间进度表去实现目标。

二是做好跟进工作。跟进与监督是确保负责计划的人员能依照原定计划完成当初承诺的目标,并找出缺乏纪律或观念与行动不匹配的问题,同时理清各项具体细节,让各项工作相互协调。跟进的本质就是加强过程管理的行动,工作任务一旦下达,就得执行,就一定要有结果。

4、考核和激励要有效。要建立完整的考核体系和明确的考核标准。对有效执行者给予激励回报,对无效执行者要责任追究。

四、发展方面

针对目前公司资源储量不足、有些矿井资源即将枯竭的实际,必须坚持以科学发展观为指导。

资源是企业发展之基。综观资源枯竭型矿井发展,从队伍、技术、装备等优势看,主导方向摆脱不了对资源的依赖。这就要求我们,一方面,对内要立足本部集约发展,最大限度地延长矿井寿命;另一方面,对外要抢抓机遇积极地扩张发展,确保矿井衔接和生产的持续性。

一是精打细算,精采细采。这是资源短缺和资源枯竭型矿井共同面临的科学发展课题。就我公司而言,矿井剩余储量十分有限。因此,必须确定合理的开采规模,保护性开采,精采细采,提高回收率,延长矿井寿命。二是积极开发新的煤炭资源,千方百计争取神华集团公司和乌海市政府的支持和扶持,尽快解决资源枯竭矿井的燃眉之急,扶持资源枯竭矿井先行一步。资源枯竭型矿井发展不但涉及员工、家属的吃饭问题,而且关系企业的稳定发展,做好统筹规划非常重要。搞好矿井衔接,力求我公司既有战略性的资源储备,也有战术性的接替资源。我们要着眼公司发展未来,以谋求大煤田资源做战略储备,既要考虑生产衔接,也要考虑人员衔接。既要创效益,更要保稳定,让员工看到希望、看到未来。近期,要本着“不贪大求远”的发展原则,采取购买、合作等方式,力争在短时间内,实现矿井衔接、稳定发展。

五、人力资源方面

面对历史造成的人员多、年龄老化、文化素质低的现象,虽然短期内很难完全解决干部能上能下、员工能进能出、报酬按劳所得等问题,但我们应该逐步朝这方面努力。

(一)科学设置岗位,员工能进能出。

加快建立员工择优录用、能进能出的用工制度。在科学设置岗位的基础上,企业可以根据生产经营需要,面向社会、条件公开、平等竞争、择优录用员工。同时,企业要健全员工岗位考评机制,对全体员工实行定量考核与定性评价相结合的考评制度。考评结果与员工的岗位升降和聘用挂钩。结合岗位设置及考评结果,按照平等自愿、双向选择、协商一 致的原则,所有员工均应当按照法律、法规的规定签订劳动合同,明确双方的权利义务,规范劳动关系。

(二)推行公开选聘,引入竞争机制。

积极推进管理人员市场化选聘,加快建立管理人员能上能下的人事制度。企业必须根据实际需要,规范中、高层职位设置与职数限制,进一步完善法人治理结构。在坚持党管干部和严格干部管理权限的前提下,推行公开选聘制度,引入竞争机制。企业对中层以上的管理人员实行聘任制和契约化管理。同时,拓宽人才评价内涵。

(三)规范收入分配,薪酬能高能低。

进一步规范收入分配,建立健全收入能高能低的薪酬制度。企业应当按照“以岗定薪、岗变薪变”的原则,规范和完善员工薪酬制度,根据岗位职责确定员工的薪酬结构和标准,依据员工的工作业绩、对企业的贡献大小,合理确定员工实际薪酬的发放。
