1.如授权方确信ESPN频道中任何节目片段的播出可能或是将会侵害他人的权益，应有权临时撤消该节目或是通知被授权方采取措施，防止这类节目的转播。
2.授权方保留未言明授予被授权方的有关ESPN频道的一切权利。
3.被授权方同意，对于被授权方违反协议所造成的损失，授权方将不负任何责任，同时授权方的利益将不受损害。
4.本协议一经签署，在协议的有效期内，被授权方不得提出解除协议。协议到期时，被授权方如果决定不再续签协议，必须提前至少九十天通知授权方。
5.中国国际电视总公司依照与ESPN亚洲股份有限公司签署的合作协议，在中国大陆地区独家代理ESPN频道的收费业务。
6.本协议及其附加条款及附件，是授权方和被授权方共同达成的具体法律效力的约定，一经正式签署，双方都应严格执行。

一.为确保用户在协议起始日能接收到所需的节目，转播授权协议书签定后，签约方应在三天之内把解码器款汇至授权方指定开户银行、帐户，授权方在收到解码器款或见到汇款凭证的传真件后，应在一周内将解码器送至当地的管理部门。
二.收费标准及付费方式:
三、四星级饭店: 0.50元/天/房间
五星级饭店: 0.59元/天/房间
使领馆、涉外公寓/国际商业公司: 0.59元/天/房间
（以上签约用户如不足100个终端将按100个终端计算）解码器价格: 4,000.00元/台
三.付费期限: 按年度预付收视费
四.收视费汇款应在协议起始后的一周之内按所签协议的付款周期将收视费汇至指定银行帐户，汇款时请注明ESPN节目收视费。

1.被 委 托 方 应 通 过 闭 路 电 视 系 统 在 指 定 收 视 点 播 放 完 整 的 NGC节 目，包 括 但 不 限 于
节 目 原 有 的 广 告 和 推 销 材 料、版 权 告 协 助 和 制 作 人 名 单，不 得 变 动 或 修 改，但 可 以 为 保 证 节 目 符 合 中 国 有 关 法 律 和 法 规 的 要 求 而 进 行 必 要 的 删 除。NGC对 其 节 目 以 及 其 中 选 用 的 全 部 节 目 保 留 全 部 权 利，包 括 以 任 何 每 天 在 全 世 界 使 用 这 些 节 目 的 权 利。被 委 托 方 不 得 在 指 定 收 视 点 以 外 的 任 何 地 方 以 非 闭 路 电 视 方 式 播 放 或 允 许 他 方 播 放 NGC 节 目。
2.对 于 NGC 节 目 发 生 的 延 误、先 占 或 其 他 故 障，如 果 是 由 NGC 和/ 或 委 托 方 无 法 控 制的 原 因 所 致 的，不 由 NGC和 委 托 方 负 责。被 委 托 方 违 反 本 合 同 的，由 此 产 生 的 任 何 索 赔、责 任、费 用 和 支 出 一 概 由 被 委 托 方 负 责，并 应 使 NGC和 委 托 方 不 受 任 何 损 害。
3.NGC C.V.可 在 提 前 三 十 天 书 面 通 知 被 委 托 方 后 随 时 终 止 本 合 同 书。如 果 被 委 托 方

金 额。因 本 合 同 书 或 播 放 NGC节 目 而 被 中 国 政 府 或 其 任 何 部 门 征 收 的 税 费，以 及 其 他 有 关 费 用，一 概 由 被 委 托 方 负 责 支 付。
5.被 委 托 方 未 经 NGC 和 委 托 方 事 先 书 面 同 意 不 得 转 让 其 在 本 合 同 书 项 下 的 任 何 权

1.Authorized Party shall exhibit NGC’s program service known as “NGC”via the closed
circuit television system at the Authorized Premises, in its entirety, including without limitation, all advertising and promotion material, copyright notices, credits and billings, as and when transmitted by NGC, without alteration or amendment other than deletions made to ensure that NGC complies with all applicable PRC laws and regulations.NGC retains all rights for use in all media.Authorized Party shall not exhibit, or authorize any other party to exhibit NGC anywhere other than at the Authorized Premises or via any media other than closed circuit television.2.NGC and Authorizing Party shall not be responsible for any delays, preemptions or other
failure toprovide NGC where such delays, preemptions or failures are due to any cause(s)beyond the control of NGC and/or Authorizing Party.Authorized Party shall indemnify and hold NGC and Authorizing Party harmless against any claims, liabilities, costs and expenses arising out of any breach by Authorized Party of this agreement.3.NGC may terminate this agreement, effective at any time, by giving Authorized Party 30
days’ prior written notice.NGC may terminate this agreement effective at any time by giving the Authorized Party at least 7 days’ prior written notice, if the Authorized Party has breached this agreement and such breach(which shall be specified in such notice)is not cured within 7 days of such notice.This agreement shall automatically terminate on the termination or expiration of the agreement between NGC and the Authorizing Party.4.Payment by Authorized Party of the amount specified above shall be made without any

1.Authorized Party shall exhibit NGC’s program service known as “NGC” via the closed circuit television system at the Authorized Premises, in its entirety, including without limitation, all advertising and promotion material, copyright notices, credits and billings, as and when transmitted by NGC, without alteration or amendment other than deletions made to ensure that NGC complies with all applicable PRC laws and regulations.NGC retains all rights for use in all media.Authorized Party shall not exhibit, or authorize any other party to exhibit NGC anywhere other than at the Authorized Premises or via any media other than closed circuit television.2.NGC and Authorizing Party shall not be responsible for any delays, preemptions or other failure to provide NGC where such delays, preemptions or failures are due to any cause(s)beyond the control of NGC and/or Authorizing Party.Authorized Party shall indemnify and hold NGC and Authorizing Party harmless against any claims, liabilities, costs and expenses arising out of any breach by Authorized Party of this agreement.3.NGC may terminate this agreement, effective at any time, by giving Authorized Party 30 days’ prior written notice.NGC may terminate this agreement effective at any time by giving the Authorized Party at least 7 days’ prior written notice, if the Authorized Party has breached this agreement and such breach(which shall be specified in such notice)is not cured within 7 days of such notice.This agreement shall automatically terminate on the termination or expiration of the agreement between NGC and the Authorizing Party.4.Payment by Authorized Party of the amount specified above shall be made without any deduction, withholding or set-off whatsoever upon signing this agreement Authorized Party shall be responsible for the payment of all taxes imposed by the PRC or any political subdivision thereof in relation to this agreement or the exhibition of NBC by Authorized Party, as well as any other applicable duties or charges related thereto.5.Authorized Party may not assign any rights or obligations under this agreement without the prior written consent of NGC and the Authorizing Party.6.This agreement contains the entire agreement between of the parties with regard to the matters contained herein, and may not be amended except in writing signed by Authorized Party, Authorizing Party and NGC.The Authorizing Party: The Authorized Party:

2.授权方保留未言明授予被授权方的有关NHK频道的一切权利。被授权方不得以任何方式录制、复制和传播频道节目，用于本合同以外的目的。被授权方不得向其范围内的公共场所传送NHK节目。
3.被授权方同意,对于被授权方违反协议所造成的损失,授权方将不负任何责任,同时授权方的利益将不受损害。
4.本协议一经签署,在协议的有效期内,被授权方不得提出解除协议。协议到期时,被授权方如果决定不再续签协议,必须提前至少九十天通知授权方。续约协议的单价双方另行协商。
5.NHK频道是卫星加密频道,需要专用解码器以接收和转播。授权方同意向被授权方出售一台专用解码器。6.本协议及其附加条款及附件,是授权方和被授权方共同达成的具体法律效力的约定,一经正式签署,双方都应严格执行。

1.If Licensor determines that the telecasting of any part of the program of NHK(the Service)would infringe the rights of others or break applicable law, Licensor shall have the right to withdraw such program or notify licensee of such program, whereupon Licensee shall make arrangements to prevent the transmission of the program.2.All rights in and to the Service not expressly granted herein are reserved by Licensor, Licensee shall not record duplicate and transmit by all means or otherwise use the Service other than as specifically set forth herein.Licensee must transmit the Service only to non-public areas within Licensee’s premises.3.Licensee agrees to indemnify and hold harmless Licensor from and against all claims, costs, damages and liabilities arising from or related to any breach of the Contract by Licensee.4.After execution of the Contract and during the term of the Contract, Licensee agrees not to put forward termination of the Contract.Licensee may decide not to renew the Contract, but shall notify Licensor of the decision at least ninety days prior to the expiration of the Contract.The rate applicable to any renewal of the License Term may be subject to re-negotiation.5.The satellite signal of the Service is encrypted and that a decoder is necessary for Licensee’s receipt and retransmission thereof, Licensor agrees to sell to Licensee an above said decoder.6.This Contract and its addendum, when fully executed by both parties, shall constitute a legally binding agreement between Licensor and Licensee.LICENSOR:

Addendum:
1.In order to ensure that Licensee is able to receive the Service from the starting date of the Contract, Licensee shall remit the decoder payment into Licensor's designated bank account within three days after the contract is signed.Licensor shall send the decoder to related regional broadcasting administrate authority within one week after receiving Licensee's remittance or a copy of bank receipt of the remittance made by Licensee for the decoder.2.Price of the decoder: The price of the NHK decoder is RMB4,000.00
3.The unit subscription fee of NHK program:
Three , Four, Five star hotels: RMB0.42 per available room per day(The minimum contracted room amount for Hotels is 100)Foreign Housing Compounds: RMB24.90 per available room per month(The minimum contracted room amount for foreign Housing Compounds is 50)Companies: 415.00 per month
