Whereas the Buyer invited offer for certain goods and ancillary services, and has accepted the offer by the seller for the supply of those goods and services on the terms and conditions as below:

1.Scope of Supply and Price list

Notes:

1)The price is FOB Shanghai, including system design, manufacture, packing and transport to Chinese port-Shanghai;excluding system erection, debugging expenses, the costs of relevant assistant projects such as fundamentals of civil engineering, power distribution, firefighting, heat ventilation, drainage, lighting, weather shed etc.If the engineers are needed for guidance of the erection and debugging, the buyer shall pay the round-trip tickets of the engineers, accommodation and technical services fees of 250USD day/person.2)The load capacity 2.5T for all above ground levels, and 2.0T for all pit levels, all go through plates with cable reels

3)Nameplate: No any Logo on the Products

4)Colour to be Hsiang Gu standard colour

5)Swipe cards included for all spaces.6)Gate controls have to be integrated by Hsiang Gu into the board for the machine.7)All packing lists are to have the weights of each item included.8)Hsiang Gu need to supply the necessary covers for motor chains or any other exposed

moving parts which are a safety risk to users.9)Photos of the machine to be provided before the containers packing.10)No stillages to be packed over 2 tonnes.11)Stillages to be packed with the appropriate number of hold down straps for the weight of the items and if possible, secured to the walls of the container to prevent any movement during shipping.12)Electrical requirements： three phase wires for motors to have actives RED, BLUE & WHITE, neutral BLACK and earth YELLOW WITH GREEN TRACE.Please ensure that no 4 core cable is supplied for the anti-drop locks.In Australia we cannot have 24V and 240V in the same cable so we need 2 core cable.All power cables for locks must be double insulated.13)Instruction manual, mechanical and electrical drawings and packing lists(IN ENGLISH)to be provided as soon as complete by Hsiang Gu in order to not delay installation.Machine numbers will be marked on the signed drawings.All items need to be packed and labeled accordingly.14)Hsiang Gu to provide 5% extra of all nuts, bolts and fixings, 5% extra chains and any other small items required for the installation.2.County of origin of goods: P.R.China

3.Terms of payment:

1)The 30% of the contract price should be paid in advance by T/T before production, 70% of the contract price should be paid one week before the goods leaving.2)Payment for all deliveries shall be made on the term of USD, to the bank account as the Seller may notify in writing to the Buyer.It is agreed that the Products delivered remain the Sellers property until the Seller has received the payment in full.4.Shipment date: No later than 65 days for production after the shop drawings confirmed and receipt of the payment.5.Insurance： N/A

6.Documents required

The sellers shall present the following documents

6.1Full set of clean on Board Ocean Bills of Lading.6.2Signed commercial invoice in TWO copies

7.Shipping advice

The sellers shall immediately, upon the completion of the loading of the goods, advise the buyers of the Contract No, names of commodity, loaded quantity, invoice values, gross weight, names of vessel and shipment date by TLX/FAX.8.Force Majeure

The sellers shall not hold any responsibility for partial or total non-performance of this contract due to Force Majeure.But the sellers advise the buyers on time of such occurrence.9.Disputes settlement

All disputes in connection with this contract of the execution thereof shall be amicably settled through negotiation.In case no amicable settlement can be reached between the two parties, the case under dispute shall be submitted to arbitration, which shall be held in the country where the defendant resides, or in third country agreed by both parties.The decision of the arbitration shall be accepted as final and binding upon both parties.The Arbitration Fees shall be borne by the losing party.10.Law application

It will be governed by the law of the Peoples Republic of China under the circumstances that the contract is signed or the goods while the disputes arising are in the Peoples Republic of China or the defendant is Chinese legal person, otherwise it is governed by Untied Nations Convention on Contract for the International Sale of Goods.The terms in the contract based on INCOTERMS 1990 of the International Chamber of Commerce.11.This contract is in copies, effective since being singed /sealed by both parties.Signed by:
