第一条 根据《中华人民共和国仲裁法》和有关法律的规定以及国务院的《决定》、《通知》及《批复》,制定本仲裁规则。
第二条 中国海事仲裁委员会(原名中国国际贸易促进委员会海事仲裁委员会,以下简称仲裁委员会)以仲裁的方式,独立、公正地解决产生于远洋、沿海和与海相通的水域的运输、生产和航行过程中的契约性或非契约性的海事争议,以保护当事人的正当权益,促
进国内外航运事业和经济贸易的发展。仲裁委员会受理下列海事争议案件:
(一)关于船舶救助以及共同海损所产生的争议;
(二)关于船舶碰撞或者船舶损坏海上、通海水域、港口建筑物和设施以及海底、水下设施所发生的争议;
(三)关于海/水上船舶经营、作业、租用、抵押、代理、拖带、打捞、买卖、修理、建造、拆解业务以及根据运输合同、提单、或者其他文件办理的海/水上运输业务和海/水上保险所发生的争议;
(四)关于海洋资源开发利用及海洋环境污染损害的争议;
(五)关于货运代理合同、船舶物料供应合同、涉外船员劳务合同、渔业生产及捕捞合同所引起的争议;
(六)双方当事人协议仲裁的其他海事争议。
第三条 仲裁委员会根据当事人在争议发生之前或者在争议发生之后达成的将争议提交仲裁委员会仲裁的仲裁协议和一方当事人的书面申请,受理案件。仲裁协议系指当事人在合同中订明的仲裁条款,或者以其他方式达成的提交仲裁的书面协议。
第四条 仲裁委员会有权对仲裁协议的存在、效力以及仲裁案件的管辖权作出决定。当事人对仲裁协议的效力有异议的,如果一方请求仲裁委员会作出决定,另一方请求人民法院作出裁定,则由人民法院裁定。
第五条 合同中的仲裁条款应视为与合同其他条款分离地、独立地存在的条款,附属于合同的仲裁协议也应视为与合同其他条款分离地、独立地存在的一个部分;合同的变更、解除、终止、失效或无效以及存在与否,均不影响仲裁条款或仲裁协议的效力。
第六条 对仲裁协议及/或仲裁案件管辖权的抗辩,应当在仲裁庭首次开庭前提出,对书面审理的案件的管辖权的抗辩,应当在第一次实体答辩前提出。第七条 凡当事人同意将争议提交仲裁委员会仲裁的,均视为同意按照本仲裁规则进行仲裁。第二节 组织
第八条 仲裁委员会设名誉主任一人、顾问若干人。
第九条 仲裁委员会由主任一人、副主任若干人和委员若干人组成。主任履行本规则赋予的职责,副主任受主任的委托可以履行主任的职责。仲裁委员会设秘书处,在仲裁委员会秘书长的领导下负责处理仲裁委员会的日常事务。
第十条 仲裁委员会设立仲裁员名册,仲裁员由仲裁委员会从对航海、海上运输、对外贸易、保险和法律等方面具有专门知识和实际经验的中外人士中聘任。第十一条 仲裁委员会设在北京。根据仲裁业务发展的需要,仲裁委员会可以在中国境内其他地方设立仲裁委员会分会。第二章 仲裁程序
第一节 仲裁申请、答辩、反请求
第十二条 仲裁程序自仲裁委员会发出仲裁通知之日起开始。第十三条 申请人提出仲裁申请时应:
(一)提交仲裁申请书,仲裁申请书应写明:
1.申请人和被申请人的名称和住所(如有邮政编码、电话、电传、传真和电报号码,也应写明);
2.申请人所依据的仲裁协议; 3.案情和争议要点;
4.申请人的请求及所依据的事实和证据。
仲裁申请书应由申请人及/或申请人授权的代理人签名及/或盖章。
(二)在提交仲裁申请书时,附具申请人请求所依据的事实的证明文件。
(三)按照仲裁委员会制定的仲裁费用表的规定预缴仲裁费。
第十四条 仲裁委员会秘书处收到申请人的仲裁申请书及其附件后,经过审查,认为申请仲裁的手续不完备的,可以要求申请人予以完备; 认为申请仲裁的手续已完备的,应立即向被申请人发出仲裁通知,并将申请人的仲裁申请书及其附件,连同仲裁委员会的仲裁规
则、仲裁员名册和仲裁费用表各一份,一并发送给被申请人,同时也将仲裁通知、仲裁规则、仲裁员名册和仲裁费用表送交申请人。仲裁委员会向申请人和被申请人发出仲裁通知后,应指定一名秘书处的人员负责仲裁案件的程序管理工作。第十五条 申请人和被申请人应各自在收到仲裁通知之日起 20 天内在仲裁委员会仲裁员名册中各自选定一名仲裁员,或者委托仲裁委员会主任指定。
第十六条 被申请人应在收到仲裁通知之日起 45 天内向仲裁委员会秘书处提交答辩书和有关证明文件。第十七条 被申请人如有反请求,最迟应在收到仲裁通知之日起 60 天内以书面形式提交仲裁委员会。仲裁庭认为有正当理由的,可以适当延长此期限。被申请人提出反请求时,应在其书面反请求中写明具体的反请求、反请求理由以及所依据的事实和证据,并附具有关的证明文件。被申请人提出反请求,应当按照仲裁委员会的仲裁费用表的规定预缴仲裁费。
第十八条 申请人可以对其仲裁请求提出修改,被申请人也可以对其反请求提出修改; 但是,仲裁庭认为其修改的提出过迟而影响仲裁程序正常进行的,可以拒绝修改请求。
第十九条 当事人提交仲裁申请书、答辩书、反请求书和有关证明材料以及其他文件时,应一式五份,如果当事人人数超过两人,则应增加相应份数,如果仲裁庭组成人数为一人,则可以减少两份。
第二十条 被申请人未提交书面答辩及/或申请人对被申请人的反请求未提出书面答辩的,不影响仲裁程序的进行。
第二十一条 当事人可以委托仲裁代理人办理有关的仲裁事项; 接受委托的仲裁代理人,应向仲裁委员会提交授权委托书。
中国公民和外国公民均可以接受委托,担任仲裁代理人。
第二十二条 当事人申请财产保全,仲裁委员会应当将当事人的申请提交被申请人住所地或其财产所在地的海事法院作出裁 定。
当事人申请证据保全,仲裁委员会应当将当事人的申请提交证据所在地的海事法院作出裁定。
第二节 仲裁庭的组成
第二十三条 双方当事人应当各自在仲裁委员会仲裁员名册中选定一名仲裁员或者委托仲裁委员会主任指定。第三名仲裁员由双方当事人共同选定或者共同委托仲裁委员会主任指定。
如果双方当事人在被申请人收到仲裁通知之日起 20 天内未能共同选定或者共同委托仲裁委员会主任指定第三名仲裁员,则由仲裁委员会主任指定。第三名仲裁员担任首席仲裁员。
首席仲裁员与被选定或者被指定的两名仲裁员组成仲裁庭,共同审理案件。第二十四条 双方当事人可以在仲裁委员会仲裁员名册中共同选定或者共同委托仲裁委员会主任指定一名仲裁员作为独任仲裁员,成立仲裁庭,单独审理案件。如果双方当事人约定由一名独任仲裁员审理案件,但在被申请人收到仲裁通知之日起 20 天内未能就独任仲裁员的人选达成一致意见,则由仲裁委员会主任指定。第二十五条 申请人或者被申请人未按照本仲裁规则第十五条的规定选定或者委托仲裁委员会主任指定仲裁员的,则由仲裁委员会主任指定。
第二十六条 仲裁案件有两个或者两个以上申请人及/或被申请人时,申请人之间及/或被申请人之间应当经过协商,在仲裁委员会仲裁员名册中各自共同选定或者各自共同委托仲裁委员会主任指定一名仲裁员。如果申请人之间及/或被申请人之间未能在收到仲裁通知之日起 20 天内各自共同选定或者各自共同委托仲裁委员会主任指定一名仲裁员,则由仲裁委员会主任指定。
第二十七条 被选定或者被指定的仲裁员,与案件有个人利害关系的,应当自行向仲裁委员会披露并请求回避。
第二十八条 当事人对被选定或者被指定的仲裁员的公正性和独立性产生具有正当理由的怀疑时,可以书面向仲裁委员会提出要求该仲裁员回避的请求,但应说明提出回避请求所依据的具体事实和理由,并举证。对仲裁员的回避请求应在第一次开庭之前以书面形式提出; 如果要求回避事由的发生和得知是在第一次开庭审理之后,则可以在最后一次开庭终结之前提出。
第二十九条 仲裁员是否回避,由仲裁委员会主任作出决定。
第三十条 仲裁员因回避或者由于死亡、除名等其他原因不能履行职责时,应按照原选定或者指定该仲裁员的程序,选定或 者指定替代的仲裁员。
替代的仲裁员选定或者指定后,由仲裁庭决定以前进行过的全部或部分审理是否需要重新进行。第三节 审理
第三十一条 仲裁庭应当开庭审理案件。但经双方当事人申请或者征得双方当事人同意,仲裁庭也认为不必开庭审理的,仲裁庭可以只依据书面文件进行审理并作出裁决。
第三十二条 仲裁案件第一次开庭审理的日期,经仲裁庭商仲裁委员会秘书处决定后,由秘书处于开庭前 30 天通知双方当事人。当事人有正当理由的,可以请求延期,但必须在开庭前 12 天以书面形式向秘书处提出; 是否延期,由仲裁庭决定。
第三十三条 第一次开庭审理以后的开庭审理的日期的通知,不受 30 天期限的限制。
第三十四条 由仲裁委员会受理的案件应当在北京进行审理,经仲裁委员会秘书长同意,也可以在其他地点进行审理。
第三十五条 仲裁庭开庭审理案件不公开进行,如果双方当事人要求公开审理,由仲裁庭作出是否公开审理的决定。
第三十六条 不公开审理的案件,双方当事人及其仲裁代理人、证人、仲裁员、仲裁庭咨询的专家和指定的鉴定人、仲裁委员会秘书处的有关人员,均不得对外界透露案件实体和程序进行的情况。
第三十七条 当事人应当对其申请、答辩和反请求所依据的事实提出证据。仲裁庭认为必要时,可以自行调查事实,收集证据。
仲裁庭自行调查事实,收集证据时,认为有必要通知双方当事人到场的,应及时通知双方当事人到场,经通知而一方或双方当事人不到场的,仲裁庭自行调查事实和收集证据的行动不受其影响。第三十八条 仲裁庭可以就案件中的专门问题向专家咨询或者指定鉴定人进行鉴定,专家和鉴定人可以是中国或外国的机构或公民。
仲裁庭有权要求当事人,而且当事人也有义务向专家/鉴定人提供或出示任何有关资料、文件或财产、货物,以供专家/鉴定人审阅、检验及/或鉴定。第三十九条 专家报告和鉴定报告的副本,应送给双方当事人,给予双方当事人对专家报告和鉴定报告提出意见的机会。任何一方当事人要求专家/鉴定人参加开庭的,经仲裁庭同意后,专家/鉴定人可以参加开庭,并在仲裁庭认为必要和适宜的情况下就他们的报告作出解释。
第四十条 当事人提出的证据由仲裁庭审定; 专家报告和鉴定报告,由仲裁庭决定是否采纳。
第四十一条 仲裁庭开庭审理时,一方当事人不出席,仲裁庭可以进行缺席审理和作出缺席裁决。
第四十二条 开庭审理时,仲裁庭可以作庭审笔录及/或录音。仲裁庭认为必要时,可以作出庭审要点,并要求当事人及/其代理人、证人及/或其他有关人员在庭审要点上签字或者盖章。
庭审笔录和录音只供仲裁庭查用。
第四十三条 仲裁案件,如果当事人在仲裁庭之外自行达成和解,可以请求仲裁庭根据其和解协议的内容作出裁决书结案,也可以申请撤销案件。在仲裁庭组成前申请撤销案件的,由仲裁委员会秘书长作出决定;在仲裁庭组成后申请撤销案件的, 由仲裁庭作出决定。当事人就已经撤销的案件再提出仲裁申请时,由仲裁委员会主任作出受理或者不受理的决定。
第四十四条 一方当事人知道或者理应知道本仲裁规则或仲裁协议中规定的任何条款或情事未被遵守,但仍参加仲裁程序或继续进行仲裁程序而且不对此不遵守情况及时地明示地提出书面异议的,视为放弃其提出异议的权利。
第四十五条 如果双方当事人有调解愿望,或一方当事人有调解愿望并经仲裁庭征得另一方当事人同意的,仲裁庭可以在仲裁程序进行过程中对其审理的案件进行调解。
第四十六条 仲裁庭可以按照其认为适当的方式进行调解。
第四十七条 仲裁庭在进行调解的过程中,任何一方当事人提出终止调解或仲裁庭认为已无调解成功的可能时,应停止调解。
第四十八条 在仲裁庭进行调解的过程中,双方当事人在仲裁庭之外达成和解的, 应视为是在仲裁庭调解下达成的和解。
第四十九条 经仲裁庭调解达成和解的,双方当事人应签订书面和解协议;除非当事人另有约定,仲裁庭应当根据当事人书面和解协议的内容作出裁决书结案。第五十条 如果调解不成功,任何一方当事人均不得在其后的仲裁程序、司法程序和其他程序中援引对方当事人或仲裁庭在调解过程中发表过的、提出过的、建议过的、承认过的以及愿意接近过的或否定过的任何陈述、意见、观点或建议作为其请求、答辩及、或反请求的依据。第四节 裁决 第五十一条 仲裁庭应当在组庭之日起九个月内作出仲裁裁决书。在仲裁庭的要求下,仲裁委员会秘书长认为确有必要和确有正当理由的,可以延长该期限。第五十二条 仲裁庭应当根据事实,依照法律和合同规定,参考国际惯例,并遵循公平合理原则,独立公正地作出裁决。
第五十三条 由三名仲裁员组成的仲裁庭审理的案件,仲裁裁决依全体仲裁员或多数仲裁员的意见决定,少数仲裁员的意见可以作成记录附卷。仲裁庭不能形成多数意见时,仲裁裁决依首席仲裁员的意见作出。
第五十四条 仲裁庭在其作出的仲裁裁决中,应当写明仲裁请求、争议事实、裁决理由、裁决结果、仲裁费用和负担、裁决的日期和地点。当事人协议不愿写明争议事实和裁决理由的,以及按照双方当事人和解协议的内容作出裁决的,可以不写明争议事实和裁决理由。
第五十五条 除非仲裁裁决依首席仲裁员意见或独任仲裁员意见作出,仲裁裁决应由多数仲裁员署名。持有不同意见的仲裁员可以在裁决书上署名,也可以不署名。
仲裁员应在签署裁决前将裁决书草案提交仲裁委员会。在不影响仲裁员独立裁决的情况下,仲裁委员会可以就裁决书的形式问题提请仲裁员注意。裁决书应加盖仲裁委员会印章。
作出仲裁裁决书的日期,即为仲裁裁决发生法律效力的日期。
第五十六条 仲裁庭认为必要或者当事人提出经仲裁庭同意时,可以在仲裁过程中在最终仲裁裁决作出之前的任何时候,就案件的任何问题作出中间裁决或部分裁决。任何一方当事人不履行中间裁决,不影响仲裁程序的继续进行,也不影响仲裁庭作出最终裁决。
第五十七条 仲裁庭有权在仲裁裁决书中裁定双方当事人最终应向仲裁委员会支付的仲裁费和其他费用。
第五十八条 仲裁庭有权在裁决书中裁定败诉方应当补偿胜诉方因为办理案件所支出的部分合理的费用,但补偿金额最多不得超过胜诉方胜诉金额的 10%。第五十九条 仲裁裁决是终局的,对双方当事人均有约束力。任何一方当事人均不得向法院起诉,也不得向其他任何机构提出变更仲裁裁决的请求。
第六十条 任何一方当事人均可以在收到仲裁裁决书之日起 30 天内就仲裁裁决书中的书写、打印、计算上的错误或其他类似性质的错误,书面申请仲裁庭作出更正;如确有错误,仲裁庭应在收到书面申请之日起 30 天内作出书面更正,仲裁庭也可以在发出仲裁裁决书之日起 30 天内自行以书面形式作出更正。该书面更正构成裁决书的一部分。
第六十一条 如果仲裁裁决有漏裁事项,任何一方当事人均可以在收到仲裁裁决书之日起 30天内以书面形式请求仲裁庭就仲裁裁决中漏裁的仲裁事项作出补充裁决。
如确有漏裁事项,仲裁庭应在收到上述书面申请之日起 30 天内作出补充裁决,仲裁庭也可以在发出仲裁裁决书之日起 30 天内自行作出补充裁决。补充裁决构成原裁决书的一部分。第六十二条 当事人应当依照仲裁裁决书写明的期限自动履行裁决; 仲裁裁决书未写明期限的,应当立即履行。一方当事人不履行的,另一方当事人可以根据中国法律的规定,向中国法院申请执行; 或者根据一九五八年《承认及执行外国仲裁裁决公约》或者中国缔结或参加的其他国际条约,向外国有管辖权的法院申请执行。
第三章 简易程序
第六十三条 除非当事人另有约定,凡是争议金额不超过人民币 50 万元的,或争议金额超过人民币 50万元,经一方当事人书面申请并征得另一方当事人书面同意的,适用本简易程序。
第六十四条 申请人向仲裁委员会提出仲裁申请,经审查可以受理并适用简易程序的,仲裁委员会秘书处应立即向双方当事人发出仲裁通知。
除非双方当事人已从仲裁委员会仲裁员名册中共同选定了一名独任仲裁员,双方当事人应在被申请人收到仲裁通知之日起 15 天内在仲裁委员会仲裁员名册中共同选定或者共同委托仲裁委员会主任指定一名独任仲裁员。双方当事人逾期未能共同选定或者共同委托仲裁委员会主任指定的,仲裁委员会主任应立即指定一名独任仲裁员成立仲裁庭审理案件。
第六十五条 被申请人应在收到仲裁通知之日起 30 天内向仲裁委员会提交答辩书及有关证明文件;如有反请求,也应在此期限内提出反请求书及有关证明文件。
第六十六条 仲裁庭可以按照其认为适当的方式,审理案件; 可以决定只依据当事人提交的书面材料和证据进行书面审理,也可以决定开庭审理。
第六十七条 当事人应按照仲裁庭的要求和限定的日期提交仲裁所需的书面材料及证据。
第六十八条 对于开庭审理的案件,仲裁庭确定开庭的日期后,仲裁委员会秘书处应在开庭前 15 天将开庭日期通知双方当事人。
第六十九条 如果仲裁庭决定开庭审理,仲裁庭只开庭一次。确有必要的,仲裁庭可以决定再次开庭。
第七十条 在进行简易程序过程中,任何一方当事人没有按照本简易程序行事时, 不影响程序的进行和仲裁庭作出裁决的权力。
第七十一条 仲裁请求的变更或反请求的提出,不影响简易程序的继续进行。第七十二条 开庭审理的案件,仲裁庭应在开庭审理或再次开庭审理之日起30天内作出仲裁裁决书;书面审理的案件,仲裁庭应当在仲裁庭成立之日起90天内作出仲裁裁决书。在仲裁庭的要求下,仲裁委员会秘书长认为确有必要和确有正当理由的,可以对上述期限予以延长。
第七十三条本章未规定的事项,适用本仲裁规则的其他各章的有关规定。第四章 附则
第七十四条 仲裁委员会以中文为正式语文。当事人另有约定的,则从其约定。仲裁庭开庭时,如果当事人或其代理人、证人需要语文翻译,可以由仲裁委员会秘书处提供译员,也可以由当事人自行提供译员。对当事人提交的各种文书和证明材料,仲裁庭及/或仲裁委员会秘书处认为必要时,可以要求当事人提供相应的中文译本或其他语文的译本。
第七十五条 有关仲裁的一切文书、通知、材料等均可以派人或以挂号信或航空特快专递、传真、电传、电报或仲裁委员会秘书处认为适当的其他方式发送给当事人及/ 或其仲裁代理人。
第七十六条 向当事人及/或其仲裁代理人发送的任何书面通讯,如经当面递交收讯人或投递至收讯人的营业地点、惯常住所或通讯地址,或者经合理查询不能找到上述任一地点而以挂号信或能提供作过投递企图的记录的其他任何手段投递给收讯人最后一个为人所知的营业地点、惯常住所或通讯地址,即应视为已经送达。第七十七条 仲裁委员会除按照其制定的仲裁费用表向当事人收取仲裁费外,可以向当事人收取其他额外的、合理的实际开支,包括仲裁员办理案件的特殊报酬、差旅费、食宿费以及仲裁庭聘请专家、鉴定人和翻译等的费用。
仲裁委员会对双方当事人自行达成和解后申请撤销的案件,可以视工作量的大小和实际开支的多少,收取仲裁费。
第七十八条 仲裁协议或合同中的仲裁条款订明由中国海事仲裁委员会仲裁或由其旧名称的中国国际贸易促进委员会海事仲裁委员会仲裁的,均应视为双方当事人一致同意由中国海事仲裁委员会仲裁。
第七十九条 本仲裁规则自1995年10月1日起施行。在本仲裁规则施行前仲裁委员会受理的案件,仍适用受理案件时适用的仲裁规则; 双方当事人同意的,也可以适用本仲裁规则。
第八十条 本仲裁规则由仲裁委员会负责解释。

CHINA MARITIME ARBITRATION COMMISSION ARBITRATION RULES(Revised and Adopted on September 4,1995 by China Chamber ofInternational Commerce.Effective as from October 1,1995.)Chapter I General Provisions Section 1 Jurisdiction
Article 1 These Rules are formulated in accordance with the Arbitration Law and the provisions of the relevant laws of the People's Republic of China(PRC)and pursuant to the “Decision ”, the ”Notice“ and ”Official Reply“ of the State Council of the PRC.Article 2 China Maritime Arbitration Commission(formerly known as Maritime Arbitration Commission of the China Council for the Promotion of International Trade, and hereinafter referred to as the ”Arbitration Commission")independently and impartially resolves, by means of arbitration, contractual or non-contractual maritime disputes arising from, or in the process of, transportation, production and navigation by or at sea, in coastal waters and other waters connected with sea, in order to protect the legitimate rights and interests of the parties and promote the development of the domestic and international shipping industry and economy and trade.The Arbitration Commission shall take cognizance of cases of following maritime disputes:
(1)dispute arising from salvage and general average;
(2)dispute arising from collision between vessels, or from damage caused by a vessel to the structure and installation on the sea, waterways connected with sea, in the harbour as well as the submarine or underwater installation;
(3)dispute arising from management, operation, chartering, mortgage, agency, towage, raising, sale, repair, building, demolition, of sea-going/river vessel, as well as carriage by sea in virtue of contracts of affreightment, bill of lading or other documents, and marine insurance;
(4)dispute regarding the utilization of the marine resources and pollution damages to the marine environment ;
(5)dispute arising from contract of freight forwarding, supply of ship's stores, employment of seaman aboard a foreign vessel, fishery production and fishing;
(6)other maritime dispute submitted for arbitration by agreement between the parties.Article 3 The Arbitration Commission takes cognizance of cases in accordance with an arbitration agreement between the parties concluded before or after the occurrence of the dispute to refer their dispute to the Arbitration Commission for arbitration and upon the written application by one of the parties.An arbitration agreement means an arbitration clause stipulated by the parties in their contract or a written agreement concluded by the parties in other forms to submit their dispute for arbitration.Article 4The Arbitration Commission has the power to decide on the existence and validity of an arbitration agreement and the jurisdiction over an arbitration case.If a party challenges the validity of the arbitration agreement and requests the Arbitration Commission to make a decision there upon and he other party applies to the People's Court for a ruling, the latter's ruling shall prevail.Article 5 An arbitration clause contained in a contract shall be regarded as existing independently and separately from the other clauses of the contract, and an arbitration agreement attached to a contract shall be treated as a part of the contract existing independently and separately from the other parts of the contract.The validity of an arbitration clause or an arbitration agreement shall not be affected by the modification, rescission, termination, invalidity,revocation or non-existence of the contract.Article 6Any objections to an arbitration agreement and/or jurisdiction over an arbitration case shall be raised before the first hearing conducted by the arbitration tribunal.Where a case is examined on the basis of documents only, the objections to jurisdiction should be raised before submission of the first substantive defense.Article 7Once the parties agree to submit their dispute to the Arbitration Commission for arbitration, they shall be deemed that they have agreed to conduct the arbitration under these Rules.Section 2 Organization
Article 8 The Arbitration Commission shall have one honorary Chairman and several advisers.Article 9 The Arbitration Commission is composed of one Chairman, several Vice-Chairmen and a number of Commission members.The Chairman performs the functions and duties vested in him by these Rules and the Vice-Chairmen may perform the Chairman's functions and duties with the Chairman's authorization.The Arbitration Commission shall have a secretariat to handle its day-to-day work under the leadership of the Secretary-General of the Arbitration Commission.Article 10 The Arbitration Commission shall maintain a Panel of Arbitrators.The arbitrators shall be selected and appointed by the Arbitration Commission from among Chinese and foreign personages with special knowledge and practical experience in the fields of navigation, carriage by sea, foreign trade, insurance and law and other fields.Article 11 The Arbitration Commission is located in Beijing.The Arbitration Commission may, according to the requirement of development of arbitration business, set up its Sub-Commissions in other places within china's territory.Chapter II Arbitration Proceedings Section 1 Application for Arbitration, Defense and Counter-claim Article 12 The arbitration proceedings shall commence from the date on which the Notice of Arbitration is sent out by the Arbitration Commission.Article 13 The Claimant shall satisfy the following requirements when submitting his Application for Arbitration:(1)an Application for Arbitration in writing shall be submitted and the following shall be specified in the Application for Arbitration:(a)the name and address of the Claimant and those of the Respondent, including the zip code, telephone number, telex number, fax number and cable number, if any;(b)the arbitration agreement relied upon by the Claimant;(c)the facts of the case and the main points of dispute;(d)the Claimant's claim and the facts and evidence on which his claim is based.The Application for Arbitration shall be signed and/or stamped by the Claimant and/or the attorney authorized by the Claimant.(2)When an Application for Arbitration is submitted to the Arbitration Commission, the relevant documentary evidence on which the Claimant's claim is based shall accompany the Application for Arbitration.(3)The Claimant shall pay an arbitration fee in advance to the Arbitration Commission according to the Arbitration Fee Schedule of the Arbitration Commission.Article 14 After receipt of the Application for Arbitration and its attachments and when the secretariat of the Arbitration Commission, after examination, deems that the Claimant has not completed the formalities required for arbitration, the secretariat shall demand the Claimant to complete them, and when the secretariat deems that the Claimant has completed the formalities, the secretariat shall immediately send to the Respondent a Notice of Arbitration together with one copy each of the Claimant's Application for Arbitration and its attachments as well as the Arbitration Rules, the Panel of Arbitrators and the Arbitration Fee Schedule of the Arbitration Commission, and shall simultaneously send to the Claimant one copy each of the Notice of Arbitration, the Arbitration Rules, the Panel of Arbitrators and Arbitration Fee Schedule.The secretariat of the Arbitration Commission, after sending the Notice of Arbitration to the Claimant and Respondent, the Notice of Arbitration to the Claimant and Respondent, shall appoint one of its staff-members to take charge of procedural administration of the case.Article 15 The Claimant and the Respondent shall, within 20 days as from the date of receipt of the Notice of Arbitration, appoint an arbitrator from among the Panel of Arbitrators of the Arbitration Commission or authorize the Chairman of the Arbitration Commission to make such appointment.Article 16 The Respondent shall, within 45 days from the date of receipt of the Notice of Arbitration, submit his written defense and relevant documentary evidence to the secretariat of the Arbitration Commission.Article 17 The Respondent shall, at the latest within 60 days from the date of receipt of the Notice of Arbitration, lodge with the secretariat of the Arbitration Commission his counterclaim in writing, if any.The arbitration tribunal may extend that time limit if it deems that there are justified reasons.When lodging a counterclaim, the Respondent must state in his written statement of counterclaim his specific claim, reasons for his claim and facts and evidence upon which his claim is based, and attach to his written statement of counterclaim the relevant documentary evidence.When lodging a counterclaim, the Respondent shall pay an arbitration fee in advance according to the Arbitration Fee Schedule of the Arbitration Commission.Article 18 The Claimant may request to amend his claim and the Respondent may request to amend his counterclaim;but the arbitration tribunal may refuse such a request for amendment if it considers that it is too late to raise the request and the amendment may affect the arbitration proceedings.Article 19 When submitting application for arbitration, written defense, statement of counterclaim, documentary evidence and other documents, the party/parties shall submit them in quintuplicate.If the number of the parties exceeds two, additional copies shall be submitted accordingly;if the number of arbitrator of the arbitration tribunal is one, two copies may be reduced.Article 20 The arbitration proceedings shall not be affected in case the Respondent fails to file his defense in writing or the Claimant fails to submit his written defense against the Respondent's counterclaim.Article 21 The parties may authorize arbitration agents to deal with the matters relating to arbitration;the authorized attorney must produce a Power of Attorney to the Arbitration Commission.Chinese and foreign citizens can be authorized to act as arbitration agents.Article 22 When a party applies for property preservative measures, the Arbitration Commission shall submit the party's application for a ruling to the maritime court in the place where the domicile of the party against whom the property preservative measures are sought is located or in the place where the property of the said party is located.When a party applies for taking interim measures of protection of evidence, the Arbitration Commission shall submit the party's application for a ruling to the maritime court in the place where the evidence is located.Section 2 Formation of Arbitration Tribunal Article 23 Each of the parties shall appoint one arbitrator from among the Panel of Arbitrators of the Arbitration Commission or entrust the Chairman of the Arbitration Commission to make such appointment.The third arbitrator shall be jointly appointed by the parties or appointed by the Chairman of the Arbitration Commission upon the parties' joint authorization.In case the parties fail to jointly appoint or jointly entrust the Chairm of the and/or Respondents in an arbitration case, the Claimants' side and/or the Respondents' side each shall, through consultation, appoint or entrust the Chairman of the Arbitration Commission to appoint one arbitrator from among the Panel ofArbitrators of the Arbitration Commission.If the Claimants' side or the Respondents' side fails to make such appointment or entrustment within 20 days as from the date on which the Respondents' side receives the Notice of Arbitration, the appointment shall be made by the Chairman of the Arbitration Commission.Article 27 Any appointed arbitrator having a personal interest in the case shall himself disclose such circumstances to the Arbitration Commission and request a withdrawal from his office.Article 28 A party may make a request in writing to the Arbitration Commission for the removal of an appointed arbitrator from his office, if the party has justified reasons to suspect the impartiality and independence of the appointed arbitrator.In the request, the facts and reasons on which the request is based and evidence must be given.A challenge against an arbitrator for a removal from his office must be put forward in writing no later than the first oral hearing.If the grounds for the challenge come out or are made known after the first oral hearing, the challenge may be raised after the first hearing but beforethe end of the last hearing.Article 29 The Chairman of the Arbitration Commission shall decide on the challenge.Article 30 If an arbitrator cannot perform his duty owing to withdrawal, demise, removal or other reasons, a substitute arbitrator shall be appointed in accordance with the procedure pursuant to which the original arbitrator was appointed.After the appointment of the substitute arbitrator, the tribunal has discretion to decide whether or not the whole or part of the previous hearings shall be repeated.Section 3 Hearing Article 31 The arbitration Tribunal shall hold oral hearings when examining a case.At the request of the parties or with their consent, oral hearings may be omitted if the arbitration tribunal also deems that oral hearings are unnecessary, and then the arbitration tribunal may examine the case and make an award on the basis of documents only.Article 32 The date of the first oral hearing shall be fixed by the arbitration tribunal in consultation with the secretariat of the Arbitration Commission.The notice of the date of the hearing shall be communicated by the secretariat of the Arbitration Commission to the parties 30 days before the date of the hearing.A party having justified reasons may request a communicated to the secretariat of the Arbitration Commission 12 days before the date of the hearing and the arbitration tribunal shall decide whether to postpone the hearing or not.Article 33 The notice of the date of hearing subsequent to the first hearing is not subject to the 30-day time limit.Article 34The cases taken cognizance of by the Arbitration Commission shall be heard in Beijing, or in other places with the approval of the Secretary-General of the Arbitration Commission.Article 35 The arbitration tribunal shall not hear cases in open session.If both parties request a hearing to be held in open session, the arbitration tribunal shall decide whether to hold the hearing in open session or not.Article 36 When a case is heard in closed session, the parties, their attorneys, witnesses, arbitrators, experts consulted by the arbitration tribunal and appraisers appointed by the arbitration tribunal and the relevant staff-members of the secretariat of the Arbitration Commission shall not disclose to outsiders the substantive or procedural matters of the case.Article 37The parties shall produce evidence for the facts on which their claim, defense and counterclaims are based.The arbitration tribunal may undertake investigations and collect evidence on its own initiative, if it deems it necessary.If the arbitration tribunal investigates and collects evidence on its own initiative, it shall timely inform the parties to be present on the spot if it deems it necessary.Should one party or both parties fail to appear on the spot, the investigation and collection of evidence shall by no means be affected.Article 38 The arbitration tribunal may consult an expert or appoint an appraiser for the clarification of special questions relating to the case.Such an expert or appraiser can be an organization or a citizen, Chinese or foreign.The arbitration tribunal has the power to order the parties and the parties are also obliged to submit or produce to the expert or appraiser any materials, documents, properties or goods related to the case for check-up, inspection and/or appraisal.Article 39 The expert's report and the appraiser's report shall be copied to the parties so that they may have the opportunity to give their opinions thereon.At the request of any party to the case and with the approval of at the hearing and give explanations of their reports when the arbitration tribunal deems it necessary and appropriate.Article 40 The evidence submitted by the parties shall be examined and decided by the arbitration tribunal.The adoption of the expert's report and the appraiser's report shall be determined by the arbitration tribunal.Article 41 Should one of the parties fail to appear at the hearing, the arbitration tribunal may proceed with the hearing and make an award by default.Article 42 During the hearing, the arbitration tribunal may make a record in writing and/or by tape-recording.The arbitration tribunal may, when it deems it necessary, make a minute stating the main points of the hearing and ask the parties and/or their attorneys, witnesses and/or other persons involved to sign their names on it and/or affix their seals to it.The record in writing or by tape-recording is only for the use and reference of the arbitration tribunal.Article 43If the parties to an arbitration case reach an amicable settlement agreement by themselves, they may either request the arbitration tribunal to make an award in accordance with the contents of their amicable settlement agreement to end the case or request a dismissal of the case.The Secretary-General of the Arbitration Commission shall decide on the request for a dismissal of the case if the request is made before the formation of the arbitration tribunal, and the arbitration tribunal shall decide if the request is put forward after the formation of the arbitration tribunal.If the party or the parties refer the dismissed case again to the Arbitration Commission for arbitration, the Chairman of the Arbitration Commission shall decide whether to accept the reference or not.Article 44A party who knows or should have known that any provision or requirement of these Rules has not been complied with and yet proceeds with the arbitration proceedings without explicitly raising in writing his objection to non-compliance in a timely manner shall be deemed to have waived his right to object.Article 45 If both parties have a desire for conciliation or one party so desires and the other party agrees to it when consulted by the arbitration tribunal, the arbitration tribunal may conciliate the case under its cognizance in the process of arbitration.Article 46The arbitration tribunal may conciliate cases in the manner it deems appropriate.Article 47The arbitration tribunal shall terminate conciliation and continue the arbitration proceedings when one of the parties requests a termination of conciliation or when the arbitration tribunal believes that further efforts to conciliate will be futile.Article 48 If the parties have reached an amicable settlement outside the arbitration tribunal in the course of conciliation conducted by the arbitration tribunal, such settlement shall be deemed as one which has been reached through the arbitration tribunal's conciliation.Article 49 The parties shall sign a settlement agreement in writing when an amicable settlement is reached through conciliation conducted by the arbitration tribunal, and the arbitration tribunal shall end the case by making an arbitration award in accordance with the contents of the settlement agreement unless otherwise agreed by the parties.Article 50 Should conciliation fail, any statement, opinion, view or proposal which has been made, raised, put forward, acknowledged, accepted or rejected by either party or by the arbitration tribunal in the process of conciliation shall not be invoked as grounds for any claim, defense and/or counterclaim in the subsequent arbitration proceedings, judicial proceedings or any other proceedings.Section 4 Award
Article 51 The arbitration tribunal shall render an arbitral award within 9 months as from the date on which the arbitration tribunal is formed.The Secretary General of the Arbitration Commission may extend this time limit at the request of the arbitration tribunal if the Secretary-General of the arbitration Commission considers that it is really necessary and the reasons for extension are truly justified.Article 52 The arbitration tribunal shall independently and impartially make its arbitral award on the basis of the facts, in accordance with the law and the terms of the contracts, with reference to international practices and in compliance with the principle of fairness and reasonableness.three arbitrators, the arbitral award shall be decided by the majority of the arbitrators and the minority opinion may be written in the record and docketed into the file.When the arbitration tribunal cannot attain a majority opinion, the arbitral award shall be decided in accordance with the presiding arbitrator's opinion.Article 54 The arbitration tribunal shall state in the arbitral award the claims, the facts of the dispute, the reasons on which the arbitral award is based, the result of the arbitral award, the allocation of the arbitration costs, the date on which and the place at which the arbitral award is made.The facts of the dispute and the reasons on which the arbitral award is based may not be stated in the arbitral award if the parties have agreed not to state them in the arbitral award, or the arbitral award is made in accordance with the contents of the settlement agreement reached between the parties.Article 55Unless the arbitral award is made in accordance with the opinion of the presiding arbitrator or the sole arbitrator, the arbitral award shall be signed by all the arbitrators or the majority arbitrators sitting on the arbitration tribunal.An arbitrator who has a dissenting opinion may sign or not sign his name on the arbitral award.The arbitrators shall submit their draft arbitral award to the Arbitration Commission before signing the award.The Arbitration Commission may remind the arbitrator of any issue related to the form of the arbitral award on condition that the arbitrator's independence of decision is not affected.The Arbitration Commission's stamp shall be affixed to the arbitral award.The date on which the arbitral award is made is the date on which the arbitral award comes into legal effect.Article 56The arbitration tribunal may, if it deems it necessary or the parties so request and the arbitration tribunal agrees, make an interlocutory award or partial award on any issue of the case at any time in the course of arbitration before the final award is made.Either party's failure to perform the interlocutory award does not affect the continuation of the arbitration proceedings and the making of the final award by the arbitration tribunal.Article 57 The arbitration tribunal has the power to determine in the arbitral award the arbitration fee and other expenses to be eventually paid by the party or the parties to the Arbitration Commission.Article 58 The arbitration tribunal has the power to decide in the arbitral award that the losing party shall pay the winning party as compensation a proportion of the expenses reasonably incurred by the winning party in dealing with the case.The amount of such compensation shall not in any case exceed 10% of the total amount awarded to the winning party.Article 59The arbitral award is final and binding upon both disputing parties.Neither party may bring a suit before a law court or make a request to any other organization for revising the arbitral award.Article 60 Either party may request in writing that a correction be made to the writing, typing, calculating and similar errors contained in the arbitral award within 30 days from the date of receipt of the arbitral award;if there is really an error in the arbitral award, the arbitration tribunal shall make a correction in writing within 30 days form the date on receipt of the written request for correction, and the arbitration tribunal may by itself make a correction in writing within 30 days from the date on which the arbitral award is issued.The correction in writing forms a part of the arbitral award.Article 61 If anything that should be awarded has been omitted in the arbitral award, either of the parties may make a request in writing to the arbitration tribunal for an additional award within 30 days from the date on which the arbitral award is received.If something which should be awarded is really omitted, the arbitration tribunal shall make an additional award within 30 days from the date of receipt of the request in writing for an additional award.The arbitration tribunal may by itself make an additional award within 30 days from the date on which the arbitral award is issued.The additional award forms a part of the arbitral award which has been previously issued.Article 62 The parties must automatically execute the arbitral award within the time limit specified in the arbitral award.If no time limit is specified in the arbitral award, the parties shall carry out the arbitral award immediately.In case one party fails to execute the arbitral award, the other party may apply to the Chinese court for enforcement of the arbitral award pursuant to Chinese law or apply to the competent foreign court for enforcement of the arbitral award according to the 1958 Convention on Recognition and Enforcement of Foreign Arbitral Awards or other international treaties that China has concluded or participated in.Chapter III Summary Procedure
Article 63Unless otherwise agreed by the parties, this Summary Procedure shall apply to any case in dispute where the amount of the claim totals not more than RMB 500, 000 yuan, and to any case in dispute where the amount of the claim totals more than RMB 500, 000 yuan provided that one party applies for arbitration under this Summary Procedure and the other party agrees in writing.Article 64 When an application for arbitration is submitted to the Arbitration Commission by one of the parties and the application is accepted by the Arbitration Commission after examination and the Summary Procedure is applicable, the secretariat of the Arbitration Commission shall immediately serve a notice of Arbitration to each of the parties.Unless both parties have jointly appointed one sole arbitrator from among the Panel of Arbitrators of the Arbitration Commission, they shall jointly appoint or jointly entrust the Chairman of the Arbitration Commission to appoint one sole arbitrator within 15 days from the date on which the Notice of Arbitration is received by the Respondent.Should the parties fail to make such appointment or entrustment, the Chairman of the Arbitration Commission shall immediately appoint one sole arbitrator to form an arbitration tribunal to hear the case.Article 65 The Respondent shall, within 30 days from the date of receipt of the Notice of Arbitration, submit his defense and relevant documentary evidence to the secretariat of the Arbitration Commission;a counterclaim, if any, shall be lodged together with documentary evidence within the said time limit.Article 66 The arbitration tribunal may hear the case in the way it deems appropriate.The arbitration tribunal has discretion to hear the case only on the basis of the written materials and evidence submitted by the parties or to hold an oral hearing as well.Article 67 The parties must hand in written materials and evidence needed for the arbitration in compliance with the requirements of the arbitration tribunal within the time limit given by the arbitration tribunal.Article 68 For a case which needs an oral hearing, the secretariat of the Arbitration Commission fixed a date for hearing, inform the parties of the date of the hearing 15 days before the date of the hearing.Article 69 If the arbitration tribunal decides to hear the case orally, only one oral hearing shall be held.However, the arbitration tribunal may hold two oral hearings if really necessary.Article 70 Should one of the parties fail to act in compliance with this Summary Procedure during summary proceedings, such failure shall not affect the arbitration tribunal's conduct of the proceedings and the arbitration tribunal's power to render an arbitral award.Article 71 The conduct of the proceedings shall not be affected by any amendment of the claim or by the lodging of a counterclaim.Article 72 Where a case is heard orally, the arbitration tribunal shall make an arbitral award within 30 days from the date of the oral hearing if one hearing is to be held, or from the date of the second oral hearing if two oral hearings are to be held.Where a case is examined on the basis of documents only, the arbitration tribunal shall render an arbitral award within 90 days from the date on which the arbitration tribunal is formed.The Secretary-General of the Arbitration Commission may extend the said time limit if such extension is necessary and justifiable.Article 73 For matters not covered in this Chapter, the relevant provisions in the other Chapters of these Rules shall apply.Chapter IV Supplementary Provisions
Article 74 The Chinese language is the official language of the Arbitration Commission.If the parties have agreed otherwise, their agreement shall prevail.At the hearing, if the parties or their attorneys or witnesses require language interpretation, the secretariat of the Arbitration Commission may provide an interpreter for them or the parties may bring with them their own interpreter.The arbitration tribunal and/or the secretariat of the Arbitration Commission may, if it deems it necessary, request the parties to hand in corresponding translation copies in Chinese language or other languages of the documents and evidential materials submitted by the parties.Article 75 All the arbitration documents, notices and materials may be sent to the parties and/or their attorneys in person, or by registered letter or express airmail, telefax, telex, cable or by any other means which are deemed proper by the secretariat of the Arbitration Commission.Article 76 Any written communication to the parties is deemed to have been properly served if it is delivered to the addressee or delivered at his place of business, habitual residence or mailing address;or if none of these can be found after making a reasonable inquiry, a written communication is deemed to have been served if it is sent to the addressee's last known place of business, habitual residence or mailing address by registered letter or by any other means which provides a record of the attempt to deliver it.Article 77 Apart form charging arbitration fees from the parties according to the arbitration Fee Schedule of the Arbitration Commission, the Arbitration Commission may collect from the parties other extra, reasonable and actual expenses including arbitrators' special remuneration and their travel and boarding expenses for dealing with the case and the fees and expenses for experts, appraisers and interpreters appointed by the arbitration tribunal, etc.If a case is withdrawn after the parties have reached between themselves an amicable settlement, the Arbitration Commission may charge a certain amount of fees from the parties in consideration of the quantity of work and the amount of the actual expenses incurred by the Arbitration Commission.Article 78 Where an arbitration agreement or an arbitration clause contained in the contract provides for arbitration to be conducted by China Maritime Arbitration Commission or by its former named Maritime Arbitration Commission of the China Council for the Promotion of International Trade, the parties shall be deemed to have unanimously agreed that the arbitration shall be conducted by China Maritime Arbitration Commission.Article 79 These Rules shall come into force as from October 1, 1995.For cases which have been taken cognizance of by the Arbitration Commission before the date on which these Rules become effective, the Rules of Arbitration effective on the date when the cases were taken cognizance of shall apply.However, these Rules shall be applied if the parties so agree.Article 80 The power to interpret these Rules is vested in the Arbitration Commission.

Article 1: The Beijing Arbitration Commission
(一)北京仲裁委员会(以下称“本会”)系在中国北京成立的解决平等主体的自然人、法人和其他组织之间发生的合同纠纷和其他财产权益纠纷的仲裁机构。
(1)The Beijing Arbitration Commission(the “BAC”)is an arbitration institution registered in Beijing, China for resolving contractual disputes and other disputes over rights and interests in property between natural persons, legal persons and other organizations.(二)北京仲裁委员会主任(以下称“主任”)履行本规则赋予的职责,副主任或秘书长受主任的委托履行主任的职责。

Article 2: Application of the Rules
当事人协议将争议提交本会仲裁的,适用本规则。当事人就仲裁程序事项或者仲裁适用的规则另有约定的,从其约定,但该约定无法执行或者与仲裁地强制性法律规定相抵触除外。
(1)Where parties to a dispute provide for arbitration of the dispute by the BAC, these Rules shall apply, save to the extent that the parties have agreed to the application of a different procedure or a different set of arbitration rules, in which case their agreement must comply with the mandatory law of Arbitration seat and be enforceable.当事人约定适用本规则但未约定仲裁机构的,视为双方当事人同意将争议提交本会仲裁。
(2)Where the parties agree to apply the BAC rules, but do not choose a specific arbitration institution, they shall be deemed to agree to provide their disputes to the BAC.第三条 放弃异议权
Article 3: Waiver of Right to Object
当事人知道或者理应知道本规则或仲裁协议中规定的任何条款或条件未被遵守,但仍参加或者继续参加仲裁程序且未对上述不遵守情况及时提出书面异议的,视为其放弃提出异议的权利。
A party who knows or should have known that any provision of these Rules or any term of the arbitration agreement has not been complied with, but nevertheless participates in the arbitration without promptly raising its objection to such non-compliance in writing shall be deemed to have waived its right to object.第二章 仲裁协议

Article 4: Definition and Form of Arbitration Agreement

(1)An arbitration agreement is an agreement by parties to submit to arbitration all or certain disputes which have arisen or which may arise in connection with the legal relationship between the parties.An arbitration agreement includes an arbitration clause in a contract or any other written agreement to arbitrate.
(二)仲裁协议应当采取书面形式。书面形式包括但不限于合同书、信件和数据电文(包括电报、电传、传真、电子数据交换和电子邮件)等可以有形表现所载内容的形式。
(2)An arbitration agreement shall be in written form, including but not limited to contractual instruments, letters and electronic data messages(including telegrams, telexes, facsimiles, EDIs and e-mails)and any other forms of communication where the contents are visible.第五条 仲裁协议的独立性
Article 5: Separability of Arbitration Agreement
仲裁协议独立存在。合同的变更、解除、终止、无效、失效、未生效、被撤销以及成立与否,均不影响仲裁协议的效力。
An arbitration agreement shall be independent of and separate from the principal contract in which it is contained.The validity of an arbitration agreement shall not be affected by the modification, rescission, termination, invalidity, expiry, non-effectiveness, revocation, or non-establishment of the principal contract.第六条 对仲裁协议的异议
Article 6: Objections to Validity of Arbitration Agreement
(一)当事人对仲裁协议的效力或者仲裁案件的管辖权有异议,应当在首次开庭前以书面形式提出;书面审理的,应当在首次答辩期限届满前以书面形式提出。
(1)A jurisdictional objection or an objection to the validity of an arbitration agreement shall be raised in writing before the first hearing.For a documents-only arbitration, the written objection shall be raised prior to the expiry of the time limit for the submission of the first defence.(二)当事人未依照前述规定提出异议的,视为承认该仲裁协议的效力或者本会对仲裁案件的管辖权。
(2)If a party has not raised any objections pursuant to the provisions of the preceding paragraph, it shall be deemed to have accepted that the arbitration agreement is valid and that the BAC has jurisdiction over the arbitration.(三)当事人对仲裁协议的效力有异议的,可以请求本会作出决定或者请求人民法院作出裁定。一方请求本会作出决定,另一方请求人民法院作出裁定的,由人民法院裁定。
(3)If a party objects to the validity of an arbitration agreement, it may make an application to either the BAC or the competent People's Court for a decision on the issue.If one party makes an application to the BAC while the other party to the People's Court, then the objection shall be decided upon by the People's Court.(四)当事人对仲裁协议的效力或者仲裁案件的管辖权提出异议的,可以由本会或者由本会授权仲裁庭作出决定。仲裁庭的决定可以以中间裁决的形式作出,也可以在终局裁决中作出。
(4)The BAC or, if authorized by the BAC, the Arbitral Tribunal, shall have the power to rule on jurisdictional objections and objections to the validity of an arbitration agreement.The Arbitral Tribunal can deliver its decision in the form of either an interim award or a final award.第三章 仲裁申请、答辩与反请求
Chapter III: Application for Arbitration, Defence and Counterclaim
第七条 申请仲裁
Article 7: Application for Arbitration
(一)申请仲裁,应当提交下列文件:
(1)A party applying for arbitration shall submit the following documents(collectively the “Application for Arbitration”):
1.仲裁协议;
(a)the arbitration agreement;
2.写明下列内容的仲裁申请书:
(b)its Statement of Claim, containing the following information:
(1)申请人、被申请人的姓名或者名称、住所、邮政编码、电话号码、传真以及其他可能的快捷联系方式;法人或者其他组织法定代表人或主要负责人的姓名、职务、住所、邮政编码、电话号码、传真以及其他可能的快捷联系方式;
(i)the names, addresses, zip codes, telephone numbers, facsimile numbers and any other convenient means of contact of the Claimant and the Respondent;(where a party concerned is a legal person or organization, the name, position, address, zip code,
telephone number, facsimile number and any other convenient means of contact of the legal representative or the person in charge);
(2)仲裁请求和所根据的事实、理由。
(ii)the claims and the facts and grounds on which the claims are based;
3.证据和证据来源并附清单,证人姓名和住所。
(c)evidence and the source of those evidence(together with a list thereof), and the names and addresses of its witnesses;and
4.申请人身份证明文件。
(d)proof of the Claimant's identity.(二)当事人申请仲裁,应当按照本会制定的收费标准,预交仲裁费用。当事人预交仲裁费用有困难的,可以申请缓交,由本会决定是否批准。当事人不预交仲裁费用,又不提出缓交申请的,视为撤回仲裁申请。
(2)A party applying for arbitration shall deposit an advance on costs, calculated in accordance with the provisions of the Arbitration Fee Schedule.An application for deferment of the deposit can be made to the BAC in the event of hardship.The BAC shall decide on such applications.If a party applying for arbitration has neither deposited the advance on costs nor applied for deferment, it shall be deemed to have withdrawn its Application for Arbitration.第八条
受理
Article 8: Case Acceptance
(一)自收到仲裁申请之日起五日内,本会认为符合受理条件的,予以受理。
(1)The BAC shall accept the Application for Arbitration within 5 days of its receipt if it finds that the requisite requirements for acceptance are met.(二)仲裁申请不符合本章第七条规定的,当事人应当补正。
(2)The applicant shall rectify its Application for Arbitration if it does not fulfill the requirements stipulated by Article 7.(三)仲裁程序自本会受理仲裁申请之日开始。
(3)The arbitral proceedings shall be deemed to commence on the date of acceptance of the Application for Arbitration by the BAC.第九条 发送仲裁通知
Article 9: Notice of Arbitration
本会自受理案件之日起10日内,将受理通知、本规则和仲裁员名册发送申请人; 将答辩通知连同仲裁申请书及其附件、本规则、仲裁员名册发送被申请人。
Within 10 days of the acceptance of the Application for Arbitration, the BAC shall send to the Claimant a Notice of Case Acceptance, a set of the Rules and the BAC's Panel of Arbitrators.The BAC shall send to the Respondent a Request for Submission of Defence, as well as a copy of the Application for Arbitration, its attachments, if any, a set of these Rules, and the BAC's Panel of Arbitrators.第十条 答辩
Article 10: Defence
(一)被申请人应当自收到答辩通知之日起15日内提交下列文件:
(1)Within 15 days of the receipt of the Request for Submission of Defence, the Respondent shall submit to the BAC such documents listed below:

(i)the names, addresses, zip codes, telephone numbers, facsimile numbers and any other convenient means of contact of the Respondent;(where a party concerned is a legal person or organization, the name, position, address, zip code, telephone number, facsimile number and any other convenient means of contact of the legal representative or the person in charge);
(2)答辩要点和所根据的事实、理由;
(ii)the key points of its defence and the facts and grounds on which the defence is based;
2.证据和证据来源并附清单,证人姓名和住所;
(b)evidence and the source of the evidence(together with a list thereof), and the names and addresses of its witnesses;and
3.被申请人身份证明文件。
(c)proof of the Respondent's identity.(二)本会自收到答辩书之日起10日内,将答辩书发送申请人。
(2)Within 10 days of the receipt of the Statement of Defence, the BAC shall send a copy of the Statement of Defence to the Claimant.(三)被申请人未提交答辩书的,不影响仲裁程序的继续进行。
(3)The progress of the arbitral proceedings shall not be affected by any party's failure to submit its Statement of Defence.第十一条 反请求
Article 11: Counterclaim
(一)被申请人如有反请求,应当自收到答辩通知之日起15日内提出。逾期提交的,仲裁庭组成前由本会决定是否受理;仲裁庭组成后由仲裁庭决定是否受理。
(1)Within 15 days of the receipt of the Request for Submission of Defence, the Respondent shall submit to the BAC its Counterclaim.If the Counterclaim is not submitted within the stipulated period of time, the Arbitral Tribunal, or if the Arbitral Tribunal has not been constituted, the BAC, shall decide whether to accept the Counterclaim.(二)反请求的提交参照本章第七条的规定。
(2)The provisions of Article 7 shall apply to the submission of the Counterclaim.(三)自受理反请求申请之日起10日内,本会将反请求答辩通知连同反请求申请书及其附件发送申请人。
(3)Within 10 days of the acceptance of the Counterclaim, the BAC shall send to the Claimant a Request for Submission of Defence to Counterclaim, as well as the Counterclaim and its attachments, if any.(四)申请人按照本章第十条的规定提交答辩书。
(4)The provisions of Article 10 shall apply to the Claimant's submission of its Statement of Defence to Counterclaim.(五)本规则对反请求的其他事项未作出规定的,参照本规则关于仲裁请求的相关事项办理。
(5)Any other items concerning the counterclaim not being stipulated by these Rules shall refer to those of application for arbitration.第十二条
变更仲裁请求或者反请求
Article 12: Amendment to Claim or Counterclaim
当事人变更仲裁请求或者反请求应当以书面形式提出。仲裁庭组成前由本会决定是否接受;仲裁庭组成后由仲裁庭决定是否接受。
An application to amend the Claim or Counterclaim shall be made in writing.The application shall be decided by the Arbitral Tribunal, or if the Arbitral Tribunal has not been constituted, by the BAC.第十三条

Article 13: Number of Copies of Documents to be Submitted
当事人提交仲裁申请书、答辩书、反请求申请书、证据材料以及其他书面文件,应当一式五份。如果当事人人数超过两人,增加相应份数;如果仲裁庭组成人数为一人,减少两份。
The Statement of Claim, the Statement of Defence, the Counterclaim, evidence and other written documents should be submitted in quintuplicate.If there are more than two parties, additional copies should be provided accordingly.If the Arbitral Tribunal is composed of a sole arbitrator, the number of copies can be reduced by two.第十四条 财产保全
Article 14: Preservation of Property
(一)一方当事人因另一方当事人的行为或者其他原因,可能使裁决不能执行或者难以执行的,可以申请财产保全。
(1)A party may apply for an order for the preservation of property if the enforcement of any award that it may obtain subsequently is likely to be impossible or difficult, as a result of the conduct of the other party or other factors.
(二)当事人申请财产保全的,本会将其申请提交被申请人住所地或者财产所在地的人民法院。
(2)If a party applies for an order for the preservation of property, the BAC shall submit the application to the competent People's Court of the place where the Respondent is domiciled or where the Respondent's property is situated.第十五条 证据保全
Article 15: Preservation of Evidence
(一)证据可能灭失或者以后难以取得的情况下,当事人可以申请证据保全。
(1)A party may apply for an order for the preservation of evidence if the evidence may be destroyed or lost, or may subsequently be inaccessible.(二)当事人申请证据保全的,本会将其申请提交证据所在地的人民法院。
(2)If a party applies for an order for the preservation of evidence, the BAC shall submit the application to the competent People's Court of the place where the evidence is located.第十六条 代理人
Article 16: Representation
委托代理人进行仲裁活动的,应当向本会提交载明具体委托事项和权限的授权委托书。
Where a party is represented by its authorized representatives, a power of attorney setting out the matters specifically entrusted and the scope of the authorized representatives' authority should be submitted to the BAC.第四章 仲裁庭的组成 Chapter IV: Composition of Arbitral Tribunal
第十七条 仲裁员名册
Article 17: Panel of Arbitrators
当事人从本会提供的仲裁员名册中选择仲裁员。
Arbitrators shall be chosen by the parties from the Panel of Arbitrators maintained by the BAC.第十八条 仲裁员的确定
Article 18: Appointment of Arbitrator
(一)双方当事人应当自收到仲裁通知之日起15日内分别选定或者委托主任指定一名仲裁员。当事人未在上述期限内选定或者委托主任指定仲裁员的,由本会主任指定。
(1)Within 15 days of the receipt of the Notice of Arbitration, the parties shall nominate or entrust the Chairman to appoint their arbitrators from the BAC's Panel of Arbitrators.If the parties fail to nominate the arbitrator in accordance with the aforementioned provisions, the arbitrator shall be appointed by the Chairman.(二)双方当事人应当自被申请人收到仲裁通知之日起15日内共同选定或者共同委托主任指定首席仲裁员。双方当事人也可以在上述期限内,各自推荐一至三 名仲裁员作为首席仲裁员人选;经双方当事人申请或者同意,本会也可以提供五至七名首席仲裁员候选名单,由双方当事人在第(一)款规定的期限内从中选择一至 三名仲裁员作为首席仲裁员人选。推荐名单或者选择名单中有一名相同的,为双方当事人共同选定的首席仲裁员;有一名以上相同的,由主任根据案件具体情况在相 同人选中确定,确定的仲裁员仍为双方当事人共同选定的首席仲裁员;推荐名单或者选择名单中没有相同的人选,由主任在推荐名单或者选择名单之外指定首席仲裁 员。
(2)Within 15 days of the receipt of the Notice of Arbitration, the parties shall jointly nominate or jointly entrust the Chairman to appoint the presiding arbitrator.The parties may each nominate 1 to 3 arbitrators as the candidates for the presiding arbitrator within the time limit in accordance with the aforementioned provisions.According to the application or agreement of parties, the BAC may also provide a list of 5 to 7 candidates for the presiding arbitrator from which the parties shall select 1 to 3 as candidates within the time limit fixed by paragraph 1 above.Where there is only one common candidate on either both parties' list of nomination or both parties' list of selection(the “Candidate”), such candidate shall be the presiding arbitrator jointly nominated by both parties.If there are two or more such candidates, the Chairman shall, taking into consideration the specific circumstances of the case, confirm one of them as the presiding arbitrator, who shall be regarded as being jointly nominated by the parties.If there are no such candidates, the Chairman shall appoint the presiding arbitrator from outside of the lists of nomination and lists of selection.(三)双方当事人未能依照上述规定共同选定首席仲裁员的,由主任指定。
(3)If the parties fail to jointly nominate the presiding arbitrator in accordance with the aforementioned provisions, the presiding arbitrator shall be appointed by the Chairman.
(四)案件有两个或者两个以上的申请人或者被申请人时,申请人方或者被申请人方应当共同协商选定或者共同委托主任指定一名仲裁员;未能自最后一名当事 人收到仲裁通知之日起15日内就选定或者委托主任指定仲裁员达成一致意见的,由主任指定。
(4)For a party comprising two or more persons or organizations, they should, through consultations, jointly nominate or jointly entrust the Chairman to appoint the arbitrator.If, within 15 days of the receipt by the last party of the notice of arbitration, they have not agreed on the joint nomination of the arbitrator or the joint authorization of the Chairman, the arbitrator shall be appointed by the Chairman.(五)当事人选择居住在北京以外地区的仲裁员的,应当承担仲裁员因审理案件必需的差旅费。如果未在本会规定的期限内预交的,视为未选定仲裁员。主任可以根据本规则的规定代为指定仲裁员。
(5)The party shall bear the burden of the arbitrator's increased travel expense incurred necessarily by hearing the cases, if the party nominates the arbitrator living outside Beijing.If a party has not deposited the advance on expenses within the period stipulated by the BAC, it shall be deemed not to select the arbitrator.The Chairman could appoint the arbitrator for the party in accordance with these Rules.(六)仲裁员拒绝接受当事人的选定或者因疾病以及其他可能影响正常履行仲裁员职责的原因不能参加案件审理的,当事人应当自收到重新选定仲裁员通知之日起5日内重新选定仲裁员。
(6)The party shall re-nominate another arbitrator within 5 days of its receipt of the notice of re-nomination, if the arbitrator refuses to accept the party's nomination or can not attend to hear the case, due to the illness or other factors that may affect performing an arbitrator's duty.第十九条 组庭通知
Article 19: Notice of Constitution of Arbitral Tribunal
自仲裁庭组成之日起5日内,本会将组庭情况通知当事人。秘书在组庭后应当及时将案卷移交仲裁庭。
Within 5 days of the constitution of the Arbitral Tribunal, the BAC shall notify the parties accordingly.The secretary of the Arbitral Tribunal shall transmit the case file to the Arbitral Tribunal promptly thereafter.第二十条 仲裁员信息披露
Article 20: Disclosure by Arbitrator
(一)仲裁员任职后,应当签署保证独立、公正仲裁的声明书,声明书由秘书转交各方当事人。
(1)Upon accepting the appointment, the arbitrator shall sign a declaration of independence and impartiality, a copy of which shall be transmitted to each party.(二)仲裁员知悉与案件当事人或者代理人存在可能导致当事人对其独立性、公正性产生怀疑的情形的,应当书面披露。
(2)If an arbitrator is aware of circumstances relating to the parties or their authorized representatives, which might lead any one of the parties to doubt his independence or impartiality, the arbitrator shall disclose those circumstances in writing.(三)当事人应当自收到仲裁员书面披露之日起5日内就是否申请回避提出书面意见。
(3)Within 5 days of the receipt of such disclosure, the parties shall state in writing if they intend to challenge the arbitrator.(四)当事人以仲裁员披露的事项为由申请仲裁员回避的,适用本章第二十一条第(一)、(二)、(四)、(五)、(六)款的规定。
(4)The provisions of paragraphs 1, 2, 4, 5, and 6 of Article 21 shall apply to the challenge of an arbitrator on the basis of circumstances disclosed by the arbitrator.(五)当事人在上述第(三)款规定的期限内没有申请回避的,不得再以仲裁员曾经披露的事项为由申请回避。
(5)A party who fails to challenge an arbitrator within the period of time specified in paragraph 3 shall not be permitted to challenge the arbitrator based on the circumstances already disclosed by the arbitrator.第二十一条 仲裁员回避
Article 21: Challenge of Arbitrator
(一)仲裁员有下列情形之一的,必须回避,当事人也有权提出回避申请:
(1)In the circumstances set out below, the arbitrator shall have an obligation to withdraw from his appointment and the parties shall have a right to challenge the arbitrator:
1.是本案当事人或者当事人、代理人的近亲属;
(a)the arbitrator is a party to the arbitration, or a close relative of any party or any party's authorized representatives;
2.与本案有利害关系;
(b)the arbitrator has personal interests in the dispute;
3.与本案当事人、代理人有其他关系,可能影响公正仲裁的;
(c)the arbitrator has any other relationships with any party or its authorized representatives which may affect the arbitrator's impartiality;or
4.私自会见当事人、代理人,或者接受当事人、代理人的请客送礼的。
(d)the arbitrator met with any party or its authorized representatives in private, or accepted from any party or its authorized representatives offers of entertainment or gift.(二)当事人应当通过书面方式提出回避申请,说明理由,并提供相应证据。
(2)A challenge shall be made in writing and accompanied by grounds of the challenge and supporting evidence.(三)对仲裁员的回避申请应当在首次开庭前提出。回避事由在首次开庭后知道的,可以在最后一次开庭终结前提出。但本章第二十条 第(三)款规定的情形除外。
(3)A challenge shall be raised before the first hearing.A challenge based on circumstances known after the first hearing can be raised prior to the close of the final hearing, except for the situation referred to in paragraph 3, Article 20.(四)秘书应当及时将回避申请转送另一方当事人和仲裁庭全体成员。
(4)The secretary of the Arbitral Tribunal shall promptly transmit the notice of challenge to the other party and each member of the Arbitral Tribunal.(五)一方当事人申请仲裁员回避,另一方当事人表示同意,或者被申请回避的仲裁员获知后主动退出,则该仲裁员不再参加案件审理。但上述任何情形均不意味着当事人提出回避的理由成立。
(5)When a party challenges an arbitrator and the other party agrees to the challenge, or the challenged arbitrator withdraws voluntarily upon being informed of the challenge,
such arbitrator shall no longer participate in the arbitration.In neither case does it imply acceptance of the validity of the grounds for the challenge.(六)除上述第(五)款规定情形外,仲裁员是否回避,由主任决定。主任的决定是终局的。
(6)The Chairman shall decide on the challenge, except in the situation referred to in paragraph 5.The decision of the Chairman shall be final.(七)当事人在获知仲裁庭组成情况后聘请的代理人与仲裁员形成本章规定的应予回避情形的,视为该当事人放弃就此申请回避的权利,但另一方当事人就此申 请回避的权利不受影响。因此导致仲裁程序拖延的,造成回避情形的当事人承担由此发生的费用。
(7)A party who, after being aware of the composition of the Arbitral Tribunal, appoints authorized representatives who may give rise to grounds for challenge of any arbitrator as set forth in this Chapter shall be deemed to have waived its right to challenge the arbitrator on those grounds.However, the other party's right to challenge the arbitrator shall not be affected.The additional costs resulting from any delay to the arbitral proceedings shall be borne by the party responsible for causing the grounds of challenge.第二十二条 仲裁员更换
Article 22: Replacement of Arbitrator
(一)仲裁员因死亡或者健康原因不能从事仲裁工作,或者主动退出案件审理,或者主任决定其回避,或者双方当事人一致要求其退出案件审理的,应当更换。
(1)An arbitrator shall be replaced if the arbitrator becomes unable to conduct the arbitration as a result of death or illness, withdraws from the arbitration due to personal reasons, is ordered to withdraw from the arbitration by the Chairman or is requested by both parties to withdraw from the arbitration.(二)本会认为仲裁员在法律上或者事实上不能履行职责或者没有按照本规则的要求履行职责时,也可以主动更换。
(2)An arbitrator may also be replaced on the BAC's initiative if it decides that the arbitrator is prevented de jure or de facto from fulfilling functions as an arbitrator, or is not fulfilling necessary functions in accordance with the Rules.(三)本会根据第(二)款作出决定前应当给予双方当事人和仲裁庭全体成员提出书面意见的机会。
(3)Before making any decision pursuant to the provisions of paragraph 2, the BAC shall give both parties and all members of the Arbitral Tribunal an opportunity to comment in writing.(四)被更换的仲裁员由当事人选定的,当事人应当自收到通知之日起5日内,重新选定;由主任指定的,主任另行指定,并将重新指定仲裁员的通知在5日内 发送当事人;重新选定或者指定仲裁员后,当事人可以请求已进行的仲裁程序重新进行,是否必要,由仲裁庭决定;仲裁庭也可以自行决定已进行的仲裁程序是否重新进行。仲裁庭决定仲裁程序重新进行的,本规则第四十三条、第五十二条及第五十九条规定的期限自重新组成仲裁 庭之日起计算。
(4)If the arbitrator to be replaced was nominated by a party, that party shall re-nominate another arbitrator within 5 days of its receipt of the notice of replacement.If the arbitrator to be replaced was appointed by the Chairman, the Chairman shall appoint another arbitrator and, within 5 days of such appointment, notify the parties of the appointment.After the nomination or appointment of a new arbitrator, the parties may request that prior arbitral proceedings be repeated, in which case the Arbitral Tribunal shall determine if such repetition is necessary.The Arbitral Tribunal may also on its own accord decide if prior arbitral proceedings shall be repeated.The time limit stipulated in Article 43, 52 and 59 shall be re-calculated from the date of the reconstitution of the Arbitral Tribunal, if the arbitral tribunal decides to repeat the arbitral proceedings.第五章 审 理
Chapter V: Arbitral Proceedings
第二十三条
审理方式
Article 23: Mode of Hearing
(一)仲裁庭开庭审理案件。
(1)The Arbitral Tribunal shall hold a hearing to examine the case.(二)当事人约定不开庭,或者仲裁庭认为不必要开庭审理并征得双方当事人同意的,可以根据当事人提交的文件进行书面审理。
(2)If the parties agree on documents-only arbitration, or if the Arbitral Tribunal considers a hearing to be unnecessary and has the consent of the parties, the Arbitral Tribunal may decide the case on the basis of documents submitted by the parties.(三)无论采取何种审理方式,仲裁庭均应当公平、公正地对待双方当事人,给予双方当事人陈述和辩论的合理机会。
(3)Regardless of the mode of hearing adopted, the Arbitral Tribunal shall treat the parties fairly and impartially and give each party a reasonable opportunity to present and argue its case.第二十四条 保密义务
Article 24: Confidentiality
(一)仲裁不公开审理。当事人协议公开的,可以公开,但涉及国家秘密的除外。
(1)An arbitration hearing shall be conducted in private, unless both parties agree otherwise.Arbitrations involving state secrets shall be conducted in private in any event.(二)不公开审理的案件,当事人及其代理人、证人、仲裁员、仲裁庭咨询的专家和指定的鉴定人、本会的有关人员,均不得对外界透露案件实体和程序进行的情况。
(2)Where an arbitration is conducted in private, the parties, their authorized representatives, witnesses, arbitrators, experts consulted by the Arbitral Tribunal, appraisers appointed by the Arbitral Tribunal and staff of the BAC shall not disclose to third parties any matter concerning the arbitration, whether substantive or procedural.第二十五条 仲裁地
Article 25: Place of the Arbitration
(一)除非当事人另有约定,本会所在地为仲裁地。
(1)The place of arbitration shall be the premises of the BAC, unless agreed upon by the parties;
(二)仲裁裁决视为在仲裁地作出。
(2)The arbitral award shall be deemed as rendering at the place of the arbitration.第二十六条 开庭地点
Article 26: Place of Hearing
(一)开庭审理在本会所在地进行。当事人另有约定,也可以在其他地点进行。
(1)Hearings shall be held at the BAC's premises, or at other locations if the parties so agree.
(二)当事人约定在本会所在地以外的其他地点开庭的,承担由此发生的费用。当事人应当在本会规定的期限内按照约定或者仲裁庭确定的比例预交上述费用。未预交的,在本会所在地开庭。
(2)The resulting additional costs shall be borne by the parties, if the parties agree upon hearing at other locations.The parties shall deposit an advance in the additional costs upon the proportion stipulated in their agreement or decided by the Arbitral Tribunal within the period stipulated by the BAC, or otherwise the hearing shall be held at the BAC's premises.第二十七条
合并审理
Article 27: Consolidation of Arbitrations
(一)仲裁标的为同一种类或者有关联的两个或者两个以上的案件,经一方当事人申请并征得其他当事人同意,仲裁庭可以决定合并审理。
(1)The Arbitral Tribunal may, on the application of any party and with the approval of all other parties concerned, order the consolidation of two or more related arbitrations or arbitrations involving a similar subject matter.(二)仲裁庭组成人员不同的案件,不适用前款规定。
(2)The provisions of the preceding paragraph shall not apply if the compositions of the Arbitral Tribunals are different.第二十八条 开庭通知
Article 28: Notice of Hearing
(一)仲裁庭应当在开庭10日前将开庭日期通知当事人;经双方当事人商仲裁庭同意,可以提前开庭。当事人有正当理由请求延期开庭的,应当在开庭5日前提出;是否延期,由仲裁庭决定。
(1)The Arbitral Tribunal shall notify the parties of the date of the first hearing at least 10 days before the hearing.The date may be brought forward with the agreement of the parties and the approval of the Arbitral Tribunal.A party may request a postponement of the date of the first hearing, at least 5 days before the hearing, if there are grounds justifying a postponement.The Arbitral Tribunal shall decide on the request.(二)第一次开庭审理以后开庭日期的通知,不受10日期限限制。
(2)Notification of the date of any hearing subsequent to the first one is not subject to the 10-day requirement.第二十九条 当事人缺席
Article 29: Default of Appearance
(一)申请人经书面通知,无正当理由不到庭或者未经仲裁庭许可中途退庭的,可以视为撤回仲裁申请。但不影响仲裁庭对被申请人的反请求进行缺席审理。
(1)If the Claimant, having been duly notified in writing of the hearing, fails to appear at the hearing without any justifiable reason or withdraws from an ongoing hearing without the permission of the Arbitral Tribunal, the Claimant shall be deemed to have withdrawn its Application for Arbitration.Whereas it shall not affect the hearing on the Respondent's Counterclaim.(二)被申请人经书面通知,无正当理由不到庭或者未经仲裁庭许可中途退庭的,仲裁庭可以进行缺席审理。被申请人提出反请求的,视为撤回反请求。
(2)If the Respondent, having been duly notified in writing of the hearing, fails to appear at the hearing without any justifiable reason or withdraws from an ongoing hearing without the permission of the Arbitral Tribunal, the Arbitral Tribunal may proceed with the hearing.Upon such failure, the Respondent shall be deemed to have withdrawn its Counterclaim if there is any.第三十条 证据提交
Article 30: Production of Evidence
(一)当事人对自已的主张承担举证责任。
(1)Each party shall bear the burden of proving the facts relied upon to support its case.(二)仲裁庭有权要求当事人在一定期限内提交证据材料。当事人应当在要求的期限内提交。逾期提交的,仲裁庭有权拒绝接受。当事人另有约定除外。
(2)The Arbitral Tribunal shall have the power to require the parties to produce their evidence within a specified period of time and the parties shall comply accordingly.The Arbitral Tribunal shall have the power to reject any evidence not produced within the specified period of time, unless the parties agree otherwise.(三)当事人未能在规定的期限内提交证据,或者虽提交证据但不能证明其主张的,负有举证责任的当事人承担因此产生的不利后果。
(3)If a party having the burden of proof fails to produce evidence within the specified period of time, or if the evidence produced is insufficient to discharge its burden of proof, it shall bear the consequences of such failure.(四)当事人对自己提交的证据材料应当分类、编订,简要写明证据材料的来源、内容、证明对象,签名盖章并注明提交日期。
(4)Each party shall properly categorize and compile the evidence it produces, state briefly the source and contents of the evidence and what the evidence is sought to prove, affix its signature and seal on the evidence list, and indicate the date on which the evidence is produced.(五)一方当事人对另一方当事人提交的复制品、照片、副本、节录本的真实性没有表示异议,可以视为与原件或者原物一致。
(5)A reproduction, photograph, duplicate copy, and abridged version of a document or thing shall be deemed to be identical to the original document or thing unless the other party challenges its authenticity.(六)除非当事人另有约定,提交的外文证据材料和书面文件应当附有中文译本。仲裁庭认为必要时,可以要求当事人提供相应的中文译本或者其他语言的译本。
(6)Unless otherwise agreed by the parties, evidence and documentation in a foreign language should be accompanied by a Chinese translation.The Arbitral Tribunal may, if necessary, require the parties to provide a translation of the evidence and documentation into Chinese or other languages.第三十一条 仲裁庭自行收集证据
Article 31: Collection of Evidence by Arbitral Tribunal
(一)当事人申请或者仲裁庭认为必要时,仲裁庭可以自行调查事实、收集证据。仲裁庭调查事实、收集证据时,认为有必要通知双方当事人到场的,应当及时通知。经通知,一方或双方当事人未到场,不影响仲裁庭调查事实和收集证据。
(1)The Arbitral Tribunal may, if any party so requests or it considers necessary, undertake investigations or collect evidence.If the Arbitral Tribunal considers it necessary to require the parties' presence when it is undertaking investigations or collecting evidence, it shall promptly notify the parties.The Arbitral Tribunal may proceed with the investigations or the collection of evidence even if one or both parties fail to appear after being notified.(二)当事人可以对仲裁庭收集的证据提出质证意见。
(2)The parties may challenge the authenticity, admissibility and relevance of the evidence collected by the Arbitral Tribunal.第三十二条
鉴定
Article 32: Appraisal
(一)当事人申请鉴定且仲裁庭同意,或者当事人虽未申请鉴定但仲裁庭认为需要鉴定的,可以通知当事人在仲裁庭规定的期限内共同选定鉴定部门或者鉴定专家。当事人不能达成一致意见的,由仲裁庭指定鉴定部门或者鉴定专家。
(1)If any party requests an appraisal and the Arbitral Tribunal consents, or if the Arbitral Tribunal of its own motion considers it necessary, the Arbitral Tribunal may require the parties to jointly nominate an appraisal organization or appraisal expert within a period of time specified by the Arbitral Tribunal.If the parties fail to do so, the appraisal organization or appraisal expert shall be appointed by the Arbitral Tribunal.(二)当事人应当按照约定或者仲裁庭确定的比例预交鉴定费用。不预交的,仲裁庭有权决定不进行相关鉴定。
(2)The parties shall deposit an advance in appraisal costs according to the agreement by the parties or the proportion confirmed by the Tribunal.The Tribunal has the power to decide not to carry out the appraisal, if the parties do not deposit an advance in costs.(三)仲裁庭有权要求当事人,而且当事人也有义务向鉴定人提供或出示鉴定所需的任何文件、资料、财产或其他物品。
(3)The Arbitral Tribunal shall have the power to require the parties to produce to the appraiser any document, material, property or any other article required for the appraisal and the parties shall comply accordingly.当事人与鉴定人之间就鉴定所需的文件、资料、财产或其他物品是否与案件有关有争议的,由仲裁庭作出决定。
The Arbitral Tribunal shall decide on any disagreement between any party and the appraiser as to whether the document, material, property or article required for the appraisal is relevant to the case.(四)鉴定报告的副本,应当送交当事人。当事人可以对鉴定报告提出意见。
(4)A copy of the appraiser's report shall be sent by the Arbitral Tribunal to each party.The parties may submit their comments on the report.
(五)仲裁庭认为必要或者根据当事人的请求,应当通知鉴定人参加开庭。当事人经仲裁庭许可,可以就鉴定报告的有关事项向鉴定人提问。
(5)If the Arbitral Tribunal considers it necessary or if the parties so request, the Arbitral Tribunal shall notify the appraiser to attend the hearing.The parties may, with the permission of the Arbitral Tribunal, question the appraiser on issues of the report.(六)鉴定期间不计算在本规则第四十三条、第五十二条及第五十九条规定的期限内。
(6)The time limit stipulated in Article 43, 52, and 59 shall exclude any period of time taken to conduct an appraisal.第三十三条 审理措施
Article 33: Hearing-related Measures
仲裁庭认为有必要的,可以在开庭审理前委托首席仲裁员召集双方当事人交换证据材料,共同确定双方争执点和审理范围;也可以在开庭审理前或者审理进行中的任何阶段,要求双方当事人提供证据、回答问题。
If the Arbitral Tribunal considers it necessary, it may, prior to the hearing, authorize the presiding arbitrator to summon the parties to exchange their evidence and jointly draw up a list of the disputed issues and define the scope of the hearing.Prior to the hearing or at any stage during the hearing, the Arbitral Tribunal also may, if necessary, require the parties to produce evidence and to respond to questions.第三十四条
质证和认证
Article 34: Examination and Authentication
(一)开庭审理的案件,在开庭前已经交换的证据应当在开庭时出示,由当事人质证。当事人在证据交换过程中已经认可并记录在卷的证据,经仲裁庭在庭审中说明后,可以不经出示,直接作为认定案件事实的依据。
(1)In the event of a hearing, evidence exchanged between the parties prior to the hearing shall be presented for examination during the hearing.Evidence may be used as proof of the facts relied upon without being produced at the hearing if the Arbitral Tribunal affirms during the hearing that the evidence has been exchanged, admitted as authentic, and put on record.(二)对于当事人当庭或者开庭后提交的证据材料,仲裁庭决定接受但不再开庭审理的,可以要求当事人在一定期限内提交书面质证意见。
(2)Where evidence is produced by any party during or after the hearing and the Arbitral Tribunal decides to admit the evidence without holding further hearings, the Arbitral Tribunal may require the parties to submit in writing any challenge to the authenticity, admissibility and relevance of the evidence within a specified period of time.(三)证据由仲裁庭认定;鉴定报告,由仲裁庭决定是否采纳。
(3)The evidence shall be verified by the Arbitral Tribunal.The Arbitral Tribunal shall decide whether to adopt the appraiser's report.(四)一方当事人对另一方当事人陈述的事实,既未表示承认也未否认,经仲裁庭充分说明并询问后,其仍不明确表示肯定或者否定的,视为对该项事实的承认。
(4)If a party has neither admitted nor denied facts alleged by the other party, and refuses to express any opinion on those facts despite explanation and inquiry by the Arbitral Tribunal, it shall be deemed to have admitted those facts.(五)当事人在仲裁申请书、答辩书、陈述以及其他书面意见中承认的对己方不利的事实和证据,仲裁庭予以确认。但当事人反悔并有相反证据足以推翻的除外。
(5)If a party has admitted to adverse facts or evidence, whether in the Application for Arbitration, Statement of Defence, its statements or other written opinions, those facts or evidence shall be confirmed by the Arbitral Tribunal, unless the party subsequently withdraws the admissions and produces evidence to rebut those facts or evidence.(六)有证据证明一方当事人持有证据无正当理由拒不提供,如果对方当事人主张该证据的内容不利于证据持有人,可以推定该主张成立。
(6)If a party can prove that the other party possesses evidence that it refuses to disclose without any justifiable reason, and that such evidence would have had an adverse impact on the case of the party possessing the evidence, adverse inferences may be drawn from such refusal to disclose.第三十五条 辩论
Article 35: Debate
当事人在审理过程中有权进行辩论。
The parties have a right to debate during the hearing.第三十六条 最后陈述意见
Article 36: Closing Statement
仲裁庭在审理终结前,应当征询当事人的最后意见。当事人的最后意见可以在开庭时以口头方式提出,也可以在仲裁庭规定的期限内以书面方式提出。
At the close of the hearing, the Arbitral Tribunal shall solicit final comments from the parties, which may be presented orally during the hearing or in writing within a period of time specified by the Arbitral Tribunal.第三十七条 庭审记录
Article 37: Record of Hearing
(一)仲裁庭应当将开庭情况记入笔录。但调解情况除外。
(1)The Arbitral Tribunal shall keep minutes of the hearing, except in relation to conciliation proceedings.(二)仲裁庭可以对庭审进行录音或者录像。
(2)The Arbitral Tribunal may make an audio or video record of the hearing.(三)当事人和其他仲裁参与人认为对自已陈述的记录有遗漏或者差错的,有权申请补正;仲裁庭不予补正时,应当记录该申请。
(3)The parties and other participants in the arbitration shall have a right to request a rectification of any error and omission in the minutes of their testimony.The request shall be recorded if the Arbitral Tribunal does not allow the rectification.(四)笔录由仲裁员、记录人员、当事人和其他仲裁参与人签名或者盖章。
(4)The Arbitral Tribunal, the reporter, the parties, and other participants in the arbitration shall sign or affix their seals on the minutes.第三十八条 撤回仲裁申请
Article 38: Withdrawing the Application for Arbitration
(一)申请仲裁后,申请人可以撤回仲裁申请;双方当事人自行达成和解,也可以请求仲裁庭根据其和解协议的内容制作裁决书。
(1)The Claimant may also withdraw the Application for Arbitration after it has been submitted.If the parties reach a settlement after submission of the Application for Arbitration, they may request the Arbitral Tribunal to make an award incorporating the terms of the settlement agreement.
(二)组庭前申请人撤回仲裁申请的,撤销案件的决定由本会作出;组庭后申请人撤回仲裁申请的,撤销案件的决定由仲裁庭作出。
(2)If the Claimant withdraws the Application for Arbitration, the Arbitral Tribunal shall decide on the dismissal of the case.If the Arbitral Tribunal has not been constituted at the time of withdrawal, the BAC, shall decide on the dismissal.(三)组庭前申请人撤回仲裁申请的,本会退回预收的案件受理费,但可根据实际情况收取部分案件处理费;组庭后,申请人撤回仲裁申请的,本会根据实际情况收取部分或者全部案件受理费和案件处理费。
(3)If the Claimant withdraws the Application for Arbitration before the constitution of the Arbitral Tribunal, the BAC shall refund the case acceptance fees paid in advance but may, depending on the circumstances of the case, retain a portion of the case handling fees paid in advance.If the Claimant withdraws the Application for Arbitration after the constitution of the Arbitral Tribunal, the BAC shall, depending on the circumstances of the case, charge a portion or all of the case acceptance fees and the case handling fees paid in advance.第三十九条 仲裁庭调解
Article 39: Conciliation by the Tribunal
(一)仲裁庭可以根据当事人的请求或者在征得当事人同意的情况下按照其认为适当的方式进行调解。
(1)The Arbitral Tribunal may, at the request of both parties or upon obtaining the consent of both parties, conciliate the case in a manner it considers appropriate.(二)调解达成协议的,当事人可以撤回仲裁申请,也可以请求仲裁庭根据调解协议的内容制作调解书或者裁决书。
(2)If the conciliation leads to a settlement, the parties may withdraw their claims and counterclaims if any, or request the Arbitral Tribunal to issue a Statement of Conciliation or make an award in accordance with the terms of the settlement.(三)调解书应当写明仲裁请求和当事人协议的结果。调解书由仲裁员签名,加盖本会印章,送达双方当事人。调解书经双方当事人签收即发生法律效力。
(3)The statement of conciliation shall state the claims and the settlement agreement reached by the parties.It shall be signed by the Arbitral Tribunal and affixed with the seal of the BAC before being sent to both parties and shall be binding once both parties have acknowledged receipt of it.
(四)调解不成的,任何一方当事人均不得在之后的仲裁程序、司法程序和其他任何程序中援引对方当事人或仲裁庭在调解过程中的任何陈述、意见、观点或建议作为其请求、答辩或者反请求的依据。
(4)If the conciliation fails to lead to a settlement, neither party shall invoke any of the statements, opinions, views or proposals expressed by the other party or the Arbitral Tribunal during the conciliation as grounds for any claim, defence or counterclaim in the arbitral proceedings, other judicial proceedings or any other proceedings.第四十条 单独调解
Article 40: Private Conciliation by the Parties
案件审理过程中,双方当事人可以自行和解或者依据《北京仲裁委员会调解规则》向本会申请由调解员进行调解。
During the arbitral proceedings, the parties may enter into private conciliation or apply to the BAC for mediation in accordance with the Mediation Rules of the BAC.第四十一条 仲裁程序中止
Article 41: Suspension of Arbitral Proceedings
(一)双方当事人共同要求或者案件审理过程中出现特殊情况需要中止审理的,可以中止仲裁程序。
(1)The arbitral proceeding may be suspended upon the joint request of the parties or if special circumstances occur during the proceeding that makes suspension of proceeding necessary;
(二)中止仲裁程序的决定,仲裁庭组成前由本会作出;仲裁庭组成后由仲裁庭作出。
(2)The suspension shall be decided by the Arbitral Tribunal, or if the Arbitral Tribunal has not been constituted, by the BAC.第六章 裁 决
Chapter VI: Arbitral Award
第四十二条 仲裁程序事项的决定
Article 42: Decision on Procedural Matters
(一)由三名仲裁员组成仲裁庭的,任何决定均应当按照多数意见作出。如未能形成多数意见,则应当按照首席仲裁员的意见作出。
(1)Any decision of an Arbitral Tribunal composed of three arbitrators shall be made by a majority of the arbitrators.If the Arbitral Tribunal fails to reach a majority decision, the decision of the presiding arbitrator shall prevail.(二)经当事人同意或者其他仲裁员授权,首席仲裁员也可以就程序事项作出决定。
(2)With the consent of the parties or the authorization of the other arbitrators of the Arbitral Tribunal, the presiding arbitrator may also decide on procedural matters.第四十三条 裁决作出期限
Article 43: Time Limit for the Award
仲裁庭应当自组庭之日起四个月内作出裁决。有特殊情况需要延长的,由首席仲裁员提请秘书长批准,可以适当延长。
The Arbitral Tribunal shall render its award within 4 months of its constitution.If there are special circumstances justifying an extension, the Secretary-General may, at the request of the presiding arbitrator, approve a suitable extension of the time limit.第四十四条 仲裁裁决
Article 44: Arbitral Award
(一)由三名仲裁员组成仲裁庭的,裁决应当按照多数仲裁员的意见作出,少数仲裁员的不同意见可以记入笔录。不能形成多数意见时,裁决应当按照首席仲裁员的意见作出。
(1)The award of an Arbitral Tribunal composed of three arbitrators shall be made by a majority decision.The dissenting opinion of the minority may be put on record.If the Arbitral Tribunal fails to reach a majority decision, the award shall be made in accordance with the decision of the presiding arbitrator.(二)裁决书应当写明仲裁请求、争议事实、裁决理由、裁决结果、仲裁费用的承担和裁决日期、仲裁地点。当事人另有约定的,以及按照双方当事人的和解协议作出裁决的,可以不写明争议事实和裁决理由。
(2)The award shall state the claims, the facts of the dispute, the reasons upon which the award is based, the result of the award, the allocation of the costs of the arbitration, the
date of the award and the place where the award is made.The award need not state the factual background to the dispute or the reasons upon which the award is based if the parties so agree, or if the award is made in accordance with the terms of a settlement between the parties.(三)裁决书由仲裁员签名。对裁决持不同意见的仲裁员,可以签名,也可以不签名;不签名的仲裁员应当出具个人意见。本会将其个人意见随裁决书送达当事人,但该意见不构成裁决书的一部分。不签名的仲裁员不出具个人意见的,视为无正当理由拒签。
(3)The award shall be signed by each member of the Arbitral Tribunal.The dissenting arbitrator may choose not to sign the award.An arbitrator who chooses not to sign the award shall issue a dissenting opinion, which shall be sent to the parties together with the award but does not form part of the award.If the arbitrator who chooses not to sign the award does not issue a statement of personal opinion, the arbitrator shall be deemed to have refused to sign the award without any justifiable reason.(四)裁决书经仲裁员签名后,加盖本会印章。
(4)After the award has been signed by the arbitrator or arbitrators, the BAC's seal shall be affixed to it.(五)裁决书自作出之日起发生法律效力。
(5)The award shall be legally effective as of the date it is made.(六)仲裁庭认为必要或者当事人提出经仲裁庭同意时,可以在最终裁决作出前,就案件争议问题作出中间裁决或者部分裁决。当事人不履行中间裁决或者部分裁决的,不影响仲裁程序的进行和最终裁决的作出。
(6)The Arbitral Tribunal may, prior to the final award, make an interim or partial award on any disputed issue in the arbitration if necessary, or if the parties so request and it consents.Any party's failure to perform an interim or partial award shall neither affect the progress of the arbitral proceedings nor prevent the Arbitral Tribunal from making its final award.第四十五条
裁决确定费用承担
Article 45: Allocation of Costs
(一)仲裁庭有权在裁决书中确定双方当事人应当承担的仲裁费用和实际发生的其他费用。
(1)The Arbitral Tribunal shall have the power to fix in its award the costs of the arbitration and the expenses incurred to be borne by the parties.(二)仲裁费用原则上由败诉的当事人承担;当事人部分胜诉,部分败诉的,由仲裁庭根据当事人责任大小确定其各自承担的比例。当事人自行和解或者经仲裁庭调解结案的,当事人可以协商确定各自承担的比例。
(2)The costs of the arbitration shall in principle be borne by the losing party.If the parties are only partially successful in their respective cases, the Arbitral Tribunal shall decide on the proportion of each party's share of the costs based on each party's responsibilities.If the parties reach a settlement, whether or not as a result of the Arbitral Tribunal's conciliation, they may determine the proportion of their respective share of the costs through consultation.(三)仲裁庭有权根据当事人的请求在裁决书中裁定败诉方补偿胜诉方因办理案件支出的合理费用。
(3)The Arbitral Tribunal shall also have the power to order in its award, at the request of the winning party, that the losing party bears the cost and expenses reasonably incurred by the winning party in the arbitration.第四十六条 裁决补正、补充
Article 46: Rectification to Award and Supplementary Award
(一)对裁决书中的文字、计算错误或者仲裁庭意见部分对当事人申请仲裁的事项已经作出判断但在裁决主文遗漏的,仲裁庭应当补正。裁决书对当事人申请仲裁的事项遗漏的,仲裁庭应当作出补充裁决。
(1)The Arbitral Tribunal shall correct in its award any error in computation, any clerical or typographical error, and any omission from its decision of claims on which it has made a judgment in its reasoning.In the event any claim is omitted entirely from the award, the Arbitral Tribunal shall make a supplementary award.(二)当事人发现裁决书中有前款规定情形的,可以自收到裁决书之日起30日内,书面请求仲裁庭补正或者作出补充裁决。
(2)Any party may, on discovering the existence of any of the circumstances stipulated in the preceding paragraph, request in writing within 30 days of the date of receipt of the award that the Arbitral Tribunal rectify the award or make a supplementary award.(三)仲裁庭作出的补正或者补充裁决,是原裁决书的组成部分。
(3)Any rectification by or supplementary award of the Arbitral Tribunal shall be an integral part of the original arbitral award.第七章 简易程序
Chapter VII: Summary Procedure
第四十七条 简易程序的适用
Article 47: Application of Summary Procedure
(一)除非当事人另有约定,凡案件争议金额不超过100万元(指人民币,下同)的,适用简易程序。
(1)Unless otherwise agreed by the parties, the summary procedure set out in this chapter(the “Summary Procedure”)shall apply if the amount in dispute does not exceed RMB ¥1,000,000.(二)争议金额超过100万元,双方当事人约定或者同意的,也可适用简易程序,仲裁费用予以减收。
(2)The parties may agree to apply the Summary Procedure even if the amount in dispute exceeds RMB ¥1,000,000, in which case the costs of the arbitration shall be reduced accordingly.(三)案件争议金额不超过100万元,双方当事人约定适用普通程序的,承担由此增加的仲裁费用。
(3)If the parties choose to apply the Ordinary Procedure(non-summary procedure)even if the amount in dispute does not exceed RMB ¥1,000,000, they shall bear any ensuing additional costs of the arbitration.第四十八条 仲裁庭组成 Article 48: Composition of Arbitral Tribunal
(一)适用简易程序的案件,由独任仲裁员审理。
(1)Cases applying the Summary Procedure shall be heard by a sole arbitrator.(二)双方当事人应当自收到仲裁通知之日起10日内在仲裁员名册中共同选定或者共同委托主任指定独任仲裁员。选择独任仲裁员时,可以适用本规则第十八条第(二)款规定的方式。
(2)Within 10 days of the receipt of the notice of arbitration, the parties shall jointly nominate or jointly entrust the Chairman to appoint a sole arbitrator from the BAC's Panel of Arbitrators.The sole arbitrator may be selected in the manner prescribed by paragraph 2 of Article 18.双方当事人逾期未能共同选定或者共同委托主任指定,主任应当立即指定独任仲裁员。

Article 50: Notice of Hearing
(一)开庭审理的案件,仲裁庭将于开庭3日(国际商事案件10日)前将开庭日期通知双方当事人。
(1)In the event of a hearing, the Arbitral Tribunal shall notify the parties of the date of the hearing at least 3 days before the hearing(10 days for international commercial cases).(二)仲裁庭决定开庭审理的,只开庭一次;确有必要的,可以决定再次开庭。第一次开庭后开庭日期的通知,不受3日(国际商事案件10日)期限限制。
(2)If the Arbitral Tribunal is deciding the case by way of a hearing, it shall hold one hearing only.The Arbitral Tribunal may decide to hold subsequent hearings if necessary.Notification of the date of any hearing subsequent to the first one is not subject to the 3-day requirement(10-day for international commercial cases).
第五十一条 简易程序终结
Article 51: Termination of Summary Procedure
(一)仲裁请求的变更或者反请求的提出导致案件争议金额超过100万元的,不影响简易程序的进行。仲裁庭认为影响的,可以向主任申请由三名仲裁员组成仲裁庭审理,当事人另有约定的除外。
(1)The application of the Summary Procedure is not affected by mere reason that, as a result of any amendments to the Application for Arbitration or the submission of a Counterclaim, the amount in dispute exceeds RMB ¥1,000,000.However, if the sole arbitrator finds that the application of the Summary Procedure may be affected, he may make a request to the Chairman for the Arbitral Tribunal to be constituted by three arbitrators, unless otherwise agreed upon by the parties.(二)简易程序变更为普通程序的,当事人应当自收到程序变更通知之日起5日内,按照本规则的规定各自选定或者各自委托主任指定一名仲裁员。除非当事人另有约定,原独任仲裁员作为首席仲裁员。
(2)In the event of a change from the Summary Procedure to the Ordinary Procedure, the parties shall, within 5 days of the receipt of notice of change of procedure, nominate or entrust the Chairman to appoint their arbitrators in accordance with the provisions of these Rules.Unless otherwise agreed by the parties, the original sole arbitrator shall become the presiding arbitrator.(三)新仲裁庭组成前已进行的仲裁程序是否重新进行,由新仲裁庭决定;新仲裁庭组成后仲裁程序的进行,不再适用简易程序。

Article 52: Time Limit for the Award
仲裁庭应当自组庭之日起75日内作出裁决。国际商事案件,应当自组庭之日起90日内作出裁决。有特殊情况需要延长的,由独任仲裁员提请秘书长批准,可以适当延长。

Article 54: Application of this Chapter
(一)除非当事人另有约定,国际商事案件适用本章规定。本章没有规定的,适用本规则其他有关规定。
(1)Unless otherwise agreed by the parties, the provisions of this Chapter shall apply to international commercial cases.For matters not covered in this Chapter, the other relevant provisions of these Rules shall apply.(二)涉及香港特别行政区、澳门特别行政区及台湾地区的案件,参照适用本章规定。
(2)Cases relating to Hong Kong SAR, Macao SAR and the Taiwan region may be handled by reference to the provisions of this Chapter.(三)当事人对案件是否具有国际因素有争议的,由仲裁庭决定。
(3)Any dispute between the parties as to the existence of international elements shall be referred to the Arbitral Tribunal for a decision.第五十五条 仲裁庭组成 Article 55: Composition of Arbitral Tribunal
(一)当事人可以从本会提供的仲裁员名册中选择仲裁员,也可以从仲裁员名册外选择仲裁员。
(1)Arbitrators could be chosen by the parties from or outside the Panel of Arbitrators maintained by the BAC.(二)当事人在仲裁员名册外选定仲裁员的,应当向本会提供候选人的简历和具体联系方式。经本会确认后可以担任仲裁员。除非本会决定将其列入仲裁员名册,否则其任期至案件审理终结时止。
(2)If the parties want to select arbitrators outside the Panel of Arbitrators maintained by the BAC, they shall submit the resume and means of contact of the candidate to the BAC.The candidate selected outside the Panel may act as an arbitrator with the confirmation of the BAC, and with a term to expire at the closing of the case, unless the BAC decides on listing the arbitrator on the Panel of Arbitrators.(三)双方当事人应当自收到仲裁通知之日起20日内按照本规则第十八条的规定分别选定或者委托主任为其指定一名仲裁员、共同选定或者共同委托主任指定首席仲裁员。当事人未能按照上述规定选定或者委托指定仲裁员的,由主任指定。
(3)Within 20 days of the receipt of the notice of arbitration, the parties shall, pursuant to the provisions of Article 18, nominate or entrust the Chairman to appoint their arbitrators and jointly nominate or jointly entrust the Chairman to appoint a third arbitrator who shall be the presiding arbitrator.If the parties fail to nominate their arbitrators or jointly nominate the presiding arbitrator in accordance with the provisions of the preceding paragraph, the arbitrators or the presiding arbitrator shall be appointed by the Chairman.(四)经当事人同意增加的外籍仲裁员的报酬,当事人应当在本会规定的期限内预交。未在本会规定的期限内预交的,视为未选定仲裁员。主任可以根据本规则的规定代为指定仲裁员。
(4)As a party agrees to increase the compensation for international arbitrators, the party shall deposit an advance on the resulting additional costs within the period stipulated by the BAC.If a party has not deposited the advance on costs, it shall be deemed not to select the arbitrator.The Chairman could appoint the arbitrator for the party in accordance with these Rules.第五十六条 答辩及反请求
Article 56: Defence and Counterclaim
(一)被申请人应当自收到答辩通知之日起45日内,提交答辩书和有关证明文件。
(1)Within 45 days of the receipt of the Request for Submission of Defence, the Respondent shall submit to the BAC its Statement of Defence and any relevant supporting document.(二)被申请人如有反请求,应当自收到答辩通知之日起45日内,以书面形式提交。
(2)The Respondent shall also submit its Counterclaim in writing, if any, within 45 days of the receipt of the Request for Submission of Defence.第五十七条 开庭通知
Article 57: Notice of Hearing
(一)仲裁庭在开庭30日前将开庭日期通知双方当事人;经双方当事人商仲裁庭同意,可以提前开庭。当事人有正当理由请求延期开庭的,可以在开庭12日前书面提出;是否延期,由仲裁庭决定。
(1)The Arbitral Tribunal shall notify the parties of the date of the hearing at least 30 days before the hearing.The date may be brought forward with the agreement of the parties and the approval of the Arbitral Tribunal.A party may request a postponement of the date of the hearing, at least 12 days before the hearing, if there are grounds justifying a postponement.The Arbitral Tribunal shall decide on the request.(二)第一次开庭后开庭日期的通知,不受30日期限限制。
(2)Notification of the date of any hearing subsequent to the first one is not subject to the 30-day requirement.第五十八条 仲裁庭调解
Article 58: Conciliation by the Tribunal
(一)经双方当事人同意,仲裁庭可以进行调解。
(1)The Arbitral Tribunal may, with the consent of both parties, conduct conciliation of the case.(二)因调解不成导致调解程序终止的,如果双方当事人以避免裁决结果可能受到调解影响为由请求更换仲裁员的,主任可以批准。双方当事人承担由此增加的费用。
(2)If, upon the termination of unsuccessful conciliation proceedings, both parties request a replacement of an arbitrator on the ground that the results of the award may be
affected by the conciliation proceedings, the Chairman may approve the request.The resulting additional costs shall be borne by the parties.第五十九条 裁决作出期限
Article 59: Time Limit for the Award
仲裁庭应当自组庭之日起6个月内作出裁决。有特殊情况需要延长的,由首席仲裁员提请秘书长批准,可以适当延长。
The Arbitral Tribunal shall render its award within 6 months of the date of its constitution.If there are special circumstances justifying an extension, the Secretary-General may, at the request of the presiding arbitrator, approve a suitable extension of the time limit.第六十条 法律适用
Article 60: Applicable Law
(一)仲裁庭应当根据当事人选择适用的法律对争议作出裁决。除非当事人另有约定,选择适用的法律系指实体法,而非法律冲突法。
(1)The Arbitral Tribunal shall apply the law agreed upon by the parties to the merits of the dispute.Unless otherwise agreed by the parties, the agreed applicable law refers to the substantive rules of law but not the rules of conflict of laws.(二)当事人未选择的,仲裁庭应当适用与争议事项有最密切联系的法律。
(2)In the absence of an agreed choice of law, the Arbitral Tribunal shall apply the law, with which the dispute has the most significant relationship.(三)在任何情况下,仲裁庭均应当根据有效的合同条款并考虑有关国际商事惯例作出裁决。
(3)In all cases, the Arbitral Tribunal shall decide the case in accordance with the terms of the valid agreement and take into account the relevant international trade usages.第六十一条 简易程序的适用
Article 61: Application of Summary Procedure
符合本规则第四十七条规定的案件,第七章简易程序作出特别规定的,适用第七章的有关规定。

第六十二条 期限的计算
Article 62: Calculating Time Limits
(一)本规则规定的期限或者根据本规则确定的期限,应当自期限开始之次日起算。期限开始之日,不计算在期限内。
(1)A period of time specified in or fixed in accordance with these Rules shall start to run on the day following the date on which such period commences.The day on which such period commences does not form part of the period of time.(二)如果期限开始之次日为送达地公共假日或者非工作日,则从其后的第一个工作日开始计算。期限内的公共假日和非工作日应计算在期限内。期限届满日是公共假日或者非工作日的,以其后的第一个工作日为期限届满日。
(2)If the day following the date on which the period of time commences is an official holiday or a non-business day at the place of the addressee, the period of time shall begin to run on the first following business day.Official holidays or non-business days occurring within such period are included in calculating the period of time.If the last day of the relevant period of time falls on an official holiday or a non-business day, the period of time shall expire on the first following business day.(三)期限不包括在途时间,仲裁文书、通知、材料在期限届满前交邮、交发的,不算过期。
(3)Time for delivery shall not be included in the period of time.Any arbitral document, notice or material that has been mailed or dispatched prior to expiry of the period of time shall not be regarded as overdue.(四)当事人因不可抗力或者其他正当理由耽误期限的,在障碍消除后10日内,可以申请顺延;是否准许,由本会或者仲裁庭决定。
(4)If a party breaches a time limit because of force majeure events or other justifiable reasons, it may apply for an extension of time within 10 days of the removal of the obstacle.The BAC or the Arbitral Tribunal shall decide on the request.第六十三条 送达
Article 63: Service
(一)有关仲裁的文书、通知、材料等可以当面送达或者以邮寄、专递、电报、传真的方式或者本会/仲裁庭认为适当的其他方式送达当事人或者其代理人。
(1)All relevant arbitral documents, notices and other materials may be served on the parties or their authorized representatives in person or by mail, courier, telex, facsimile or any other means that the BAC or the Arbitral Tribunal considers appropriate.(二)向当事人或者其代理人发送的仲裁文书、通知、材料等,如经当面送交受送达人或者邮寄至受送达人或者对方当事人提供的受送达人的营业地点、经常居住地或者其他通讯地址,即视为已经送达。
(2)An arbitral document, notice and material shall be deemed to have been served if it has been delivered to the addressee in person or by mail to the addressee's place of business, place of habitual residence or other mailing address provided by the addressee or the counterparty.(三)经合理查询不能找到受送达人的营业地点、经常居住地或者其他通讯地址而以 邮寄、专递的方式或者能提供投递记录的其他任何方式投递给受送达人最后一个为人所知的营业地点、经常居住地或者其他通讯地址,即视为已经送达。
(3)If despite reasonable inquiries, the addressee's place of business, place of habitual residence or other mailing address cannot be found, service shall be deemed to have been effected if the document, notice or material is delivered to the addressee's last known place of business, place of habitual residence or other mailing address by mail, courier or by any other means of delivery with proof of attempt to deliver.第六十四条 语言
Article 64: Language
(一)本会以中文为正式语言。当事人另有约定的,从其约定。
(1)Chinese is the official language of the BAC.If the parties have agreed otherwise, their agreement shall prevail.(二)当事人或者其代理人、证人需要语言翻译,可以由本会提供译员,也可以由当事人自行提供译员。当事人承担翻译费用。
(2)If translation services are required by the parties or their authorized representatives or witnesses during hearings, translators may be provided by the BAC or by the parties themselves.The parties shall bear the cost of translation.
第六十五条 本规则的解释
Article 65: Interpretation of the Rules
本规则由本会解释。
The power to interpret these Rules is vested in the BAC.除非本会另有声明,本会发布的其他文件不构成本规则的组成部分。

交船时,甲方应将现有的船检证书及该轮技术图纸无偿提供给乙方。若乙方提出要求,甲方应将其现有的该轮的其他技术文件及时交给乙方。
该轮的国籍证书、船舶的所有权证书、电台执照、船舶签证薄、海关监管薄、航海日志、轮机日志、营运证、最低安全配员证书、造船厂提供的该轮的稳性计算书、船舶防油污计划
和ISM文件(如有)等应由甲方收存取回,但乙方有复印的权利(船舶油污计划和ISM文件不提供复印)。
交船时,甲方应将下述文件递交给乙方:
一、授权书;
二、普通商业发票(不含增值税),甲方应在交船后________日内办妥该轮在原登记机关的注销登记。同时,乙方应将下述文件递交给甲方:
一、营业执照复印件;
二、授权书;
三、乙方办理该轮登记所在登记机关名称、地址、传真、电话、联系人和邮政编码。
九、债务
在交船前,甲方承诺该轮没有任何船舶优先权、船舶抵押权和随船债务。
十、费用的约定
交船前,该轮所发生的各项费用由甲方承担;交船后,该轮所发生的各项费用由乙方承担。甲方应向原船舶登记机关办理船舶注销手续,乙方应办理该轮所有权登记,其费用各自承担。
十一、船名和标记
该轮移交后,乙方不得使用原船名和烟囱标记。
十二、乙方违约责任
若乙方未能按时支付定金,甲方有权解除合同。乙方应承担甲方因此遭受的损失和按年利率______%计算的全部损失费用的利息。
若乙方未能在收到交船预报后_______日内按本合同第五条的规定支付船款,或未能在收到交船确报后_______日内接船,甲方有权解除合同。定金及其利息归甲方所有。若定金及其利息收入不足以弥补甲方损失,乙方还应赔偿甲方因此遭受的损失费用,并承担甲方全部损失费用的利息(按年利率_______%计算)。
十三、甲方违约责任

仲裁委员会仲裁规则
第一章 总则
第一条 为了保证公正、及时地仲裁经济纠纷,保护当事人合法权益,根据《中华人民共和国仲裁法》(以下简称仲裁法)和《中华人民共和国民事诉讼法》(以下简称民事诉讼法)的有关规W定,制定本规则。
第二条平等主体的公民、法人和其他组织之间发生合同纠纷和其他财产权益纠纷,可以依法向南通仲裁委员会(以下简称仲裁委员会)申请仲裁。
涉外案件的当事人自愿选择仲裁委员会仲裁的,仲裁委员会可以受理。
第三条 下列争议和纠纷仲裁委员会依法不能仲裁:
(一)劳动争议;
(二)农业集体经济组织内部的农业承包合同纠纷;
(三)婚姻、收养、监护、扶养、继承纠纷;
(四)依法应当由行政机关处理的行政争议。
第二章 仲裁协议
第四条 当事人采用仲裁方式解决纠纷,应当双方自愿,达成仲裁协议。没有仲裁协议,一方申请仲裁的,仲裁委员会不予受理。
当事人协议向仲裁委员会申请仲裁的,即视为同意按照本规则进行仲裁。
第五条 仲裁协议包括在合同中订立的仲裁条款和以其他书面方式在纠纷发生前或者纠纷发生后达成的请求仲裁的协议。
仲裁协议应当具有下列内容:
(一)请求仲裁的意思表示;
(二)仲裁事项;
(三)选定仲裁委员会的意思表示。
第六条 仲裁协议独立存在,合同的变更、解除、终止或者无效,不影响仲裁协议的效力。
仲裁庭有权确认合同的效力。
第七条 当事人对仲裁协议的效力有异议的,可以请求仲裁委员会作出决定或者请求人民法院作出裁定。一方请求仲裁委员会作出决定,另一方请求人民法院作出裁定的,由人民法院裁定。
当事人就仲裁协议的效力请求仲裁委员会作出决定,仲裁委员会作出书面决定后,当事人不得再就仲裁协议的效力请求人民法院作出裁定。
第八条 当事人对仲裁协议的效力有异议,应当在仲裁庭首次开庭前以书面形式提出。
当事人未依照前款规定对仲裁协议的效力提出异议的,视为承认该仲裁协议的效力。
第三章 申请和受理
第九条 当事人申请仲裁应当符合下列条件:
(一)有仲裁协议;
(二)有具体的仲裁请求和事实、理由;
(三)属于仲裁委员会的受理范围。
第十条 当事人申请仲裁,应当向仲裁委员会递交下列文件:
(一)仲裁协议;
(二)仲裁申请书及相应的副本。仲裁申请书应写明:
1.申请人、被申请人及其委托代理人的姓名、性别、年龄、职业、工作单位和住所,法人或者其他组织的名称、住所和法定代表人或者主要负责人的姓名、职务;邮政编码、电话号码;
2.仲裁请求和所根据的事实、理由;
3.证据和证据来源、证人姓名和住所。
申请书应当由当事人签名或者盖章。
(三)仲裁请求所依据的证据材料。
第十一条 仲裁委员会收到仲裁申请书之日起5日内,认为符合受理条件的,应当受理并通知当事人,也可以当即受理并通知当事人;认为不符合受理条件的,应当在收到仲裁申请书之日起5日内书面通知当事人不予受理,并说明理由。
仲裁委员会收到仲裁申请书后,认为仲裁申请书不符合本规则第十条规定的,可以要求当事人限期补正;逾期不补正的,视为未申请。
第十二条仲裁委员会受理仲裁申请后,应当在2日内将案件受理通知书、本规则和仲裁员名册发送申请人;在申请人按规定预交仲裁费用后将仲裁申请书副本、答辩通知书、本规则和仲裁员名册发送被申请人。
第十三条 被申请人收到仲裁申请书副本及答辩通知书后,应当在10日内向仲裁委员会提交答辩书。仲裁委员会收到答辩书后,应当在2日内将答辩书副本发送申请人。被申请人未提交答辩书的,不影响仲裁程序的进行。
第十四条 申请人可以放弃或者变更仲裁请求。被申请人可以承认或者反驳仲裁请求,有权提出反请求。
申请人变更仲裁请求的,被申请人提出反请求的,应当在庭审辩论终结前以书面形式提出。但仲裁庭认为有正当理由的,期限可以适当延长至开庭后5日内。
仲裁委员会应当在收到变更仲裁申请书或者反请求申请书之日起2日内,将变更仲裁申请书副本、反请求申请书副本发送当事人。
当事人应当自收到变更仲裁申请书副本或反请求申请书副本之日起10日内向仲裁委员会提交答辩书。未提交答辩书的,不影响仲裁程序的进行。
第十五条 申请人应当在收到案件受理通知书之日起5日内按照本规则及所附仲裁费用表的规定预交案件受理费和处理费;确有困难的,经仲裁委员会批准,可以部分缓交。申请人不预交,又不申请缓交仲裁费用的,视为撤回仲裁申请。
反请求适用前款规定。
第十六条 当事人提交仲裁申请书、答辩书、反请求申请书以及其他有关文件的,应一式三份。如果当事人超过两人,则应增加相应份数。
第十七条 一方当事人因另一方当事人的行为或者其他原因,可能使仲裁裁决不能执行或者难以执行的,可以申请财产保全。
当事人申请财产保全的,仲裁委员会应当将当事人的申请及时提交有管辖权的人民法院。
申请有错误的,申请人应当赔偿被申请人因财产保全遭受的损失。
第十八条 当事人、法定代理人可以委托律师和其他代理人进行仲裁活动,但最多不超过三人。当事人有正当理由申请增加仲裁代理人人数的,经仲裁庭同意,可以适当增加。
委托律师和其他代理人进行仲裁活动的,应当向仲裁委员会提交授权委托书。授权委托书必须载明委托事项和权限。
第四章 仲裁庭的组成
第十九条 仲裁庭可以由3名仲裁员或者1名仲裁员组成。由3名仲裁员组成的,设首席仲裁员。
案件受理后,仲裁委员会指定一名秘书处工作人员担任仲裁庭办案秘书。
第二十条 当事人应当在仲裁委员会仲裁员名册中选定仲裁员。
当事人约定由3名仲裁员组成仲裁庭的,应当各自选定或者各自委托仲裁委员会主任指定1名仲裁员,第三名仲裁员由当事人共同选定或者共同委托仲裁委员会主任指定。第三名仲裁员是首席仲裁员。

第一条 为了规范仲裁委员会的仲裁收费,制定本办法。
第二条 当事人申请仲裁,应当按照本办法的规定向仲裁委员会交纳仲裁费用,仲裁费用包括案件受理费和案件处理费。
第三条 案件受理费用于给付仲裁员报酬、维持仲裁委员会正常运转的必要开支。
第四条 申请人应当自收到仲裁委员会受理通知书之日起15日内,按照仲裁案件受理费表的规定预交案件受理费。被申请人在提出反请求的同时,应当按照仲裁案件受理费表的规定预交案件受理费。
仲裁案件受理费的具体标准由仲裁委员会在仲裁案件受理费表规定的幅度内确定,并报仲裁委员会所在地的省、自治区、直辖市人民政府物价管理部门核准。
第五条 仲裁案件受理费表中的争议金额,以申请人请求的数额为准;请求的数额与实际争议金额不一致的,以实际争议金额为准。
申请仲裁时争议金额未确定的,由仲裁委员会根据争议所涉及权益的具体情况确定预先收取的案件受理费数额。
第六条 当事人预交案件受理费确有困难的,由当事人提出申请,经仲裁委员会批准,可以缓交。
当事人在本办法第四条第一款规定的期限内不预交案件受理费,又不提出缓交申请的,视为撤回仲裁申请。
第七条 案件处理费包括:
(一)仲裁员因办理仲裁案件出差、开庭而支出的食宿费、交通费及其他合理费用;
(二)证人、鉴定人、翻译人员等因出庭而支出的食宿费、交通费、误工补贴;
(三)咨询、鉴定、勘验、翻译等费用;
(四)复制、送达案件材料、文书的费用;
(五)其他应当由当事人承担的合理费用。
本条款第(二)、(三)项规定的案件处理费,由提出申请的一方当事人预付。
第八条 案件处理费的收费标准按照国家有关规定执行;国家没有规定的,按照合同的实际支出收取。
第九条 仲裁费用原则上由败诉的当事人承担;当事人部分胜诉、部分败诉的,由仲裁庭根据当事人各方责任大小确定其各自应当承担的仲裁费用的比例。当事人自行和解或者经仲裁庭调解结案的,当事人可以协商确定各自承担的仲裁费用的比例。
仲裁庭应当在调解书或者裁决书中写明双方当事人最终应当支付的仲裁费用金额。
第十条 依照仲裁法第六十一条的规定,仲裁庭同意重新仲裁的,仲裁委员会不得再行收取案件受理费。
仲裁庭依法对裁决书中的文字、计算错误或者仲裁庭已经裁决但在裁决书中遗漏的事项作出补正,不得收费。
第十一条 申请人经书面通知,无正当理由不到庭或者未经仲裁庭许可中途退庭,可以视为撤回仲裁申请,案件受理费、处理费不予退回。
第十二条 仲裁委员会受理仲裁申请后,仲裁庭组成前,申请人撤回仲裁申请,或者当事人自行达成和解协议并撤回仲裁申请的,案件受理费应当全部退回。
仲裁庭组成后,申请人撤回仲裁申请或者当事人自行达成和解协议并撤回仲裁申请的,应当根据实际情况酌情退回部分案件受理费。
第十三条 本办法第五条、第十二条的规定同样适用于被申请人提出反请求的情形。
第十四条 仲裁委员会收取仲裁案件受理费,应当使用省、自治区、直辖市人民政府财政部门统一印制的收费票据,并按照国家有关规定,建立、健全财务核算制度,加强财务、收支管理,接受财政、审计、财务、物价等部门的监督。
第十五条 本办法自1995年9月1日起施行。
