原告：大连中杰房屋开发有限公司（以下简称中杰房屋公司），住所地，大连市中山区大众街11号。
法定代表人：管学国，系该公司董事长。
委托代理人：魏继德，辽宁东亚律师事务所律师。

被告：辽宁钧诚拍卖行有限公司（以下简称钧诚拍卖行），住所地，大连市甘井子区龙安路18-5号。
法定代表人：李建军，系该公司董事长。
委托代理人：马元锋，系北京市世纪律师事务所律师。
委托代理人：李长虹，男，系该公司经理。
第三人：中国农业银行大连市分行（以下简称农行大连市分行），住所地，大连市中山路10号。
负责人：王志峰，系该行行长。
委托代理人：宋诗军，辽宁天合律师事务所律师。原告中杰房屋公司诉被告钧诚拍卖行、第三人农行大连市分行拍卖合同纠纷一案，本院受理后，依法公开开庭审理了本案，原告中杰房屋公司委托代理人魏继德、李江、被告钧诚拍卖行委托代理人马元锋、李长虹、第三人农行大连市分行委托代理人宋诗军到庭参加诉讼，本案现已审理终结。
原告诉称；2005年11月30日，我公司与辽宁钧诚拍卖行有限公司（原企业名称为大连钧诚拍卖行有限公司）订立《竞买协议书》，参与竞买由农行大连市分行委托拍卖的“大连华顺大厦”在建项目。协议约定：“大连华顺大厦”位于大连市中山路42-1号，建筑面积为31912.76㎡，占地面积为3291.90㎡，拍卖底价为8230万元。另外，该协议披露了部分项目中存在不达标需加固等到瑕疵，本次拍卖为项目现状拍卖。关于竞买保证金；双方约定：参与竞买者于2005年11月29日之前须向钧诚公司交纳4000万元人民币的保证金；拍卖成交后，双方应在现场签署拍卖成交确认书，其余成交价款及其他费用于2005年12月15日之前付清。原告依约向钧诚公司交纳了4000万元保证金，参加了由钧诚公司组织的拍卖会并成功拍得“华顺大厦”。其后，双方按照《竞买协议书》的约定签署了《大连市拍卖行成交确认书》。该《成交确认书》确认：拍卖、竞买并成交的标的物华顺大厦占地面积3291.90㎡,建筑面积31912.76㎡，成交价8230万元；拍卖佣金411.50万元，除已交纳4000万元外，其余成交确认金额4230万元和佣金411.50万元（共计4641.50万元）应于2005年12月15日前付给钧诚公司，如逾期并经通知后仍不支付，我公司将无权要求返还已交纳的保证金，同时还应承担再次拍卖标的物所产生的费用以及低于现拍卖成交金额的差价。第五条还约定，“拍卖人到期不能交付拍卖成交的标的物的，应向买受人双倍返还保证金。”
上述《成交确认书》签署后，原告从钧诚公司知悉：在举办拍卖会之前的11月29日，大连市中级人民法院曾致函该公司，要求该公司停止已被该院查封的拍卖标的物华顺大厦。得到上述消息，我公司随即向钧诚公司、拍卖委托人农行大连分行提出强烈交涉，要求他们立即协调解除查封、交付标的物。12月9日，大连市中级人民法院再次致函钧诚公司，重申该院此前要求。但此后钧诚公司、农行大连分行并未采取任何协调解除查封的措施。有鉴于此，我公司为免遭巨额损失，未继续付款。现在，该标的物仍在继续查封之中，并再次被农行大连分行委托拍卖，现已成交。原告认为，拍卖人在明知拍卖的标的物已被法院采取保全措施、大厦过户将不能逾越该司法障碍的情况下，拍卖委托人农行大连分行仍委托拍卖、拍卖人钧诚公司仍予以拍卖的行为已经构成民事上违约。按照约定，钧诚公司应双倍返还保证金共计8000万元（现已给付4000万元）；逾期返还，势必产生利息损失。为参与拍卖，我公司高息拆借为本次竞买“华顺大厦”所需的资金，由于未能得到标的物，高额利息白白付出。上述损失皆由钧诚公司所造成，应为此承担赔偿责任。由于不能交付标的物的最根本的原因系由农行大连分行而引起的，故农行大连分行应为被告的全部债务担连带清偿责任。据此，我公司对被告钧诚公司、第三人农行大连分行提起民事诉讼。原告中杰房屋公司诉讼请求：
一、判令被告钧诚拍卖行给付应双倍返还保证金中的余款4000万元；
二、判令被告钧诚拍卖行赔偿逾期返还双倍保证金期间的利息损失437.45万元。
三、判令被告钧诚拍卖行赔偿高息拆借资金的利息损失187万元；
四、判令第三人农行大连分行对被告钧诚拍卖行的上述诸项债务承担连带清偿责任；
五、判令被告钧诚拍卖行、第三人农行大连市分行负担本案诉讼费。
被告钧诚拍卖行辩称，拍卖合同无效，被告在拍卖活动中既没有违返法律规定的程序性规定，又有委托人作为基础事实不应当承担原告所请求的违约责任；原告诉请被告赔偿高额利息，根据有关规定，高额利息不受法律保护；造成拍卖不能履行的根本原因在原告，不同意原告中杰房屋公司的诉讼请求。
第三人农行大连分行辩称，拍卖标的物系法院查封财产，未经允许不得拍卖，依据我国有关法律规定本案中所涉及的拍卖合同包括竞买协议书及拍卖成交确认书依法应当认定为无效合同。基于无效合同，合同中约定的条款和内容，对当事人各方均没有法律约束力，因此，原告竞买协议书和成交协议书中的条款主张其民事权利是没有法律依据的；导致本案所涉及的拍卖合同无效的责任不在被告及第三人，原告方提出的大连市中级人民法院对拍卖标的物的查封事宜，在本案的被告钧诚拍卖行举行拍卖会之前，被告及第三人对该标的物此前被查封的事实是不知晓的，不存在任何针对原告的欺诈或隐螨行为；原告方声称为竞买本案涉及的标的物所进行的高息拆借行为，是原告单方的商业行为，根据我国法律规定，拆借所产生的高息是不受法律保护的，如果产生相应的损失应当由原告自行负担。第三人农行大连市分行认为原告的诉讼请求没有事实和法律依据，请求法院驳回原告的诉讼请求。
经审理查明：2005年11月14日，中国农业银行大连市分行资产风险管理处与原大连钧诚拍卖行有限公司签订委托拍卖合同约定，中国农业银行大连市分行资产风险管理处委托原大连钧诚拍卖行有限公司拍卖大连华顺大厦。
2005年11月30日，原告中杰房屋公司与原大连钧诚拍卖行有限公司订立《竞买协议书》，参与竞买由农行大连分行委托拍卖的“大连华顺大厦”在建项目，竞买协议明确如下内容：“大连华顺大厦”位于大连市中山路42-1号，建筑面积为31912.76㎡，占地面积为3291.90㎡，未完工，拍卖底价为8230万元；另外，该标的物有车位不足，电梯配置不足，大厦《建设工程规划许可证》、《建筑工程许可证》已失效、大厦超规划面积建设、大厦混凝土强度部分不达标需加固等瑕疵，本次拍卖为项目现状拍卖。关于竞买保证金，双方约定：参与竞买者于2005年11月29日之前须向大连钧诚拍卖行有限公司交纳4000万元人民币的保证金；拍卖成交后，双方现场签署拍卖成交确认书，其余成交价款及其他费用于2005年12月15日之前付清。该协议签订之前，原告中杰房屋公司已经向原大连钧诚拍卖行有限公司交纳了4000万元保证金。2005年11月30日，原告中杰房屋公司参加了由原大连钧诚拍卖行有限公司组织的拍卖会并竞买成功，竞得“华顺大厦”。当日，双方按照《竞买协议书》的约定签署了《大连市拍卖行成交确认书》。该成交确认书确认：原告中杰房屋公司竞买成交的标的物华顺大厦占地3291.90㎡，建筑面积31912.76㎡，成交价8230万元；拍卖佣金411.50万元，除已交纳4000万元外，其余成交确认金额4230万元和佣金411.50万元（共计4641.50万元）应于2005年12月15日前付给大连钧诚拍卖行有限公司，逾期并经通知后仍不支付，中杰房屋公司无权要求返还已交纳的保证金，同时还应承担再次拍卖标的物所产生的费用以及低于现拍卖成交金额的差价。成交确认书第五条还约定，拍卖人到期不能交付拍卖成交标的物，应向买受人双倍返还保证金。
原告、被告成交的拍卖标的物华顺大厦系本院（2005）大民特字第42号案于2005年7月19日查封财产。
得悉原大连钧诚拍卖行有限公司对华顺大厦进行拍卖后，本院于2005提11月29日、2005年12月9日两次致函原大连钧诚拍卖行有限公司要求该公司停止对华顺大厦的拍卖活动。原告知悉竞买成交标的系法院查封财产后，没有支付剩余成交款项。2006年4月18日，因案涉标的另行拍卖成交，原大连钧诚拍卖行有限公司通知原告中杰房屋公司取回缴纳保证金4000万元，2006年5月9日，原告中杰房屋公司从被告处取回保证金4000万元。诉讼过程中，原告中杰房屋公司变更诉讼请求判令被告钧诚拍卖行赔偿逾期返还双倍保证金期间的利息损失393.56893万元。自2005年11月25日至2006年5月9日，按中国人民银行规定的同期流动资金贷款利率计算4000万元保证金的利息为97.643836万元（4000万元×5.44%÷365×165）
另查，为筹集竞买华顺大厦资金，原告分别与案外人签订两份借款协议，一份协议约定原告向案外人借款1500万元，借款期限为两年，借款利率为年利率25%，借款期限届满后，本息一并支付。实际发生借款1100万元，另一份协议约定原告向案外人借款400万元，借款期限为一年，借款利率为年利率20%，借款期限届满后，本息一并支付，实际借款400万元。两份借款协议的利息原告均未向出借人支付。
原大连钧诚拍卖行有限公司于2005年12月6日变更名称为辽宁钧诚拍卖行有限公司，即本案被告。
上述事实，有委托合同、竞买协议书、大连市拍卖成交确认书、大连市中级人民法院查封回执、函、工商档案、保证金收据、借款合同、银行进帐单及当事人庭审笔录等证据在案为凭，这些证据已经过当事人庭审质证与本案审查，具有证明效力，可以采信。本院认为，农行大连市分行资产风险管理处系第三人农行大连市分行的职能部门，其以部门名义与原大连钧诚拍卖行有限公司签订《委托拍卖合同》因日后农行大连市分行对该委托合同的实际履行被予以追认，委托拍卖合同的民事法律后果由第三人农行大连市分行承担。《委托拍卖合同》及原告中杰房屋公司与被告钧诚拍卖行签订的《竞买协议书》、《大连市拍卖行成交确认书》的标的物均为特定的对象大连华顺大厦，该三份合同签订前，华顺大厦已被本院按照法定程序予以查封，依照有关法律规定，财产被司法机关查封冻结期间未经法定程序不得变卖，故《委托拍卖合同》《竞买协议书》《大连市拍卖行成交确认书》因委托、买卖合同标的物系法定非流通物而无效。诉讼中原告中杰房屋公司主张委托人、拍卖人、竞买人之间参与拍卖活动的意思表示真实，查封是人民法院对当事人的财产所进行的限制，并不改变该财产流通的法律属性，查封行为未经公示不能对抗善意第三人，应认定合同有效，本院认为，民事法律行为成立的要件须具备主体适格即具备相应的民事行为能力、意思表示真实、民事行为内容不违反法律和社会公共利益，虽然《委托拍卖合同》、《竞买协议书》《大连市拍卖成交确认书》的合同当事人均具备民事行为能力，合同意思表示真实，但合同内容违反财产被司法机关查封冻结期间未经过法定程序不得变卖的法律强制性规定，故当事人各方签订合同的行为不具备民事法律行为成交的要件，系无效民事行为；司法查封行为完成后即形成社会公示的法律事实，其不以公众实际被告知为公示要件，对财产的查封是司法机关对财产流通所进行的限制，虽然不改变该财产可流通的根本属性，但法律上确定了该财产在查封期间未经法定程序不得变卖的强制性，委托合同、拍卖合同的标的物均系法律强制性规定不得买卖的标的物，第三人农行大连市分行对拍卖标的物没有合法占有的事实，原告中杰房屋公司通过拍卖买受该标的物没有善意取得的法律依据；综上，本院对原告中杰房屋公司所持拍卖合同合法有效的主张不予采信；《委托拍卖合同》《竞买协议书》《大连市拍卖行成交确认书》无效，合同条款均无效，合同条款的约定对合同当事人不具有约束力，原告诉讼请求被告及第三人按合同条款承担双倍返还保证金的民事责任缺乏法律依据，本院对其此节主张不予支持。按照有关法律规定，合同被认定无效后，依据合同从一方取得的财产应予以返还，有过错一方合同当事人应赔偿无过错方的损失，本案中，拍卖委托人第三人农行大连市分行、拍卖人被告钧诚拍卖行均有义务知悉并披露其拍卖标的物的所存在的权利瑕疵，即被告、第三人均具有拍卖标的物的权利瑕疵担保义务，虽然诉讼中被告及第三人均称其在拍卖成交后、在收到本院停止拍卖活动的函件后才知悉拍卖标的物系法院查封财产，但对拍卖标的物的权利瑕疵担保义务系拍卖委托人、拍卖人的法定义务，系在委托拍卖之前和拍卖之前应履行的义务，故被告及第三人不得以对法定义务的不知悉作为其法律责任不承担的托词。本案中，被告钧诚拍卖行没有向竞买人原告中杰房屋公司披露标的物的权利瑕疵，委托人农行大连市分行没有向受托人被告钧诚拍卖行披露标的物的瑕疵，其根本过错在于第三人农行大连市分行，第三人农行大连市分行应对原告的财产损失承担相应的法律责任。华顺大厦另行拍卖成交后，被告钧诚拍卖行已经返还原告4000万元的合同保证金，对于该资金占用期间的利息损失应同第三人农行大连市分行承担。关于企业间借款合同的效力，本院认为，企业以自有资金互通有无，在不影响金融秩序的情况下，合同合法有效，但其利息约定应符合法律、法规许可的利率标准，原告所诉称的保证金中的部分款项系企业间拆借，可能造成高额利息损失一节，因借款利息没有实际发生，本案对高出正常利息部分不予保护，待利息差额部分实际发生时，原告另案拆讼。综上所述，依照《中华人民共和国民法通则》第五十八条五款、第六十一条《中华人民共和国城市房地产管理法》第三十七条二款《中华人民共和国拍卖法》第十八条、第二十七条、六十一条一款之规定，判决如下：
一、第三人中国农业银行大连市分行于本判决生效后十日内给付原告大连中杰房屋开发有限公司保证金4000万元利息损失976438.36元；
二、驳回原告大连中杰房屋开发有限公司的其它诉讼请求。本案案件受理费273022元，由原告大连中杰房屋开发有限公司承担260000元，第三人中国农业银行大连市分行承担13022元。
如不服本判决，可在判决书送达之日起十五日内，向本院递交上诉状及上诉费，并按对方当事人的人数提出副本，上诉于辽宁省高级人民法院。

2017年江苏成人学士学位英语考试复习资料总结大全
***上台以来，各种各样的改革纷沓至来。成人教育专升本科考试也变得越来越规范，越来越严格了，现在想要取得成人本科学士学位必须要通过学位英语考试。以前的学位英语考试比较松，有的地方学校会给予帮助（有题目和答案，带进考场抄抄就行，有的直接交钱有枪手替考的），现在没人敢这么做了。因为以前作弊叫违规，现在叫违法，没人愿意为了这点小钱被逮进去的。所以学位英语的考试难度就加大了，有的年纪大的人根本就不去考试了，放弃学位了。现在，我就以一个过来人的身份给众位希望获得学位证书的朋友讲讲自己学位英语考试的一点心得体会。
江苏省学位英语考试的教材是凤凰出版传媒集团 江苏人民出版社 成人学士学位英语考试指南（封皮是黄色的），江苏省学位英语命题研究中心审定的。2013年之前（包括2013），江苏省学位英语考试的题目有70~80%是书后面练习题的原题。题型包括：
一、听力理解（20分）；
二、阅读理解（30分）；
三、完形填空（10分）；
四、词语用法和语法结构（15分）；
五、英译汉（10分）；
六、写作（15分）。其中词语用法和语法结构性价比较低（题目太多，内容太多，分值不高），听力的性价比最高（几乎全是原题，而且简单），阅读理解以前的性价比也很高（有2~3篇原题），完型以前的性价比也很高（原题），作文以前的性价比也很高（原题，不过背的要多一些），翻译是阅读里的句子（部分原题）。这上面的性价比是没改革之前的，原题很多，考60分并不难。
然而，在2014年开始，江苏省学位英语考试的题目有了一定的变化，考教材的内容似乎只占了45%，听力作文原题，但是阅读理解一篇原题都没有（坑爹啊），据说，阅读考的是2003年的原题。本人是2015年参加的考试，更为坑爹，貌似只有听力是原题，语法结构我没看教材，不知道是不是原题，总之，原题所占的比例越来越低了，2015年估计只有20~30%。想要通过考试没有一定的英语水平是很难的。
现在考试越来越规范了，当然，相比公务员考试还是松很多的。本来考试迟到是不准进考场的，但是我那个考场里有人迟到了，但是监考老师通融了。先说说考试的时候要注意的地方：2015年听力20分全部原题，我根本没听就把答案全写上了，监考老师还过来看我怎么在做其他题目，即便没做过原题，题目也非常的简单（傻瓜式的问答）。然后阅读理解一篇原题也没有，第三篇很难，也长的要死。然后，完型也不是原题，慢慢做吧。语法本人没看，只能一个一个做了。接下来就坑爹了，考卷一共两份，第一份全是客观题，坑爹的是要第一份收上去再发第二份考卷（主观题）。我当时在等发第二份考卷，答题卡没去涂，后来还有几分钟，老师说要收答题卡了，我慌得半死，急急忙忙涂完，都没来得及检查自己有没有涂错，一共80个题，我也记不清自己涂了80个还是75个了，郁闷了好久，万一涂了75个估计下次还得来。最后是翻译和作文，也不是原题。当时心都凉了，准备了那么久，背了那么多题目，结果只考到了20分，运气真差。
本人考试前三个礼拜就开始准备了，每天2小时做题背题，当然周末也会偷偷懒什么的。考试前几乎把题目倒背如流了，心想：小样看你怎么逃出我的手掌心。结果只有20分原题，我其余80%的努力全白费了，郁闷的要死，而且，如果答题卡再涂错，真TM要命啊。
总结，现在的学位英语考试考得原题是越来越少了，想通过背题通过的朋友们还是把这个时间放到如何提升自己的英语水平上来吧。当然，听力的原题一定要背熟。还有考过的题目应该是不会考第二遍的，所以，可以把以前考过的题目去掉，看剩下的。为了以防万一（考原题），我把各部分题目和答案精简了一下，贴出来给大家。阅读理解的序号是不对的，看文章标题吧。词语用法和语法结构性价比太低，就不贴出来了。
