二、合资公司：(Partnership)合资公司是一种由两个或多个人，两个或多个股份公司，信托公司等共同建立新公司来进行贸易或商业活动的公司，合作的每方都为公司提供资金、劳力、财产或技术，同时也分享公司的利润并承担损失。合资公司的存在依赖于合作的连续性，特别是在两个人的合作关系中，如果其中一人离开或宣布破产，则伙伴关系自然解体。合资公司也象独资公司一样易于成立，有时，一个口头协议就已足矣。但如果资金和财产会在将来成为问题，那么还是准备一个书面的协议为好，公司利润的分配和损失的分担办法应在合资协议中加以说明。另外，从事贸易、采矿或制造业以外业务的合资公司不一定要注册。简化的手续是只在当地的市政府进行登记并得到营业许可证。还有一种特殊形式的合资公司叫有限合资公司(Limited Partnership)，它可以由一个或多个有限合伙人组成，和有限公司不同，公司的一部分股东不参加公司的运作，公司的股东仅以其出资额为限对公司负责。

三、有限公司：(Corporation)有限公司是一个独立的与其组成成员（股东）有明确界限的法定实体。它是依据其股东们共同签署的特别合同中的条款而成立的，这些条款在公司的备忘录和章程里都有表述。股份公司有以下不同于独资公司和合资公司的特点： 第一是股东责任有限，通常公司的股东不对超出其股份比例的公司债务、义务负责。第二是公司存在的连续性。因为股份公司是一个独立的法定实体，所以即使股东成员有所变更，公司仍旧继续存在。此外，公司的所有权可以改变，股份的转移不会影响公司的存在或连续性。

四、注册公司程序：

五、公司注册的注意事项：在注册公司时，要和当地的公司注册局（Registrar of Companies）或企业服务中心（Business Service Centre）取得联系。

以上几种不同公司的注册手续和繁简程度也是不一样的。

首先要使公司名称获得批准，其次要填写有关的申请表。公司在注册前必须自己拟定名称，公司名称有一定的规范，不合规范的名称是不能予以注册的。

然后在专门的机构进行名称索引查询。最好不要和别人重名。尤其是有限公司，如果这个名称已经被注册使用，则你不能再用此名称。如果你一旦注册了某名称为公司名称，同样别人也不可以再用此名称注册公司，这样，你的公司名称在某种程度上受到了保护。但有一种情况比较可怕。根据商标法，注册商标比公司名称更受到法律保护。如果别人用你注册过的公司名称注册了商标，为了防止这种局面出现，在注册公司名称的同时应把它作为商标加以注册。这样，你的公司名称才真正受到了保护。公司的徽标（logo）也有同样的问题，只有经过商标注册才受到保护。

在省政府注册的公司的办公地点必须在本省范围内，如果在加拿大的其它省份设立办公地点或分支机构，必须在其所在省份另行办理注册手续。如果是在联邦政府注册的公司，则该公司可以在全加拿大范围内设立分支机构。公司注册必须有办公地点。如果还没有租赁办公地点，暂时借用其它人的地址也是可以的，但工作运行后地址需要做变更登记。

公司注册后，将与政府之间有阶段性的业务报表。税务视公司运行及收入情况而定。如果呈亏损状况，其亏损额可以由后续几年内的盈利抵销，以降低后续年分的税务。

根据公司拥有者的人数，可减免相当数量的税务。

按加拿大公司法规定，外国人在加拿大注册企业，其董事会成员的半数以上必须是加拿大公民或永久居民。因此，其它国家的公民在加拿大注册企业应该挂名至少一半的加拿大公民或永久居民作为董事会成员。董事会成员不见得一定是公司的股份拥有者。至于公司内部的工作安排及工资情况，主要取决于内部协商。

为保证xxxx主要工作目标的实现，在新工作中，要处理好4个工作关系，发挥6项工作职能

（一）处理好4个工作关系

1、全局和局部的关系。办公室作为一个综合部门，其性质主要体现在服务性上，当部门工作与机关的整体工作、局部工作与全局工作发生矛盾的时候，自觉地做到局部服从全局、部门服从整体。

2、主动与被动的关系。对一些常规性、规律性、阶段性等确定性工作，要主动着手，提前准备。对领导临时交办的任务、应急事件和突发事件等非确定性工作，要提高应变能力，做到忙而不乱。同时要围绕中心工作，积极适应公司领导的工作思路，把问题想在前面，把工作做在前头，主动做好超前服务。

3、政务和事务的关系。事务工作是搞好政务工作的先决条件，不能把政务看成是大事，把事务看成是小事或可有可无的事。更不能把政务看成是高层次的，把事务看成是低层次的。办公室的工作事无巨细，不能有半点疏忽和懈怠。

4、“过”与“不及”的关系。在工作中要把握“度”，掌握分寸。为公司决策提供尽可能多的参考资料，不能越俎代庖。要积极谏言，但不能瞎掺和。

（二）充分发挥6项工作职能

1、发挥好参谋职能。在工作中既要了解面上的总体工作，又要了解近期的重点工作，不仅要熟知公司领导的工作部署和意见，而且还要了解本单位的实际情况和干部职工的意见和建议。立足发展变化的新情况，多动脑筋、想办法、出主意，增强工作的主动性、预见性、创造性，查漏补缺，在充分调查摸底的基础上，向公司提出切实可行的建议和意见，发挥好参谋和助手作用。

2、发挥好协调职能。对于职责内的工作做到抓一件成一件，件件有交代，项项有落实。对职责以外但没有部门抓的或职责不明的工作，也要义不容辞的承担起来，做到内部工作不留空档，外部联系和睦协调，保证各项工作的全面推进。

3、发挥好办事职能。对任何一件经办的工作，都要严谨细致，一丝不苟，做到不让公司领导布置的工作在办公室延误，不让需要办理的文电在办公室积压，不让到办公室联系工作的人员受到冷落，不让公司机关形象在办公室受到影响。

4、发挥好管理职能。

一、按规定办事。不在政策规定问题上讲人情，“走后门”。

二、依法办事。办公室人员必须学法、懂法、守法，严格按照法律法规来开展工作。

三、按组织原则办事。坚持民主集中制原则，坚持一级对一级负责的工作制度。

5、发挥好服务职能。在大量复杂的事务性工作中，保持清醒的头脑，分清主次、分清轻重缓急、不怕麻烦；坚持逐级汇报的原则，各尽其责；建立一套科学规范的工作制度、工作程序、工作规则，使每项工作都有章可循。

6、发挥好督办职能。耐心征求各部门意见，据实向领导反映情况。据实情、讲实话、干实事、创实效，扎扎实实，不慕虚荣，不图虚名，要一步一个脚印，不作表面文章。

在已过去的年末岁尾的几个月中，由于公司刚刚初创，人和事从原单位剥离出来的时间不长，一切都得从新开始，有些事情还处理得不够，还有很多大量的事情未来得及办理，敬请领导和同仁给予原谅、批评与指正，感谢领导的信任与关怀，我作为一名部门负责人在此表态：在新的一年里以十二分的热诚，全身心的投入工作。坚决贯彻集团公司：追求创新、超常发展、高效运作、注重结果的经营理念，为实现公司的发展目标，做出自己一点微小贡献。
