合作协议

甲方：YES WE CAN 纯外教英语机构

乙方：

根据双方共同协商，更有利于开发____英语培训市场，秉承平等、互助、友善、诚信的基本合作原则，甲乙双方达成如下协议：

一、合作类别：

第一种合作：纯外教学期长线弹性培训

1：甲方给乙方提供欧美讲英语国家的正宗外籍教师，来源于湖南大学、中南大学博士生

2：外籍教师都经过龙阳老师亲自英语教学培训，有丰富英语教学经验和职业道德

3：甲方纯外教英语培训，乙方可选择每个月的周末安排外教零距离培训 4：外籍教师每天最多可以上6节课（含6节课），不能超过6节课，超出的按每小时200元计算

5：外籍教师的工资是每天600元，由乙方提供食宿和差旅费

6：每学期甲方为乙方额外赠送2小时英语教师培训（由外籍教师完成），2小时团队与销售培训（由龙阳老师完成）

7：结款方式是每搞完一次活动将付清本次活动的课筹费 8：此合作方式不属于独家合作

9：乙方纯外教培训时间每学期如果超过20天

10：此种合作方式属于独家合作，甲方不得在同区域再与别家机构合作1

第二种合作：纯外教精品小班培训

1：乙方开设纯外教精品小班，乙方负责组织与管理

2：时间为20此课程，40个小时，收费1280元（参考价）

3：甲方提供培训教材电子版，由乙方印刷（每本5元左右）

4：甲方外籍教师工资150元/小时，车费、食宿由乙方提供

二、合作时间: 2011年9月1日至2012年2月1日。

三、合作期满后，双方愿意可续签协议。合作期内及期满半年内乙方不

得在合作范围内与其他机构进行同类合作，否则视为乙方违约，约定违约金为人民币捌万元整。

第二篇：外教口语课合作协议

外教口语课合作协议

甲、乙双方本着公平、平等、自愿、互利互惠的原则，签订以下协议：

一、合作项目：外教口语课

二、合作时间：2012年4月25日－2013年4月25日

三、甲方权利义务

1.甲方为乙方提供母语为英语的外教，如美国、英国等国的外教。外教须专业水平合格，表达流畅，有效驾驭课堂，达到课程目的；

2.甲方负责联络和安排外教课程、上课时间及交通等，把关课堂质量、接受学员意见反馈和负责课程的教材的选用；

3.甲方须保证外教按时、按质、按量完成教学，发生迟到超过5分钟、早退和家长投诉等现象，一次缴纳50元违约金；

4.甲方更换外教，须提前5天告知乙方和家长，并作好家长沟通工作；更换外教超过两次，且严重影响课程质量的，如学员不适应、家长投诉等，乙方有权解除与甲方合作关系，甲方外教剩余课酬作为违

约金支付给乙方；

5.由于招生需要，不定期举办免费公开课时，甲方须免费提供合格的外教参与免费公开课；

6.甲方有权利监督和检查乙方的课程财务状况；

7.教材书本及与教学相关用品由甲方负责,乙方予以监督.四、乙方权利义务：

1.乙方负责招生和宣传，保证课室的正常供应，学员的教务管理；

2.乙方免费为课程提供有意向的学员资源和组织公开课；

3.乙方负责课程财务，如学费收取、提供财务报表、外教工资支出；每月15日，乙方进行财务结算，甲乙双方进行分成，支付外教工资；

4.乙方有权利监督和检查乙方的课程质量状况，对于不合格的外教，综合家长、学员各方面的意见后，有权要求甲方予以更换；

五、关于甲乙双方利润分成1． 甲乙双方对扣除各项成本后的纯利润进行分成，所获得纯利润比例：甲方为60%，乙方为40%；

2． 纯利润＝（学员学费收入）－（招生宣传印刷费用+教师招生5个点提成+活动优惠费用）

六、违约条款及争议解决方式

1． 甲方违反上述协议，无法继续提供外教完成合约规定内容的，造成的损失由甲方承担，乙方不支付所余提成并得要求甲方赔偿损失的权利，和承担违约金1万元；

2． 乙方违反上述协议，所造成的损失由乙方承担，甲方得要求乙方赔偿损失的权利；

3． 甲方双方发生争议时，协商解决；协商不能解决的，由第三人调解；调解不成的，交由广州市仲裁委员会裁决。

4． 本合同一式两，效力同等，签字即生效；

XUE YU SI EDUCATION Employment Agreement

I.The two parties of agreement.Party A（signature）：_________Party B（signature）：_________

II._______has engaged_________(nationality)________（English name）________（Chinese name）as_________teacher，Both parties, in line with the principles of legality, fairness, equality, mutual agreement, honesty, and trustworthiness, on a voluntary basis, and in a spirit of friendly cooperation, agree to sign this contract and pledge to fulfill all the obligations stipulated hereinafter.III.The duration of service is from ___,___,_____to ___,___,_____.IV.The Party A pays the Party B a salary of RMBper hour.Each class lasts two hours with a 5-10 minutes break.The class time is from 10 to 12 a.m.on Saturday morning.V.Party A’s Obligations:

1．Party A shall provide Party B with necessary working conditions.2．Party A shall conduct regular supervision, inspection and review of Party B’s working performance.3.Party A shall pay Party B’s salary as scheduled, settlement should be made at the end of the month every month, Party A shall pay Party B’s salary before the 10th of next month.VI.Party B’s Obligations:

1.Party B shall fulfill the tasks assigned to him/her with high standards within the prescribed timeframe.2.If party B is unable to perform this contract due to special reason, Party B has the responsibility to introduce another foreign teacher for party A, until the foreign teacher meets party A’s satisfaction.3.If there are unexpected events happen to Party B, such as: Party B get otherthings to do, sick leave or other activities, which result in normal teaching can not be guaranteed.Party B should inform Party A at least two days in advance.Otherwise, Party A can deduct at least RMB 200 from Party B’s salary every time.VII.Revision, Cancellation and Termination of the Contract:

1．Both parties shall abide by the contract and shall refrain from revising, canceling, or terminating the contract without mutual consent.2．This contract can be revised, canceled and terminated with mutual consent.Before both parties have reached an agreement, the contract shall be strictly observed.3.Under the following conditions, Party A shall have the right to inform Party B in writing of the cancellation of this contract:

a.Party B fails to fulfill this contract or the obligations and agreed conditions as herein

stipulated, and fails to amend his/her actions after Party A has pointed it out;

b.On the basis of the physician’s diagnosis, Party B fails to resume normal work after a sick leave for a period of successive 30 days

4.If Party A fails to pay Party B as scheduled, Party B has the right to inform Party A in writing of the cancellation of this contract

Ⅷ.Under the following conditions, Party A shall have the right to deduct RMB50-200 from Party B’s salary in that month, if the circumstances are serious, Party A may unilaterally terminate the contract:

a.Be late for class,left early, absence, or leave the classroom optionally.b.Not to perform procedures, change or suspend the class without authorization.c.Suspending the class more than two times(including two times)with normal

procedure

d.Giving lectures without teaching plan.e.Fail to perform the contract or break the rules of the training center.Ⅸ.This contract shall take effect upon being signed by both parties and shall be automatically terminated upon expiration.When either party requires signing a renewed contract, it shall forward its request to the other party 60 days prior to the expiration of this contract, and both parties shall sign the new contract through consultations and mutual consent.This contract is signed by both parties on___,___,_____(date).This contract is in duplicate, each in both Chinese and English versions, and both shall take effect upon being signed at the same time.学与思教育聘用外籍教师协议

b.如果由于特殊原因，乙方不能履行合同，乙方须找另外一名外籍教师接替，该

名教师须符合校方要求。

c.如果乙方有特殊情况发生，如有其它事情，生病或其它安排导致教学不能正常

进行，乙方应提前两天告知甲方，否则，甲方有权将每次扣除乙方工资200元

人民币。

7.更改、取消和终止该协议：

a.双方应遵守该协议，未取得双方同意，不得修改、取消、或终止协议。

b.该协议在双方同意的情况下，可更改、订正和终止。在双方取得一致意见前，应继续严格执行该协议。

c.在以下情况下，甲方有权以书面形式告知乙方终止合同：

i.乙方未履行该合同，或合同规定的义务和协商条款，并且在甲方郑重

指出乙方问题时，乙方仍不修正。

ii.基于健康诊断书，乙方请病假持续30天而未进行正常教学工作。

d.如果甲方未准时支付乙方工资，乙方有权以书面形式告知甲方终止合同。

8.以下情况，甲方有权从乙方一个月工资中扣除50-200元，如情节严重，甲方将单方面终

止该协议：

a.上课迟到，早退，缺席或擅自自由出入教室。

b.不依照程序上课，私自更改，暂停课程。

c.未按照正常程序，私自停课2次以上（包含两次）。

d.未准备课程就授课。

e.不履行协议，违反学校规定。

9.该协议将在双方签订之后立即生效，到期自动终止。如须续签，须在到期之日前60天

告知另一方，双方须经协商和征得双方一致同意的情况下签订合同。

I.Party Bwishes to engage the service of Party A Ganzhou King Doctor Kindergarten of Oxford International as a foreign English teacher.The two parties, in a spirit of friendly cooperation, agree to sign this contract and pledge to fulfill conscientiously all the obligations stipulated in it.乙方自愿作为甲方外教在甲方从事教学服务工作。双方在友好合作的基础上签订本合同，并发誓遵守合同中所规定的各项条款。

V.Party A's Obligations

甲方义务：

1.Party A shall introduce to Party B the laws, decrees and relevant regulations enacted by the Chinese government, the Party A' work system and regulations concerning administration of foreign experts.甲方有义务向乙方介绍甲方所在当地的相关法律、法规以及甲方工作机制、规程、规定以及与外国专家管理相关的规章制度。

2.Party A shall conduct direction, supervision and evaluation of Party B's work.甲方对乙方的工作负责指导、监督以及评价。

3.Party A shall provide Party B with necessary working and living conditions.甲方必须向乙方提供乙方工作和生活必需的条件和设施。

4.Party A shall provide Party B with an assistant for working and living affairs.甲方应向乙方提供工作和生活联系人

5.Party A shall pay Party B's salary regularly by the month.甲方应向乙方每月按期发放工资。

VI.Party B's obligations

乙方义务：

1.Party B shall observe the laws, decrees and relevant regulations enacted by the Chinese government and shall not interfere in China's internal affairs.乙方必须遵守中国的法律、法规和将关规定，不干涉中国内政。

2.Party B shall observe Party A's work system and regulations concerning administration of foreign experts and shall accept Party A's arrangement, direction, supervision and evaluation in regard to his/her work.Without Party A's consent, Party B shall not render service elsewhere or hold concurrently any post unrelated to the work agreed on with Party A.乙方必需遵守甲方的工作制度及与外国专家管理相关的规定，并接受甲方在工

作方面的安排、指导、监督和评价。未经甲方批准，乙方不得从事任何兼职工作。

3.Party B shall complete the tasks agreed on schedule and guarantee the quality of work.乙方必须按照计划保质保量完成甲方委派的工作。

4.Party B shall respect China's religious policy, and shall not conduct religious activities incompatible with the status of an expert.乙方必须遵守中国的宗教政策，不允许从事与外籍专家身份不符的宗教活动。

5.Party B shall respect the Chinese people's moral standards and customs.乙方必须尊重中国人民的道德规范和风俗习惯。

6.If Party B has any contagious or serious diseases, or if Party B is female in pregnancy, child birth or baby nursing period, Party B has the duty to inform Party A before the contract is signed so that Party A can provide special care to Party B.Otherwise, Party A will not bear any related responsibilities.乙方如有严重疾病或传染性疾病、或者女性有怀孕、待产、哺乳等情况，必须在签订合同之前，向甲方如实声明，否则造成后果由乙方承担全部责任。

VII.Revision, Cancellation and Termination of the Contract

合同的修改、取消和终止：

1.Both parties should abide by the contract and should refrain from revising, canceling, or terminating the contract without mutual consent(except that mentioned in VI, 6).双方必须严格遵守合同中所规定的内容。不经双方同意，不得擅自单方修改、取消或者终止合同。但本合同第VI条第六款所规定的情况除外。

2.The contract can be revised, canceled, or terminated with mutual consent.Before both parties have reached an agreement, the contract should be strictly observed.在双方同意的情况下，可以对合同进行修改、取消或者终止。但在此之前，必须严格遵守合同。

3.Party A has the right to cancel the contract with a written notice to Party B under the following conditions;

在以下情况下，甲方有权以书面形式通知乙方终止合同：

(1)Party B does not fulfill the contract or does not fulfill the contract obligations according to the terms stipulated, and has failed to amend after Party A has pointed it out.乙方没有完成合同中所规定的内容，或者经甲方提醒仍没有履行合同中所规定的义务。

(2)According to the doctor's diagnosis, Party B cannot resume normal work after a continued 30 day sick leave.经医生诊断，乙方在连续30日病假后仍不能恢复正常工作。

4.Party B has the right to cancel the contract with a written notice to party A under the following conditions:

在以下情况下，乙方有权以书面形式通知甲方终止合同：

(1)Party A has not provided Party B with necessary working and living conditions as stipulated in the contract.甲方没有按照规定为乙方提供工作和生活所需条件和设备。

(2)Party A has not paid Party B as scheduled.甲方没有按期向乙方发放劳务报酬。

VIII.Breach Penalty

违约金

When either of the two parties fails to fulfill the contract or fails to fulfill the contract obligations according to the terms stipulated, that is, breaks the contract, it must pay a breach penalty of ￥50000 RMB.任何一方不能按照合同中所规定内容执行，都将视为违约。违约方应承担￥50000元人民币的违约金。

If Party B asks to cancel the contract due to events beyond control, it should produce certifications by the department concerned, obtain Party A's consent, and pay its own return expenses;If Party B cancels the contract without valid reason, it should pay its own return expenses and pay breach penalty to Party A.If Party A asks to cancel the contract due to events beyond control, with the consent of Party B, it should pay Party B's return expenses;if Party A cancels the contract without valid reason, it should pay Party B's return expenses and pay a breach penalty to Party B.如果因不可抗原因乙方请求终止合同，须出示有关部门开具的证明材料，经甲方批准，自费返程路费。如果没有正当理由乙方擅自终止合同，乙方应自费返程路费，并承担违约责任。如果甲方因不可抗原因结束合同，经乙方同意后，应由甲方负责提供乙方返程路费。如甲方没有正当理由擅自终止合同，应负责向乙方提供返程路费，并承担违约责任。

IX.The appendix of this contract is an inseparable part of the contract and has equal effect

本合同附件与合同正文具有同等法律效力。

X.This contract takes effect on the date signed by both parties and will automatically

expire when the contract ends.If either of the two parties asks for a new contract, it should forward its request to another party 2 weeks prior to the expiration of the contract, and sign the new contract with mutual consent.Party B shall bear all expenses incurred when staying on after the contract expires.本合同自签订之日起生效，到合同期满自然终止。如其中任何一方有意延期，必须在合同期满2周前向对方提出，在双方同意下签订续约。合同期满后，乙方负责之后的所有滞留费用。

XI.Arbitration仲裁

The two parties shall consult with each other and mediate any disputes which may arise about the contract.If all attempts fail, the two parties can appeal to the local court.有关合同内容的含义，须双方及时互相沟通，及时处理其中可能存在的争议。如果经双方协商不能达成一致，可申请可向甲方所在地法院起诉。

ⅠRequired work assignment of the employed party

受雇方工作任务：

1.Prepare lessons well prior to teaching

上课之前充分备课；

2.Conduct English lessons

3.Assess students' work

对学生学习进行考核

4.Take an active part in students' extra-curriculum activities of the employing Party

积极参与学生课外活动。

ⅡThe salary treatment

工资待遇

1.Direct payment

直接支付

Monetary salary RMB /month.The salary will be paid on the 20th of each month from the day of starting work to the expiration of the contract.In case the time is shorter than a whole month, the payment shall be counted by day.The daily wage shall be 1/30 of the monthly salary(the same with February).每月以人民币形式支付工资。工资发放日期为合同签订后一直到合同期满之间每月20日。如果遇到不满一个月，按照天数计算工资，此时每日工资为月工资的1/30（二月份同）。

2.Indirect payment.间接支付

1）The employing party agrees to provide housing conditions and pay for the water and electricity.雇用方提供住房条件和其水电费。

2）The employing party agrees to pay twice for the domestic traveling bonus.每学期两次的国内差旅交通费报销。

3)The employing party agrees to afford holidays bonus.节假日补贴。

Ⅲ Work Time, Rest and Holidays

工作时间、休息和假期

1.The work time of the employed party shall be 40 hours every week(two-day weekend)If the work time cannot reach the above-mentioned amount, Party A can arrange for Party B some other concerned work or activities, otherwise, the employed party should be paid as having reached it.受雇方每周工作量为40小时（周末双休）。如果受雇方不能达到以上工作量，雇用方可根据需要安排受雇方其他工作作为补充。如果因雇用方原因致使受雇方不能达到要求所需工作量，则视为乙方已经满足工作量。

2.If the employing party arranges overtime work for the party employed, it will pay the employed party a salary higher than that normal work time according to legal standard.The exact payment should be negotiated between the two parties.如果雇用方安排受雇方从事工作量以外的工作，应付给雇用方额外工资。额外数额由双方协商。

3.The employed party is entitled to the following paid holidays and festivals in China:

New Year's Day, Spring Festival, May Day, National Day and other holidays stipulated by laws and regulations.受雇方在中国享有以下假期和假日：

元旦，春节，“五·一”劳动节，国庆节以及法律、法规中所规定的其他节日。

Ⅳ Sick leave and private affairs leave

病假和个人事假

1.Certificate from doctors for foreigners appointed by the host institution should be presented when the employed party asks for sick leave.受雇方请病假应持有雇用方指定的医疗机构开具的医疗证明。

2.Private affairs leave of the employed party shall be approved by the employing party.The employing party will deduct the salary by day.In the contract term, the private affairs leaves should not exceed 10 days.The continuous private affairs leave shall be no more than 3 days, and two days' salary will be deducted for each day thereafter.雇用方应准许受雇方请个人事假。期间工资按照天数扣除。在合同期内不超过10天。单次事假原则上不能超过3天，超过3天后每天扣除2天的工资。

3.In case of absence from work without the employing party’s permission, 3 days' salary will be deducted for each day absent.For serious circumstances, the employing party has the right to terminate the contract and investigate the liability of the employed party for violation of the contract.不经雇用方批准擅自离职，每旷工一天扣除3天的工资。在特殊情况下，雇用方有权对违反规则的受雇方终止合同并调查受雇方的可靠性。

Ⅴ Confirmation and change of every term of the appendix of the standard contract must be stipulated in written form through negotiation between the two parties.Any oral agreement will be regarded as invalid.本合同附件的确认和修改须经过双方协商后以书面形式写明。任何口头规定都视为无效。This appendix has equal validity of the standard contract and comprises an integral part of the contract.本合同附件是标准合同的一部分，与标准合同具有同等法律效力。

第五篇：委外加工合作协议

甲方（委托方）： 乙方（被委托方）：

甲方委托乙方组装xxx产品，为维护甲乙双方的利益，经双方协商，就有关代组装代工事宜达成如下协议，以供双方共同遵守。

第一条 代加工内容

甲方委托乙方为其加工系列产品，加工数量、款式（或开发信息）、标准、质量要求由甲方提供，价格由双方协商确定，另在订单上详述。

第二条 甲方责任

1．按计划分时间委托乙方为其加工相关产品。

2．向乙方提供加工品款式（或开发信息）、数量、技术要求、交货时间等。

3．甲方有权对乙方的生产标准、产品质量进行检查监督，并提出意见和建议，确认的样品验收货品。

4．甲方按照甲乙双方确定的样板和标准进行验收货品。

5．甲乙双方严守商业秘密。

6.本合同所签订的上述加工品的商标及图案文字为甲方所有，乙方不得为他人生产或提供。

第三条 乙方责任

1．严格按照甲方的委托内容及要求从事代加工活动。

2．甲方确定的款式、数量、质量及生产期限等标准打版进行生产，生产标准符合质量要求，不得以任何形式超过订单数量和品种。

3．负责原材料的验收、供应，并按照甲方确定的原材料质量要求进行。

4．严格管理甲方提供的商标、包装及印刷品，因乙方管理不善，造成甲方商标、饰品及包装等丢失，应承担相应法律责任。

5．不得将甲方提供的款式用于其他商标生产。

6．严守甲方的商业秘密。

7．不得将甲方设计生产的样版提供给其他生产商。

第四条 验收标准

双方在下订单之前确定生产品种样品，甲、乙双方以此及在生产过程中，质量品质要求（以书面内容要求为准）作为验收标准。甲方在乙方送货到指定地点之日起3日内必须对产品进行验收。

第五条 付款方式

第六条 违约责任

1．因乙方未按甲方要求的时间交货，乙方应每天承担此批货总价______%的违约金；如甲方没按合同要求提货，乙方有权扣除甲方订金。

2．如乙方擅自生产或销售甲方产品及包装、印刷品等，一经查证，无论数量多少乙方应付甲方人民币______万元违约金，并追究乙方法律责任。

3．凡违反本合同之其他各项条款的，责任方应承担此批货价值______%的违约金。

4．甲、乙双方如有一方违约，除追究违约责任外，另一方有权终止本合同。因甲方提供的商标及授权手续不完备或虚假产生的法律责任由甲方承担，甲方赔偿因此给乙方带来和经济损失。

第七条 合同有效期限本委托加工合同期限为 壹 年，自2015年4月26日至2016年4月26日止。

第八条

合同如遇争议，甲乙双方可协商解决，达不成协议的可向广州仲裁委员会中山分会申请仲裁。

第九条 本合同正本一式二份，经双方当地人代表签字盖章后生效。

第十条 其他未尽事宜另行订立。
