合伙,是所有投行结构的精髓,一般人理解合伙是三五个意趣相同的人凑在一起鬼鬼祟祟的搞些名堂,类似共同犯罪。200多人的合伙肯定是鸡多不下蛋,无法弄,犹如国内几百人的合伙律师事务所,单个律师都想自己拉私活。崇尚个性的美国人怎样合伙搞投行,多年接受集体主义教育的我们为什么还在依靠股份或有限责任形式开展投行事业。本文为你解密一家标准版的合伙制投资银行的结构,希望借此可以规划你的人生。
这家公司曾经真实存在过,现在已经散伙。它是标准版的,总人数曾经为260人左右,其中13名为合伙人,其余为聘任的后台支援与服务保障人员,前后台比例为1:20,这是一个普遍接受的华尔街的合伙比例,不同的是扩容版、删节版、迷你版,如高盛,由1000多名合伙人组成,其余2万多人为后台支援与服务保障人员,而小型PE则多为2名一般合伙人加若干名保障人员的迷你型结构。
全体合伙人大会是公司的最高权力结构,每年开一次会,很有些宗教气氛,一般只讨论两件事,一是讨论当年的分红比率,二是讨论现有的聘任员工中谁的成绩特别优秀可以吸收入伙。合伙的避税优势是十分明显的,按照纳税原则,股份公司或责任有限公司的股东分红是在交纳所得税以后才能进行分配,股东利益是排在员工、债权人、政府之后的。企业损益表就体现了这一特点,第一,员工的利益在损益表中的工资及成本利益扣除保障,第二,债权人利益在EBITDA息税折旧前扣除保障,第三,政府利益在所得税中保障,第四,剩下的才是股东利益,从这个角度讲小股东是弱势群体,其状况可从证券交易大厅满脸愁云的散户神态中体现。而合伙的避税优势是合伙人先分红,然后各自分别纳税,这样一来,你优异的个人业绩就不用再为其他业绩平庸的同伙背负税务负担了。
公司平常的管理由投资承诺与合规委员会而不是董事会负责,与有限责任不同,合伙人是承担无限责任的,对投资的承诺与控制就尤为重要,甚至可以危及到个人及家庭财产的存亡。国内的律师事务所、会计师事务所缺少这层监控程序,结果不是业务做不大,就是人多以后离心离德。
像所有的中介一样,投行也是中介,他的客户既有卖方,也有买方,投行业务结构也就围绕着卖方与买方展开。投行内部基本分为四个群组,一,面向卖方的业务群组,二,面向买方的业务群组,三,为以上两个群组服务的核心保障群组,四,通常的普通业务保障群组。你的职业生涯实际上就是从这些群组的基层做起,男怕入错行,如果你有幸或不幸踏入了其中的一类群组,未来的晋升通道也就基本清晰了,他们根本就是四种不同的职业,就像在航空业就职,当空姐与当地勤,是两类完全不同的职业,应验了那句古语,天壤之别。
A,卖方客户群组,投行的卖方客户是只有两种,企业和地方政府,他们需要出卖自己的股权、债权或特许使用权获取资金。有时也可进行细分,按行业可以分为零售类、科技类、传媒类等,按发育状态可以分为A轮、B轮、IPO阶段等,按地区可以分为东部、西部、海外市场等。
卖方是投行业务的起点,只有卖方同意出让某种权益,才会有以后一系列的业务跟进,卖方企业无论大小,决策其自身命运的不会超过5个人,即董事长、董事、CEO、财务总监。知晓这一点后,即可理解华尔街的一些潜规则,投行里面只有最高层的合伙人才能以董事总经理的身份与卖方接触,其他低层级的人员是不能打扰卖方客户的。想想看,一个世界500强企业的CEO,在本行业摸爬滚打了几十年,这些企业自己就有强大的情报分析和信息管理部门,你去求见十五分钟,并拿出从网上搜罗的材料(有些就是他签署发出的)去为他分析企业状况,在名画、橡木和真皮装饰的硕大的总裁办公室里,你自己就会觉得那十几分钟像小丑一样滑稽。
有鉴于此,与目标公司新任总裁的第一次接触就一定是投行最高级别的董事总经理,见面地点看似随意,其实是精心安排的,既不能是对方也不能是自己的办公室,那会在气势上处于下风,一般会选在奢华的金融家俱乐部。董事总经理会带着若干助理,分乘两辆名车,一辆自己单独乘坐,一辆由助理们合乘。介绍双方正式认识的是投资银行各地的代理商(高盛有2万多名这种中小代理商,美林的代理商是添惠银行各地营业部的2万多名业务员)。如果你是投行新人,有幸作为随员第一次参与,会有些摸不着边际,两位主角高谈阔论,谈笑风生,哈瓦那雪茄的风味、加勒比小岛游艇的品质、共同认识的某位高官的风流韵事,一切似乎都与企业融资主题无关,但出门时,董事总经理会告诉你谈成了。其实,高手过招,外人难以觉察,几个回合下来,便知高下,除非你有独门暗器,否则企业的融资目标及金融产品价格在双方心中早已有数,剩下的就是你们这些卖方客户群组的助理人员补充完善了。
卖方客户群组对外的名称是公司金融服务部,这一部门的晋升路径是分析员,执行助理,执行经理,高级执行经理,董事总经理。分析员会从名牌大学三年级的理工类或财经类学生中招募,培训后开始工作,培训的主用课程是金融学中的现金及未来现金流的计算,又称现金流的DCF折现法,尽管名头很大,原理却出奇的简单,1,计算企业未来五年的现金流,2,以一个特定参数把未来的钱换算到今天,3,将他们相加得出结果。早期还需要用纸笔和计算器,现在有了Excel软件,可以分分种搞定。以后在投行混江湖,无论你升到什么职位,DCF都是通用的金融语言。
分析员直接升到执行助理的可能性很小,就像医院的护士很难升到助理医生,分析员工作两年后,大多会选择离开投行,攻读MBA专业,MBA会用两年104周的时间,为你解惑投行的服务对象即各类企业的100多个案例。MBA毕业生的第一选择会重回华尔街,除了薪水丰厚外,积累人脉与经验也是重要原因。
就像军校毕业下部队很快可以封少尉,MBA的就职起点是执行助理。两三年以后有望升任执行经理,再有几年可以升为高级执行经理。这时,你会面临人生最重大的抉择,最高的愿望当然是被吸收入入伙,合伙人会有终生的保障,很像国内混官场,拼死升到司局级,可以享受终生的干部医疗保障。
如果合伙无望,你就要考虑筹备一只自己的小型PE基金了。其实,分析员,执行助理,执行经理等,在董事总经理看来都无足轻重,你们的工作基本类似,就是两件半事情,1,估值,用多种方法证明两位决策人在金融家俱乐部吞云吐雾中达成的那个价格是合理的,就像完成小学老师布置的作业,用三种方法说明几加几等于九。2,建模,就是把刚才的估值反过来再算一遍。3,半件任务,路演,和买方群组配合完成销售任务。这些都不是白做的,投行会按照老雷曼制定的54321标准预先向客户收取一笔可观的费用,如果拿不出现金,就要拿股权折算。在国内,由于缺少诸如估值、建模等投行基本功,中介多选择向需要融资的企业蒙取代写商业计划书的小额费用。时间长了,这种简单劳动会让人沮丧,也会使许多人萌生退意逃离华尔街。好在每家企业融资都是阶段性的,每一次面对的企业也都不相同,通常的结果会是这样,签订企业融资委托合同后,董事总经理就像隐形人一样消失了,剩下的几个月内,执行经理带队跟企业的相应部门合作,完成剩下的融资工作,有心人会利用这段时间,联络感情积累人脉,为以后的个人创业积淀基础。
执行经理还有一种选择就是反向利用华尔街的各种人脉资源,直接到某个创业型企业参与创始,分管企业财务与创业融资,经过几轮快速融资,最后到纳斯达克上市、套现。反观国内的各类创业团队,大多是技术/营销型组合,公司财务尽是些学历可疑的中专自考生,很少有投行转过去的财务创始人,与这些技术/营销组合的创业团队沟通,更多的感觉是为他们辅导企业财务的入门课。相信今后这会是国内投行人士转行的优选之一。
B,买方客户群组,投资银行的买方客户是手中有闲置资金的机构和个人,分类除机构和个人外,还可按风险偏好,行业类别,投资规模大小,是否直接参与目标企业监管等细分。他们有的是想购买企业的股票债券获得更多收益,有的没有太多奢望,就是改变资产配置结构,回避通货膨胀带来的实际存款负利率。
投资银行针对买方设置的机构,一般叫销售部,就是把企业/地方政府的股票、债券销售给投资者。销售部有实习销售、销售助理、销售经理、高级销售经理等职位阶梯。销售对从业人员的专业背景要求不高,需要的是适当的话术和天然的客户亲和力。不要怠慢来自山西的口音浓重的煤老板,就像华尔街不敢怠慢来自得克萨斯州的牧场主,尽管你穿的是剪裁精良,价值2万的阿玛尼西服,他一震怒可以买下你们整个公司。任何一个面容姣好的东方女性都能快速越升为房地产公司的高级售楼经理,投行内销售人员的提职也常常令人意外。
实际上,在投行直接接触买方客户的机会并不多,除了那些掌管庞大资金的养老金机构,更多的买方客户都是由遍布各地的代理商负责维护,当公司金融部开发出一只价格公允的企业股票或债券,闻讯而来的代理商和投资者会很快抢购一空,代理商的每笔销售均可获得佣金中的一半。如果你打电话告诉一位代理商购买某只股票,无论他当时多么紧张,都会设法劝自己的客户买下一些,否则,下次再有好的投资机会他们会被一起轮空。解释这一现象的是资金信息黑洞理论,尽管人们身处信息爆炸的互联网时代,但所有的投资信息实际上都被投行等金融中介垄断了,单一的企业和投资者之间想要独立合作,几乎没有可能。
在投行领域,销售人员的收入稳定,但地位不高,他们是附属于交易部和公司金融部的二流部门,最经常的工作是配合公司金融部的团队,到各地巡回开展融资路演,走马灯似的不停的安排需要融资的企业家和投资人见面。销售人员的年终奖金是由合伙人听取公司金融部和交易部的意见后发放的。如果你已经成家,且供房养娃,在销售部稳定工作十五年是个不错的选择。
C,核心业务保障群组,记得那个狐狸哄乌鸦唱歌的寓言吧,乌鸦嘴里有肉的时候,狐狸会在树下不停的赞美乌鸦的歌喉,只要乌鸦一张嘴,叼起肉的狐狸就跑掉了。与任何一个出货套现的卖家一样,企业获得资金后,会躲得远远的,独享大笔资金带来的美味与快感。投资人作为买家则会在瞬间由高高在上的高贵的投资人转变为忧心忡忡的小股东。多年的经验使投资者学会了自我保护,一种是引入外部竞争,从你的竞争对手即联合承销商那里购买目标公司的金融产品,二是对投行提出相应的对赌条件,这就是特定期限内的投行价格保荐,同时还会要求你提供流动性保障,以便他随时有可能退出这份投资。投行内部会设立两个关键部门为投资者服务。一个研究部,另一个是交易部。
研究部需要持续追踪企图逃离投资者监管的目标企业和目标政府,但又不能干扰企业的正常运营,定期评级成为很好的手段,如果目标企业被评定为C-级卖出,这个企业的高官就得考虑引咎辞职,大型投行的研究部可以一言九鼎,当他们调低希腊和西班牙的评级时,这两个国家立刻陷入了持续动荡,上海的一家评级公司也想对金融世界指指点点,引来的却是笑声一片。
研究部的从业人员需要具备双重资格,一是金融分析资格,二是特定目标领域如汽车、房产、科技等专业背景。研究部也是沿袭实习研究生,助理研究员,研究员,首席研究员的晋升路径。升为首席后可以名利双收,那些在各类财经电视节目中侃侃而谈的所谓专家,大多是各投行公司的首席研究员。
交易部是另外一个为买方投资者服务的特设机构,也是区别投资银行和基金类公司的重要标志,回去查查你所供职的公司,如果没有交易部,就不能算严格意义上的投资银行。
华尔街投行的交易部全部由盎格鲁-撒克逊血统的黄发白种人组成,有色人种很难融入,他们穿者纯棉条绒衬衫,同时夹着两部电话,面前的通话台上灯光闪烁,高声喧哗着买进卖出,CNN为全球直播的财经节目,出镜的全部是他们亢奋的身影。
交易部设立的初衷是保障投资者的流动性,在以后的18个月内,投资者如果不满意,投行就得负责赎回这些股票,听起来好像是金融产品的售后服务和免费三包。这种金融中介服务的售后服务由来已久,1792年5月,24位交易员签署了具有历史意义的《梧桐树服务互换协议》,它就是现在的纽约证券交易所的前身。
在国内现行的金融环境下,即便是设立了交易部门,也会是一个提供售后服务的闲散部门,作为交易部的交易员和助理交易员也会默默无闻,这是因为可供内部交易的目标公司太少,另外我国实行的是法定利率制,没有交易波动与投机的初始条件。
销售部、研究部、交易部会联合起来与公司金融部形成冤家对头,知晓其中奥妙可以使你在职场中独善其身。公司金融部总是倾向于将目标公司的市值估高,这样可以更多的抽取佣金,但高估价值的金融产品在出售给投资者时,会加大难度,研究部也难在高估的基础上再递增出漂亮的成长业绩曲线,而交易部则会面临投资者增加退货的可能。这种内在的制衡机制使得目标公司的价格估值趋于公允合理,反而满足了外在客户的需求。
近年来对研究部的诟病越来越多,纽约州的独立检查官甚至怀疑他们是否串通起来欺骗投资人,因为在18个月内的保荐期内,投行研究部对目标企业的评级与定价一直都在稳步上升。就像售楼小姐不停的告诉你,你所购买的一期楼盘,每平米的房价每月都会上升几百元,开始你还会暗暗窃喜,时间长了,就会觉得那里不对劲。实际状况也是,出了保荐期的企业股票价格许多都会大起大落。
D,普通业务保障群组,像任何一个在地板上工作的公司一样(On the floor,美式俚语,形容那种在没有隔断的大开间里办公的环境),投行也会设立行政、财务、人力资源、技术保障等通行的保障服务群组,但比较另类的是WP和合规部门。WP(Word Prcessing)是投行才有的奇怪部门,他的主要任务就是保证投行发出的所有文字材料都要经过他们润色校对与精装,有时显得近乎病态,让人想起没有化妆的淑女打死也不会蓬头垢面的出现在他人面前。这是因为投行会毫不客气地向客户收取几十上百万美元的估值建模费用,但最后交到客户手中的往往就是若干本目标公司的公允估值与财务模型意见书,很难让人感到物有所值。重磅烫金的封面与彩色印刷的图表似乎可以弥补这种不足。投行的这种做法,被收进了沃顿商学院的早期MBA教材,称之为无形服务有形化的典范。在这之后,大到国家与地方政府形象,小到中秋月饼,过度包装成为了一种潮流。
不要试图去和WP部门的大姐斗法,她们体态圆润,风韵犹存,和高管们有着说不出的暧昧关系,通晓公司全部的潜规则。你在本公司或许就待个两三年,她会在这里就职很久很久,外出时带回一些客户免费赠送的未开封的纪念品取悦她们,是一个不错的主意,她们花枝乱颤的笑着接纳以后,会在关键时刻帮你逢凶化吉。
合规是另外一个神秘的部门,他们以嵌入式的方式渗透到每一个项目组,项目组内的任何动向都可直接报告给投资承诺与合规委员会,很有监察部特派员的派头。
投行的项目运作规律通常是这样,合伙人会轮流担任调度总经理,接收各地代理商传来的企业融资需求信息,完成初审,如果可以保持接触,就会将业务转给某位董事总经理,董事总经理随即在在处于待命状态的执行经理、助理、分析员中物色人选,组成项目小组,浩浩荡荡的开赴金融家俱乐部。
投行是承担无限风险的合伙制,很多项目又是游走在法规与政策的边缘,项目组人员组合也是短期随机,如何保持几个几十几百个项目组同时高效运转又不越轨,嵌入式的合规派遣是一种最可行的做法,具体负责这一部分的是项目组内的副总裁,他是一个类似办公室主任的角色,负责项目组内的后勤保障,也负责在背后给你打小报告。
如果你的公司内没有WP和合规部门,那离一流的投行还有很大差距,他们适用另外一类丛林法则,如何生存,另问高明。

第五篇:求职投行
求职投行、咨询、实业回顾(关于薪水)已经退出job版很久了,以前从来没有灌过水,今天看到本版几个不错的帖子(一个是“找工作切忌盲目(zz from smth)”,“一个是我看震旦offer(zz饮水思源)”),想写给没有找到工作和明年找工作的朋友。大家公认的高收入集中在投资银行和外资咨询公司。从职业发展讲,这些行业的确高收入且高增速。当然是靠时间砸出来的了。我先从这两个行业将起。我想先讲讲对投行的看法。很多外资投行在中国设立了“分公司”,高盛高华,UBSS等等,相比之下,具有摩根血统的的中金夹在外资投行和本土投行如中信、银河之间。薪酬上中金的工资当然不错,但是从市场角度讲中金非常尴尬。先看发债,中金抢不过地头蛇中信、银河(铁道部发债,中金因为资本金太少直接被踢出局),然而由于诸如中信这样的集团,因为业务几乎遍及金融的所有领域,发债发股自己就能消化不少,很多客户看中的就是这点,而这正是中金的软肋。再看IPO,海外的IPO,国内目前大的单子已经做得差不多了,即便有,中金也不能做不了主承销,跟在外资大行后面跑赚赚零花钱。以后的IPO以本土的规模较大国企小的公司上市为主,相比之下Margin低,以高薪吸引人才的中金虽有人才优势但是利润率不会太高。目前中金的确在金融创新上很有优势,主要仰仗的是比较优秀的人,比如首单资产证券化,但是这些东西并不是中金自己发明的,很大程度上中金能做是靠的牌照,但是一旦做了别的公司也能跟着做,竞争的市场对中金没有好处。从择业的角度,中金当然是不错的起点,但是不是长久之地。再看本土券商,以银河为例,光华有个师兄入职2-3年,大家一直以为中信银河钱不如中金,但是在银河的时候,这位师兄今年单奖金就51万(今年银河发债发爽了),后来被UBSS挖走了。目前,高华投行部有6单IPO压着没做,UBSS正在疯狂挖人,所以,对毕业生来说,就算进不了“顶级投行”,也不要忽视本土的券商,起薪不重要!
咨询公司大家知道的Mck,Bcg,Bain,Monitor,ATK,RB,LEK,Opera,Booz-Allen-Hamilton,Mercer Oliver Wyman等等。很多版上都能看到下面咨询公司第1年的薪水标准: mickinsey 120k Monitor 110k Bain 110k AT.Kearney 110k L.E.K 100k Rolanberger100k BCG 110k 千万别相信,至少BCG能给到168k底薪+30%左右的奖金。但是每升一级按双倍给倒是真的,而且升一级的时间远远比在实业快,快的半年慢的一年半能升,而实业已开始一般有所谓的trainee期就是两年,之后才是经理。我上面列出了最后三个是近一两年才在北大招人的咨询公司,有些公司的价值被低估了,比如Mercer Oliver Wyman的薪酬接近30w(不清楚是底薪还是全部)而且有机会去新加坡,Opera的底薪23w,加奖金有接近30w而且有3个月在美国,这两个公司要求员工频繁出国也是因为目前在大陆都没有业务,但是对毕业生来将绝对是好的发展机会。但正如宣讲的时候Mercer Oliver Wyman去年招的那个男生说的,以后这些新进去的将是中国区的头。去从招的人来说,也千万别相信咨询公司每年声称的招多少人,大麦今年声称招约25BA+25JIA,远远没有到这个数。之前和朋友按各个公司声称的招收人数估计了一下,上面几家一共招145个。保守估计北大至少30个,实际上远远没有这个数。咨询者,“以德唬人”也。言归正传,从lifestyle讲,咨询要比投行好很多,没有想象中那么恐怖。最重要的是,在咨询公司能看到不同的business model,这个对有企业家精神的同学来说绝对是好机会,尤其是对Mck,Bcg,Bain,Monitor,ATK,RB,LEK这样的业务很全面的咨询公司而言。在招应届毕业生的风格上讲,麦肯锡是唯一有笔试的公司,一下各轮基本上是案例,最后是见partner。但是在座案例的时候每个公司的风格及其不一样,除了大麦被笔试刷了外我都参加了,比如Monitor,Rolanberger在某轮会有书面的材料,而Bcg,Bain,lek是面对面的聊,而且,bcg的聊基本上是交互式,而bain相对来讲比较强调应聘者的“自己动手”,如bcg会在给出案例后以讨论的方式往下找出问题,bain相对开放,自己做的假设比较多。不管怎样,在准备进咨询中之前做案例是必须的,自己不断做案例中开发自己的分析框架是必须的。
其他的咨询公司简单说说,四大的我不了解。埃森哲、IBM还有惠普咨询(我也很惊讶惠普有咨询,但是似乎没见招人)是在一个niche market。其中以ibm的薪水最高,差补250RMB/day, 埃森哲190RMB/day。如果常年出差在埃森哲一年能有120k-135k。一般1.5年到2年升职,升职后double,这个和前面提到的战略咨询是一样的。一般5-6年后出去读MBA比较合适。其实这一类所谓的it咨询,他们很多项目并不真正自己开发软件,而是买Sap的给客户,自己最多改改,赚钱的地方不是卖项目,而是之后的系统维护(以上关于埃森哲的是据一个在埃森哲的朋友说的)。
现在讲讲四大。四大是每年吸收毕业生最多的行业之一,发offer那天基本上可以称为offer rain。身边有很多同学觉得来了北大甚至读了研究生最后去四大很冤。我不这么认为。从涨薪来说四大不慢,其次,很多从四大到投行的人。高华研究部面试的时候其中有个就是才从pwc跳过去的。其次,升到经理后收入会比实业高出很大一截。当然不爽的是可能有加班和出差,但是如果项目好的话加班会少很多。个人觉得职业开始的几年出差多了认识多些人对以后的职业发展有好处,尤其是以后想从四大跳槽的朋友。
实业中的企业方差就比较大了。开始以为太古(听起来很牛的名字)能给不少,宣讲的时候人力资源的说4000,但是像地产类的新鸿基能给到9000以上,而且第一年在香港。还有思科,第一年在美国等等。下面分行业简单介绍一下吧。
地产类:国际上最好的应该是戴德梁行、士邦威理士(按发音翻译)、第一太平洋威理士等等,港资的有新鸿基等等。国内的有之前炒得很火的碧桂园、龙湖地产等等。似乎国内的地产公司起薪不是非常高,但是据说熬5-6年后能有30万。新鸿基一共有6层,据说每跳一级薪水会有很大的提高。
快速消费品:个人觉得PG是严重被高估的地方,从薪水讲PG远远比不上google,投行、咨询等等,职业发展远远比不上有在海外培训或工作机会的思科,在毕业生中的形象应该是她校园宣传的结果,包括成立的宝洁俱乐部。当然,对有志想在快销做的朋友来说绝对是最好的选择,罗兰贝格有位经理说“学行业定价最好是航空业、工业的话对典型是汽车、学品牌策划最好是宝洁!”其他行业没怎么投所以不太了解了。
