Terms of shipment: The seller shall ship the goods within the shipping date from the port of shipment to the port of destination.Transshipment is not allowed without the buyer’s consent.9.装运通知:货物全部装船后,卖方将于10个工作日内将合同编号、商品名称、数量、毛重、发票金额、船名和开船日期传真通知买方。

进行初步检验,并出具检验证明书,如发现货物品质、规格、数量与合同不符,除保险公司或船运公司应负责的以外,买方在货到90天内有权换货或索赔,一切费用(如商检费、相关的运费、保险费etc)由卖方承担。

Arbitration: All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation, in case no settlement can be reached through negotiations, the case under dispute shall be submitted for arbitration to the China Economic and Trade Arbitration Commission Beijing in accordance with the provisional rules of procedures promulgated by the said arbitration commission.The award of the arbitration shall be final and binding upon both parties for revising the decision.The arbitration fee shall be borne by the losing part.13.不可抗力:由于人力不可抗拒事故,而卖方交货迟延或不能交货时,责任不在卖方,但

卖方应立即将事故通知买方,并于事故发生后十四天内将事故发生地政府主管机关出具的事故证明用空邮寄交卖方为证。

Force Majeure: The seller shall not be held responsible for any delay in delivery or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit.However, the seller shall advise the buyer immediately of such occurrence and within 14 days thereafter, the seller shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authorities of the place where the accident occurs as evidence thereof.14.附加条款:本合同一式二份买卖双方各执一份。

Supplements and other terms: This contract is made in two originals, one original to be held by each party.The original pieces have the same law effect to each party.All the disputes would be solved by the buyer within the people’s court of Sichuan province according to the Contract Law of PRC.

甲方(卖方):

为了明确甲、乙双方的权利和义务,根据《合同法》及有关规定,现就乙方购买甲方出售货物(货物名称、规格、数量、单价、包装见清单1)事宜达成如下协议,以资共同遵守。

第一条本合同所列条款,包括了双方达成的全部协议,并取代在此以前双方所达成的一切协议。除双方授权主管人或代表同意书入本合同的条款外,其余一律无效。

第二条乙方须由甲方确认的银行,开出不克撤销的、保兑的、允许转船和分批装运、以乙方为受益人的见票即付信用证,信用证保兑费用由乙方支付。

第三条甲方须向议付银行提交下列单据:

1.海运提单一式两份。

2.发票一式四份。

3.由商品检验局出具的质量证书一式两份。

4.由商品检验局出具的数量/重量检验报告一式两份。

第四条 交货

第五条装运条件

1.乙方可指定远洋运输代理公司作为其船运代理,并负责支上海闻闽物质进出口有限公司备

付港口所有费用。船到达装运港的预计日期和时间,以及船到达装

运港时,该船的吃水量以电报告知其代理。

2.乙方应将租船方出具的组传单一份尽快提交给甲方。

第六条货物装船后,凡发生货物短缺、损坏、变质,其风险均由

乙方承担。货物之投保由乙方自理。

第七条乙方应通过银行及时向甲方提供履约按金,金额为合同总

值的%,此按金作为乙方部分违约但尚未涉及全部协议的违约

罚金。乙方不按第二条开出不可撤销的信用证时,甲方有权立即终

止合同,没收上述3%按金并写信给给乙方告之理由。

第八条 适用规矩和章程

1.装运条款:见清单2。

2.外轮在港速遣费和滞期费收取规定,见清单3。

3.滞期费率/速遣费率以及装卸结算法则刊行于,应遵照《合同法》颁布之规则予以办理。所有费用均由乙方负担。

第九条甲、乙双方在履行本合同过程中发生争议,由双方协商解

决;协商不成的,按本合同约定的下列方法之一进行解决:

1.由仲裁委员会仲裁。

2.向人民法院起诉。

第十条甲方因不可抗力造成合同货物推迟或妨碍交货,甲方不承

担责任。但甲方按乙方的要求,应向乙方挂号邮寄由出具的证书,如有可能,也可提交由主管当局出具的证书。

装运条款

1.合同规定的每批交货日前20天,甲方应将合同号、数量、预定交

2.每批货物装运前15天,乙方应将船名、船籍、抵港日期、合同号、载重吨位等须经甲方认可的项目以信件告知甲方,以便甲方安排交

货。

3.乙方将委托装运港远洋运输公司作为其海运代理,乙方

承担一切费用,乙方将通过获得该船进出装运港口的所有

签证。

乙方须于船抵装运港10天之前,将该船详细以信件告知甲方。

4.船达装运港,甲方不能及时装货,由此而引起的空舱费和滞期费

由乙方承担。

若15天装运期满而船未达装运港,则自16天起的仓储费和滞期费

由乙方承担。

5.甲方保证1个工作日连续24小时每个舱口的装货率为公吨,远洋运输公司按外轮停靠港的有关

速遣费和滞期费计算暂行规定,与乙方直接进行结算。

6.货物完毕,甲方将合同号、品名、数量、装运船名和起航日期以

信件告知乙方。

6.DISPUTE SETTLEMENT

各方在本协议履行过程中发生争议的,应友好协商;协商不成的,应向该房地产所在地人民法院起诉。

Any dispute arising out of or in connection with the performance hereof shall be settled by amiable negotiation, if fails, either Party may bring a lawsuit before the People’s Court with jurisdiction where this real estate is located.六、【合同效力】

6.VALIDITY

本协议自甲、乙双方签署起对甲、乙生效,丙方签署后对丙方生效,一式三份,甲、乙、丙三方各执一份。

六、甲方义务 Obligations of Party A 1.甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

In case the premise and attached facilities are damaged by quality problems, natural damages or disasters, Party A will be responsible to repair and pay the relevant expenses.3.甲方应确保出租的房屋享有出租的权利,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

Party A will guarantee the lease right of the premises.Otherwise, Party A will be responsible to compensate Party B's losses.七、乙方义务 Obligations of Party B 1.乙方应按合同的规定按时支付定金、租金及保证金。

Party B will pay the rental, the deposit and other expenses on time.2.乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

Party B may decorate the premises and add new facilities with Party A's approval.When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.3.未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

Party B will not transfer the lease of the premises or sublet it without Party A's approval and should take good care of the premises.Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.4.乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it.Otherwise, Party B will be responsible for the damages caused by it 5.乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用,并按单如期缴纳。

Party B will bear the cost of utilities such as communications, water, electricity, gas, management fee etc.on time during the lease term.八、合同终止及解除的规定 Termination and dissolution of the contract 1.乙方在租赁期满后如需退租或续租,应提前两个月通知甲方,由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。

Within two months before the contract expires, Party B will notify Party A if it intends to extend the leasehold.In this situation, two parties will discuss matters over the extension.2.租赁期满后,乙方应在当天将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。

When the lease term expires, Party B will return the premises and attached facilities to Party A within days.Any belongings left in it without Party A's previous understanding will be deemed to be abandoned by Party B.In this situation, Party A has the right to dispose of it and Party A will raise no objection.3.本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。

This contract will be effective after being signed by both parties.Any party has no right to terminate this contract without another party's agreement.Anything not covered in this contract will be discussed separately by both parties

九、违约及处理 Breach of the contract 1.甲、乙双方任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途中止,则视为该方违约,双方同意违约金为人民币___________元整,若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。

During the lease term, any party who fails to fulfill any article of this contract without the other party's understanding will be deemed to breach the contract.Both parties agree that the default fine will be________________.In case the default fine is not sufficient to cover the loss suffered by the faultless party, the party in breach should pay additional compensation to the other party.2.若双方在执行本合同或与本合同有关的事情时发生争议,应首先友好协商;协商不成,可向有管辖权的人民法院提起诉讼。本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。Both parties will solve the disputes arising from execution of the contract or in connection with the contract through friendly consultation.In case the agreement cannot be reached, any party may summit the dispute to the court that has the jurisdiction over the matter.十、其他 Miscellaneous 1.本合同附件是本合同的有效组成部分,与本合同具有同等法律效力。

tenancy agreement

一、出租人(以下简称甲方)

landlord(hereinafter referred to as party a)

二、承租人(以下简称乙方)

tenant(hereinafter referred to as party b)

三、租赁范围及用途 tenancy: 甲方同意将其所有的位于 北京市朝阳区光华路2号阳光100座2001 室的房屋及其设施(包括家具和电器)在良好及可租赁的状态下租给乙方为 居住 使用,出租房的面积总计约 110平方米。

party a hereby agrees to lease its property located at and the related facilities(including furniture and appliances)in good tenantable condition to party b for size of the leased property is approximately spm.四、租赁期: term of tenancy: 4.1 租赁期为年,自年月日起至 月 14 日止。

续租或退租,应提前壹个月通知甲方。

upon expiration of the tenancy, party a has the right to take back the entire leased property, and party b shall deliver the leased property to party a on time.alternatively, party b have the opton to renew this agreement or quit this agreement upon giving one month prior notice to party a before the expiration of this agreement.五、租金及付款方式

if the rent remain being unpaid on time, party b shall be liable to pay a late penalty fee equal to 0.5﹪ of the month rent per day.六、保证金(押金): security desposit: 6.1 为确保出租房屋及其设施之安全并完好及租赁期内相关费用之如期结算,乙方同意于签订合同当日支付给甲方的租赁押金5300元作为乙方确保合同履行之保证金。to ensure the welfare and good condition of the leased property and the related facilities as well as the prompt payment and settlement of all related charges durning the term of tenancy, party b agrees to pay to party a within one day after the agreement signed a security desposit in the amount of as security for party b’s obligations hereunder.6.2 除合同另有约定外,乙方应于租赁期满之日与甲方点清室内设施,并付清

unless other provided in agreement, party a shall return to party b the entire security desposit without interest thereon upon expiration of the tenancy or sooner determination of this agreement after party b settled all charges of leased property with party a.七、费用担保: payment: 7.1 租赁期间物业费和取暖费由甲方承担。durning the term of the tenancy, the property management fees and the heat-preservation fees shall be paid by party a.7.2 房屋的冷、热水、电、天然气消耗按每月查表实数由乙方支付。

the cold, hot water, electricity, and gas payment(for water and tear)of the property shall be paid by party b according to its actual payment per month.7.3 电话费、有线收视费按实际费用由乙方交付。

party b according to its zctual payment shall pay the payment for telephone and international channel.八、出租人的责任

landlord’s obligations: 8.1 甲方须按时将出租房屋及其设施以良好的状态交付乙方使用。

party a shall deliver the leased property and the related facilities in good condition to party b on schedule.8.2 租赁期内甲方不得收回出出租房屋(除非本合同另有规定)

party a shall not take back the leased property durning the term of the tenancy.(unless otherwise stipulated in this agreement)8.3 在乙方遵守本合同的条款及交付租金的前提下,乙方有权于租赁期内拒绝

甲方或其他人骚扰而安静享用出租房屋。

provided that party b abides and performs the appendixes of the agreement and the payment for the tenancy, party b has the right to refuse the interruption from party a to enjoy the life satisfaction and peace.8.4 房屋基本设施和结构,甲方有修缮的责任并承担有关的费用,并对其做定

期修缮。party a is responsible for repairing and maintaining the basic facilities of the leased property and for bearing all costs thereto.8.5 甲方谨在此声明及保证甲方为出租房屋的合法拥有人并由合法地位出租此

房屋与乙方。

party a hereby represents and warrants that party a is the legal owner of the leased property and has the necessary legal capacity to lease the property to party b.8.6 如在租赁期内,租赁房屋发生所有权全部或部分转移、或其他影响乙方权

益的事情时,甲方应保证所有权人或者其他影响乙方权益的第三者,能继续遵守本合同所有条款,如乙方与本合同的权益人首次等所有权人或第三者所影响或损害,甲方须负责任补偿乙方的所有损失、损害、支出及费用。if durning the term of the tenancy, all or part of the leased property is transferred or party b’s right to use the leased property is attested, party a shall ensure that such transferee or third party having an effect on party b’s right to use the leased property will continue to abide by the terms of this agreement.party a shall also be liable to keep party b be fully indemnified against any costs,expenses,losses, and damages suffered by party b if any of party b’s interests herein are affected or prejudiced by a third party.九、承租人的责任: tenant’s obligatons: 9.1 乙方应按合同的规定,按时支付租金,保证金及其他各项应付费用。

party b shall be responsible to pay all rents and fees in at timely manner according to the terms of the contract.9.2 乙方经甲方事先同意,可在承担租用房内进行装修及添置设备,租赁期满

必须恢复原状(正常损耗除外),并承担其费用,经甲方验收认可后归还甲方。

party b with the prior consent of party a, can renovate and install additional facilities in the leased property.upon expiration if the tenancy the leased property shall be resumed to party a in its original conditions(fair wear and tear exempted)and all expenses arising there from shall be borne by party b.9.3 乙方应爱护使用租赁的房屋,如因乙方的过失或过错致使房屋及设施受到

损失(正常损耗除外)乙方应负赔偿责任。

party b shall treat the leased property with care.because of party b’s 9.4 乙方应按本合同的规定合法使用租赁房屋,不得擅自改变其性质,不应存

放中华人民共和国法律下所禁止的危险物品,如因此发生损害,乙方应承担全部责任。party b shall use the leased property legally as agreed in this agreement and may not change such use on its own.party b shall not store any dangerous items, which are prohibited by the laws in the people’s republic of china in the leased property and shall be fully responsible for any damages or a result thereof.9.5 租赁期即将结束之日,经乙方同意,甲方可以带其他客户看房。

upon expiration of the tenancy or sooner determination of this agreement,party a could take others to check the apartment with the party b agreement.9.6 中英文条款及意思如有不一致之处,双方协调解决。

in the event that there is the conflict between the chinese version and english version, in such case party a and party b shall go together and resolve the problem.十、违约处理: breach of agreement 10.1 乙方如有下列行为之一的,甲方有权终止本合同,收回出租房屋,并且扣

除房屋保证金。

party a shall have the right to terminate this agreement repossess the leased a、未得甲方同意将承租房屋擅自拆改结构改变用途 alters the structure of the leased property without authorization or uses the leased property other than for the purpose atated herein.b、无故拖欠租金超过十五天
