In consideration of the exclusive rights granted herein, Party A shall not, directly or

indirectly, sell or export the commodity stipulated in Article 3 to customers in North America through channels other than Party B.Party A shall refer to Party B any enquiries or orders for the commodity in question received by Party A from other firms in North America during the validity of this agreement.8.商情报告

Market Report

为使甲方充分了解现行市场情况，乙方承担至少每季度一次或在必要时随时向甲方提供市场报告，内容包括与本协议代理商品的进口与销售有关的地方规章的变动、当地市场发展趋势以及买方对甲方按协议供应的货物的品质、包装、价格等方面的意见。乙方还承担向甲方提供其他供应商类似商品的报价和广告资料。

In order to keep Party A well informed of the prevailing market conditions, Party B should undertake to supply Party A, at least once a quarter or at any time when necessary,with market reports concerning changes of the local regulations in connection with the import and sales of the commodity covered by this agreement, local market tendency and the buyer's comments on quality, packing, price, etc.of the goods supplied by Party A under this

agreement.Party B shall also supply party A with quotations and advertising materials on similar products of other suppliers.9.广告及费用

Advertising and Expenses

甲乙双方共同承担本协议有效期内在代理商品做广告宣传的一切费用。Party A and Party B shall bear the expenses for advertising and publicity in connection with the commodity in question in North America within the validity of this agreement.10.佣金

Commission

对乙方直接获取并经甲方确认接受的订单，甲方按净发票售价向乙方支付___%的佣金。佣金在甲方收到每笔订单的全部货款后_____天内向乙方支付。

infringement be found, Party B shall promptly notify and assist Party A to take steps to protect the latter's rights.12.协议有效期

Validity of Agreement

Force Majeure

Either party shall not be responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to

the other party within 15 days after its occurrence.15.仲裁

Arbitration

因凡因本合同引起的或与本合同有关的任何争议，均应提交中国国际经济贸易仲裁委员会，按照申请仲裁时该会实施的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。

第八条 商情报告

第十条佣金

对乙方直接获取并经甲方确认接受的订单，甲方按净发票售价向乙方支付___%的佣金。佣金在甲方收到每笔订单的全部货款后_____天内向乙方支付。

第十三条 协议有效期

五、售后服务

1、乙方应至少有一专职人员负责甲方产品的售后服务，并有能力进

行简单维修及判定客户申诉/调换货物是否合理；甲方承诺由售出之日起月包换，一年内免费保修，所有保修服务按照<保修单>处理。

2、乙方在担当甲方产品代理时，有销售与甲方同一类型的产品需与

甲方协商。

3、乙方确定为甲方代理，乙方可以拓展自己的销售范围。并能严

格执行甲方公司规定的价格体系，监督其他代理商串货及不执行价格体系销售的行为。

4、甲方在已确立独家代理商区域内，不再确立第二家代理商。

5、在市场及产品材料价格变化而引致产品调价时，甲方第一时间通

知乙方并妥善处理价格体系。

6、甲方保证乙方的利益/权益，对代理商的违约行为：不按价格体系及总代理区域销售等进行惩罚和制止。

7、甲乙双方正常合作期间 返修费用，双方各承担一半。如果乙方月销售额低于元，或由于乙方项目转变造成双方三个月未合作，合同自动失效，甲方将不再承担维修及其他任何费用。

六、违约及终止

1、乙方违约，甲方将视情况，停止供货，终止代理代理协议等措施，严重损害甲方企业利益及形象/破坏产权等行为，甲方将通过法律手段予与处理。并追究经济损失。

2、双方中任一方终止代理代理协议，需提前一个月告知对方，并取得对方同意。有关终止代理代理协议善后工作，双方商议解决。

七、本代理协议一式两份，双方签字后生效。

八、本协议解释权在甲方。如有其他未尽事宜，双方协商解决。若发生纠纷，以甲方所在地法律机关仲裁为准。

对乙方直接获取并经甲方确认接受的订单，甲方按净发票售价向乙方支付5%的佣金。佣金在甲方收到每笔订单的全部货款后才会支付。

在甲、乙双方政府部门之间达成的交易不受本协议条款的限制，此类交易的金额也不应计入第五条规定的最低业务量。

Transactions concluded between govenmental bodies of Party A and Party B shall not be restricted by the terms and conditions of this agreement, nor shall the amount of such transactions be counted as part of the turnover stipulated in Article 5.12.工业产权 Industrial Property Rights

在本协议有效期内，为销售有关洗衣机，乙方可以使用甲方拥有的商标，并承认使用于或包含于洗衣机中的任何专利商标、版权或其他工业产权为甲方独家拥有。一旦发现侵权，乙方应立即通知甲方并协助甲方采取措施保护甲方权益。

This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.14.协议的终止 Termination

在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。

During the validity of this agreement, if either of the two parties is found to have violated the stipulations herein, the other party has the right to terminate this agreement.15.不可抗力 Force Majeure

第一条委仸与接受

卖方和代理商都应按季度或按对方要求提供市场报告，以尽可能促进商品销售。代理商应向卖方报告商品库存情况、市场状况以及其他商业活动。

Article 10 Information and Report both seller and agent shall quarterly and/or on the request of eigher party furnish information and market report each other to promote the

sale of products as much as possible.agent shall furnish to seller report of inventory ,market situation and other commercial actiities.第十一条促销

在代理区域内，代理商应积极、充分地进行广告宣传以促进商品销售。卖方应向代理商提供一定数量的广告印刷品、样本、小册子以及代理商合理要求的其他材料。

Article 11 Sales Promotion

agent shall diligently and adequately advertise and promote the sale of products throughout territory.seller shall furnish to agent reasonable quantity of advertising literatures catalogues ,leafleats, and the like as agent may reasonable require.第十二条工业产权

在本协议有效期内，代理商可以使用卖方的商标，但仅限于代理商品的销售。本协议终止后，代理商销售库存的代理商品时，仍可使用卖方商标。代理商承认使用于或包含代理商品中的仸何专利、商标、版权以及其他工业产权，都属于卖方所有，并不得以仸何方式提出异议。一旦发现侵权，代理商应及时通知卖方，并协助卖方采取措施保护卖方的工业产权。

Article 12 Industrial Property Rights

agent may use the trade mark of seller during the effective period of this agreement only in aonnection with the sale of products, provided that even after the termination of this agreement agent may use the trade marketin connection with the sale of products held by it in stock at the time of termination.agent shall also acknowledge that any and all paterns , trade markets,copyright and other industrial property rights used or embodied in products shall remain to be sole properties of

seller and shall not dispute them in any way.if an y infringement being found, agent shall promptly notify sller and assist seller to take steps to protect its right.第十三条协议有效期

本协议经双方签字生效。在本协议终止前至少3个月，卖方或代理商应共同协商协议的延续。如双方一致同意延续，本协议应在上述各项条款（以及相关修改，若有的话）的基础上，继续有效 XX年。否则，本协议将于X年X月X日终止。

Article 14 Termination

Article 15 Force Majeure

either party shall not be responsible for failure or delay to perform all or any part of the obligations under this agreement ,which include: acts of god, government orders or restriction or any other events which cuold not be predicted at the time of the conclusion of the agreement and could not be controlled, avoided or overcome by the parties.however , the party effected by the event of force majeure shall inform the other party of its occurrence in written as soon as possible.第十六条贸易条件与合同准据法

Article 16 Trade Terms and Governing Law

10．佣金

对乙方直接获取并经甲方确认接受的订单，甲方按净发票售价向乙方支付5％的佣金。佣金在甲方收到每笔订单的全部货款后才会支付。

11．政府部门间的交易

在甲、乙双方政府部门之间达成的交易不受本协议条款的限制，此类交易的金额也不应计入第五条规定的最低业务量。

12．工业产权
