2．减帐工程应由委托方代表以书面形式向承修方提出并经双方确认。若承修方对委托方的减帐工程项目已发生了成本费用，则该费用仍应由委托方承担。
第四条 工程期限

第五条 速修费和奖罚标准：

第七条 质量保证
1．本船修理完工验收后，经承修方修复的固定部件保修期为六个月，运动部件保修期为三个月。在保修期内，如属承修方的修理质量问题而引起的故障或缺陷，承修方应及时予以免费修复。
2．若因委托方提供的配件、备件和器材的质量问题或操作不当而引起的故障、缺陷和损失，则应由委托方负责。
第八条 工程验收
1．本船修理需提交船检局检验的项目应由委托方申请。单项工程修理完工或检验合格，由委托方指派代表签字验收。全部修理工程完工（或码头试验结束）后，由双方代表签署船舶修理完工《总验收书》作为交船的依据。
2．本船修理工程的技术要求和验收标准，按双方签订的《技术协议》执行。在试验和试航中，船检局及委托方提出的属承修方修理工程中的缺陷和遗漏项目，承修方应及时修复和完成。若不属承修方修理工程的范围而又需要承修方修理时，则可按加帐工程处理。
3．本船的码头试验、试航及其他有关试验，经报验合格后，承修方应在_________天内向委托方提供有关证明文件资料。
第九条 工程修理
1．在船舶修理施工中拆下的废旧设备、材料及其他物品，除艉轴和推进器外，均应由承修方处理。若属委托方需要的旧件和设备，委托方应在拆卸前以书面形式向承修方提出并须经同意，拆卸后应及时运走。
2．船舶在厂修理期间，非经承修方同意，委托方不得外雇劳动力在船上进行有关工程的修理。在不影响承修方施工的情况下，承修方应支持委托方船员的自修工作。但委托方必须在本船修理工程项目和进度安排以书面形式通知承修方。
第十条 消防安全工作
1．船舶进厂、站修理前，应符合下列要求：
（1）油船（包括液化石油气、天然气体船，散装危险化学品液货船）应当按照中华人民共和国船舶检验局制定的《船舶清除可燃气体检验规则》的要求，清除舱内油、气，由船舶检验部门或其认可的机构检验，确认符合消防安全要求并出具检验合格证书。
（2）非油船的燃油、滑油、污油舱（柜）以及与其相连通且无法拆卸的管系，如需动火作业，其要求与油船相同；如不需动火作业，且所装载油料闪点在60℃及其以上的，可不清除存油，委托方应设置明显禁火标志。
（3）船舶的易燃易爆化学危险物品必须清除干净。
2．修船中使用易燃易爆物品，必须符合下列要求：
（1）承修方须有专人负责管理、监护。
（2）在作业场所周围划定安全警戒区，设置禁火标志。警戎区内严禁使用明火和非防爆插座、开关、电器设备。
（3）当班作业完毕，须将油料、油漆、油棉纱等易燃易爆物品全部带离船舶，不得存留在船上。
3．修船中应当对船舶电气设备和施工用电严格管理。凡临时拉接线路要采用绝缘物架空，严禁拖、拽、挤、压。
4．承修方不得擅自拆除或改变船上的防火结构、消防设备和管系。如确需改动的，应当经船舶检验部门同意。
5．船上配置的消防器材和消防设施，任何人不得随意动用或挪作他用。
第十一条 争议的解决
在执行合同过程中，双方如有争议应通过协商解决。若协商不成，则应将争议提交中国海事仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
第十二条 委托方权利义务及责任
1．检验：承修方提供材料的，承修方应当按照约定选用材料，并接受委托方检验。
2．提供材料：委托方提供材料的，委托方应当按照约定提供材料。
3．因怠于答复的赔偿：因委托方怠于答复等原因造成承修方损失的，应当赔偿损失。
4．因变更造成损失的的赔偿：委托方中途变更承修工作的要求，造成承修方损失的，应当赔偿损失。
5．协助义务：委托方不履行协助义务致使承修工作不能完成的，承修方可以催告委托方在合理期限内履行义务，并可以顺延履行期限；委托方逾期不履行的，承修方可以解除合同。

第十三条 承修方权利义务及责任
1．完成主要工作：承修方应当以自己的设备、技术和劳力，完成主要工作，但当事人另有约定的除外。承修方将其承修的主要工作交由第三人完成的，应当就该第三人完成的工作成果向委托方负责；未经委托方同意的，委托方也可以解除合同。承修方将其承修的辅助工作交由第三人完成的，应当就该第三人完成的工作成果向委托方负责。
2．提供材料并接受检验：承修方提供材料的，承修方应当按照约定选用材料，并接受委托方检验。
3．检验：承修方对委托方提供的材料，应当及时检验，发现不符合约定时，应当及时通知委托方更换、补齐或者采取其他补救措施。承修方不得擅自更换委托方提供的材料，不得更换不需要修理的零部件。
4．通知更换、补齐或者采取其他补救措施：承修方发现委托方提供的图纸或者技术要求不合理的，应当及时通知委托方。因委托方怠于答复等原因造成承修方损失的，应当赔偿损失。
5．接受监督检验：承修方在工作期间，应当接受委托方必要的监督检验。

第十六条 合同的变更
本合同履行期间，发生特殊情况时，任何一方需变更本合同的，要求变更一方应及时书面通知对方，征得对方同意后，双方在规定的时限内（书面通知发出_________天内）签订书面变更协议，该协议将成为合同不可分割的部分。未经双方签署书面文件，任何一方无权变更本合同，否则，由此造成对方的经济损失，由责任方承担。
第十七条 争议的处理
1．本合同受中华人民共和国法律管辖并按其进行解释。
2．本合同在履行过程中发生的争议，由双方当事人协商解决，也可由有关部门调解；协商或调解不成的，按下列第____种方式解决

第十八条 不可抗力
1．如果本合同任何一方因受不可抗力事件影响而未能履行其在本合同下的全部或部分义务，该义务的履行在不可抗力事件妨碍其履行期间应予中止。
2．声称受到不可抗力事件影响的一方应尽可能在最短的时间内通过书面形式将不可抗力事件的发生通知另一方，并在该不可抗力事件发生后_________日内向另一方提供关于此种不可抗力事件及其持续时间的适当证据及合同不能履行或者需要延期履行的书面资料。声称不可抗力事件导致其对本合同的履行在客观上成为不可能或不实际的一方，有责任尽一切合理的努力消除或减轻此等不可抗力事件的影响。
3．不可抗力事件发生时，双方应立即通过友好协商决定如何执行本合同。不可抗力事件或其影响终止或消除后，双方须立即恢复履行各自在本合同项下的各项义务。如不可抗力及其影响无法终止或消除而致使合同任何一方丧失继续履行合同的能力，则双方可协商解除合同或暂时延迟合同的履行，且遭遇不可抗力一方无须为此承担责任。当事人迟延履行后发生不可抗力的，不能免除责任。
4．本合同所称“不可抗力”是指受影响一方不能合理控制的，无法预料或即使可预料到也不可避免且无法克服，并于本合同签订日之后出现的，使该方对本合同全部或部分的履行在客观上成为不可能或不实际的任何事件。此等事件包括但不限于自然灾害如水灾、火灾、旱灾、台风、地震，以及社会事件如战争（不论曾否宣战）、**、罢工，政府行为或法律规定等。
第十九条 合同的解释
本合同未尽事宜或条款内容不明确，合同双方当事人可以根据本合同的原则、合同的目的、交易习惯及关联条款的内容，按照通常理解对本合同作出合理解释。该解释具有约束力，除非解释与法律或本合同相抵触。
第二十条 合同的效力
本合同自双方或双方法定代表人或其授权代表人签字并加盖单位公章或合同专用章之日起生效。

委托方委托承修方承担船修理工程，经双方协商一致，签订本合同，共同信守。
第一条 工程范围
承修方根据委托方提出的《船舶修理工程单》，经双方勘验核对签字后作为本船修理工程范围的依据。
第二条 加减帐工程
1.加帐工程应由委托方代表在开工后四分之一的工程期限内，以书面形式向承修方提出并经双方确认。若该加帐工程费用不超过本船总修理费的___%，且其单项工程不影响工程期限时，则承修方可按常规修理项目修理。若该加帐工程费用超过本船总修理费的___%，或委托方在开工四分之一工程期限后提出的加帐工程，且其单项工程将影响工程期限时，则按照具体情况，双方可对修理价格和工程期限另行协商确定，并签定补充协议。
2.减帐工程应由委托方代表以书面形式向承修方提出并经双方确认。若承修方对委托方的减帐工程项目已发生了成本费用，则该费用仍应由委托方承担。
第三条 工程价款
本船修理费（不含加减帐工程）预定为人民币___百___拾___万___千___百___拾___元，其最终总价按本船完工出厂的实际修理项目结算。
第四条 工程期限
本船定于___年___月___日进厂，___年___月___日开工，___年___月___日完工，工程期限共计___天，其中在船坞（船排和船台）时间为___天。
第五条 工程验收
1.本船修理需提交船检局检验的项目应由委托方申请。单项工程修理完工或检验合格，由委托方指派代表签字验收。全部修理工程完工（或码头试验结束）后，由双方代表签署船舶修理完工《总验收书》作为交船的依据。
2.本船修理工程的技术要求和验收标准，按双方签订的《技术协议》执行。在试验和试航中，船检局及委托方提出的属承修方修理工程中的缺陷和遗漏项目，承修方应及时修复和完成。若不属承修方修理工程的范围而又需要承修方修理时，则可按加帐工程处理。
3.本船的码头试验、试航及其他有关试验，经报验合格后，承修方应在___天内向委托方提供有关证明文件资料。
第六条 质量保证
1.本船修理完工验收后，经承修方修复的固定部件保修期为六个月，运动部件保修期为三个月。在保修期内，如属承修方的修理质量问题而引起的故障或缺陷，承修方应及时予以免费修复。
2.若因委托方提供的配件、备件和器材的质量问题或操作不当而引起的故障、缺陷和损失，则应由委托方负责。
第七条 工程修理
1.在船舶修理施工中拆下的废旧设备、材料及其他物品，除艉轴和推进器外，均应由承修方处理。若属委托方需要的旧件和设备，委托方应在拆卸前以书面形式向承修方提出并须经同意，拆卸后应及时运走。
2.船舶在厂修理期间，非经承修方同意，委托方不得外雇劳动力在船上进行有关工程的修理。在不影响承修方施工的情况下，承修方应支持委托方船员的自修工作。但委托方必须在本船修理工程项目和进度安排以书面形式通知承修方。
第八条 工程付款
1.在本合同生效后，委托方应在___天内即向承修方支付总修理费的___%的工程预付款___万元；在修理进度达到二分之一工程期限时，委托方应向承修方支付总修理费的___%进度款 万元；余款在完工后___天内一次结清。若委托方逾期付款，则应按中国人民银行逾期付款的有关规定办理。
2.承修方凭《结帐单》由承修方开户银行向委托方开户银行托收。
第九条 速修费和滞修费
在船舶修理工程提前完工或逾期完工时，双方应向对方支付速修费或滞修费，其计算方法如下：
承修方每提前一天完工，委托方按本船总修理费的___%向承修方另行支付速修费，但其最高金额不得超过总修理费的___%。确属承修方原因而逾期完工，则每逾期一天应由承修方按总修理费的___%向委托方支付滞修费，但其最高金额不得超过总修理费的___%。承修方应在结帐单中将滞修费自动予以扣除并通知委托方。
第十条 消防安全工作
船舶修理期间的消防安全工作，必须严格执行中华人民共和国交通部、公安部、中国船舶工业总公司___年___月___日联合发布的《船舶修理防火防爆管理规定》。
第十一条 争议的解决
在执行合同过程中，双方如有争议应通过协商解决。若协商不成，则应将争议提交中国海事仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。
第十二条 其他
1.本合同未尽事项，可由双方另行补充协议，该协议与原合同具有同等效力。
2.本合同自签章之日起生效。
3.本合同正本一式两份，双方各执一份，副本___份，其中一份送承修方所在地的合同管理机关备案。若双方要求对合同进行鉴证，应在承修方所在地的合同管理机关办理鉴证手续。
