对外贸易合同

甲方（卖方）:

乙方：（买方）

为了明确甲、乙双方的权利和义务，根据《合同法》及有关规定，现就乙方购买甲方出售货物（货物名称、规格、数量、单价、包装见清单1）事宜达成如下协议，以资共同遵守。

第一条本合同所列条款，包括了双方达成的全部协议，并取代在此以前双方所达成的一切协议。除双方授权主管人或代表同意书入本合同的条款外，其余一律无效。

第二条乙方须由甲方确认的银行，开出不克撤销的、保兑的、允许转船和分批装运、以乙方为受益人的见票即付信用证，信用证保兑费用由乙方支付。

第三条甲方须向议付银行提交下列单据：

1.海运提单一式两份。

2.发票一式四份。

3.由商品检验局出具的质量证书一式两份。

4.由商品检验局出具的数量/重量检验报告一式两份。

第四条 交货

1.交货期为。

第五条装运条件

1.乙方可指定远洋运输代理公司作为其船运代理，并负责支上海闻闽物质进出口有限公司备

付港口所有费用。船到达装运港的预计日期和时间，以及船到达装

运港时，该船的吃水量以电报告知其代理。

2.乙方应将租船方出具的组传单一份尽快提交给甲方。

第六条货物装船后，凡发生货物短缺、损坏、变质，其风险均由

乙方承担。货物之投保由乙方自理。

第七条乙方应通过银行及时向甲方提供履约按金，金额为合同总

值的%，此按金作为乙方部分违约但尚未涉及全部协议的违约

罚金。乙方不按第二条开出不可撤销的信用证时，甲方有权立即终

止合同，没收上述3%按金并写信给给乙方告之理由。

第八条 适用规矩和章程

1.装运条款：见清单2。

2.外轮在港速遣费和滞期费收取规定，见清单3。

3.滞期费率/速遣费率以及装卸结算法则刊行于，应遵照《合同法》颁布之规则予以办理。所有费用均由乙方负担。

第九条甲、乙双方在履行本合同过程中发生争议，由双方协商解

决；协商不成的，按本合同约定的下列方法之一进行解决：

1.由仲裁委员会仲裁。

2.向人民法院起诉。

第十条甲方因不可抗力造成合同货物推迟或妨碍交货，甲方不承

担责任。但甲方按乙方的要求，应向乙方挂号邮寄由出具的证书，如有可能，也可提交由主管当局出具的证书。

装运条款

1.合同规定的每批交货日前20天，甲方应将合同号、数量、预定交

货期写信告诉乙方，以便乙方租船订舱。

2.每批货物装运前15天，乙方应将船名、船籍、抵港日期、合同号、载重吨位等须经甲方认可的项目以信件告知甲方，以便甲方安排交

货。

3.乙方将委托装运港远洋运输公司作为其海运代理，乙方

承担一切费用，乙方将通过获得该船进出装运港口的所有

签证。

乙方须于船抵装运港10天之前，将该船详细以信件告知甲方。

4.船达装运港，甲方不能及时装货，由此而引起的空舱费和滞期费

由乙方承担。

若15天装运期满而船未达装运港，则自16天起的仓储费和滞期费

由乙方承担。

5.甲方保证1个工作日连续24小时每个舱口的装货率为公吨，远洋运输公司按外轮停靠港的有关

速遣费和滞期费计算暂行规定，与乙方直接进行结算。

6.货物完毕，甲方将合同号、品名、数量、装运船名和起航日期以

信件告知乙方。

Packing: The packages should be suitable for long distance freight transportation and well protected against dampness, moisture, shock, rust and rough handling.The sellers shall be liable for any damage to the goods on account of improper packing and for any rust damage attributable to inadequate or improper protective measures taken by the sellers.8.装运条款：卖方保证按时将合同所述货物运往买方港口。

Terms of shipment: The seller shall ship the goods within the shipping date from the port of shipment to the port of destination.Transshipment is not allowed without the buyer’s consent.9.装运通知：货物全部装船后，卖方将于10个工作日内将合同编号、商品名称、数量、毛重、发票金额、船名和开船日期传真通知买方。

Shipping advice: The seller shall within 10 working days after the completion of the loading of the goods advise by fax the buyers of the contract No., commodity, quantity, invoice value, gross weight, name of vessel and date of sailing.10.保险：

Insurance: Insurance shall be covered by the seller for 110% of the invoice value against Additional Risks and Strike Risks11.检验： Inspection 卖方须在装运前15日委托德国机械进出口检验机构对本合同之货物进行检验并出具检验证书，货到目的港后，由买方委托中国进出口货物检验机构进行检验。The Seller shall have the goods inspected by 15 days before the shipment and have the Inspection Certificate issued by German Machinery I/E Inspection Bureau.The Buyer may have the goods reinspected by China I/E Inspection Corporation Shanghai Branch after the goods arrived at the destination.12.索赔：货物到达买方后，买方应向中国进出口商品检验检疫局申请对质量、规格、数量

进行初步检验，并出具检验证明书，如发现货物品质、规格、数量与合同不符，除保险公司或船运公司应负责的以外，买方在货到90天内有权换货或索赔，一切费用（如商检费、相关的运费、保险费etc）由卖方承担。

Claims: Within 90 days after the arrival of goods at destination should be quality, specifications or quantity be found not in conformity with the stipulations of the contract except those claims for which the insurance company or the owners of the vessel are liable.the buyers shall, on the strength of the inspection certificate issued by Entry-Exit Inspection and Quarantine of the People’s Republic of China have the right to claim for replacement with new goods or for compensation and all the expenses(such as inspection charges, freight for returning the goods and for sending the replacement insurance premium)shall be borne by the sellers.12.仲裁：凡有关本合同或执行本合同而发生的一切争执，应通过友好协商解决。如不能解决，则应申请进行仲裁。仲裁将在中国贸易促进委员会仲裁委员会进行。其做出的裁决是最终的，买卖双方均应受其约束，任何一方不得向法院或其他机关申请变更。仲裁费用由败诉方负担。

Arbitration: All disputes in connection with this contract or the execution thereof shall be settled through friendly negotiation, in case no settlement can be reached through negotiations, the case under dispute shall be submitted for arbitration to the China Economic and Trade Arbitration Commission Beijing in accordance with the provisional rules of procedures promulgated by the said arbitration commission.The award of the arbitration shall be final and binding upon both parties for revising the decision.The arbitration fee shall be borne by the losing part.13.不可抗力：由于人力不可抗拒事故，而卖方交货迟延或不能交货时，责任不在卖方，但

卖方应立即将事故通知买方，并于事故发生后十四天内将事故发生地政府主管机关出具的事故证明用空邮寄交卖方为证。

Force Majeure: The seller shall not be held responsible for any delay in delivery or non-delivery of the goods due to force majeure, which might occur during the process of manufacturing or in the course of loading or transit.However, the seller shall advise the buyer immediately of such occurrence and within 14 days thereafter, the seller shall send by airmail to the buyers for their acceptance a certificate of the accident issued by the competent government authorities of the place where the accident occurs as evidence thereof.14.附加条款：本合同一式二份买卖双方各执一份。

Supplements and other terms: This contract is made in two originals, one original to be held by each party.The original pieces have the same law effect to each party.All the disputes would be solved by the buyer within the people’s court of Sichuan province according to the Contract Law of PRC.

Disputes settlement:

15.法律适用：

Law application:

本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。

It will be governed by the law of the People's Republic of China under the circumstances that the contract is signed or the goods while the disputes arising are in the People's Republic of China or the defendant is Chinese legal person, otherwise it is governed by United Nations Convention on Contract for the International Sale of Goods.本合同使用的FOB、CFR、CIF、DDU术语系根据国际商会《Incoterms 1990》。

The terms in the contract are based on INCOTERMS 1990 of the International Chamber of Commerce.16.文字：本合同中、英两种文字具有同等法律效力，在文字解释上，若有异议，以中文解释为准。

13．装运条款：

□fob

卖方应在合同规定的装运日期前30天，以电报/电传/传真通知买方合同号、品名、数量、金额、包装件、毛重、尺码及装运港可装日期，以便买方安排租船/订舱。装运船只按期到达装运港后，如卖方不能按时装船，发生的空船费或滞期费由卖方负担。在货物超过船舷并脱离吊钩以前一切费用和风险由卖方负担。

□cif或cfr

卖方须按时在装运期限内将货物由装运港装船到目的港。在cfr术语下，卖方应在装船前2天电传/传真/电报买方合同号、品名、发票价值及开船日期，以便买方安排保险。

□ddu

卖方须按时在装运期限内将货物由装运港装运至目的港。

14．装运通知

一俟装载完毕，卖方应在_________小时内电传/传真/电报买方合同编号、品名、已发运数量、发票总金额、毛重、船名/车/机号及启程日期等。

15．质量保证：

货物品质规格必须符合本合同及质量保证书之规定，品质保证期为货到目的港_________个月内，在保证期限内，因制造厂商在设计制造过程中的缺陷造成的货物损害应由卖方负责赔偿。

16．商品检验：

卖方须在装运前_________日委托_________检验机构对合同之货物进行检验并出具检验证书，货到目的港后，由买方委托_________检验机构进行复检。

17．索赔

如经中国_________检验机构复检，发现货物有损坏、残缺或品名、规格、数量及质量与本合同及质量保证书之规定不符，买方可于货到目的港后_________天内凭上述检验机构出具的证明书向卖方要求索赔。如上述规定之索赔期与质量保证期不一致，在质量保证期限内买方仍可向卖方就质量保证条款之内容向卖方提出索赔。

18．延期交货违约金

除双方认可的不可抗力因素外，卖方迟于合同规定的期限交货，如买方同意迟延交货，卖方应同意对信用证有关条款进行个性和同意银行在议付货款时扣除本条规定的违约金。违约金总值不超过货物总价值的5%，差率按7天0.5%计算，不满7天仍按7天计算。在未采用信用证支付的情况下，卖方应将前述方法计算的违约金即付买方。

19．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方应将上述发生的情况及时通知买方。

20．争议之解决方式：

□任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则进行仲裁。仲裁地点在中国深圳。仲裁裁决是终局的，对双方均有约束力。

本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。

if the sellers fail to make delivery on time as stipulated in the contract，with exception of force majeure，the buyers shall agree to postpone the delivery on conditions that the sellers agree to amend the clauses of the l/c and pay a penalty which shall be deducted by the paying bank from the payment under negotiation.the penalty，however，shall not exceed 5% of the total value of the goods.the rate of penalty is charged at 0.5%for every seven days，if less that seven days.in case，the payment is not made through l/c，the sellers shall pay the penalty counted as above to the buyers as soon as possible.19、force majeure ：

the sellers shall not hold any responsibility for partial or total non-performance of this contract due to force majeure.but the sellers shall advise the buyers on times of such occurrence.20、disputes settlement ：

all disputes arising out of the contract or in connection with the contract，shall be submitted to the china international economic and trade arbitration commission for arbitration in accordance with its rules of arbitration in shenzhen china.the arbitral award is final and binding upon both parties.21、law application ：
