11、由于发生当事人不能预见、不可避免或无法控制的不可抗力事件，致使本合约不能履行，部分或全部商品延误交货，卖方概不负责。(The Seller shall not be held responsible for failure or delay in delivery of the entire lot or a portion of the goods under this Sales Contract in consequence of any Force Majeure incidents which may occur.Force Majeure as referred to in this contract means unforeseeable, unavoidable and insurmountable objective conditions.)

12、仲裁(Arbitration)：

凡因本合同引起的或与本合同有关的任何争议，均应提交中国国际贸易仲裁委员会，按照申请仲裁时该会现行有效的仲裁规则进行仲裁。仲裁裁决是终局的，对双方均有约束力。

(Any dispute arising from or in connection with this Contract shall be submitted to China International Economic and Trade Arbitration Commission for arbitration which shall be

(12)索赔：在货到目的口岸45天内如发现货物品质，规格和数量与合同不符，除属保险公司或船方责任外，买方有权凭中国商检出具的检验证书或有关文件向卖方索赔换货或赔款。Claims:

Force Majeure:

The sellers shall not be held responsible for the delay in shipment or non-deli-very of the goods due to Force Majeure, which might occur during the process of manufacturing or in the course of loading or transit.The sellers shall advise the Buyers immediately of the occurrence mentioned above the within fourteen days there after.The Sellers shall send by airmail to the Buyers for their acceptance certificate of the accident.Under such circumstances the Sellers, however, are still under the obligation to take all necessary measures to hasten the delivery of the goods.(14）仲裁：凡有关执行合同所发生的一切争议应通过友好协商解决，如协商不能解决，则将分歧提交中国国际贸易促进委员会按有关仲裁程序进行仲裁，仲裁将是终局的，双方均受其约束，仲裁费用由败诉方承担。

Arbitration:

１２．其他条款：质量、数量和重量的检验可于装货港一次进行。若要求提供所需的其他证件，其办理手续费、领事签证费应由买方负担。

１３．装船时间：当日１３：００或次日８：００装船。

１４．装货效率：每一个晴天工作日，除星期日，节假日外，每舱口进货为＿＿＿＿立方吨。

注：买卖合同是指卖方提供货物，买方支付货款的，以买卖为目的双务合同。卖方将货物的所有权转移给买方，买方将相应的金额支付给卖方，这是双方履行合同的权利和义务。若一方不履行其义务，另一方有权拒绝执行合同的义务。货物（Ｇｏｏｄｓ）买卖或称合同的标的物系指有形动产（Ｃｏｒｐｏｒａｌ Ｍｏｖａｂｌｅ Ｐｒｏｐｅｒｔｙ），但不包括股票（Ｓｔｏｃｋ Ｃｅｒｔｉｆｉｃａｔｅ）、流通票据（Ｃｅｒｔｉｆｉｃａｔｅ ｏｆ Ｉｎｄｅｂｔｅｄｎｅｓｓ）、财产权利（Ｒｉｇｈｔ ｏｆ Ｐｒｏｐｅｒｔｙ）和不动产（Ｒｅａｌ Ｐｒｏｐｅｒｔｙ）等。

货物买卖合同属于诺成合同，买卖双方达成协议，经签字即可生效。有些国家对货物买卖合同的最低交易额作了明文规定。买卖双方所签的合同，一般来讲，以书面合同为主，若无书面合同，一旦发生争执，仲裁委员会（或法院）不予以受理。在国际间采用的买卖合同是由律师事务所书就，以示对买卖双方的权利和义务平等互利。

art.6 liability for breach of contract: 6.1 甲方延期付款的，乙方交付产品的时间可相应顺延，甲方按照延期支付金额的/日向乙方支付滞纳金，直至款项付清之日。甲方延期支付超过三十日的，乙方有权选择解除合同，甲方按照合同滞纳金标准向乙方支付违约金（支付至乙方提出解除日），向乙方返还产品，甲方已经支付的款项作为赔偿，如不足以弥补乙方的损失的，由甲方另行赔偿。

6.2 乙方按照本合同约定的时间、地点、质量要求和技术标准向甲方提供定购产品，如延期交付的，按照未交付产品金额的 0.5% /日向甲方支付滞纳金。因乙方延期到货给甲方造成的损失由乙方赔偿。（因甲方未按期支付价款导致延期交货的除外）

FORCE MAJEURE：

如果卖方遇到人力不可抗拒事件，包括但不限于火灾、水灾、地震、台风、自然灾害以及任何其它卖方不能合理控制的任何意外事故和情况，阻止、妨碍或干扰了本合同的履行时，本合同规定的卖方履约时间应自动延长，其延长的时间应相当于因人力不可抗拒事件直接地或间接地使卖方不能履行本合同的时间。受不可抗力事件影响的卖方应在合理的时间内，用电报或电传将不可抗力事件的发生通知买方，并于1个月内将有关当局出具的有关不可抗力事件的证明航寄买方。如果不履约的情况延续达60天以上，双方应立即协商修改合同。若从不可抗力事件发生之日起120天内双方当事人未能取得双方满意的解决办法时，任何一方都可以终止履行本合同的未执行部分。

The time for the performance of the Seller's obligationsset forth in this Contract shall be automatically extend-ed for a period equal to the duration of any nonperfor-mance arising directly or indirectly from Force Majeureevents including but not limited to fire, flood, earth-quake, typhoon, natural catastrophe, and all other con-tingencies and circumstances whatsoever beyond theSeller's reasonable control preventing, hindering or in-terfering with the performance thereof.The Seller soprevented by force majeure shall in reasonable time in-form the Buyer by cable or telex of the occurrence offorce majeure and within one month by air mail a rele-vant certificate issued by competent authorities as evi-dence thereof.If the nonperformance lasts for more thansixty(60)days,the Parties shall immediately consult to-gether in an effort to agree upon a revised Contract ba-sis.If the Parties are unable to arrive at a mutually sat-isfactory solution within one hundred and twenty(120)days from the beginning of such force Majeure, then ei-ther of the Parties may terminate the Contract in respectof the unexecuted portion of the Contract.15．索赔： CLAIMS：
