1.The Leased and its usage : 租赁物和用途 :

4.Payment and term : 付款方式和期限 :

4.2 The Lessee shall prepay the quarterly rental for the following three months in advance.承租方需按季度预付随后三个月的租金。

4.3 If the Lessee fails to make payment as stipulated in the preceding clause, the overdue amount payable shall bear simple annual interest at the then prevailing interest rate of deposits announced by the People's Bank of China until such time as the payment is made.If the Lessee fails to make payment in 60 days after the rental becomes payable the Lessor has the right to terminate the agreement.如承租方未能按上款支付租金,则应加付延期付款期间的利息,直至租金得以支付。利率按中国人民银行公布的同期存款年单利率执行。

4.6 The Lessee will pay the Lessor amount of RMB One Hundred Thousand Yuan(100,000.00)as a deposit for starting the internal decoration upon signature of this Agreement.The deposit will be deducted from the first quarterly rental due.本租赁协议签订后,承租人将支付出租人人民币壹拾万元押金,启动内部装修。该押金将从第一个季度租金应付款中扣除。

5.Rights and Obligations of the Parties : 双方权利与义务:

5.1 The Lessor shall permit the Lessee to move in and install some office furniture to the Leased Offices during final decoration stage before the official contract term commences for moving purpose.出租方应允许承租方在正式协议租赁期限开始前在装修末期搬入并安装部分办公家具,为办公环境做好准备。

The Lessor shall start internal decoration to the Leased Offices at its own cost upon signing of this lease agreement with standard as following: white painted wall, white window blind, ceramic tile floor in office and granite stone floor in corridor, good quality air conditioner, hot water for wash basin, auto flush urinal, one sitting and one squatting type toilets in Men’s room, two squatting type toilets in Lady’s room.Partition entry double security door in front of elevator.Security doors on stairway entry.Coffee and tea room next to washroom shall have a sink with hot and cold water pipe installed.Partition wall and door change may be needed as required.Details of these decoration specifications will be provided by the Lessee.自本租赁协议签字生效之日起,出租方应自费对租赁写字间进行内部装修,其装修标准如下:白色墙漆墙面、白色百叶窗、写字间房间内为瓷砖地面、走廊为花岗岩地面、高品质空调机、卫生间洗手盆有热水、男卫生间小便池自动感应冲水,一个蹲便和一个坐便、女卫生间两个蹲便、卫生间旁边的茶水间要有冷热水管和水池、电梯前安装入户双开防盗门、楼梯入口安装双开防盗门、隔墙和房间门可能会根据要求进行改动。承租方将提供这些装修要求详细说明清单。

5.4 The Lessor shall provide three(3)vehicle parking space included in the rental for day and night and allow free parking during day time inside the yard for the Lessee if any vehicles of lessee or hired by the Lessee would park inside the yard of the.租金包含出租方为承租方在办公大楼院里提供三个昼夜停车位,并允许承租方自己或租用车辆在白天免费停车。

5.5 The Lessor shall include the Leased Office within its own security checking area twenty four hours per day through out the whole year.However the Lessor has no responsibility to compensate for loss if the Lessee’s property is stolen in the office.The Lessee shall observe the security rule of the Lessor, and have the liabilities to watch the security inside the Leased Office area.出租方应将租赁写字间划为其保安范围内,全年每天二十四小时值班。然而,出租方不承担承租方在写字间被盗损失的赔偿责任。承租方应遵守出租方的安全保卫制度,有义务维护办公区域的安全。

5.6 The Lessor shall keep one set of the key to the entry door, sealed in a package by the Lessee, to all the rooms inside the Leased Office area.The Lessor shall not open the package unless under the emergency(such as fire)and the explanation shall be given to the Lessee of the package opening.出租方应保留一套由承租方打包封存的租赁写字间大门的钥匙。除非在紧急情况下(如火灾等)出租方不得启封。启封后应向承租方做出说明。

5.7 The Lessor shall perform the duty of the maintenance work of the Leased Offices and common areas such as the elevator including but not limited to the air-conditioning, heating, electricity supply, water supply and plumbing.If there is no response by the Lessor within one week after the Lessee’s application for the above maintenance, or if the Lessor can not perform its duty of maintenance, after the agreement of the Lessor, the Lessee may maintain the Leased Offices at its own discretion, and the costs incurred shall be deducted from the rental payment.The maintenance in this article refers to the recovery of normal function of the Leased Office.出租方应履行对租赁写字间及公共区域如电梯的维修义务,包括但不限于空调、供暖、供电、及上下水管道。如果在承租方提出维修申请一周内,没有答复或出租方不能维修,承租方在征得出租方同意后,可以自行维修,维修费用从租金中扣除。

5.8 The staff of the Lessee shall have the right of access to the Leased Offices from 6:30am to 9:00pm on any day during the year.For anytime out of the above time, the Security Department shall be notified in advance.Lessee personnel shall not stay overnight in the Leased Office.The Security Guard of the Lessor has the right to inquiry the staff and associates of the Lessee and the entry registration will be asked to enter.Access to the Lessee's office by staff, Contractor or associates of the Lessor shall be by authorization of the Lessee.承租方的雇员有权在一年内任何日期的早上6:30到晚上9:00进出租赁写字间,超出该时间范围应提前与出租方保卫部门通报。承租方人员不得在租赁写字间内留宿。出租方保卫有权对承租方员工及客户进行询问和出入登记。对于出租方的员工、其合同商及与出租方有关的单位进入租赁写字间,应得到承租方的认可。

5.9 The Lessee will be responsible for the payment of electricity charges for the Lessee's office space as measured by the Lessor's separate meter for the floor space occupied by Lessee.The electricity will be charged by the Lessor based on the electricity charging standard.承租方将负责支付其办公区域内的用电,电量将由出租方提供的单独用于承租人租赁楼层的电表计量。出租方将按本地收费标准收取电费。

5.10 If the Lessee or its visitors damage the Lessor's facilities, the Lessee shall compensate the Lessor for the loss, with the exception of normal wear and tear and damages caused by normal use.如承租方或其访客损坏出租方的设施,承租方应予赔偿,但正常使用中造成的损坏和磨损除外。

5.11 The Lessee shall be responsible for its own valuables, cash, furniture, equipment and documents held at the Leased Offices.If the Lessor or its personnel cause the damage or loss of the Lessee’s or its personnel’s valuables, cash, document and the like, the liabilities and compensations would be decided by the agreement between two parties.If the criminal case or civil case has incurred thereof, the liabilities and compensations would be decided by the judgment of the law executive body.承租方应负责其放在租赁写字间的贵重物品、现金、家具、设备及文件的安全。如出租方或其人员造成承租方或其人员的贵重物品、现金、文件等的损坏或丢失,责任及赔偿应由双方协商处理。如由此引发各类刑事、民事案件,赔偿责任应以执法机关的最终判决为准。

5.12 The Lessee shall have the right to sub-lease part of its leased floor to other company or organization on the basis of being a sole Lessee to the Lessor for its leasing responsibility.承租人有权部分再出租其租赁面积给其它公司或机构,但条件是对于出租人而言,承租人承担全部承租人责任。

5.13 If the Lessee intends to terminate this agreement, it shall give the Lessor sixty(60)days notice in writing.In the case of intentional malicious conduct by the Lessee which have taken serious harm to the Lessor, the Lessor shall have the right to terminate this Contract by giving the Lessee sixty(60)days notice in writing.如承租方欲中止本协议,需提前六十(60)天书面通知出租方。若承租方有故意的恶意行为而给出租方带来了重大损失,出租方有权提前六十(60)天书面通知承租方中止本协议。

5.14 Any amendment of this agreement shall be discussed between the Lessee and the Lessor and mutually agreeable terms and conditions arrived at.对本协议的修改,需经出租方与承租方协商,并就其条款达成一致。5.15 The issues not covered by this agreement shall be implemented according to the Contract Law of the People's Republic of China that has been promulgated.The issues not covered by the said law shall be resolved through friendly consultation between the parties.本协议未尽事宜按已颁布的《中华人民共和国合同法》执行,该法未涵盖的,双方通过友好协商解决。

Decoration Standard and Specifications for office space 装修标准和说明

Decoration standard and style shall be similar to the 4th floor in Real Estate Development Company.与房地产开发公司楼的四层装修标准和风格类似。

Surface of wall: white painting wall with environment-friendly paint 墙面:环保型白色墙漆

Ceiling: hanging ceiling same as the 4th floor天花板:吊顶,与四层一样。

Light: Fluorescent lamp same as the 4th floor 照明灯:日光灯,与四层一样。Curtain: White window blinds窗帘: 白色百叶窗帘

Floor: Ceramic tile in office room and granite stone for corridor 地面:写字间内地面为瓷砖,走廊为花岗岩地面。

甲方和乙方根据《中华人民共和国合同法》、《中华人民共和国城市房地产管理法》及其他有关法律法规,在平等、自愿、诚实、信用原则的基础上,同意就乙方向甲方租用其房屋事项等达成协议如下:

一、房屋的座落、面积及装修、设施

(1)甲方将其拥有房屋位于__________________________________________,出租给乙方使用,用途为_________,该房屋建筑面积共________平方米。

(2)该房屋现有装修及设施情况见附件。该附件做为甲方按照本合同约定交付乙方使用和乙方在本合同租赁期满交还房屋的验证依据。

二、租赁期限

(3)乙方承担租赁期内的(水费、电费、电话费、宽带费、物业管理费、暖气费、有限电视费等)实际使用的费用,租金税费由乙方按有关规定自行承担。

(4)因乙方使用不当或不合理使用致使该房屋或其内部设施出现损坏或发生故障,乙方应及时联络进行维修并负担所发生的费用。由于不可抗力及非乙方原因造成的损失由甲方负责承担有关维修的费用。

五、产权变更

八、违约的处理

1、甲方违约的处理

(1)甲方未按合同规定的时间将功能完备及附属设施完好的房屋提供乙方使用的,每逾期一天,甲方应按月租金0.5%向乙方支付违约金,逾期10天仍不履行,乙方有权终止合同。甲方应按上述规定支付违约金,若乙方实际损失超过违约金的,甲方应据实赔偿。

(2)租赁期内若非乙方过失甲方擅自解除本合同提前收回该房屋的,甲方应按总租金的10%向乙方支付违约金,若违约金不足弥补乙方损失的,甲方应另行赔偿。

2.乙方违约的处理

(1)未经甲方书面同意,乙方擅自将房屋转租、转借,擅自拆改结构或改变用途的;利用该房屋进行违法活动的;拖欠房租壹个月以上的;乙方应向甲方支付相当于年租金20%的违约金,若违约金不足弥补甲方损失的,乙方还应另行据实赔偿,甲方有权终止合同。

(2)租赁期内乙方逾期交纳水费、电费、暖气费、宽带费及物业管理费等有关费用达壹个月时,甲方有权用押金支付上述费用,乙方承担造成的一切后果。

(3)租赁期限届满,若乙方未能将设施完好的房屋及时交给甲方,乙方应按原日租金的贰倍实际天数向甲方支付违约金。

(4)如用该房屋注册公司地址的,乙方应于解除合同之日前五日内到房屋租赁管理所办理相关注销(解除)房屋租赁合同登记(备案)手续。乙方每逾期一天,应按原日租金的贰倍向甲方支付违约金。

(5)租赁期内若乙方中途擅自退租,乙方应按合同月租金的贰倍向甲方支付违约金,所预付的租金和押金甲方不再退还。

九、免责条款

(1)房屋及其附属设施由于不可抗力造成的损失,甲、乙双方互不承担责任。(2)由于政府政策等原因导致合同不能全面履行时,甲、乙双方互不承担责任。(3)若发生本条款第1、2条情况时,租金按实际使用时间计算,多退少补。

十、特别约定

承租前,甲方应将室内水、电及其它设施,完好交给乙方使用。乙方在租用期间,应确使用水电及其它设施,如空调、热水器等其它电器使用不当发生故障应负责维修,出现意外后果自负。乙方在租用期间,不得擅自改变房屋结构。保持室内清洁,文明住房,遵纪守法,不能从事违法犯罪活动。租用期满后,要对室内进行一次彻底清扫,保持原状况。乙方租满后,室内物品无损坏,物业无欠费,甲方退还乙方房屋押金,如果续租应提前30 天通知甲方,并重新签订租房协议。

十一、其他

(1)本合同一式两份,甲、乙双方各执一份,签字后即行生效。

(2)甲乙双方履行本合同时所发生的争议应协商解决,协商不成的可以向房屋所在地人民法院起诉。

(3)本合同附件是本合同不可分割的一部分,与本合同有同等的法律效力。

根据《中华人民共和国合同法》及相关法律、法规的规定,出租方、承租方双方本着友好互利的原则,在平等、自愿、公平和诚实信用的基础上,就租赁中天广场写字间事宜,经协商一致,为明确双方权利义务,订立本合同。

一、租赁物业范围及基本情况

5.2、乙方不得改变本合同约定的房屋使用用途,否则乙方对其遭受的损失自行承担责任,给甲方及第三方造成损失的应承担赔偿责任。

5.3、乙方不得擅自转租或者以承包、合作等方式变相转租给他方,否则甲方有权终止合同。

六、装修约定

6.1、未经甲方同意,乙方不得进行装饰装修,乙方在装饰装修该房屋前,需将装修方案和施工图纸,向该项目物业管理部门申报,经审核同意后,方可入场施工,否则甲方有权要求乙方恢复原状、赔偿损失。如涉及改变房屋结构、原有消防布局等装修,乙方必须向政府有关部门进行报批并经主管部门审核同意后,方可实施装修。

6.2、乙方所有装修活动应遵守国家有关法律法规及强制性标准,遵守装饰装修中的禁 2

止行为和注意事项。

6.3、乙方进行房屋装饰装修、增添设施、中央空调和消防设施改造等产生的费用,由乙方自行承担。

6.4、租赁合同终止后,为了不影响房屋的二次租赁,依附于房屋的装修归甲方所有。

七、物业管理约定

7.1、乙方同意由甲方委托的广汇物业管理有限公司进行物业服务,服务的内容及费用根据与物业服务单位所签《物业服务合同》约定。

7.2、乙方须与甲方委托的物业服务单位签定《物业服务合同》,在交纳房屋租金时,交纳同期物业服务相关费用后,方可入住所租物业。

八、甲方的权利义务: 8.1、负责定期对该物业主体结构及该物业公共设施设备进行检查,承担物业主体结构自然损坏的维修费用。

8.2、甲方保证交付时上述房屋及所属设施的正常安全使用。在租赁期限内出现故障的,乙方应立刻告知甲方负责修理,如因未及时告知或未及时发现造成的扩大损失部分,甲方不承担责任。

8.3、甲方有权进入该物业内安装、使用和维修管道、线路及甲方提供的设备和固定装置,甲方有权在给予乙方合理之预先通知后(紧急情况下可以不予通知)进入该物业,以便于上述情况的检查、维修或改建工作。

8.4、甲方有权根据需要修改该物业大厦的功能设施及其布局。8.5、甲方保留该物业大厦外墙的使用权和管理权。

九、乙方的权利义务: 9.1、乙方应严格遵照物业管理规章制度,该物业管理规章制度乙方已知悉,乙方应自觉服从物业的统一管理。按时足额缴纳该房屋租金及本合同内明确的有关费用。并享有以下权利和承担以下义务:

9.1.1租赁期内拥有该房屋及其公用设施的使用权。

9.1.2如乙方使用不当或人为损坏房屋设施设备的,由乙方负责赔偿损失并恢复原状。9.1.3负责做好该房屋的消防管理、安全防范等工作,如因乙方疏忽或管理不善,造成安全事故,由乙方自行承担责任。

9.1.4乙方自用部位的设施设备、装饰装修的日常修缮、维护费用由乙方承担。

十、合同的变更、解除与终止

10.1、经甲乙双方协商一致,可以解除、变更、终止本合同。10.2、租赁期满合同终止。

10.3、有下列情形之一的,甲方可单方面解除合同,收回房屋:

10.3.1、乙方擅自将该房屋转租、分租、转让、转借、联营、入股或与他人调剂交换的;

10.3.2、乙方利用房屋进行非法活动,损害公共利益的; 10.3.3、未经甲方书面同意,拆改变动房屋结构的。

十一、违约责任:

11.1、乙方无故拖欠租金及服务费1个月以上的(含1个月),则甲方有权单方面解除合同,收回该房屋,并追缴所欠相关费用。

11.2、未经甲方书面同意,乙方不得将该房屋转租,否则视为乙方违约,乙方应向甲方支付两个月房租为违约金,并承担给甲方造成的经济损失。

11.3、乙方违反《物业服务合同》中相关约定,甲方或甲方委托的物业管理公司有权制止、要求其限期整改、恢复原状,赔偿损失,并由乙方承担一切法律责任,如乙方未限期整改、恢复原状、赔偿损失的,甲方有权单方面解除合同,收回该房屋。

11.4、甲乙双方任何一方无法律依据提前终止合同的,违约方应赔偿对方违约金;造成对方经济损失的,应给予赔偿。

十二、文件信函、通知的送达

12.1根据本合同需要发出的全部通知,均采取书面形式,标明收件人为乙方,如送至

该物业或发特快专递寄给乙方,即视为送达乙方。

12.2本租赁合同中所列甲乙双方的通讯地址如有变更,变更方应书面通知对方,否则通知或送达不到的责任由其自行承担。

十三、甲乙双方因执行本合同发生争执,应友好协商解决,如协商未果,任何一方有权向该房屋所在地的人民法院起诉。

十四、合同未尽事宜,双方可另行签定补充协议。

十五、本合同一式五份,甲方四份,乙方一份。经双方签字、盖章、并与物业管理公司签定《物业服务合同》并支付首期合同约定费用后生效。

1、提供营业执照复印件。

第四篇:写字间租赁合同

一、乙方因办公之需现向甲方订购租赁由甲方拥有全部物业权益可供出租的位于成都市提督街与西沟头巷交汇处“四川建行大厦”第层、房号为室的房产,租赁面积平方米(以下简称“该房产”)。

二、甲乙双方同意并确认,该房地产的租赁定价为每月元/平方米,乙方所租赁写字间每月租赁金共计。

三、甲乙双方同意并确认,在签定本协议书时,乙方向甲方支付相等于一个月租金共计人民币元,作为乙方履行本《四川建行大厦租赁写字间协议书》的定金。

四、乙方承诺在签署本《四川建行大厦租楼协议书》后七个工作日内与甲方正式签定《四川建行大厦物业租赁合同书》,签定时乙方应将本协议退还甲方,在正式签订房屋租赁合同后,协议书中的乙方已缴定金充抵租金保证金,不足部份由乙方另行支付。

五、甲乙双方必须严格遵守本《四川建行大厦租赁写字间协议书》中规定,如乙方未能在《四川建行大厦租赁写字间协议书》规定的期限内与甲方签署《四川建行大厦物业租赁合同书》,即视为乙方自行终止本《四川建行大厦租赁写字间协议书》并放弃乙方在本协议中规定的所有权益,乙方已向甲方支付的定金视为乙方对违约的赔偿,甲方有权不予退回乙方已缴付的定金,并有权将该物业另行出租,而无须通知乙方。

如甲方在《四川建行大厦租赁写字间协议书》规定的期限内悔约不向乙方出租本协议第一条规定的房产,即视为甲方违约,甲方必须在违约之日起十五天内双倍返还定金给乙方,本协议则随之作废。

六、该房产的用途为办公使用的写字间。

七、本协议书在履行过程中如发生纠纷,双方应协调解决。如双方协商不成,可依法向成都市仲裁委员会申请仲裁,或协议签定地的人民法院提起诉讼。

八、本《四川建行大厦租赁写字间协议书》壹式贰份,甲乙双方各执壹份。

九、本合同的解释权归恒兴业(成都)实业有限公司。

十、本协议自双方签字盖章之日起正式生效。

In case the rental is more than ten working days overdue, Party B will pay 0.5 percent of monthly rental as overdue fine every day, if the rental be paid 15 days overdue, Party B will be deemed to have with drawn from the premises and breach the contract.In this situation, Party A has the right to take back the premises and take actions against party B's breach.五、保证金 Deposit 1.为确保房屋及其附属设施之安全与完好,及租赁期内相关费用之如期结算,乙方同意于______年_____月_____日前支付给甲方保证金人民币 _________元整,甲方在收到保证金后予以书面签收。

Guarantying the safety and good conditions of the premises and attached facilities and account of relevant fees are settled on schedule during the lease term, party B will pay _________to party A as a deposit before _____(month)_____(day)_______(year).Party A will issue a written receipt after receiving the deposit.2.除合同另有约定外,甲方应于租赁关系消除且乙方迁空、点清并付清所有应付费用后的当天将保证金全额无息退还乙方。

六、甲方义务 Obligations of Party A 1.甲方须按时将房屋及附属设施(详见附件)交付乙方使用。

Party A will provide the premises and attached facilities(see the appendix of furniture list for detail)on schedule to Party B for using.2.房屋设施如因质量原因、自然损耗或灾害而受到损坏,甲方有修缮并承担相关费用的责任。

In case the premise and attached facilities are damaged by quality problems, natural damages or disasters, Party A will be responsible to repair and pay the relevant expenses.3.甲方应确保出租的房屋享有出租的权利,反之如乙方权益因此遭受损害,甲方应负赔偿责任。

Party A will guarantee the lease right of the premises.Otherwise, Party A will be responsible to compensate Party B's losses.七、乙方义务 Obligations of Party B 1.乙方应按合同的规定按时支付定金、租金及保证金。

Party B will pay the rental, the deposit and other expenses on time.2.乙方经甲方同意,可在房屋内添置设备。租赁期满后,乙方将添置的设备搬走,并保证不影响房屋的完好及正常使用。

Party B may decorate the premises and add new facilities with Party A's approval.When this contract expires, Party B may take away the added facilities which are removable without changing the good conditions of the premises for normal use.3.未经甲方同意,乙方不得将承租的房屋转租或分租,并爱护使用该房屋如因乙方过失或过错致使房屋及设施受损,乙方应承担赔偿责任。

Party B will not transfer the lease of the premises or sublet it without Party A's approval and should take good care of the premises.Otherwise, Party B will be responsible to compensate any damages of the premises and attached facilities caused by its fault and negligence.4.乙方应按本合同规定合法使用该房屋,不得擅自改变使用性质。乙方不得在该房屋内存放危险物品。否则,如该房屋及附属设施因此受损,乙方应承担全部责任。Party B will use the premises lawfully according to this contract without changing the nature of the premises and storing hazardous materials in it.Otherwise, Party B will be responsible for the damages caused by it 5.乙方应承担租赁期内的水、电、煤气、电讯、收视费、等一切因实际使用而产生的费用,并按单如期缴纳。

Party B will bear the cost of utilities such as communications, water, electricity, gas, management fee etc.on time during the lease term.八、合同终止及解除的规定 Termination and dissolution of the contract 1.乙方在租赁期满后如需退租或续租,应提前两个月通知甲方,由双方另行协商退租或续租事宜。在同等条件下乙方享有优先续租权。

Within two months before the contract expires, Party B will notify Party A if it intends to extend the leasehold.In this situation, two parties will discuss matters over the extension.2.租赁期满后,乙方应在当天将房屋交还甲方;任何滞留物,如未取得甲方谅解,均视为放弃,任凭甲方处置,乙方决无异议。

When the lease term expires, Party B will return the premises and attached facilities to Party A within days.Any belongings left in it without Party A's previous understanding will be deemed to be abandoned by Party B.In this situation, Party A has the right to dispose of it and Party A will raise no objection.3.本合同一经双方签字后立即生效;未经双方同意,不得任意终止,如有未尽事宜,甲、乙双方可另行协商。

This contract will be effective after being signed by both parties.Any party has no right to terminate this contract without another party's agreement.Anything not covered in this contract will be discussed separately by both parties

九、违约及处理 Breach of the contract 1.甲、乙双方任何一方在未征得对方谅解的情况下,不履行本合同规定条款,导致本合同中途中止,则视为该方违约,双方同意违约金为人民币___________元整,若违约金不足弥补无过错方之损失,则违约方还需就不足部分支付赔偿金。
