双方就以下内容达成理解并达成协议：

1．“Party A”)，currently working on the Pre-qualification and following possible tendering works for(hereafter as the “Project”)to be the project main contractor.在，甲方目前正在参与（以下简称“项目”）的工作，以

期成为该项目的总承包商。

2．“Party B”“Owner”).（以

下称为“业主”）有着密切关系。Hereby, Party A appoints Party B as its independent and exclusive Consultants for the Project Pre-qualification and tendering stage, to coordinate, facilitate and make the liaison for Party A with Owner to help Party A to be successfully awarded with the Project and enter into the contract with Owner.在此，甲方委托乙方作为甲方在该项目资格审核及投标阶段的独立和唯一的咨询顾问，协助

甲方与业主就该项目进行协调、辅助以及联络工作，使甲方能成功中标，并与业主签订总承

包合同。liaison work with the high officials with Owner during the pre-qualification/bidding work and the possible construction of the Project.乙方作为甲方与业主之间关系的促进和协调机构，在整个资格审核、投标以及可能的项目施

工阶段，乙方负责与业主进行沟通。During the whole process of Pre-qualification/bid and the following possible construction work,government related services and collect the local material, labor information and local regulations regarding the Project for/to Party A.Party B shall collect the pre-qualification or bid documents1

(including but not limited to Addendums, bidding drawings and other information or data relating to pre-qualification/bid work)from Owner and obtain all prerequisite information, procedures, bylaws or local regulations, regarding any requirements on pre-qualification of bidders, submission of pre-qualification/bid Documents and all other information or data relating to, and required by the Project, and transmit such documents to Party A for pre-qualification/bid preparation.在整个资格审核和投标以及随后可能的项目实施工作中，公司应协调和协助甲方与业主的关系，负责进行与本项目有关的与项目所在地政府及其他相关单位的沟通工作，了解搜集并向甲方提供当地的材料信息、人工信息以及当地相关的法律法规。公司负责从业主处搜集该项目的资格审核、投标相关的文件（包括附件、投标图纸以及其他任何与此相关的文件资料），积极获得有关资格审核中关于投标者的先决性信息、程序、章程和地方性规定，以及其他与该项目有关的资料文件，并转交给甲方以便其进行项目资格审合和投标的准备工作。Party A hereto and Party B shall bear its own costs and expenses(including but not limited to costs

for legal, accounting, brokers or finder’s fees, professional or advisory services)in connection with the pre-qualification and following possible bidding preparation for this Project.In the event that Party A has signed the contract with Owner on this Project, Party A agrees to pay Party B commissions for its services in a total amount equal to(percentage)of the signed total contract value(hereafter referred to as the “Commission”)between Party A and Owner.The Commission shall be paid by Party A in the form of check for transfer to Party B or its designated payee.Party A agrees to pay Party B the Commission in 15 installments, on a pro rata basis within 15 working days upon the receipt by Party A of the first ten payments from Owner in accordance with the contract between Party A and Owner.该协议中的甲乙双方就该项目的资格审核及随后的投标工作所产生的费用（包括但不限于法律的、会计的、经纪的、现场考察的费用，以及专业性的或建议性的咨询服务费用）将由各方自己承担。如果甲方与业主就该项目签署了总承包合同，甲方同意向乙方（所有的咨询顾问）一共支付该项目所签署合同总额的（百分比）作为咨询服务报酬（以下简称“咨询服务佣金”），咨询顾问佣金将由甲方以转帐支票形式支付给乙方或乙方指定的收款人。甲方同意，将根据其与业主签署的总承包合同的相关条款，在收到业主支付的前十五次工程款后的十五个工作日内，按工程款比例分十五次向咨询顾问支付咨询服务佣金。In the event that Party A has not signed the contract with Owner on this Project, Party A has no any

Owner confidential.Party B agrees to keep all the information regarding the works of pre-qualification and bidding of the Project confidential.This provision is strictly construed but shall not prevent the parties from disclosing information to third parties who have obtained the written consent of all the parties, and are necessary to assist accomplishing the purpose of the pre-qualification and bidding of the Project.甲方同意对通过乙方或直接由业主提供的所有关于项目的信息予以保密，乙方将对该项目资格审核和投标准备工作中的所有信息予以保密。该条内容采用严格解释，但不应禁止该协议

B）将两孔Size分别缩小0.05mm，即做成0.95mm与2.05mm。

Question: See below picture, the distance is only 10mil between 1.00mm hole marked “a” and 2.10mm hole marked “b”(it’s 14mil min distance for our normal workmanship), the close distance will easily cause shorts between the two holes in plating process.Suggestion: A)shift the two hole 2mil away individually towards counter-directions.B)Reduce 0.05mm for hole sizes, i.e.make them as 0.95mm and 2.05mm.问题： 板上没有NPTH，用PTH做锣板定位孔时易损伤孔壁铜。

6、乙方承诺，除履行咨询服务工作所需外，未经甲方事先书面许可，不得擅自披露、使用、复制、传播甲方的版权、商标字号、标志、商业信息、技术及其他资料。

7、双方确认，本协议中的任何内容或甲方对乙方所作的任何秘密信息的披露均不应视为甲方已赋予乙方有关版权、商标专利、专利申请或属于披露方的其它知识产权的权利或权益的任何许可或其他权利的推定或默示许可。乙方对甲方所提供的所有秘密信息的使用，不得以任何方式侵犯甲方的知识产权及其它权利，并不得做出任何可能损害甲方形象或任何第三方合法权利的行为。

8、乙方为甲方提供咨询服务过程中产生的一切知识产权和有关的成果（包括但不限于：任何发明、发现、设计、开发成果、改进、作品、专利、计算机软件、半导体芯片、享有版权的书面资料、技术秘密和商业秘密）的所有权应属于甲方，乙方应即时、全部、完整地向甲方批露和提供；在法律许可的最大限度内，乙方

有义务提供一切必要的信息资料和采取一切必要的行动，协助甲方证明、获得、维持、维护、实现或抗辩与这些知识产权和/或成果有关的权利，包括但不限于专利申请、商标注册、版权（软件）登记和/或在法律纠纷中的协助或合作等，协助甲方取得和行使有关的知识产权。

9、乙方保证，在为甲方提供咨询服务的工作中没有、将来也不会擅自使用侵犯他人知识产权或其他合法权利的产品、工具或软件等，否则将承担相应的责任，并补偿甲方由此受到的损失。

10、在本协议有效期内及协议期满后3年内，乙方不得：a.自行或协助他人与甲方的业务发生直接或间接的竞争；b.直接或间接地唆使或试图影响甲方的员工离职，去为乙方或任何其他个人或实体服务；c.引诱、带走甲方的客户或以前的客户以攫取他们的业务而直接或间接获利；d.以任何其它形式直接或间接损害甲方的利益。

11、若甲方在项目中最终没有中标或即使中标但最终没有签署项目合同，则甲方不向乙方承担任何费用；若乙方在竞标及项目合同签署中未按本协议约定提供咨询服务，则甲方也无须向乙方支付咨询服务费（如出现争议，由乙方承担其主张的已按照协议约定提供咨询服务的举证责任）；若经乙方协助，甲方在项目中中标并签署项目合同，则甲方就乙方服务向乙方支付咨询服务费即人民币元整（￥）。

三、支付方式：在甲方收到项目合同中客户支付的全额款项及乙方开具的与付款金额等额的服务业正式发票后十个工作日内，甲方向乙方支付咨询服务费总额的款项即人民币元整（￥）。

四、本协议期满或终止之日起或在甲方书面要求后的五个工作日内，乙方应交还任何仍为乙方（含其雇员、代理、代表和/或顾问）持有但属于甲方或由甲方提供给乙方的文件、资料或其它甲方财产，或征得甲方书面同意销毁含有甲方专有信息或商业机密的文件和资料；乙方应向甲方书面确认已全部返还相关资料或完成上述销毁。乙方不得保留这些文件和资料的任何形式的复印件。

六、不正当行为约束：

1、乙方为项目所实施的一切行为应遵守中国的法律、法规，尊重商业道德；不得从事任何将对甲方产生不利影响的行为。

2、乙方应维护甲方权益并使甲方权益最大化，但不得因此采取非法手段侵犯他人合法权益或违反有关的法律法规或商业道德。若侵犯了他人合法权益或违反有关的法律法规，相关责任全部由乙方承担，甲方不承担任何责任。

3、如因乙方的行为导致甲方的名誉、知识产权、经济利益等受损，乙方应补偿甲方所受损失并立即采取措施停止不当行为并消除影响，但不影响甲方其他权利的行使。

4、乙方不得以任何方式向甲方相关工作人员个人提供佣金、回扣、股权权益等直接或间接的利益以换取该工作人员利用职务之便对乙方进行非正当支持。

5、在咨询服务中，若甲方工作人员利用职务之便以任何方式（明示或暗示）向乙方或乙方所属人员索取或接受直接或间接的物质利益，乙方有义务拒绝，并立即向甲方公司书面投诉。

6、如果甲方发现乙方对甲方工作人员提供非正当、不符合法律法规或商业道德要求的物质利益，无论是被动提供还是主动提供，甲方除对该甲方工作人员按内部规章制度进行最严厉的处罚外，同时将追究乙方的违约责任并有权拒付有关酬金。

七、违约责任

1、双方确认并同意，如果乙方未依照本协议约定使用保密信息或违反本协议规定将保密信息披露给任何第三方（包括乙方的附属公司和/或关联公司），或乙方违反本协议第六条与甲方工作人员私自串通，均构成乙方在本协议下的违约行为，乙方应向甲方支付相当于咨询服务费总额50%的违约金，违约金不足以弥补甲方损失的，乙方还应补偿甲方实际损失。

2、如乙方出现违约行为，甲方有权拒付有关费用（包括甲方本已承诺或按其他

协议应支付的顾问咨询费等费用）和/或终止本协议，直至获得乙方的赔偿或双方达成其他协议。

八、本协议具专属性质，乙方未经甲方事先书面同意，不得向任何第三方转让本协议项下的全部或部分权利和义务。但若向乙方发出合理的通知，甲方可不经乙方同意向其关联公司部分或全部转让本协议项下的权利或义务；本协议对双方各自的继承人和/或允许的受让人自承继或受让之日起自然产生约束力。本协议中，乙方对甲方承担的义务延及于甲方的关联公司。

九、协议解除与终止

1、本协议有效期内，任何一方因对方无法提供相关满意支持、服务或未能按时付款，经守约方书面提出异议后15天内仍未纠正的，守约方可以立即以书面通知终止本协议。协议终止并不免除支付已提供服务的款项或退回已支付但尚未提供服务部分的款项的责任。

十、法律适用及争议解决：

1、本协议的解释、履行适用中华人民共和国法律。

一方进入解体或清算阶段； 一方被判为破产或其它原因致使资不抵债； 本合同已有效、适当、全面得到履行； 双方共同同意以书面文件提前解除合同； 根据仲裁机构的裁决，合同解除或终止。

十一、附则：

1、协议双方均保证其有权签署并履行本协议，其签署并履行本协议不会违反对其具约束力的其他文件，其已获得有关的政府审批（如需）和/或其他必要的授权。乙方应提供其最新营业执照副本复印件作为本协议之附件。

2、如果本协议中的任何约定无论因何种原因无效或不具有执行力，或违反任何适用的法律，则该约定视为删除。但本协议的其余约定仍应有效并且有约束力。

3、本协议之变更和/或补充须经双方同意并采取书面形式。在双方未达成一致意见的情况下，原协议继续有效。

由于水灾、火灾、地震、干旱、战争或协议一方无法预见、控制、避免和克服的其他事件导致不能或暂时不能全部或部分履行本协议，该方不负责任。但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due to flood, fire, earthquake, draught, war or any other events which could not be predicted, controlled, avoided or overcome by the relative party.However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing

as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.9.仲裁

Arbitration

因履行本协议所发生的一切争议应通过友好协商解决。如协商不能解决争议，则应将争议提交中国国际经济贸易仲裁委员会（北京），依据其仲裁规则进行仲裁。仲裁裁决是终局的，对双方都有约束力，仲裁费用，除另有规定外，由败诉一方负担。

All disputes arising from the performance of this agreement shall be settled through friendly negotiation.Should no settlement be reached throught negotiation, the case shall then be submitted for arbitration to the China International Economic and Trade Arbitration Commission(Beijing)and the rules of this Commission shall be applied.The award of the arbitration shall be final and binding upon both parties.Arbitration fees shall be borne by the losing party, unless otherwise awarded.10.协议有效期

Validity of Agreement

本协议经有关双方如期签署后生效，有效期为 年，从 年 月 日到年 月日。

This agreement, when duly signed by the both parties concerned, shall remain if force for 12 months from October 1, 1992 to September 30,1993, and it shall be extended for another 12 months upon expiration unless notice in writing is given to the contrary.11.协议的终止

Termination

在本协议有效期内，如果一方被发现违背协议条款，另一方有权终止协议。
