循平等自愿、互利互惠、诚实信用的原则，就个人定期存单担保业务订立

本协议，以便共同遵守。

第一条、概述

甲方因开发建设项目，需自行选定的有关银行（以下称贷款银行）申请办理项目贷款业务，乙方安排具备关联

关系的自然人（以下称存款人），同意以提供个人定期储蓄存款存单（以下

称存单）向甲方指定的有关银行（以下称存款银行）存入资金并开出存单

以存单载明的存款为质物为甲方办理贷款提供担保；为保障乙方的合法权

益，甲、乙双方另行签订《》（以下称反担保合同），甲方将自有的固定资产、在建工程和项目经营权益或股权抵（质）押给乙

（4）其他可能影响甲方财务状况和偿债能力的情况；

1、保证乙方存款人开出存单后个工作日内安排乙方人员于银行营业时间到贷款银行在行长办公室对贷款银行行长及业务主管的身份进行查实，贷款银行行长及业务主管须出示身份证、工作证、任职文件以供查验（上述证明及文件均须向乙方提供复印件），身份查实后，各方按之前确认的样本核对打印完毕的银行《确认书》（见附件一）正本，核对无误后甲方贷款银行按正常程序在打印完毕的银行《确认书》正本上加盖贷款银行行政公章，由行长及业务主管当面签署。贷款银行有关人员应提前备齐资料，签署工作要求一次完成。

2、保证提供真实、有效的银行与甲方签订审批完备的借款合同（签字、盖章）和与借款合同相对应的质押合同等手续。保证以上手续真实有效、可查询、可验证，经乙方人员验证无误后将以上所有手续扫描件交予乙方留档。保证贷款业务种类为项目贷款，不作其他用途，在质押贷款到期时前一个月及时偿还全部贷款本息并将存单退还给乙方，甲方办理的质押借款期限不得早于存单的到期日，并须在甲方与贷款银行签订的借款合同中明确写明。

3、保证将固定资产抵押登记给乙方并办理完备抵押登记公证手续（具体参照反担保合同）。保证协调好贷款银行严格遵照反担保合同的约定实现有关的债权、质权。

保证以上内容不以贷款银行的信贷流程相冲突为理由拒不执行本协议约定的操作程序。

4、甲方在本条中所作的声明和保证是连续有效的，在对本合同进行修改、补充或变更时均视为甲方重复作出。

甲方承认，乙方对本合同的签署是建立在对上述声明和保证信任的基础上的，乙方一旦发现甲方违反上述声明和保证，均可随时终止本协议的履行并追究甲方的经济与法律责任，甲方所交的服务费作为对乙方的赔偿。

第四条、乙方的声明与保证：

（一）、乙方在此声明如下：

1、乙方系依据中华人民共和国法律、法规登记注册的企业法人，具备所有必要的权利和授权并能以其自身名义进行本项经营活动或参与诉讼，且对其经营管理的资产享有合法的处分权。

3、存款资金来源真实、有效，乙方存款人具备下列真实、有效的资料以便配合贷款银行办理止付手续：存款人的身份证、户口簿、结婚证（单身除外）, 超出以上范围的资料和要求乙方有权不予提供与配合。

（二）、乙方在此保证如下：

1、保证在甲方按本协议第三条履行完毕后存款人与贷款银行签订质押合同。

2、保证在甲方按本协议第三条履行完毕后当即安排存款人配合贷款银行按规定程序在出单银行柜台窗口办理止付手续，止付后将存单交给贷款银行。

第五条、服务费交割方式

双方同意本协议涉及到的甲方应向乙方支付的有关费用，（注：此资金为甲方合法拥有）具体要求如下：

（一）、双方签订本协议的同时，甲方向乙方支付%，共计万元咨询服务费并具备%共计万元咨询服务费。

（一）、甲方若违反本协议任何一项约定及无故终止本协议均视为甲方违约。甲方违约，乙方有权随时撤回资金终止本协议的履行并获得约定取得的服务费，甲方并承担一切经济与法律责任。

（二）、乙方若违反本协议任何一项约定及无故终止本协议均视为乙方违约；乙方违约，乙方所收取的服务费无条件退回甲方，乙方还应赔偿甲方的实际损失，并承担一切经济与法律责任。

第七条、争议解决

本协议未尽事宜由双方协商确定，可另行协议补充。本协议在履行过

程中如发生争议，应由双方当事人协商解决；协商不成时，任何一方均可向仲裁委员会申请仲裁。

第八条、其他条款

（一）、在签订本协议前，协议各方已完全理解并接受本协议的内容，在本协议项下全部意思表示均真实有效。
